Contrary to subsequent studies focused on the construction of corporate identity, this article aims to examine the stakeholder’s perception of corporate identity projected to the public through language and visual manifestations on corporate “About us” pages. A qualitative, data-driven approach has been taken in the study. The results, based on data collected from in-depth, semi-structured interviews with twenty professionals, demonstrate the interviewees’ deep scepticism towards corporate narrations, which are interpreted as persuasive and serving corporate ends. Thus, online projections of corporate identities do always match actual images held by stakeholders. The interviewees have emerged as critical readers of corporate communications and active constructors of corporate image.

Research background: Corporate reputation and image are two valuable intangible resources of the company, aimed at building its long-term competitive advantage and market value. Although reputation and image are interrelated categories, they should not be identified with each other. The differences are not only in the definition and the character, but also in the mechanism of formation and tools to create these resources by the company. Image is a picture, perceptions and associations about the company in the minds of consumers, which may be created using the tools of PR and advertising in a relatively short period of time. Reputation is a review of the company and its activities, formulated by various stakeholder groups, on the basis of not only advertising, but also on the basis of the assessment of real activities of companies in the long term. Purpose of the article: The cognitive objective of the article is to point out the fundamental differences between reputation and image on the basis of the analysis of approaches and theoretical concepts. The practical objective is to make an attempt to identify the differences and relationships between reputation and image on the basis of empirical analysis, therefore the research was conducted in the Polish banking sector. Methods: In order to evaluate image and reputation, the survey method was used aimed at the customers of banks operating on the Polish market. Findings & Value added: Reputation and image are two separate, intangible assets that support each other and the company needs each of them to build its competitive advantage. The results of empirical study allowed formulating the thesis that the banks, whose reputation is rated better by the customers, also have a better and more coherent image in their minds.

In the very beginning of this particular paper, an author is trying to determine and describe who Millennials actually are. Then, the basis of Millennials definition is analysing corporation’s activity over the past years regarding this age group. The main goal of the thesis is to bring their specific futures out and describe what corporations on Polish job market are doing to encourage them to work in their offices. Especially in Poland within the last years, it is observed that big multinational companies are paying special attention to Millennials and trying to hire them before competitors will do so. As a part of this paper, an author will describe corporate politics and practices on Thomson Reuters and BNY Mellon examples. Within this work, an author is also discussing key features and differences between this generation and Millennials parent’s generation. Additionally, there is a reference to corporate social responsibility concept and work-life balance issues.

Dynamiczne zmiany zachodzące w otoczeniu przedsiębiorstwa wskazują, że cel działania podmiotów gospodarczych nie może ograniczać się do maksymalizacji zysku. Należy pamiętać o tym, że przedsiębiorstwa skupiają w swoich strukturach różnorodne potrzeby interesariuszy. Narzędziem, które ma pomóc w osiągnięciu konsensusu pomiędzy złożonością oczekiwań poszczególnych grup interesów i zapobiegać pojawiającym się na tym tle konfliktom hamującym rozwój przedsiębiorstwa są m.in. rekomendacje corporate governance. Znajdują one swoje odzwierciedlenie w Kodeksach Dobrych Praktyk. Stąd też celem artykułu jest weryfikacja hipotezy, zgodnie z którą rekomendacje corporate governance są pomocne w godzeniu aspiracji poszczególnych grup interesariuszy.
The dynamic changes taking place in the company's environment indicate that the objective of business operators cannot be limited to maximizing profit. Companies focus their needs on different stakeholders. A tool which can help to reach a consensus between the complexity of the expectations of individual interest groups and to prevent emerging conflicts between them is recommendations f corporate governance. These recommendations are reflected in the Code of Good Practice. Hence, the purpose of this article is to verify the hypothesis that corporate governance recommendations are helpful in reconciling the aspirations of individual stakeholder groups.

Gdy weźmie się pod uwagę szereg głośnych skandali korporacyjnych w  dużych przedsiębiorstwach, takich jak WorldCom, Enron i  Tyco, a  także w  istniejących nadal firmach, takich jak indyjski Satyam czy Countrywide Financial Corporation, Healthsouth Coporation i  Diebold Incorporated w  USA, odpowiedzialność za nieetyczne postępowanie musi nieuchronnie spaść na liderów tych korporacji. Nic dziwnego, że w  ankiecie, jaką przeprowadził „The Economist” (październik 2003), zaledwie 23% pytanych odpowiedziało, że dyrektorowi korporacji można zaufać – wynik ten był tylko nieco wyższy od oceny, jaką uzyskali sprzedawcy używanych samochodów [„Ankieta”]. Niniejszy artykuł omówi: (1) szczegóły dotyczące widocznego braku przywództwa etycznego w  czterech spółkach wymienionych powyżej; (2) kilka powodów natury psychologicznej i  filozoficznej, dla których takie zachowanie mogło przeniknąć całą organizację; (3) kilka kroków, jakie należało podjąć, aby zniechęcić liderów do takiego nieprawidłowego zachowania, i  wreszcie (4) zalecenia dla przyszłych badań.
With the number of high profile corporate scandals by major companies such as WorldCom, Enron, and Tyco, as well as current firms such as India's Satyam and the United States' Countrywide Financial Corporation, Healthsouth Corporation, and Diebold Incorporated, inevitably the responsibility for such unethical conduct must revert back to the leaders of these corporations. It is no wonder that in a survey conducted by The Economist (October 2003) only 23 percent of those questioned believed that a corporate executive could be trusted, which was slightly higher than that of a used automobile salesperson. This article will examine: (1) Details of the lack of ethical leadership exhibited in the latter four companies mentioned above, (2) Several psychological and philosophical reasons why this behavior was able to transcend throughout the organization, (3) Some steps which should have been in place to deter this poor behavior by corporate leaders, and (4) Recommendations for future research.

Purpose: The purpose of this paper is to is to provide insights on implementing corporate social responsibility for sustainability (CSRS) concept and show how it differs from basic corporate social responsibility (CSR). Methodology: The paper discusses major issues with references to existing literature and real business cases from S&P500 consumer discretionary sector. Findings: The main finding of this paper is that CSRS could provide the company with a competitive advantage as a growing number of consumers become more sustainable conscious. It could also help to overcome the increasing consumers' skepticism towards corporate social responsibility practices. Finally, it can also be seen as a step forward in defining what types of corporate activities are associated with desirable social and environmental gains. Research limitations: Our sample was restricted to the U.S. firms from the consumer discretionary sector. Therefore, conclusions should not be generalized to other markets. Our study is based on the analysis of environmental and social responsibility statements and assumes that they accurately represent corporate commitment in majority of the cases. Practical implications: CSRS offers corporations the opportunity to use their unique skills, culture, values, resources, and management capabilities to lead social progress by making sustainability part of its internal corporate logic.

Corporate governance involves not only working out the relationship between a company and its shareholders, but also a search for consistency on a daily basis. When consistency is achieved, the shareholders’ satisfaction is higher and relations improve. Consistency is a prerequisite for a company’s effectiveness and efficiency, and it is the board’s task to make a corporation consistent. The first part of the paper introduces M. Flieger’s concept of corporate consistency, where platforms of consistency are introduced and the consistency model is proposed. This is the first time that such an introduction has been made, and this may lead to further discussion and research. The author points out that managers are rarely aware of the consistency problem, and there are no tools which enable a consistent system to be worked out. This makes the concept of corporate consistency worth investigating. In the second part of the paper, R. Kaminski focuses on the development of the European Union and Polish regulations, which were introduced as a consequence of the changing conditions in company activity. This section determines the content and sequence of the main issues discussed in the article. These include: the characteristics of the concept of a corporate governance system, the presentation of changes in regulations regarding a corporate governance system in the EU and the presentation of Polish regulations on corporate governance. The primary sources used in the work were literature and the rules and standards (mandatory and optional) on corporate governance. Both authors used descriptive analysis and the comparative method.

Celem artykułu jest ocena rozwoju rynku obligacji korporacyjnych w Polsce. Zwrócono uwagę na zmiany regulacji prawnych w zakresie obligacji korporacyjnych w Polsce oraz wielkość i dynamikę zmian w zakresie zadłużenia z tytułu obligacji korporacyjnych emitowanych przez przedsiębiorstwa niefinansowe i finansowe w Polsce w okresie 2005-2020. Analiza i ocena rozwoju rynku obligacji korporacyjnych w Polsce została przeprowadzona w oparciu o analizę danych statystycznych obrazujących rozwój tego rynku. Wykorzystano dane statystyczne pochodzące z bazy Banku Rozrachunków Międzynarodowych oraz dane Krajowego Depozytu Papierów Wartościowych. Przeprowadzona analiza pozwala stwierdzić, że rynek obligacji korporacyjnych w Polsce stale się rozwija, czego dowodem jest wzrastające zadłużenie z tytułu emisji obligacji. Niemniej jednak dynamika tych zmian nie jest zadowalająca.
The aim of the article is to assess the development of the corporate bond market in Poland. Attention was paid to changes in legal regulations regarding corporate bonds in Poland, as well as the size and dynamics of changes in the scope of debt from corporate bonds issued by non-financial and financial enterprises in Poland in the period 2005-2020. The analysis and evaluation of the development of the corporate bond market in Poland was based on the analysis of statistical data illustrating the development of the market. Statistical data from the database of the Bank for International Settlements and the data of the National Depository for Securities were used. The conducted analysis allows to conclude that the corporate bond market in Poland is constantly developing, as evidenced by the growing debt resulting from the bond issue. Nevertheless, the dynamics of these changes is not satisfactory.

Purpose – More and more companies are embarking on an experimental journey into an unpredictable future – a future that is characterised by uncertainty and new challenges. Corporate venturing enables established companies, so-called incumbents, to deal with new markets and business models in a highly flexible and innovative way, besides their existing business and well known, successful business models. A new innovator’s dilemma has emerged: not only established companies are required to be increasingly creative and to question existing thought patterns, but it is similar for start ups and new businesses. Research method – After conceptualising the paper and conducting literature bibliometry by VOSviewer, the research gap was identified. It is based on the three presented approaches: Causation, Effectuation and Bricolage as transformative approaches for strategic decision-making. Using a qualitative research by conducting 30 in-depth interviews, a transcription and a MaxQDA analysis, 5 identified corporate venturing tools were shown. Originality/value – The paper introduces a new approach of management which rapidly gains importance and which is crucial for companies in upcoming times to compete with flexible and disruptive start-up based business models.

Contemporary practitioners and scientists more and more frequently highlight the extraordinarily rapid process of implementation of new technologies – including those based on artificial intelligence – and unpredictable consequences of such actions. Therefore, it is important to be an active participant in the debate on the relation between human and modern technologies, a debate based on interdisciplinary scientific knowledge. The article refers to selected ideas related to knowledge management, organisational learning, knowledge area, or innovation environment. The challenge which social science researchers face, next to examining the theoretical aspects, is the application of various calculation methods and new technologies to make quicker and easier decisions in social contexts – with regard to various groups of people, e.g. employees, customers, or voters. Apart from the new methods, another serious challenge is to raise social awareness regarding the digital responsibility in certain groups such as managers or, more generally, employers and employees. The responsibility of the elite and scientific authorities should consist in instilling awareness in one another and approaching the new phenomenon with care. Potential threats may completely change our civilisation. The presented discussion is based on literature study which included selected theories and reports of research centres and scientific bodies. A particularly interesting case study discussed in this article includes TOP CDR initiative and a report prepared by SW RESEARCH agency in cooperation with Procontent public relations and digital marketing agency. The conclusions of this report indicate that corporate digital responsibility (CDR) may be a pioneering area for in-depth empirical studies. The nature of the topic, despite being clearly related to sociology, requires interdisciplinary approach and cooperation of numerous circles, not only scientific ones.

Japan’s high corporate savings might be holding back growth, by preventing a more efficient use of resources. Small and medium enterprises (SMEs) have been the main contributors to high corporate cash balances, but more recently larger companies have also increased cash holdings. This paper focuses on the causes and consequences of the current corporate behavior and suggests options for reform. In particular, Japan’s weak corporate governance – as measured by available indexes – might be contributing to high cash holdings. An empirical analysis on a panel of Japanese firms confirms that improving corporate governance would help unlock corporate savings. The main policy implication of the analysis carried out in this paper is that a more ambitious and comprehensive corporate governance reform should be a key component of Japan’s growth strategy. Such a reform would help remove some of the bottlenecks of the legal and corporate governance framework

The aim of this paper is to ascertain corporate investment reaction in bank-dependent companies in times of crisis. Our investigation covers the differences in corporate investment reaction due to the global financial crisis (GFC) of 2007–2009 and the COVID-19 crisis of 2020–2021. We utilized panel data of companies present on the Warsaw Stock Exchange during the GFC and COVID-19 crisis—932 firm-year observations. We found a negative relationship between bank dependence (static ratio) and corporate investment, but a statistical significance was found only for the GFC period. We also found a positive relationship between bank dependence (dynamic ratio) and corporate investment, but statistical significance was found only for the GFC period. Additionally, we found that during the COVID-19 crisis, the level of corporate investment was at its lowest level, but the biggest drop was noticeable during the GFC when compared to the pre-GFC period. Our article contributes to the existing research by being part of the research on corporate investment and capital structure. It consists of the research on one of the determinants of the corporate investment and capital structure decisions—macroeconomic turbulence manifested in economic crises.

In today’s financial markets in recent years, more and more interest among investors raises conception of CSR. She became almost the standard for listed companies all over the world as well as in Poland. Of great importance in the development of CSR in Poland plays a running on 19 November 2009 by the Warsaw Stock Exchange Respect Index. In many companies began to unify the rules of action, and thus the company became responsible for the whole of its business. In the polish literature, so far a little publications is about the concept of CSR and CG simultaneously, hence the purpose of this paper is to fill this gap.

Opis:
This article presents the issue of costs of enterprise bankruptcy. The purpose of this paper was to overview bibliography concerning the costs of corporate bankruptcy. According to literature, the author has pointed out that costs of bankruptcy can be divided into different groups, e.g. indirect and direct. The paper indicates the following corporate bankruptcy costs allocation criteria: time span, type of proceedings and the accounting perspective at the microeconomic level of analysis. The author has paid attention to models evaluation of costs of corporate bankruptcy. It is worth emphasizing that measurement of indirect costs of enterprises bankruptcy is a very complex issue.

Opis:
The concept of corporate social irresponsibility appears relatively rarely in literature and public discourse. Companies are more likely to inform about  positive aspects of their non-profit activities (for their employees, local communities, the environment) than about issues that worsen their image and reputation. However, talking about negative aspects of non-commercial activitiesseems important and worthwhile as it eliminates pathologies (in terms of  corporate social irresponsibility) and increases social trust in activities related to corporate social responsibility.
W literaturze i dyskursie publicznym pojęcie społecznej nieodpowiedzialności biznesu pojawia się stosunkowo rzadko. Przedsiębiorstwa zdecydowanie częściej informują o pozytywnych aspektach swojej działalności pozabiznesowej (działaniach na rzecz pracowników, społeczności lokalnych, ochrony środowiska) niż o kwestiach pogarszających ich wizerunek i reputację w oczach opinii publicznej. Mówienie o negatywnych stronach działalności pozabiznesowej wydaje się jednak istotne, gdyż eliminowanie patologii (społecznej nieodpowiedzialności biznesu) zwiększa społeczne zaufanie do działań w ramach społecznej odpowiedzialności biznesu.

Since the turning point in 1988, Polish economy has experienced rapid transformation with its challenges influencing all aspects of business activities. During the last decade of the 20th century Polish entrepreneurs had to learn how to compete in the new market environment and many of them succeeded. Evaluating and verifying their business undertakings one can risk a statement that emphasizing the role of corporate identity belongs to the major factors of the success. Moreover, shaping the company identity may fail to succeed without enquiring its stakeholders’ opinions, perception, and preferences. The key aim of the article is to present the importance of three groups of stakeholders who play a significant role in Polish as well as international companies, while underlining general tendencies in their behavior.

The next generation of supply chain management should not be comfortable with the old adage of out-of-sight out-of-mind behaviour as this presents an unacceptable reputational risk level to the sustainability of logistics business operations.

W artykule przedstawiono pokrótce charakterystykę normatywnego i deskryptywnego podejścia do uprawiania finansów przedsiębiorstw. Szczególną uwagę zwrócono na podejście deskryptywne, czyli finanse empiryczne, w związku z upowszechnieniem się technologii informacyjnych i dostępu do masowych danych finansowych. Dzięki finansom empirycznym dokonuje się coraz większy postęp, jeśli chodzi o weryfikację założeń i wniosków wypływających z koncepcji neoklasycznej. Badania empiryczne z zakresu finansów przedsiębiorstw wymagają jednak dobrego przygotowania z zakresu metod ekonometrycznych.
This paper presents an overview of the normative and descriptive approaches to corporate finance. Particular attention is paid to the descriptive approach, namely empirical finance, which is connected with the widespread use of information technology and access to a large volume of financial data. Through empirical financial analysis constant progress is being made as regards the verification of the assumptions and conclusions which stem from neoclassical concepts. However, empirical studies in the area of corporate finance require proper preparation in respect of such econometric methods.

It is extensively studied if the relationship between CSR (Corporate Social Responsibility) and CFP (Corporate Financial Performance) may be distinguished. All the evidence proving or denying the relationship is unambiguous. One of the biggest problems are the varied results connected with the lack of methods to compare CSR and CFP. The aim of this article is to indicate the importance of both, CSR and CFP. It is also important to mention the researchers’ subjectivity and bias of selection. Companies may improve their position in the market by paying more attention to CSR issues and that may positively influence their CFP, which is the main target for all organisations.
Artykuł analizuje związek pomiędzy społeczną odpowiedzialnością w biznesie a wynikami finansowymi przedsiębiorstw. Jednym z największych problemów są zróżnicowane wyniki związane z brakiem metod porównywania CSR oraz CFP. Celem tego artykułu jest wskazanie na znaczenie zarówno CSR, jak i CFP. Należy również wspomnieć o subiektywności badaczy i ich subiektywnych wyborach. Firmy mogą poprawić swoją pozycję na rynku, zwracając większą uwagę na kwestie związane z CSR, co może pozytywnie wpłynąć na CFP, który jest głównym celem wszystkich organizacji.

Research background: Sustainable development at the enterprise level is understood as the integration of economic, environmental and social dimensions aimed at meeting the needs of all firm?s stakeholders in the present and in the future. Therefore, it is crucial to evaluate the relationship between economic, environmental and social sustainability performance of a company and its financial performance. Purpose of the article: Considering the business model for sustainability as well as the debatable results of empirical research on the relationship between corporate sustainability performance (CSP) and corporate financial performance (CFP), the essential aim of the paper is to answer the question whether the improvement of corporate sustainability performance in its all particular dimensions brings about higher total revenues (TR) of a company. Methods: The main method of empirical research is panel regression models based on Cobb-Douglas production function, which has been extended to include variables of corporate sustainability scores. The selection between pooled OLS model, random-effects model and fixed-effects model has been made with the use of the F test, the Breusch-Pagan test and the Hausman test. Additionally, descriptive statistics and the Pearson correlation coefficients have been analyzed. The empirical studies were conducted in the period 2014?2019 among the 59 largest U.S. companies listed in the Fortune 500 ranking between 2015?2020. Findings & value added: The research hypothesis assuming the existence of positive relationship between corporate sustainability performance (CSP) at both aggregate and disaggregate levels and corporate financial performance (CFP) expressed by TR cannot be positively verified. It means that the improvement of corporate sustainability performance in environmental, social and governance dimensions does not lead to an increase in TR of a company, as some empirical studies suggest.

Corporate social responsibility (CSR) is a comparatively new term in the Baltic States’ business vocabulary. Th e value of the present study is the customer approach. Th e study examines stakeholders’ attitudes in Baltic States towards CSR activities of companies. Th e systematic examina- tion of the current state of CSR development from the perspective of corporate communication and consumers will benefi t the overall understanding of what the role and value of CSR is in the Baltic States. Th e study aims at defi ning the current point of CSR development with its characteristics, qual- ities, perspectives and tendencies. Th is would further enhance the understanding of future perspec- tives — scopes and limitations — for CSR development in the Baltic States. Th e empirical study uses a survey questionnaire as a research tool. Th e survey took place in the period of February–March 2010. Th e sample of the study is opinion elite (persons in society who comment on diff erent societal aspects in the media: opinion journalists, politicians, business leaders, 3rd sector leaders, expert associations, etc.) in the Baltic States. A study will give an insight into the present and future tendencies of the development of CSR. It will also give a perspective for corporate communication practitioners about CSR and how it works in a post-communist society, as a strategy for organizational communication and reputation building.

The main goal of the article is the assessment of mezzanine financing as an innovative form in Poland, which might play a significant role in the dynamically developing companies which can’t obtain sufficient capital from traditional sources in the form of bank credits. Mezzanine may be applied to: financing investment projects, increasing the value of the company, the expansion of businesses through mergers and acquisitions, redemption of shares or the financing of leveraged buyouts. The main methodology used in this article is explanatory research and comparative analysis. The hypothesis assumes that mezzanine financing may become an important alternative source of funding for medium and large sized enterprises in Poland. This article presents the idea of mezzanine financing, its mechanism, structures and comparison to alternative funding, examples of such transactions costs. An important part is indication of types of mezzanine capital and applications in the USA, the UE including Poland as well as comparative analysis of mezzanine advantages and disadvantages.

The paper presents the model of corporate culture diagnostics for simulation in management control. Three approaches (symbolic, cognitive, and systematic) used for the diagnosis of corporate culture have been outlined. There have been provided 3 levels (basic underlying assumptions, espoused beliefs and values, and visual artifacts) to evaluate the state of corporate culture in a comprehensive way. Two methods of assessment (standard and dynamic) have been proposed for selection. 19 groups of indicators and 42 defined indicators that allow diagnosing corporate culture comprehensively have been provided. Based on the sample of 11 Ukrainian companies, the results suggest that application of the management control model provides a high quality informational base for decision-making on the trends and prospects of development, addressing problematic issues and weaknesses of the current corporate culture and use of its operating conditions and strengths to improve the overall efficiency of the company.

Opis:
Corporate volunteering is a social activity undertaken by employees with the support of their employer. Engaging in various charity actions is one of the most popular forms of implementing the principle of corporate social responsibility (CSR). In Poland, this institution has been known for a short time, but its importance and development are noticeable. The introduction of volunteering among employees takes various forms, depending on financial possibilities, commitment, free time and the needs of the beneficiaries. Volunteering also brings various benefits (both internal and external) as well as many difficulties and barriers that reduce the ability to engage in social projects. This article presents the essence of employee volunteering, as well as its typology, form and scale of dissemination in Poland. As a complement to the analysis, there are examples of completed corporate volunteering programs.

Recent years have been marked with variations in the hierarchy and acceptance of post-materialist values in the regional environment of the Czech Republic. In particular, difficult areas in the Moravian-Silesian region still exist. The loss of primary public pressure on environmental protection or companies’ compliance with the requirements of corporate social responsibility was demonstrated somehow. However, philanthropy and an interest in possible tax allowances for donations to charities suggest an increasing trend.

Współczesne realia życia gospodarczego każą spojrzeć na funkcjonowanie przedsiębiorstwa przez pryzmat nie tylko podstawowego celu, jakim jest dążenie do maksymalizacji zysku, ale z uwzględnieniem przy jego wypracowaniu potrzeb szerszej grupy interesariuszy. Dlatego coraz częściej przy dokonywaniu pomiaru wartości przedsiębiorstwa uwzględnia się aspekty jakościowe, które wpływają na efektywność funkcjonowania przedsiębiorstwa, jak również na jego wycenę. Do takich właśnie elementów zalicza się mechanizmy corporate governance. Podstawową rolą, jaką przypisuje się rekomendacjom corporate governance, jest stworzenie ram i wytycznych, w oparciu o które przedsiębiorstwo powinno prowadzić swoją działalność, jeśli chce sprostać wymogom konkurencyjności i podnieść swoją wartość rynkową.
The modern realities of economic life suggest looking at the functioning of an enterprise not only from the perspective of profit maximization but also with account being taken of the needs of a broader group of stakeholders. Therefore, more and more often, when measuring the value of a business, the qualitative aspects that affect the effectiveness of a company’s operations as well as its valuation are taken into account. Such elements include corporate governance mechanisms. The core role attributed to the recommendations on corporate governance is creating a framework and guidelines based on which an enterprise should conduct its business in order to meet the requirements of competitiveness and increase its market value.

Corporate social responsibility in woodworking enterprises. Corporate Social Responsibility (CSR) is a concept which in managing an enterprise is based not only on achieving economic effects and generating profit but also takes into account ethical attitude and social needs. Therefore, entrepreneurs are expected to take actions that will also be visible in a different area than the commercial one. The concept of CSR may be applied in enterprises belonging to all industries, regardless of the form of business activity, income or employment. The aim of the article is to show a new direction for the functioning of companies in relation to the wood sector, indicate companies using the CSR principle in their activities, assess the extent to which CSR is used by enterprises in the wood industry, and also indicate the relationship between these activities and the high position of companies in the sector. The article lists the enterprises of the wood industry which introduced CSR assumptions to the strategic goals of their activity.
Społeczna odpowiedzialność biznesu w przedsiębiorstwach przemysłu drzewnego. W pracy przedstawiono przedsiębiorstwa sektora drzewnego, które w swoich działaniach kierują się zasadą CSR. Zaprezentowano rozwiązania, jakie w ramach CSR stosują wymienione w rankingach firmy. Pokazano kierunek działań dla przedsiębiorców w oparciu o przepisy unijne i zasady społecznej odpowiedzialności biznesu.

The study identifies the relationships between corporate governance and corporate entrepreneurship. The aim of this study is to identify the importance of these relationships and describe the concept of the window of entrepreneurship developed by Sven-Olof Collin and Elin Smith. The method adopted in the paper is the analysis of literature. The analysis conducted by Sven-Olof Collin and Elin Smith indicates that corporate governance mechanisms usually restrain risk behaviors and strategic opportunism – two dimensions of corporate entrepreneurship. However, this concept can be a starting point for further research aimed at deepening the knowledge in the area of corporate governance and corporate entrepreneurship. The outcomes resulting from such research can be used to formulate the postulates that allow introduction of changes in the corporate governance which stimulate corporate entrepreneurship.
W opracowaniu podjęto się próby identyfikacji wzajemnych relacji występujących pomiędzy nadzorem korporacyjnym a przedsiębiorczością organizacyjną. Celem niniejszego opracowania jest wskazanie znaczenia tych relacji i przybliżenie koncepcji okna przedsiębiorczości opracowanej przez Svena-Olofa Collina i Elin Smith. W artykule wykorzystano metodę analizy i krytyki piśmiennictwa. Z analizy zaproponowanego przez Svena-Olofa Collina i Elin Smith modelowego ujęcia wpływu nadzoru korporacyjnego na przedsiębiorczość organizacyjną wynika, iż w przeważającej mierze mechanizmy nadzoru korporacyjnego krępują zachowania ryzykowne i oportunizm strategiczny. Koncepcja ta może jednak stanowić punkt wyjścia do dalszych badań ukierunkowanych na pogłębienie wiedzy w obszarze nadzoru korporacyjnego i przedsiębiorczości organizacyjnej. Wyniki będące rezultatem takich badań mogą posłużyć do formułowania postulatów pozwalających na dokonanie w obszarze nadzoru korporacyjnego zmian pobudzających przedsiębiorczość organizacyjną.

This study provides further evidence on the relationship between the Corporate Social Responsibility (CSR) Committee and corporate environmental performance in the United Kingdom. For the purpose of exploring corporate environmental performance, the study uses Greenhouse Gas (GHG) emissions as the proxies. In the UK, listed companies report their GHG emissions under the three main emissions categories (i.e., Scope 1, Scope 2 and Scope 3) as developed by GHG protocol standards. Using Scopes 1 and 2 GHG emissions, the study proposes a negative relationship between the CSR committee and Scope 1 emissions, whereas, a positive link is proposed between CSR committee and Scope 2 emissions. The findings in this study support the hypotheses that scope 1 emission and CSR committees are negatively associated while a positive relationship was found between Scope 2 and CSR committee. Also, this research reveals the significant roles played by the presence of an environmental team and female gender diversity in moderating the CSR committee and GHG emissions relationship. Though, the CSR committee was found to have a positive effect on reducing GHG emissions, the presence of the environmental team had a much significant influence on reducing corporate GHG emissions. The findings are relevant for decision making and corporate governance measures to reduce corporate GHG emissions.

Research background: Despite increased attention in the literature to the importance of the CEO's brand for companies, understanding of the effect of the CEO brand on the corporate brand remains limited. To contribute to this discussion, this paper investigates different facets of the impact of the CEO brand, and particularly its media coverage, on corporate brand equity. Purpose of the article: This study investigates the relationship between the different aspects of the CEO brand's media coverage and corporate brand equity. Methods: Comprehensive media monitoring in the press and online sourcing of CEOs from the strongest Polish brands were conducted. For three years (2014-2017), media monitoring covered 81 CEOs, resulting in over 44,000 data points for this study. Regression analysis was conducted to determine whether a relationship exists between different facets of the CEO?s personal brand and company brand equity. Findings & value added: This study provides a new perspective on the relationship between the CEO and corporate brands and showcases empirical evidence of the CEO brand's relationship with corporate brand equity. It introduces two relevant and novel variables (CEO brand reach and CEO brand advertising value equivalent [AVE]) to the literature, which have been limited to the number of mentions and its sentiment. Accordingly, this study contributes to the emerging literature of CEO branding within the branding field. Contrary to expectation, the intensity of media coverage alone was not significant. Results indicate that reach and AVE of CEO media exposure are reflected in the corporate brand equity. The study also finds that negative sentiment toward a CEO?s brand negatively affects corporate brand equity. The study adds to the growing stream of literature on the role of CEO brand.

Network organizations largely determine the competitive advantage today. Collaboration between companies and their success is based primarily on the image and trust. The network relations management is included in the supply chain, and the more complicated the chain, the more " fuzzy " the responsibility for the external effects of the business. In practice, network relationships result in numerous abuses, mostly in relations with competitors, customers and clients. However, it can be assumed that increasing competition, also on the Polish market, will force companies to apply socially responsible practices, also in the context of cooperating with local enterprises. The concept of corporate responsibility (CSR – Corporate Social Responsibility) is, in Polish conditions, a relatively unpopular concept, and the rare practice, especially among domestic enterprises. The situation is different on the Western Europe markets or in the USA. Companies operating in these markets are obliged to adapt the business standards to expectations of various stakeholders, and also contractors. The aim of the article is an attempt to justify the socially responsible practices by companies in today's and future market conditions. In addition, the article aims to describe network connections, different types of these relations, but also various methods and tools of improving existing network relations. In the context of socially responsible business, it seemed important to also analyze the relationships between organizational culture and actual practices taken by companies.

Corporate social responsibility is a form of corporate selfregulation integrated into a business model. It is also called as corporate conscience, corporate citizenship, social performance, or sustainable responsible business.

This study contributes to the ongoing research on CSR valuation and the emergence of indices associated with socially responsible investments (SRI) and corporate social responsibility. Valuation played an important role in the creation of business criteria for investing in the companies listed in the Respect Index of the Warsaw Stock Exchange. The study reveals how responsibility has been transformed into liquidity criteria that ground the Index’s performance. Despite standardization in CSR reporting, the most recognized discourse on the legitimacy of CSR has revealed a diversity of justifications for the meaning companies declare and pursue. Thus, there are parallel practices of CSR valuation: reports demonstrate a diversity of values and their justification while the index enhances the drive for the business case in CSR policies. Despite these differences, the research reveals the power of numbers: quantifications that describe specific CSR activities simultaneously eliminate a company’s issues and challenges. Given that CSR activities are amorphous in nature, the quantification and collection of data in their regard does not mean that the activities and their reporting address the major challenges companies face nor claims articulated in their environment.

Artykuł jest próbą usystematyzowania dotychczasowych rozstrzygnięć dotyczących relacji między CSR (Corporate Social Responsibility) i public relations – występujących tak w literaturze przedmiotu, jak i praktyce organizacji. Autorka prezentuje też własną koncepcję, proponując trzy modele, które opisują i wyjaśniają nie tylko wzajemne relacje między CSR i PR, ale i wyodrębniają funkcje, jakie nadaje się w organizacjach działaniom społecznie odpowiedzialnym i strategiom zarządzania komunikacją. Modele ilustrują też poziom rozwoju, dojrzałości organizacji i usytuowanie jej w szerokim otoczeniu – społecznym i przyrodniczym.
The article is an attempt to systematize the already existing solutions concerning the relationship between CSR (Corporate Social Responsibility) and public relations – occurring both in literature and in corporate practice. The author also presents her own concept proposing three models that describe and explain not only the relationship between CSR and PR, but also explain the functions ascribed in organizations to socially responsible activities and to communication management strategies. Moreover, the models illustrate the level of development and maturity of the organization, and its position in the broad environment – social and natural.

The article addresses the phenomenon of corporate language and the transfer of its semantic-lexical strategies, such as company-specific technical terms, from German into Polish based on customer communication texts of an automotive company. The concept of corporate language has evolved from normative-practical concepts, such as corporate wording, to linguistically-based models, such as corporate style. A corporate language is a single language phenomenon, however, in international corporate communication corporate text translation plays an important role, and attention must also be paid to the company-specific language style that sets the company apart from competitors in the same industry. A corporate language comes into play especially in external communications. This article investigates examples of external communications, specifically customer magazine texts. It also addresses the links between linguistic style and corporate identity, which must be given linguistic expression in the target texts.

W artykule poddano krytyce koncepcję corporate citizenship, która w literaturze poświęconej społecznej odpowiedzialności biznesu jest traktowana jako wpływowy projekt teoretyczny, nawiązujący do antypozytywistycznego paradygmatu wiedzy naukowej. Prezentowane argumenty krytyczne dotyczą trudności w stosowaniu dwóch kategorii: pojęcia korporacyjnego „obywatelstwa” oraz zapożyczonej od Jȕrgena Habermasa koncepcji dyskursu. Sygnalizowany jest kontrfaktyczny charakter przyjmowanych założeń, a także nieuwzględnianie politycznych i gospodarczych sprzeczności globalnego świata. Celem badawczym artykułu jest falsyfikacja kluczowego twierdzenia koncepcji corporate citizenship, dotyczącego roli ponadnarodowych korporacji w krajach słabo rozwiniętych, polegającej na wspomaganiu rozwoju instytucji demokratycznych i upowszechniania praw politycznych, socjalnych i obywatelskich.
The article criticizes the concept of corporate citizenship, which is treated in the literature on CSR as an influential theoretical project referring to the anti-positivist paradigm of scientific knowledge. The critical arguments presented relate to difficulties in using two categories: the concept of corporate citizenship and the discourse concept borrowed from the Habermas’s theory. The counterfactual nature of the assumptions is signaled, as well as disregarding political and economic contradictions of the global world. The research goal of the article is to question the key theorem on taking over the responsibility of transnational corporations in underdeveloped countries, consisting in supporting thc development of democratic institutions and dissemination of political, social and civil rights.

Corporate Social Responsibility (CSR) has become an indispensable element of corporate communication. Engagement in social initiatives enables companies to stabilise their positive image, present their values and communicate with stakeholders. Although in recent years the LGBT community has more and more frequently been the addressee of such corporate actions, this theme has rarely been explored by scholars. The present paper aims to investigate how corporate initiatives related to CSR are communicated to the LGBT community as one of the corporate stakeholders. Due to the scarcity of subsequent research, the current qualitative study is of an explorative character and has taken the form of a case study. Three brands renown for addressing the LGBT community, i.e. Ben and Jerry’s, Levi’s and Absolut Vodka, have been selected for the study, which analyses the relevant communication practices. The study primarily aims to specify the image of the LBGT community emerging from the campaigns analysed and to identify the communication channels and tools applied. Additionally, it also attempts to scrutinise the outcomes of these activities and their impact on corporate reputation as well as the perception of the LGBT community in a wider social context.

The paper has theoretical nature. Taking into account the financial reporting system of enterprises, or, more broadly, their reporting system, paper presents considerations on the relationship between corporate innovativeness and profitability. The main goal of the paper is to present the translation of expenditures on innovative activity and its effects on the profitability achieved by enterprises in various perspectives.

Ecology has a growing interest among both consumers and businesses. Consumers in their decisions more often pay attention to the environmental aspects of products. Companies try to take into account the ecology in their actions. A growing popularity of ecology causes some companies use this idea (for example, by using the characteristic symbolism associated with ecology) in their marketing activities, but in reality are not-much to do with ecology. This works to the detriment of those companies that actually implement the idea of ecology, because it makes it more difficult to consumers to distinguish truly green products from those seemingly green. Such practices are referred to as "greenwashing". Ecology, like any other corporate value, it makes sense only if it is authentic and implemented at different levels of organization, in different areas of operation. The purpose of the article is to present the tools for the implementation of corporate values, using ecology as the example. The article is based on literature studies and analysis of secondary data. Corporate values define the behaviors that will help the company achieve its objectives. Values are not just a component of organizational culture, but an important part of enterprise intangible assets. Many studies have shown that they are valued as much as 80% of company’s assets. Companies that intend to implement "green" initiatives should begin with implementing ecology in their mission and set of corporate values. Globally, 18% of companies listed environmental issues among the set of corporate values. Among Polish companies this percentage is slightly higher (21%). Corporate Values can be expressed by three tools (Corporate Identity Mix): Corporate symbols, Corporate behavior, Corporate communication. Companies that want to express ecology through the corporate symbols should use versatile and readable visual code (visual canon). The visual code consists of specific colors, materials, icons, and infographics. N case of ecology, typical colors are green in combination with white or brown – generally the colors found in nature, not artificial, not bright. Materials that are part of the eco-friendly visual code include recycled paper, organic cotton, and jute. Green visual code is particularly rich in iconographics and signs, known as ecolabels. Companies that want to communicate ecology values through corporate communications should consider whether the message about the environmental issues will be attractive enough for consumers to buy the product. It seems that communication of ecology itself is not able to sell the product outside the group of very consciously and ecology-oriented consumers. Ecology is the promise (reward) deferred in time, and it requires the collective efforts of many individuals, organizations and institutions in order to be fulfilled. To reach a wider audience, it is necessary to enrich the ecology message with benefits that can be achieved within a short period of time. Various case studies of "green" products that have been successful in the market, indicate that the products communication – except ecology – consisted of one of the five additional benefits: efficiency and cost savings, health and safety, improved product performance, user status and the social acceptance and comfort.

Globalization is the leading concept, which has become an immanent feature of the contemporary world. Almost all enterprises have been affected by occurring changes in the global economy. Progression from finance seized with hubris, through financialized governance, and instrumented management led to an economic collapse in 2007. It is a reflection of the „failing regulations”, or more precisely, the end of the myth of self-regulation, whether by market or professional bodies set up to do so. It appears therefore necessary to create a new framework, including a new perspective on finance (through the prism of social science), and a corporate governance system more stakeholder-oriented. Under conditions of free market economy, a good corporate governance system should integrate the various areas of governance, namely, regulatory, market, stakeholders, internal (shareholders), with varying methods of governance and the mechanisms at different times and conditions.

A robust institutional framework is essential to enable firms to function efficiently. The aspect of corporate governance investigated in this paper is the legal and societal principles and process which form the business context within which firms operate. The paper explores the challenges to firms trading in Africa arising from cultural dynamics peculiar to the continent and further explores the historical reasons for the present cultural context to business in Africa. Nigeria is presented as a special case, perhaps even an extreme case, of the challenges to corporate governance in Africa since it is perceived by many to be one of the weaker environments given its perceived levels of corruption. The paper concludes with an assessment of the likelihood of African states successfully tackling corruption in the future as the current approaches unfold over the coming years.

The goal of the article is to present a model that can be used to measure influence of environmental activities communicated as an instrument to create corporate image, represented by (1) Corporate Ability and (2) Corporate Social Responsibility and their influence on buyers’ attitudes and the behaviors on B2B market. The author of the article hopes that an empirical validation of hypothesis allows better understanding, how and if environmental activities influence buyers’ attitude and behavior. It may increase managers’ knowledge in strategic decisions making process, when launching and positioning new products on the market. It enables better use of market opportunities, by investing in brand strength, while increasing an ability to generate cash flow.

This study investigates recurrent language resources employed in corporate blogs to connect with readers and (to a lesser extent) express authorial positions. It is based on the premise that constructing identity and enhancing image underpins most, if not all, corporate discourse and blogs are no exception. Based on a corpus of 500 different posts (totalling 318,296 words) from the Business Process Outsourcing and Information Technology sectors, we use standard Corpus Linguistics (Partington et al. 2013) techniques (keywords, cluster analysis, concordancing) to identify linguistic features associated with the expression of engagement: reader pronouns and their co-occurrence with selected modal verbs, questions, adverbs marking shared knowledge and directives. These are then interpreted in in terms of a model of textual interactions proposed in Hyland (2005). We argue that the communication found in this relatively new and underresearched genre is essentially effected one-way establishing a pseudo-dialogue, with virtually no or very low level of interactivity between blog writers and blog readers.

Głównym celem artykułu jest analiza ewolucji rynku kontroli korporacyjnej w Rosji. W toku rozważań zostały wykazane kluczowe cechy mechanizmu nadzoru, główne etapy jego rozwoju oraz oddziaływanie na przemiany w rosyjskich przedsiębiorstwach. Ponadto, dokonano analizy roli rynku kontroli korporacyjnej w systemie nadzoru korporacyjnego, a także jego relacji wobec innych mechanizmów i instytucji nadzoru, takich jak: struktura własności, państwo, rynek kapitałowy i mechanizm bankructwa. Jak wykazała analiza, najważniejszym wydarzeniem w rosyjskiej gospodarce, jakie wpłynęło na funkcjonowanie rynku fuzji i przejęć, był kryzys finansowy z 1998 roku. Opracowanie jest częścią projektu badawczego, dotyczącego ewolucji systemu nadzoru korporacyjnego w Rosji.
The main goal of the paper is to analyse the evolution of the market of corporate control in Russia. The key features of this mechanism of governance are described, as well as the main stages of its development and the influence of the market of corporate control on the changes in Russian companies. The paper also contains an analysis of the role of corporate control market in a corporate governance system and its relationships with other mechanisms of corporate governance, like the ownership structure, the capital market, and the bankruptcy mechanism. The results show that the main event in the Russian economy which influenced the market of mergers and acquisitions was the financial crisis of 1998. The paper constitutes part of a wider research project which focuses on the evolution of the corporate governance system in Russia.

Development of theory and practice of corporate governance in Poland is hampered by absence of an unequivocal interpretation of that term in the Polish terminology. The aim of the paper is to present a deepened analysis of meaning of corporate governance in English and of its translations into Polish. It is shown in the paper that interpretation of corporate governance in Polish should reflect its sociopolitical sense associated with the term governance as well as its sense relating to functioning of companies. As the solution, the terms "władanie korporacyjne" or "władztwo korporacyjne" are proposed since they would help to avoid significant obstacles in theoretical considerations and negative consequences in practice of corporate governance in Poland.

During the last several years we have witnessed heightened interest in the issue of CSR, which has been frequently raised at numerous conferences. In addition, a growing number of enterprises have become increasingly aware of the relevance of socially responsible actions and begun including them in the conducted business activity. CSR is gradually becoming an integral part of the company strategy. It is best demonstrated in companies with a large share of foreign capital, where Polish subsidiaries adopt patterns from the parent companies. In the first two parts, the paper outlines the programs of CSR, their key elements and premises, as well as introduces the importance of the company strategy. The final part attempts to convince the reader that along the development of the CSR concept, a gradual process of converting theory into practice is taking place. The CSR programs are becoming an important element of the business strategy. Companies, bigger ones in particular, have begun to take account of the strategies closely interlinked with the very CSR programs.

The aim of this paper is to analyse the financial structure of non-financial corporations in the European Union prior to the 2008 crisis and to determine whether the ex-ante differences in corporate financial structure had an impact on the severity of the 2008 financial crisis in European countries. The analysis confirms a negative relationship between the corporate debt ratio prior to the crisis and crisis-induced contractions in corporate investment and GDP. The results indicate a greater importance of the growth in corporate indebtedness in the years prior to the crisis for crisis vulnerability than solely the level of debt immediately before the crisis. The paper has several important implications for crisis prevention and mitigation policy.

Corporate social responsibility is a concept responding to climate change, environmental problems and the needs of stakeholders. Business makes an effort to act in the changing conditions, thus adapting to the expectations of the stakeholders and following the principles of sustainable economic development and social responsibility. One of the changes taking place in the current economic and social world is the change in the demographic structure of the population. The subject of the ageing population is often discussed, usually as a negative aspect in the context of changes in the pension system, health care costs or the employment conditions of older people. The principles of corporate social responsibility, such as social inclusion, anti-discrimination, and facilitating access to products and services create the basis for the development of the economy, focused on the use of the purchasing potential of older people. Thus, the perception of the demographic changes in this context becomes the ground for the formation of perspective solutions and the development of the silver economy. This model of the economy can be understood as a system which is based on adapting the production and distribution of products and services to older people. The main aim of this article is to present the challenges for companies in terms of the problems connected with an ageing population, as well as to present the main features of the concept of the silver economy in the context of corporate social responsibility. Moreover, considering the development of the silver economy, characteristics of older people as consumers should be taken into account. In this context, there are many stereotypes associated with the activities of the elderly. The article also notes the profile of potential customers of the silver economy, with a particular emphasis on the approach of the elderly to innovation, tradition and a broadly understood sense of security.

Purpose: The purpose of the study was to compare the management practices of American, German and Polish enterprises in the cross-section of business objectives analysed. Design/methodology/approach: The paper assumes that the differences in setting business objectives result from the differences in corporate governance models. The study used the Kruskal-Wallis One-way Analysis of Variance by Ranks and multiple comparisons of mean ranks for all samples. Findings: The study found that some of the management practices of German, Polish and American enterprises differed across business objectives. However, differences in management practices did not always coincide with differences in corporate governance models. The research shows that corporate governance institutions do not always explain existing differences in management practices, and that the setting of business objectives also depends on other factors. Originality/value: The conducted research enriches the literature in the area of strategic management by issues concerning the determinants of setting business goals in enterprises.

Purpose: This study attempts to make a contribution to theory by disentangling the concept of creating shared value (CSV)from corporate social responsibility (CSR). In doing so, the study provides a preliminary outline for CSV analysis.Approach: This study is conceptual in character. It is based on a review of literature on CSR and CSV and adopts the perspective of economic and social value creation.Findings: The findings show that 1) CSR comes down to sharing the economic value created in order to build social value and 2) CSV is the process of change of the relation between a firm’s outcomes and inputs that generates social value. In other words, it comes down to economic value creation through crea ting social value.Originality: This study provides arguments revealing that understanding the differences between the notions of CSV and CSR, reqnires adopting the concepts of economic and social value. The study therefore bridges the gap in theory in this respect and outlines a preliminary conceptual basis for CSV analysis. It is expected that the findings of this study will serve as a reliable basis for further discussion and CSV concept development.

Studium przypadków przedstawione w artykule mają na celu prześledzenie historii jednych z największych skandali na świecie, związanych z corporate governance oraz potwierdzenie tezy, że stosowanie zasad corporate governance jest niezbędne do funkcjonowania rynków finansowych. Ukazane przykłady, pozwalają przeanalizować krok po korku jak doszło do nadużyć finansowych oraz nie rzadko strat oszczędności całego życia przez zwykłych obywateli. Przedstawione przypadki pozwalają na analizę błędów oraz wyciągnięcie wniosków przez instytucje nadzoru, odpowiedzialne za kontrolowanie rynków finansowych. Przykłady spółek świadczą o tym, że tematyka corporate governance jest aktualna, a problemy z nadzorowaniem oraz poprawnym zarządzaniem spółkami mają charakter ogólnoświatowy.
The presented cases of the studies in the article are aimed at tracing the history of some of the biggest scandals in the world related to corporate governance and confirmation of the thesis that observing the corporate governance rules is necessary for functioning the financial markets. The examples which has been shown allow to analyze step by step how fraud has occurred and rarely loss of life savings for ordinary citizens. The presented cases allow to analyze the errors and draw conclusions by the offices which are responsible for controlling financial markets. There are some examples of companies which show that the subject of corporate governance is up to date, and the problems with supervision and correct management of companies are of a global nature.

This paper examines the relationship between the voting behaviour of European Parliament members on the Common Consolidated Corporate Tax Base (CCCTB) proposal and economic characteristics of their respective countries. We are concerned about the political and economy factors behind policy and decision making of CCCTB in European Parliament. The analysis is conducted with Logit model identifying factors affecting the voting consultation decision of the Parliament of the European Union in 2018. Particularly, we investigate the impact of four components taken from tax benefit index proposed by W. Orłowski. We have found that economic factors alone are responsible the voting behaviour of the European Union deputies, not their personal characteristics.

Corporate Social Responsibility for modern enterprises has become a very important direction of development. Although the assumptions are made on a voluntary basis, more and more companies see social activity as his duty. This can be seen also in the case of transportation and logistics companies.This chapter presents the concept and scope of the CSR. The author describes the use of the corporate social responsibility approach in the field of transport-forwarding-logistics. Furthermore the paper shows the practical application of CSR.

W artykule scharakteryzowano wolontariat pracowniczy jako narzędzie CSR, podkreślając jego rolę w zarządzaniu zasobami ludzkimi. Przedstawiono wybrane definicje wolontariatu pracowniczego i jego formy. Przeanalizowano dobre praktyki wolontariatu pracowniczego z lat 2016-2018 pod kątem realizacji Celów Zrównoważonego Rozwoju oraz wskazano określone korzyści z jego stosowania w organizacjach. Ponadto opisano wyniki własnego badania empirycznego przeprowadzonego wśród wybranej grupy wolontariuszy, dotyczącego kompetencji rozwijanych w trakcie działalności wolontaryjnej.
The article characterizes corporate volunteering as a CSR tool, emphasizing its role in human resources management. Selected definitions of corporate volunteering and its form are presented. Good practices of corporate volunteering were analyzed from 2016-2018 in terms of achieving the goals of sustainable development and specific benefits from its use in organizations. In addition, the results of own empirical research conducted among a selected group of volunteers regarding the competences developed during voluntary activities are described.

Celem artykułu jest ukazanie znaczenia narzędzi internetowych w usprawnianiu funkcjonowania ochrony zdrowia w Polsce. Przedstawiono wyniki badań pokazujących, jakie narzędzia mogą zaoferować placówki medyczne w Polsce, a do jakich chcieliby mieć dostęp pacjenci. W artykule została zaprezentowana również specyfikacja funkcjonalności, jakie powinien posiadać portal korporacyjny przeznaczony dla placówek medycznych, oraz wytyczne do tworzenia portali korporacyjnych dla zakładów opieki zdrowotnej. W opracowaniu zastosowano kwerendę bibliograficzną oraz przytoczono wyniki badań własnych.
The aim of the paper is to show the importance of web tools in improving the functioning of healthcare organizations in Poland. The results of studies showing what tools healthcare facilities can offer and to which patients would like to have access were presented. The article also presents the guidelines for designing and creating corporate portals for healthcare facilities. In the paper the bibliographic query and the results of own research were used.

Considers institutional and legal sources of the emergence of corporations, corporate values, nature and characteristics of corporate relations, the evolution of the organizational-legal forms of entrepreneurial activity, the essence of the incorporation, investigated the role of corporations in the globalization process. The aim of the study was to identify the main features, sources and causes of corporate governance to justify a direct correlation of the corporate governance principles with the purposes and principles of the globalization process.
W artykule przeanalizowano instytucjonalne i prawne źródła powstawania korporacji, wartości korporacyjne, naturę i charakterystykę relacji korporacyjnych, ewolucję form organizacyjno-prawnych działalności biznesowej oraz istotę osobowości prawnej korporacji. Zbadano też rolę ładu korporacyjnego w procesie globalizacji. Celem badań było zidentyfikowanie głównych cech, źródeł i powodów wdrożenia ładu korporacyjnego, uzasadniających bezpośrednią korelację jego reguł z celami i regułami procesu globalizacji.

Sustainable development became the subject of scientific analysis and key concept in management practice. The model of CSR (Corporate Social Responsibility) created in 60s and developed in 80s of 20 century, was criticized and re-defined. The paper presents characterizes of reconstruction CSR model in the way of (1) CSR 2.0, (2) CSV - Corporate Share Value and (3) CSP – Corporate Social Performance. On the practical level, scientists and practitioners agree that model created in Transnational Corporations and huge companies, should be implemented by other firms, especially SME’s. However, in such argumentation that SME’s are well-known actor in their communities and they are responsible from point of view “human nature”. Additionally, a lot of companies, even small and medium, realized model of cooperation or community building among stakeholders, what means that they realized new models of CSR without definitions of such process. The aim of the article is to analyses the role of SME’s in implementation of new concepts of CSR, as CSR 2.0, CSV or CSP. The case studies of firms in polish economic reality, small towns and villages and the case study of the tool which is used for building CSR model, should show the existing model of responsibility. The paper is based on ethnography and autoethnography methods. In both cases analysis are qualitative studies.

The paper focuses on the origins, organizational structure and operations of corporate groups in Russia and their role in the economy. Corporate groups began to emerge and develop in Russia in the early 1990s in the wake of the privatization of state-owned enterprises, the author says. Their development was influenced by the so-called “loans for shares” program and a financial crisis in 1998. Most of Russia’s corporations have developed through either vertical or horizontal integration, and they also emerged in the form of conglomerates. Most corporations operate in industries such as oil, gas, chemicals, petrochemicals, power, metallurgy, steel and machinery. Characteristically, there are specific financial and interpersonal ties between representatives of individual companies within each group, Fiedorczuk says. In most Russian corporate groups, the main owners are oligarchs, or wealthy businessmen with an extensive network of political connections. Corporations play an important role in Russia’s economic, political and social life, the author notes. But they are also under heavy pressure from the country’s political authorities. As in other developing countries, corporate groups in Russia outperform single businesses in terms of financial and economic indicators. Overall, corporations may be an optimal response to market and government failures in a process of economic transition, Fiedorczuk concludes.

W warunkach polskich, pomimo licznych procesów prywatyzacyjnych, sektor państwowy nadal odgrywa znaczącą rolę w gospodarce. Wobec tego rosnąca popularność teorii stakeholders implikuje konieczność rozpoczęcia szerszej dyskusji na temat ich udziału w kształtowaniu zasad funkcjonowania corporate governance w spółkach Skarbu Państwa. Celem niniejszego artykułu jest wyodrębnienie istotnych problemów nadzoru korporacyjnego w odniesieniu do podmiotów z udziałem państwowym, dotyczących rozwiązań niewystępujących w spółkach prywatnych. Przeprowadzona analiza problematyki wybranych grup interesariuszy uwzględniała otoczenie instytucjonalne i ekonomiczne, co pozwoliło przybliżyć znaczenie czynników politycznych i administracyjnych w kształtowaniu się corporate governance spółek z udziałem Skarbu Państwa. Jest on szczególnie ważny z punktu widzenia analizowanych przedsiębiorstw, które mają działać na zasadach rynkowych i osiągać cele o charakterze biznesowym.

Purpose: The purpose of this paper is a discussion and in-depth analysis of the legal and organizational circumstances associated with the activities of Supervisory Boards in housing cooperatives. Methodology: A critical analysis of the existing legislation, own analytical analysis of the source documents, supplemented by conclusions and observations formulated on the basis of a case study, for the preparation of which information has been used obtained from primary sources in the form of documents of the analyzed housing cooperative and information obtained through participant observation. Findings: What has a decisive impact on the mechanisms of corporate governance in housing cooperatives are the direct behaviors of Supervisory Board members, as well as the lack of awareness and involvement of the residents, who do not want to actively participate in the life of the cooperative. A diagnosis is presented of the most important factors that infl uence the actual operations of the analyzed Supervisory Board. While the current legal regulations make it possible to ensure effective and proper control as well as adequate supervision over the activities of cooperatives. Originality: The paper enriches the theory of management sciences in terms of a wider perception of the term corporate governance in relation to other organizations than companies. The presented methodological approach that is the basis for a comprehensive and thorough inspection of the activities of the Management Board can be used in other cooperatives as well. In the literature on the subject no similar analysis, supported by the results of own analytical research, had been found.

This paper discusses some game-theoretical methods for measuring indirect control in complex corporate shareholding networks. The methods use power indices to estimate the direct and indirect control in shareholding structures. Some of these methods only estimate the control power of investors (firms without shareholdings), and only a few measure the control power of all firms involved in shareholding networks (which means investors and stock companies). None of them takes measuring the importance of mutual connections (edges in the networks) into consideration; thus we focus in particular on an extension of these methods in this paper to measure both the control-power of the firms involved in complex shareholding structures (represented by nodes in networks) and the importance (power) of linkages between the firms as elements of a whole corporate shareholding network. More precisely, we apply our approaches to a theoretical example of a corporate network. Moreover, we continue the considerations about reasonable properties for indirect control measurement. Some ideas of new properties are proposed. The paper also provides a brief review of the literature concerning the topic.

The present article, on the basis of the high-profile Chevron case, rethinks the principle of corporate veil within a corporate group. It tries to convince the reader that a plaintiff holding an environmental damages judgement should be able to enforce it against any company in the corporate group of defendant regardless of the fact that such company was not a defendant in the underlying action (the new test). To attain this goal, firstly, the basic notions as an “environmental damages judgement,” a “corporate group,” and “the corporate veil” are explained. The article then elaborates on the importance of the corporate veil principle. Furthermore, it describes what would currently constitute a potential ground for piercing of the corporate veil in Canada. Later on, it provides a three-level justification for why the veil, in the described circumstances, should be pierced. Finally, the new test regarding piercing the corporate veil is proposed.

The purpose of this paper is to analyse global, mainly Anglo-Saxon and German experience in the field of corporate governance and then attempt to answer a question to what extent this experience should be used in the Polish model of corporate governance. In the first part of the paper the author conducts a review of world literature and presents the most important conclusions from a discussion on the need for changes in both Anglo-Saxon and German corporate governance solutions. These changes are proceeding simultaneously and what is interesting - as the author concludes - both (Anglo- -Saxon and German) models gradually get closer to each other. In the second part of the paper the author introduce the process of convergence of various models and identify the most important elements of this process. The whole paper ends with a recapitulation of the most important conclusions from the discussion.

Global internationalization of companies is a new challenge in the area of management and brings about changes in communication. Organizational discourse in corporations remains a still unexplored research domain. The multilingual population working within the same corporation organization is creating its own language that becomes a kind of jargon giving rise to misunderstandings outside of the workplace. We want to emphasize mutation of the corporate language in the synchronic approach. We analyse emails, oral conversations, as well as instantaneous written conversations, etc. Special attention is paid to anglicisms, tutoiement and imperative structures.

At the moment the problem of dealing with external environment is an important issue of effective corporate strategic management in the enterprise. One of the factors of company interaction with external environment is company stakeholders. At the moment the theoretical basis of stakeholder analysis is researched insufficiently. The current research pursued the two goals: to show on which stage of strategic management process stakeholder analysis influences corporate activity and to provide effective theoretical and practical ground for the selection of stakeholders. In order to achieve the first goal the main aspects of stakeholder theory are reviewed in the paper. The place of stakeholder analysis in strategic management process is identified. It is argued that the interests of the most influential stakeholders should be considered in corporate goals, strategy and the strategic decision making process due to the “strategic necessity”. The latter means that consideration of the stakeholder influence leads to the increase of corporate performance effectiveness and fi nancial stability. The second objective is achieved through the review of possible techniques that could be used for stakeholder selection. The most appropriate for such purpose techniques are identifi ed by the analysis of their advantageous and disadvantageous. As the result of the review it is proposed to conduct the stakeholder selection basing on application of the Analytic Hierarchy Process (AHP). The example of application of such method for stakeholder selection is presented in the article.

The growing interest in the phenomenon of opportunism in the economy to a large extent is the result of the rapid development of the theory of transaction costs, which is among new institutional economics. In that mainstream economics the reduced opportunism has become the main way to increase the efficiency of business entities. New institutional economics sees individuals or organizations as what they are. It also recognizes their opportunistic behavior, particularly evident in an enterprise and its environment. The tendency to opportunism causes it must be taken into account both when entering into contracts and in their implementation, as well as during the preparation of the company’s strategy. The study discusses the broadly understood issue of opportunism in corporate governance. The subject of the consideration is not so much opportunistic attitudes of managers in relation to shareholders as opportunistic behaviour of the enterprise’s stakeholders. The analysis focuses on two aspects of the same phenomenon. Firstly, it concerns the possibility of opportunistic behaviour of such stakeholders as employees, shareholders, suppliers, customers, lenders, etc. Secondly, it refers to the risk of opportunism borne by stakeholders. The aim of this article was to assess to what extent self-regulation within the CSR framework contributes to improving workers’ rights worldwide. Transnational company agreements, corporate codes of conduct, NGOs’ social accountability standards, ISO standards, the Dow Jones Sustainability Index and the Global Reporting Initiative were critically analysed us- ing logical-linguistic, historical and comparative legal methods. The research showed some evidence of a limited impact of CSR instruments on labour rights and proved that CSR tools can be perceived only as additional value to law.

At the turn of the 1920s and 1930s, a new economic doctrine called ordoliberalism was born in Germany. The foundations of this doctrine were values such as responsibility, solidarity, justice, and freedom. Classics of ordoliberalism formulated a number of recommendations and requirements for businesses in their writings. One of them was the public responsibility, which had the private-economic and socio-economic nature. In Germany sports’ (football) enterprises functioning in the form of companies and associations are participants in the sports-economic competition in the two professional leagues (1.Bundesliga and 2.Bundesliga). At the same time sports enterprises pursue different aims: among the economic goals, there are also the social goals. In the structures of sports enterprises, there are several departments dealing with CSR and implementation of partnership projects. The article concludes that 1) the constitutive elements of ordoliberalism had an influence on the functioning of sports (football) enterprises in Germany, 2) the projects realized under the social responsibility rule that were undertaken by sports companies were strongly related to sports education, environmental protection, and social exclusion.

The purpose of this article is to analyse the issue of paradox in crisis situations from the standpoint of communication and in the context of the corporate identity. The research shows that the dynamics of corporate identity is similar to the dynamics of the crisis situations. The empirical studies on corporate identity reveal that the categorisation strategies that operate exclusively at the level of identity structure and which regard the reaction to the threat to the corporate identity, used by the company members, indicate that the selective categorisation prioritises the attributes that are different from those prone to threats: e.g. when certain corporate identity attributes are depreciated. The research used in this work was carried out on secondary sources . Moreover, the author of this article has used the method of participant observation of expert, i.e. herself, who has spent years on dealing with the issues of corporate identity and public relations.

Purpose: The paper examines auditors’ experiences with corporate governance (CG) in general and audit committees (ACs) in particular in the setting of a Polish two-tier board system and a capital market characterized by high ownership concentration, which therefore extends the research on CG practices of an economy beyond the well-researched Anglo-American model. Methodology: This study adopts a qualitative research approach by using interview data from fifteen interviews with auditors working with large publicly-listed companies in Poland to examine the relationships among auditors, Audit Committees, and CG. Findings: The auditors indicate that the CG environment has changed. However, the institution alization of an AC in Poland generally is the subject of coercive isomorphic pressures, which lead to its decoupling and transition toward a ritualistic role. Moreover, auditors report only some reliance on CG information in the planning phase and none in the field-testing or review phases. Originality: The findings differ from those of prior studies conducted predominantly in the USA and the UK, in which auditors reported far greater reliance on CG in all phases of the audit process. The two possible reasons for this difference in findings could be the different development stages between capital markets and different CG systems.

Purpose – The aim of the article is to identify the level of use of the GRI Framework in the standardization of corporate social responsibility (CSR) reporting. This is currently a crucial issue because not only the thematic range of CSR reports but also their transparency and comparability are becoming more and more significant. For that reason, the use of tools that aim to establish standards for such reports is necessary. In this perspective, the GRI Reporting Framework plays a notable role. Research method – The classical methods of research, such as the study of the subject-related literature and the method of desk research,were used in this paper. The desk research conducted in this article consisted of analysing the data published by Global Reporting Initiative in the GRI Sustainability Disclosure Database containing CSR reports submitted by companies from around the world. The selected data have been meticulously analysed which allowed to group them and conduct the inference process. Results – The carried out studies have pointed at the diversified level of disclosure in the field of both the number of CSR reports being published and the level of use of GRI Framework, which is visible when comparisons are made between countries and individual regions in the world. They also allow to notice that although Poland is in the initial stage of development of CSR reporting, GRI Reporting Framework plays an important role in the process of CSR reports preparation. Originality/value – The article has cognitive value with regards to the standardization of CSR reporting using the GRI Framework.

Mając na uwadze powyższe, w artykule – w próbie poszukiwania odpowiedzi na pytanie, czy społeczna odpowiedzialność biznesu w percepcji i tym samym działaniach polskich przedsiębiorców/menedżerów jest koncepcją o charakterze strategicznym – zawarto syntezę wyników badań dotyczących postrzegania i stosowania przez nich zasad CSR.
Corporate social responsibility is a concept which, on the one hand, enjoys considerable interest of both practitioners and theorists of business life, and on the other hand is so capacious and problematic, that raises extreme opinions on the merits of including it in the operating strategy of a company. Given the above, this paper – in an attempt to answer the question whether corporate social responsibility is the concept of a strategic nature in the perception, and therefore in the actions of Polish entrepreneurs/ managers – contains a synthesis of results of the studies on their perception and implementation of CSR principles.

The objectives of this research are to know and to analyze corporate communication strategy, customer value creation, creation of corporate reputation and the influence of corporate communication strategy and customer value creation toward creation of corporate reputation. This research is descriptive and verificative with descriptive survey and explanatory with stratified random sampling. The amount of sample is 55 respondents. Data collection techniques are library data, observation, and questioner. Analysis data used is path analysis. Research results show that the corporate communication strategy and customer value creation influence creation of reputation Len Industri Group is 53.7% simultaneously. The influence of corporate communication strategy to the creation of reputation is at 47.2% partially while customer value creation does not significantly influence the creation of reputation is 5.1%.

Celem artykułu jest zidentyfikowanie czynników trwałości rozwoju organizacji (corporate sustainability) przez zbadanie uwarunkowań długowieczności przedsiębiorstw. Przyjęto założenie, że przejawem trwałości rozwoju przedsiębiorstwa jest jego długowieczność. Firmy, które potrafią skutecznie utrzymać się na rynku przez wiele lat, wykształciły pewne umiejętności, kompetencje i kulturę organizacyjną, które pozwalają im osiągać równowagę dynamiczną w zmieniającym się otoczeniu. Zaproponowano zestaw cech charakterystycznych dla organizacji długowiecznych. Dzielą się one na 3 grupy: cechy oparte na: wartościach konserwatywnych (wizja, poczucie tożsamości, konserwatywne finansowanie), wartościach progresywnych (wrażliwość na otoczenie, adaptacyjność i antykruchość, organizacyjne uczenie się i zdolność do eksperymentowania) i umiejętności zarządzania organizacją w warunkach paradoksu.
The goal of this paper is to identify antecedents of corporate sustainability by studying literature on corporate longevity. There was assumed that organisational longevity was a symptom of business sustainability. Companies that managed to survive for tens and hundreds years must have developed specific skills, competencies and organisational culture that allow them achieving a dynamic equilibrium in the changing environment. Three sets of features characterising long-living companies were found. These features are based on: (1) conservative values (i.e. vision, sense of identity and conservative financing), (2) progressive values (sensitivity to the environment, adaptability and anti-fragility, organisational learning and experimenting capability), and (3) the ability to embrace paradox.
Цель статьи – выявить факторы постоянства развития организации путем изучения обусловленностей долговечности предприятий. Приняли предположение, что проявлением постоянства развития предприятия является егодолговечность. Фирмы, которые способны эффективно удержаться на рынке в течение многих лет, выработали определенные умения, компетенции и организационную структуру, которые позволяют им достигать динамического равновесия в изменяющейся среде. Предложили набор свойств, характерных для долговечных организаций. Они разделяются на 3 группы: свойства, основанные на консервативных ценностях (видение, чувство тождества, консервативное финансирование), прогрессивных ценностях (чувствительность к окружающей среде, адаптативность и антихрупкость, организационная учеба и способность экспериментировать) и умения управлять организацией в условиях парадокса.

W artykule podjęto próbę sformułowania cząstkowych wniosków na temat rzeczywistego znaczenia nieformalnych instytucji nadzoru właścicielskiego. Na gruncie literatury zdefiniowano omawiane instytucje i wykazano ich wpływ na rozwój przedsiębiorstw. W ramach badań empirycznych przeanalizowano dla wybranej próby przedsiębiorstw komentarze inwestorów z portalu finansowego, ze szczególnym uwzględnieniem tych, które oceniały działanie instytucji nieformalnych. Przedmiotowa tematyka była rzadko podnoszona w komentarzach. Nie zachodził też istotny związek pomiędzy rodzajem ocen a notowaniami akcji. Może to oznaczać, że percepcja funkcjonowania instytucji nieformalnych nadzoru przez inwestorów mniejszościowych w Polsce jest jeszcze ograniczona.
The object of this article was to try to formulate partial conclusions about real significance of informal institutions of corporate governance. On the basis of literature mentioned institutions were defined and their effect on enterprises development was demonstrated. In the range of empirical studies, the investors commentaries from financial portal were analyzed, with special regard to these commentaries, which evaluated the activity of institutions. The subject matter was underused in discussions. There were no important connections between kind of evaluations and share pricing. It may indicate, that the minor shareholders perception of informal institutions functioning is limited yet in Poland.

The following paper is a theoretical and empirical study. The terminological differences between bankruptcy and insolvency have been indicated and compared in the article. Most frequently considered aspects of bankruptcy appear in definitions. The first of them emphasizes the economic character of bankruptcy. Insolvency is a culmination of a lack of financial means and the loss of solvency, which does not have a fading tendency, but develops into a permanent phenomenon. In legal terms, insolvency is an institution, whose purpose is to stop the accumulation of debts and most frequently it consists on the liquidation of the debtor's estate. The main purpose of the study is a critical review of the scientific achievements of the representatives of evolutionary economics within the scope and mechanism of bankruptcy and the survival of enterprises. The analyzed case of the Beta company, which went bankrupt, indicates that the companies which are not able to undertake proper adjustments to competitive conditions of the market at the right moment are eliminated from it. The theoretical law “the survival of the fittest” finds then its reflection in practice. The following research methods were used in the article: a descriptive analysis and the trajectories of J. Argenti in terms of models. Detailed examinations of files of insolvency proceedings of the Beta company have been carried out.

Corporate Governance (CG) in India has undergone major transformation in the recent past with the enactment of Companies Act, 2013 and revision of SEBI’s Listing Agreement. Though some studies were undertaken in the Indian context few conventional aspects of CG have been repetitively addressed with conflicting results. The aim of this study is to examine the impact of some prominent CG attributes such as board size, board independence, role duality, board’s gender diversity, ownership concentration and audit committee independence on both market as well as account- ing based measures of firm performance (FP). To this end the study uses a sample of top 100 non-financial and non-utility firms listed on the Bombay Stock Exchange (BSE) for the period of 2014-2018 and employs two stage least square with instrumen- tal variables technique of estimation which takes into account potential endogeneity in CG-FP relationship. The findings reveal a significant positive impact of board size, ownership concentration and audit committee independence on market based meas- ure of FP while board independence is found to have a significant negative impact on accounting based measure of FP. Moreover role duality and gender diversity are not associated with FP. The outcome of this study highlights how the relationship between CG and FP works in the unique institutional setting of India and it should be of inter- est to regulators, practitioners and other market participants.

Islamic banks are growing rapidly with annual growth rates of 17.6% between 2009 to 2013 and 19.7% from 2014 to date. This level of growth is projected to continue into the future. Islamic banks now operate in more than 75 countries with a value of approximately $920 trillion of bank assets. Islamic banks are increasingly being seen as good long-term value propositions and are serving both Muslim and non-Muslim customers across international markets. Despite the rapid growth in Islamic finance, the underpinning corporate governance rules and regulations are at an embryonic stage of development with little attention having been paid to them. The purpose of this paper is to help fill that gap by exploring a conceptual model of corporate governance for Islamic banks based on both Islamic finance principles while fused with elements of corporate governance standards from Western theories and codes, primarily the UK, and thereby ensure that good governance is in place in Islamic banks. The paper links the predominant corporate governance theories of Principal/Agent, Stakeholder and Stewardship with practice based corporate governance codes and explores the potential of applying stewardship theory to Islamic banks. Islamic principles emphasis is on real assets rather than debt as is the case in Western Banks and as a consequence this paper offers the conclusion that the more prudent approach to banking used by Islamic banks could be used as a model for Western banks and thereby deliver a more sustainable future and maintain confidence in banks and substitute for the need for taxpayer support, such as the guaranteed deposit scheme, which acts as a backstop under the Western approach.

Opis:
Corporatizing university is among the typical strategic of higher education (HE) management that enables developed countries to successfully position their universities among the best ones in the world. In Indonesia, the varying quality of universities is influenced by several factors: limited funding, inadequate facilities, meager quality of lecturers and researchers, inefficient management, and ineffective use of public spending. Teese emerged as symptoms that point to a deep-seated obstacle faced by Indonesian universities, i.e., an inappropriate university management and financing model. This study attempted to reveal the essential problem underlying the symptoms and share some thoughts of how to resolve them. It is concluded that corporatizing university in the country is considered among the most effective strategies to establish world-class universities in the archipelago.

The article presents the issue of the stakeholders as the essence of corporate social responsibility. The author discussed outline of the concept and schedule of development of business responsibility in Poland. By researching subject resources and the author’s own observations, it highlights the most important division of stakeholders and the expectation of the company.

Reputacja jest uważana za najcenniejszy zasób, kreujący wartość współczesnego przedsiębiorstwa. Budowanie pozytywnej reputacji wymaga utrzymywania odpowiednich relacji z interesariuszami oraz podejmowania działań zgodnych z ich oczekiwaniami. Wobec nasilającej się w skali globalnego rynku konkurencji oraz rosnącej siły oddziaływania kluczowych grup interesariuszy, przedsiębiorstwa są zmuszone do poszukiwania nowych możliwości rozwoju i poprawy efektywności działania. Takie szanse generuje kreowanie i wdrażanie innowacji. Celem artykułu jest identyfikacja uwarunkowań rozwoju innowacyjności we współczesnych przedsiębiorstwach oraz wskazanie jej roli w budowaniu ich reputacji. Bazą przeprowadzonych rozważań były: teoria interesariuszy, koncepcje reputacji oraz wyniki badań ankietowych na temat roli i uwarunkowań rozwoju innowacyjności we współczesnych przedsiębiorstwach.
Reputation is considered to be the most valuable resource of contemporary value-creating businesses. Building a positive reputation required to maintain appropriate relations with stakeholders and to take action in line with expectations. In view of the increasing scale of the global market competition and the growing strength of key stakeholder groups, businesses are forced to seek new opportunities and improve operational efficiency. Such opportunities generates creation and implementation of innovations. The purpose of this article is to identify the determinants of the innovation development in contemporary enterprises and to indicate its role in building their reputations. The basis for deliberations were conducted: stakeholder theory, concepts of reputation and results of a survey on the role and determinants of innovation development in modern enterprises.

Eleven years after the last financial crisis, many banks are still working out their organisational backlogs and severe financial losses. Apart from the expansionary monetary policy and faulty financial inno- vations, the lack of proper supervision of the financial sector is considered one of the main sources of the global economic crisis. The expectations of shareholders led banks to take more courageous risks, more leverage and more speculation. Ownership supervision failed as a result, as virtually no bank was prepared for the imminent catastrophe. To prevent a similar scenario in the future, reforms in the financial sector were considered necessary, and above all the strengthening of corporate governance was considered necessary. Although the co-operative banks operating in Poland are small entities with a local character, they have also to some extent been affected by the global crisis. This has been delayed, and on a somewhat smaller scale, but has worsened the performance of many banks. Given numerous proposals for additional corporate governance regulations, in addition to the existing national laws and codes of good practice, regulations were implemented at the European level, and the national supervisor, the Polish Financial Supervision Authority, introduced additional guidelines - corporate governance rules.

Aim: As part of the recent economic and financial crisis management in the EU new regulatory measures have been adopted which are of relevance for company law and corporate governance. Although the modalities of corporate governance are primarily determined by companies themselves, the establishment of basic national and EU level rules is required so that minimum standards are respected in the public interest. With regard to EU competences, they pertain to full implementation of and safeguarding proper functioning of the EU internal market (Article 3(3) TEU and Articles 26-27 TFEU). The purpose of this paper is to analyse EU regulatory measures in the field of corporate governance with a view to their potential positive impact on sustainable functioning of European companies, notably in the financial sector, and thus also the stability of the financial system at large. Design/research methods: The applied research methodology includes a combination of theoretical and analytical methods. The paper is based on a review of relevant literature and an analysis of EU regulatory measures pertaining to inter alia new capital requirements for financial institutions, shareholder’s involvement and risk management. Conclusions/ Findings: It is submitted that, at least in theoretical terms, the analysed regulatory measures have a potential of improving sustainability of single companies, thereby translating into improved reliability of the whole financial system, also by way of reducing the risk of moral hazard of failing banks counting on public money injections.Implications/ Limitations of the research: The real impact on sustainability may, however, only be assessed once the discussed EU measures have been fully implemented or, as the case may be, where and on condition that they are fully endorsed by the companies themselves. In that regard, the theoretical and analytical methods applied in this research prove insufficient to provide a fully satisfactory answer to the research question, with the real impact of the discussed measures on sustainability being a potentially interesting field of study on the basis of a sample of system relevant financial institutions in the years to come.
