Celem niniejszej publikacji jest przedstawienie wybranych zmian wprowadzonych do polskiego porządku prawnego przez ustawę o zarządzie sukcesyjnym przedsiębiorstwem osoby fizycznej. Ustawa jest odpowiedzią na wiele praktycznych problemów związanych ze śmiercią przedsiębiorcy i losami jego przedsiębiorstwa. Polski ustawodawca zauważył jednak, że nie wystarczy wprowadzić jedynie kolejnej instytucji prawa spadkowego w postaci zarządu sukcesyjnego, ale uznał, że osiągnięcie celów wymaga szerszego podejścia, począwszy od prawa cywilnego, poprzez prawo pracy, aż po regulacje publicznoprawne, tj. przepisy administracyjne i podatkowe. Dlatego też istotne jest przedstawienie wybranych zmian w zakresie regulacji prywatnoprawnych i publicznoprawnych w związku z wprowadzeniem ustawy. O złożoności regulowanej problematyki świadczy długa lista znowelizowanych aktów prawnych.
The purpose of this publication is to present selected changes introduced to the Polish legal order by the Act on the succession management of an enterprise of a natural person, which is a response to many practical problems related to the death of an entrepreneur and the fate of his enterprise. However, the Polish legislator noted that it was not enough to introduce just another institution of inheritance law, in the form of succession management, board, but decided that achieving goals requires a broader approach, starting from civil law, through labor law, to public law regulations, i.e. administrative and tax regulations. Therefore, it is important to present selected changes in the scope of private and public law regulations in connection with the introduction of the Act. The complexity of regulated issues is demonstrated by the long list of amended legal acts.

The purpose of this publication is to present the legal status of the succession manager introduced to the Polish legal order by the Act of 5 July 2018 on the succession management of a natural person’s enterprise and other facilities related to the succession of enterprises. The publication presents the methods of appointing a succession manager, the scope of his competences and the legal nature of his activities. Attention was also paid to the issue of succession manager liability and situations in which the succession manager ceases to perform his function.
Celem niniejszego opracowania jest zaprezentowanie pozycji prawnej zarządcy sukcesyjnego, wprowadzonego do polskiego porządku prawnego ustawą z dnia 5 lipca 2018 r. o zarządzie sukcesyjnym przedsiębiorstwem osoby fizycznej i innych ułatwieniach związanych z sukcesją przedsiębiorstw. W artykule przedstawiono sposoby powołania zarządcy sukcesyjnego, zakres jego kompetencji oraz charakter prawny jego działań. Uwagę poświęcono także zagadnieniu odpowiedzialności zarządcy sukcesyjnego oraz sytuacjom, w których dochodzi do ustania pełnienia funkcji przez zarządcę sukcesyjnego.

A sole proprietorship is the most common form of running a business. The number of enterprises operated in Poland has been growing dynamically for over 30 years. At the same time, the population of Poland is the fastest ageing society in the EU. In the light of the above, many enterprises may soon face the problem of maintaining business continuity in the event of death of their owners. The article attempts to evaluate the implementation of the institution of succession management of a natural person’s enterprise into the Polish legal framework one year after new solutions were offered to Polish entrepreneurs. To this ennd, the way how entrepreneurs make use of this institution has been analysed.

Wprowadzenie Ustawy o zarządzie sukcesyjnym przedsiębiorstwem osoby fizycznej porządkuje zasady tymczasowego zarządzania przedsiębiorstwem po śmierci przedsiębiorcy, który we własnym imieniu wykonywał działalność gospodarczą. Dzięki tej ustawie uregulowano zasady prowadzenia ksiąg rachunkowych przez przedsiębiorstwo w spadku. Dopracowano zasady związane z wygasaniem koncesji, licencji, zezwoleń i umów z pracownikami. Celem artykułu jest zaprezentowanie skutków zmian wprowadzenia Ustawy o zarządzie sukcesyjnym przedsiębiorstwem osoby fizycznej na wybrane akty prawne, ze szczególnym uwzględnieniem Ustawy o rachunkowości. Artykuł jest oparty na studiach polskich artykułów i aktów prawnych. Przeprowadzona analiza pozwala wnioskować, że wprowadzona ustawa pozytywnie wpłynęła na zasadę kontynuacji i ciągłości działania oraz na kompleksowe rozwiązanie sukcesji przedsiębiorstwa.
The introduction of the Act on the succession management of a natural person’s undertaking governs the principles of temporary management of the enterprise after the death of an entrepreneur who on their own behalf performed business activities. Thanks to this Act, the principles of keeping accounting books by an enterprise in the inheritance have been regulated. The principles and rules related to the expiry of concessions, licenses, permits and agreements with employees have been refined. The aim of the paper is to present the effects of changes to the introduction of this law on selected legal acts, with particular emphasis on the Accounting Act. The paper is based on studies of Polish papers and legal acts.

W Europie Środkowej nadchodzi moment sukcesji firm rodzinnych. Przed wprowadzeniem rozwiązań ustawy o zarządzie sukcesyjnym śmierć przedsiębiorcy prowadziła do ustania bytu prawnego przedsiębiorstwa, wygasały decyzje administracyjne oraz NIP. Po wprowadzeniu ustawy, przedsiębiorstwo w spadku uzyskało status podatnika, a NIP przechodzi na przedsiębiorstwo w spadku. Na moment wygaśnięcia zarządu sukcesyjnego nie następuje przeniesienie praw na spadkobierców z mocy prawa, co można uznać za wadę. Nie został rozwiązany problem jak dokonać podziału przedsiębiorstwa między spadkobierców. Odpowiedzą na ten problem może być projekt ustawy o fundacji rodzinnej.
The moment of succession in family businesses is approaching. Before the introduction of the Act on succession management, the death of the entrepreneur caused numerous difficulties. After the introduction of the Act, the inherited enterprise obtained the status of a taxpayer. The Tax Identification Number given to the entrepreneur is transferred to the company in bequest. At the time of expiry of the succession board, the rights are not transferred to the heirs by operation of law. Pursuant to the regulations on succession management, the problem of how to divide the enterprise between the heirs has not been resolved. The draft law on the family foundation may be an answer to this problem.

W artykule przedstawiona została problematyka prawa dalszego prowadzenia działalności gospodarczej unormowanego w prawie austriackim. Zgodnie z definicją legalną jest to prawo kontynuowania działalności gospodarczej na podstawie zezwolenia na prowadzenie działalności gospodarczej innej osoby. Prawo dalszego prowadzenia działalności gospodarczej powstaje dodatkowo do zezwolenia na prowadzenie działalności gospodarczej właściciela przedsiębiorstwa i stanowi ono niezależną podstawę prawną do prowadzenia działalności gospodarczej. Zasadniczo służy utrzymaniu przedsiębiorstwa po śmierci przedsiębiorcy, ale jego celem może być także przymusowa sprzedaż przedsiębiorstwa w celu zaspokojenia wierzycieli. W prawie polskim nie ma jednak możliwości wprowadzenia prawa dalszego prowadzenia działalności gospodarczej przede wszystkim dlatego, że nabycie spadku przez spadkobierców następuje tu ipso iure w chwili śmierci spadkodawcy.
The present article discusses the problem of the right to continue business activity that is regulated in Austrian law. According to the legal definition it is the right to continue the conducting of business activity based on another person’s business license. The right to continue business activity arises in addition to the business license of the owner of the enterprise and provides an independent legal basis for conducting business activity. Generally, it operateto support the business after the death of the entrepreneur, but may also have the purpose of compulsory selling the enterprise to satisfy creditors. However, the right to continue business activity cannot be introduced in Polish law, mainly because in Polish law acquisition of inheritance by the heirs takes place ipso iure at the time of the testator’s death.

Poprzez wprowadzenie ustawy o zarządzie sukcesyjnym przedsiębiorstwa osoby fizycznej od niedawna działalność gospodarcza może zostać kontynuowana pomimo śmierci przedsiębiorcy. Na podstawie tego rozwiązania osoba fizyczna (przedsiębiorca) może powołać następców prawnych (spadkobierców) w celu podjęcia przez nich decyzji dotyczącej dalszego położenia i funkcjonowania działalności gospodarczej. Celem artykułu jest zatem przybliżenie tej nowej instytucji oraz zarekomendowanie, aby w powyższym przypadku zawczasu został powołany zarządca sukcesyjny, który może umożliwić prowadzenie działalności gospodarczej w dalszym ciągu. Autor przedstawienia praktyczne podejście do ujętych rozważań w przedmiocie zarządu sukcesyjnego. Artykuł zawiera uwagi i wskazówki dla przedsiębiorców niezbędne do zrozumienia i korzystania z tejże instytucji.
By introducing the act on the succession management of a natural person’s enterprise, the economic activity may be continued, despite the entrepreneur’s death. On the basis of this solution, a natural person (entrepreneur) may appoint legal successors (heirs) in order to make a decision concerning further location and functioning of economic activity. The aim of the article is, therefore, to familiarize readers with this new institution and to recommend that in the above case a successive manager should be appointed in advance, which may enable continuation of business activity. The advantage of the article is, thus, presentation of a practical approach to the considered issues within the area of succession management. The article includes many valuable remarks and guidelines for entrepreneurs, which are necessary to understand and to make use of this institution59

W artykule podjęto próbę oceny implementacji instytucji zarządu sukcesyjnego przedsiębiorstwem osoby fizycznej do polskiego prawa w pierwszą rocznicę wprowadzenia nowych rozwiązań dla przedsiębiorców. W tym celu dokonano analizy jej wykorzystania przez przedsiębiorców.

The problem of succession has been more and more frequent in investigations concerning the future of agricultural farms in Poland. The reducing number of inhabitants, ageing society and a declining number of new births are only some of the factors which highlight this problem. The focus of the study was on the agricultural farms in the case of accidental events such as death or serious illness that makes it impossible for the owner to make representations and sign on behalf of the business solely. These problems are critical from the standpoint of ensuring the continuous operation of the farm. The study was carried out with using a questionnaire and analysis of the independence of the Chi-square test (χ2). Most of the farmers studied think about what would happen in the case of their permanent loss of ability to manage the farm, and especially in the case of their sudden death. The opportunities for presence of other negative events such as serious illnesses seem to be neglected by those who manage agricultural farms. This is likely to be due to the psychological reluctance to think and prepare for such difficult scenarios. The study also demonstrated the lack of correlation between the size of agricultural farm and securing farmers against the accidental events. A moderate relationship was observed only at the level of general planning of the future of the agricultural farm. One of the popular forms among the owners of agricultural farms was establishment of a kind of mortis causa plenipotentiary.

The studies of fallow lands were undertaken on the Przemyśl hills in the area of Cisowa locality which, till very recently, have been owned by a State Farm (PGR). The objective was to gain insight into the composition and diversification of plant communities on meadows, pastures and fields laid fallow, in context of habitat conditions prevailing after the use had ceased. The study utilised an old cadastral map showing the type of communities by category of use: meadows, pasture, and cultivated fields. The study material consisted of 180 relevés, obtained in the period 1998-2000 using the Braun-Blanquet method. By employing numerical classification, eight plant communities were distinguished, including only two of the association rank: Epilobio-Juncetum effusi, Arrhenatheretum elatioris. The analysis of Ellenberg’s habitat indices proved that all the communities belonged to the half-light vegetation group, occurring mostly on fresh soils, under intermediate moisture-content conditions, more rarely on moist soils which do not dry out. The soil reaction was most often neutral or slightly acidic, and in most of the soils the nitrogen content was in the intermediate range. The two principal trends in the succession of communities in the area, after its farming management has ceased, are: marked increase in species richness resulting from the expansion of species, and the process of overgrowing by woody vegetation.
