The main goal of this article is to present preliminary results of empirical research on the substitutability of cash return to shareholders in companies listed on the Stock Exchange in the form of cash dividend and share buyback. For the realization of the objective it has been adopted to develop the research hypothesis stating that the shares repurchases done on the Warsaw Stock Exchange are – according to the cash dividend – more and more frequently used form of returning cash to shareholders. The paper is divided into two parts. In theoretical one, there are shown some views on substitution hypothesis and exhibited the results of surveys made by other researchers. The second part is practical research conducted among polish public companies.

Share repurchase happens when a company repurchases its own shares for any purpose determined by the general meeting of shareholders, including their further sale. Share repurchase is like dividend payout a form of transferring profit to shareholders. However, contrary to dividends, it is quite a new legal institution, which gained importance in developed capital markets as late as in the last twenty years of the 20th century. This article presents the development of the institution of share repurchasing and changing relations between purchasing shares and paying out dividends in developed capital markets. It also presents the legal situation concerning share repurchase in Poland, pointing out that only the regulations introduced in 2008 adjusted Polish legal solutions to those valid in developed capital markets.

The reaction of marginal investors to the announcement of a surprise dividend increase has been measured. Although field research is performed on companies listed on the Warsaw Stock Exchange, the paper has important theoretical implications. Valuation theory gives many clues for the interpretation of changes in dividends. At the start of the literature review, the assumption of the irrelevance of dividends (to investment decisions) is described. This assumption is the basis for up-to-date valuation procedures leading to fundamental and fair market valuation of equity (shares). The paper is designed to verify whether the market value of stock is immune to the surprise announcement of a dividend increase. This study of the effect of a surprise dividend increase gives the chance to partially isolate such an event from dividend changes based on long-term expectations. The result of the research explicitly shows that a surprise dividend increase is on average welcomed by investors (an average abnormal return of 2.24% with an associated p-value of 0.001). Abnormal returns are realized by investors when there is a surprise increase in a dividend payout. The subsample of relatively high increases in a dividend payout enables investors to gain a 3.2% return on average. The results show that valuation models should be revised to take into account a possible impact of dividend changes on investors’ behavior.

The purpose of this article is to show on the example of Warsaw Stock Exchange, Poland (WSE) how in emerging capital markets dividends provide information about earnings quality as measured by their persistence. In the paper the regressions models of future earnings (in years t + 1 and t + 2) were applied on current earnings (in year t), current dividends decision (in year t) and the interaction of current dividend decision and earnings proposed by D. J. Skinner and E. Soltes (2011), using pooled cross – sectional time – series data. A set of 2263 observations coming from the companies listed on the WSE in 1995-2009 was used for the calculation. For estimating the parameters, recursive modeling was used. Specific models were estimated using the heteroskedasticity-corrected general least squares method. It was shown that on the WSE the quality of earnings depends more distinctly on a firm’s dividend policy than on the developed markets.

The article discusses issues connected with payments executed for the benefit of shareholders and offers a description of the specificity of dividend payment and buy back with the purpose of remittance. It emphasizes the investors' reception of changes of the dividends paid and indicates what factors influence the dividend policy. The article also depicts two solutions enabling to divide the profit depending on the available profitable material investment projects of companies. In addition, the dividend payout rate for all the companies listed on Warsaw Stock Exchange in the period 2002-2011 has been analised, and for selected companies from Warsaw Stock Index WIG20 the corellation between dividend payout and profit, supplementary and reserve capital, as well as capital expenditures has been studied.

The article discusses the issue of a model approach to dividend policies from the point of view of an investor and an emitent. The point of view of the investor was presented as a possibility of creating portfolios of securities made only of dividend companies in comparison to a popular method of creating dividend portfolios: the Markowitz method. It is generally believed that the amount of dividends paid by a  company determines the net profit for the last financial year. In fact, the dividend must not be in direct relation with the net profit, as a  source of funding may also be retained earnings. The purpose of this article is to examine to what extent the companieslisted on the Warsaw Stock advantage of this opportunity. In 2010-2012 it made the 39 companies and the share of retained earnings in the amount paid by the company’s dividend was 43%. One of the reasons for this is the economic slowdown, accompanied by limited access to attractive investment projects.

The article describes the issue of factors influencing the decisions about the pay out of dividends by companies listed on the capital market. The micro- and macroeconomic determinants of dividend policies of companies listed on developed and emerging markets have been discussed. In the study the topic of the emission of new shares in order to finance dividend payout from the perspective of a conflict between new and present shareholders of a company has been emphasised. In addition, the author shows mutually excluding results of research of Polish and foreign authors concerning selected factors influencing dividend policy.

The article is dedicated to the issue of the payment of dividends by the Polish listed companies. Author makes an attempt to determine the impact of dividends on stock prices, and consequently - relation to them all investors. The analysis was based on the daily quotation of stock prices of companies paying an annual dividend. The survey includes periods were mainly from the General Meeting of Shareholders of the last day of quotations of shares with dividend and cut-off period from the date of the stock dividend to the date on which the stock price reaches the price before that date. The purpose of the empirical analysis was to verify whether the behavior of stock prices during the past occurred in connection with the regularity of dividend and whether it is possible to determine on this basis, the optimal strategy to invest in these values based on the above-average price changes.

Dividend payment policy is a significant issue of neoclassical theories of finance. One of the concepts which poses a challenge tothe neoclassical approach to dividend payment policy is behavioural finance, including a catering theory of dividends. The aim of the article is to examine whether and to what extent the catering theory of dividends is reflected in the behaviour of shareholders and managers on the WSE. The opportunity to accomplish the aim of this paper was conditioned by the empirical verification of research hypothesis stipulating that the number of dividend payers increases if the dividend payers are priced by the capital market higher that the nonpayers. The empirical verification of hypothesis was conducted basing on the equal- and value-weighted dividend premium as well as dividend payment ratios. Moreover, descriptive statistics, Spearman's rank correlation coefficient, linear regression and coefficient of determination were used. The study was carried out on the basis of companies operating in the electromechanical industry sector that were listed on the WSE in the period between 1999-2013. The figures were taken from the Stock Exchange Yearbooks, Notoria Serwis database and GPWInfostrefa platform. The preliminary results of empirical research in the range of the catering theory of dividends allow to draw a conclusion that this theory may be useful in explaining the dividend policy conducted by electromechanical industry companies listed on the WSE.

This article attempts to find the answer to two research questions whether: 1) the rational behaviour of executives is manifested in the variable to the stock market situation propensity to pay dividends and 2) dividend preferences of investors depend on the situation on the stock market? In the article, there were formulated two hypotheses stating that: 1) during economic downturns relatively more companies initiate dividend payments, 2) during the “bear market” dividend companies are valued relatively higher. Preliminary results of empirical studies show that during the recession on capital market the share of companies that initiate dividend payments increase but dividend paying companies are not valued higher than the other companies.
Celem artykułu jest próba znalezienia odpowiedzi na dwa pytania badawcze: 1) czy racjonalne zachowania menedżerów przejawiają się w zmiennej względem koniunktury giełdowej skłonności spółek do wypłaty dywidendy oraz 2) czy preferencje dywidendowe inwestorów zależą od sytuacji na giełdzie? W artykule postawiono dwie hipotezy: 1) w okresach dekoniunktury giełdowej relatywnie więcej spółek inicjuje wypłatę dywidendy, 2) w trakcie trwania bessy na rynku kapitałowym inwestorzy giełdowi względnie wyżej wyceniają spółki dywidendowe. Wyniki wstępnych badań empirycznych wskazują, iż w okresie dekoniunktury giełdowej rośnie udział spółek inicjujących wypłatę dywidendy, jednak rynek kapitałowy nie wycenia spółek dywidendowych wyżej niż innych spółek.
