After the World War II commercial law companies, even though they had been depri- ved of their enterprises, were mostly not crossed off the Commercial Register (in Polish: Rejestr Handlowy). Regardless of the fact that they had been deprived of their proper- ties, they still existed. In spite of the fact that communists considered passing a bill that would cause their ultimate liquidation, it appeared that closing down the com- mercial law companies may actually lead to a deterioration in international relations with western states. This state of affairs surprisingly meant that nowadays one can re- activate the prewar companies. Therefore documents that have been recovered are of great importance for both legal practitioners (mainly judges and attorneys at law) and theorists of law.

One of the most common determinants of the companies' mutual cooperation is creating the innovation networks. There are lots of benefits stemming from active participation within them. Such networks are, among others, having access to diverse but complementary knowledge resources, reducing risk through its sharing, entering new markets and discovering new technologies or making use of other complementary assets or competences. That is only one of the reasons for which companies are eager for mutual cooperation. It enables them broadening their access towards key assets creating innovations. Their external dimensions are shaped by companies' relations with their clients, suppliers or other market partners, which in effect can succeed in the process of creating new values.

The basic objective of the self-government of a region is to create economic development that leads to the region’s civilizational development. The basic tasks of this self-government, set out in Article 11 of the Act on Regional Self-Government (Polish: usw) are considered its own tasks and are considered public utility in nature. The self-government of a region is then allowed to use various legal instruments to realise these tasks, including commercial law capital companies, especially limited liability companies and public companies which can take the form of regional development agencies, regional guarantee funds and regional loan funds.

Pojęcie phoenix companies zostało omówione na przykładzie common law. Praktyka obrotu gospodarczego pokazuje, iż zjawisko phoenix companies jest wykorzystywane przez polskich przedsiębiorców. Analizie została poddana dopuszczalność stosowania firmy przedsiębiorcy w upadłości lub przedsiębiorcy powiązanego w prawie polskim. W pracy wykorzystano metodę dogmatyczno-prawną.
This article explores the problems concerning the issue of misleading business name created with use of phoenix syndrome. Phoenix companies are discussed in scope of common law. Nevertheless, the idea of phoenix companies is used by Polish entrepreneurs in everyday business practice. This article analyses the admissibility of using business name of insolvent or affiliated company due to applicable Polish law. This article is based on legal-dogmatics research.

Corruption is a factor that affects a company severely either directly or indirectly. It may have a positive or negative impact on the economic situation of the company. This article verifies the hypothesis about the corporate perception of corruption as an obstacle to business performance. It also identifies which factors do have a substantial effect on the perception of corruption by companies. The study was carried out using the logit model. The data used were obtained from the Business Environment and Enterprise Performance Survey (BEEPS) database for 2016.

This paper considers the increasing use of “negotiated” instruments of European competition law (ECL) enforcement as illustrated by the European Commission’s (EC) enforcement practice directed at firms of American and East Asian origin. The paper first defines the notion of “negotiated” instruments of ECL enforcement as a non-confrontational enforcement method that centres on the existence of a public-private dialogue and mutual will to solve the contested issue, which in turn facilitate mutual benefits in enforcement outcomes (e.g. faster market improvements v. no fines). Three key “negotiated” instruments of ECL enforcement are presented next: conditional merger clearances, commitments decisions, as well as leniency and the settlement procedure. The EC’s decision to introduce negotiated enforcement instruments into its toolkit has been largely embraced by the market. Their ever growing practical application suggests that public-private dialogue is becoming a rule, rather than an exemption, in public enforcement of ECL. This thesis is illustrated by a selection of ECL cases involving US (e.g. Microsoft) and East Asian (e.g. Samsung, Sony) companies which chose to cooperate with the EC in order to generate tangible benefits for themselves, which are largely precluded in a more adversarial procedure
Cet article examine l’utilisation croissante de l’application des instruments européens «négociés» du droit de la concurrence (ECL) comme il est illustré par la pratique de l’application de la Commission européenne (CE) dirigée vers les entreprises d’origine américaine et asiatique (Asie de l’Est). L’article définit d’abord la notion d’instruments «négociés» de l’application de l’ECL comme une méthode d’application non conflictuelle qui se concentre sur l’existence d’un dialogue public - privé et la volonté commune de résoudre la question en litige, qui, en revenche, facilite les avantages mutuels dans les résultats de l’application (par exemple, des améliorations plus rapides du marché v. aucunes amendes). Trois instruments «négociés» de l’application de l’ECL principaux sont présentés ci-dessous: les autorisations conditionnelles de fusion, les décisions d’engagement, ainsi que la coopération et la procédure de règlement. La décision de la CE à introduire des instruments négociés de l’application dans sa boîte à outils (toolkit) a été largement acceptée par le marché. Leur application pratique en croissance constante suggère que le dialogue public-privé devient une règle, plutôt que d’une exemption, en application publique de l’ECL. Cette thèse est illustrée par une sélection de cas d’ECL concernant les entreprises en provenvence des États-Unis (par exemple Microsoft) et de l’Asie de l’Est (par exemple Samsung, Sony) qui ont choisi de coopérer avec la Commission européenne afin de générer des bénéfices tangibles pour eux-mêmes, qui sont en grande partie exclue dans une procédure plus contradictoire.

Central bank decisions have an impact on the whole economy. Increasing or lowering interest rates as part of a specific policy determines not only changes in macroeconomic aggregates or decisions of financial entities, such as banks, but also has a significant impact on business decisions. Low interest rates, which have been maintained for several years, encourage reflection on the impact of interest rates on the financing structure of companies. The main objective of the research is to verify the relations between monetary policy, in particular low interest rates, and the level of indebtedness of Polish listed companies. The analysis showed that the level of total interest-bearing liabilities for the selected sample of companies remains in a clear upward trend, and interest rates – in a downward trend, excluding the increases in 2008 and 2012. The Pearson correlation for the variables in question should be considered strong, especially in the case of the relationship between long-term interest-bearing liabilities and interest rates. Considering the above, it should be noted that interest rates influence the level of indebtedness of companies, bearing in mind that this is a transmission channel of monetary policy, which operates with a time lag.

Research background:  Interfunctional coordination (IFC) is a part of market orientation and at the same time an approach which helps to improve cooperation between different departments or functions in a company. Market orientation is an approach aimed at external and internal elements and activities leading to performance increase. Services offered by a manufacturer are activities complementing their products. Manufacturers can benefit from the service differentiation and use it to design alternative marketing strategies. Generally, IFC and services - contributes to higher positive effect on business performance. For this reason, it is interesting to know if synergy of IFC and services have a higher positive effect on business performance. Purpose of the article: This article aims to determine how IFC and services at manufacturing companies in the Czech Republic influence business performance. The research question is as follows: Does the synergy of IFC and services in companies producing electrical equipment and electronic components have a higher positive effect on business performance? Methods: Sixty SME?s filled in a questionnaire to gather information about IFC and services. For measurement of correlation for two variables, Spearman's rank correlation coefficient was chosen. Regression analysis was used for measuring the synergy. Findings & Value added: The main finding shows that the synergy of the quantities observed has not been confirmed, although some of the following relations were approved such as a positive relationship between: a) some items of IFC and items of business performance, b) some items of services and items of business performance and c) items of IFC and items of services. The result of the paper shows further consequences of IFC and services in today's manufacturing companies.

There are whole areas of the modern market in which the emotional aspect of economic behavior initially plays a paramount role. These are the areas of manufacture and distribution of luxury goods, show-business and the so-called the market of cultural values – cinema, theatre, music and so on. The emotions of pleasure, pride and interest are most demanded in the markets. However, not smaller demand exists for the emotions which can be perceived as negative – fear, uneasiness, gloating, anger.The market of emotions is out of control in terms of harm that some emotions can cause to the consumer. The system of protection of consumer rights is not working in this market segment. As a result, “goods filled with emotions” can freely transmit pathogenic (neurotic) images.The main type of enterprises that produce the emotions are the media. The spatial structure of location of such enterprises is poorly investigated. However, it is obvious that most of the emotional contented images are produced in large cities and metropolitan areas – megapolises and megalopolises. The images contain the emotions that are characteristic for the lifestyle of inhabitants living in a large and mega-urban agglomerations.We have developed a special technique of frequency content analysis for measuring the emotional essence of the texts. The method is to measure the relative frequency of lemmas, signifying the emotions of different types and varying intensity. The emotional spectrum of some media outlets in years 2007–2010 were studied. The total input array was of about 250,000 words.

The issue of assessment of strategic decisions in the company has been approached while indicating their impact on the implementation of modern technological solutions and the methods for their financing. The essence of the strategy of the company has been presented, taking into account the impact of strategic decisions on the changes in the adopted strategy of the enterprise based on the literature studies. The considerations presented in the empirical part include the results of the research conducted in the multinational chemical company. The objective of the study was to learn and assess the relationships between the implementation of modern technological solutions and the effectiveness of strategic decisions on the methods for their financing. The research methods applied to accomplish the objective are literature studies, a case study and the following techniques related to analysis are used: the analysis of return on investment, and the analysis of financial leverage effect. The issue of assessment of strategic decisions is important and up-to-date due to its impact on the continuity of business operations and maintaining a competitive advantage on the market. This study is an attempt to fill the observed research gap regarding the relationships between the implementation of modern technological solutions and the effectiveness of strategic decisions on the methods for their financing.

Industrial companies are the core of the national innovation system. However, large, medium and small enterprises differ significantly in their role in the innovation system, resource potential, strategic priorities and objectives. The paper focuses on a comparative analysis of the strategic priorities of innovative activities of Russian companies of different size. We have identified three types of companies: small innovative companies, large and medium-sized companies with a traditional business model, major innovation-driven companies with an integrated business model. Our analysis of the trajectories of small innovative firms located in Novosibirsk Scientific Center showed that the majority of the companies can be characterized either as spin-off firm or as specialized supplier. Spin-offs are newly established small firms, who have recently separated from the major research labs or parent companies. The typical behavior model for such companies is innovative entrepreneurship. Specialized suppliers are small companies that provide significant contributions to complex manufacturing systems in the form of equipment, parts, tools and software. Innovative objectives of such small companies deal with design and production of the specific elements required for large companies. Large and medium-sized companies with a traditional business model are characterized by the existing structure of commodity output and the supply chain. Characteristic type of innovative behavior for such companies includes incremental product and process innovations. Large innovation-oriented companies with an integrated business model have traditional production units and innovative units in their structure. Innovation priorities of major innovation-oriented companies with integrated business model are consistent with the hybrid model of behavior which combines the traditional model with an innovative entrepreneurship.

Within last twenty years in the European Union much regulation concerning advertisements of drugs changed. The aggressive marketing operations of producers of medicines caused that new solutions, not only legal but also ethical, had appeared. The European Union is imposing reliable solutions upon its members in the form of directives to which they must adapt their law. They can however decide to choose stricter law than the one which is recommended to them. The European Federation of Pharmaceutical Industry and Associations – voluntary organization consisting associations of pharmaceutical companies from lots of countries is acting on similar principles. Each of the members belonging to it can implement its own, more restrictive regulation in the national ethical code than a Federation is ordering. Main purpose of this article is reading what legal and ethical solutions of pharmaceutical marketing were accepted in selected countries of the European Union. Whether they are stricter than the ones imposed upon them by European Union? How in this background Polish regulations are looking like? In the article also examples of the law-breaking and ethical principles by producers of medicines in the European Union will be presented. It will show sanctions taken out towards them for this reason. A question will be put: are various penalties able effectively to scare the pharmaceutical industry off the unethical or even unlawful advertising?
