The aim of the study is to present the selected legal concepts of online commerce. Elec-tronic commerce is still a relatively young, and thus only emerging, field of legal and economic marketing. The present article is devoted to the subject of works on the codification and unification of law in Poland during World War II. It discusses the situation of Roman law as a scientific discipline and an academic subject in Poland after the end of World War II, which was largely due to the social and political changes that took place in our country at that time. Soviet law, which was a model for socialist civil law, negated the distinction between what was public and what was private, which was characteristic of Roman law. Negating the fundamental principles of the former private law was something unprecedented in the entire history of law. In fact, from mid-1918 Soviet civil law became public law. The process of unification, although complex and requiring the involvement of state authorities and the intellectual effort of lawyers, was a necessity. The process of unification of civil law resulted in the invalidation of almost all district civil law provisions.

Under the proposed amendment of Hunting Law, decisions on compensation issued by a province governor (wojewoda) could not be appealed to an administrative court based on the alleged illegality. The author points out that there should not be a situation in which two decisions are made in the same case, one by a public authority and the other by the court of general jurisdiction, none of which has effect on the binding force of another one. An analysis of the bill allows us to conclude that the decision of the voivodship governor, to the extent to which the case will be decided upon the judgment of the court of general jurisdiction, will cease to have effect. The author argues that in order to ensure greater legal certainty it could be advisable to regulate expressly the mutual relationship between the administrative and civil law procedures and the decisions issued in the course of each of them.

Evgeniy Vaskovsky always enjoyed well-deserved reputation, in the first place as a specialist in the civil process. His fame as a material civil lawyer and, in particular, as a civil lawyer-educator, somewhat less; even in Russia, the star of his civil-name is eclipsing by other many civil stars, more bright and flashy. The article attempts to at least partially fix this obvious injustice – tell about “The Handbook of Civil Law” by Evgeniy Vaskovsky. Unfortunately, the Handbook was left unfinished: it was limited to only two parties – the General Provisions and the Rights in Rem. Despite this fact, as well as those one hundred thirty years that have passed since its publication, “The Handbook of Civil Law” by Evgeniy Vaskovsky continues to be more than relevant, useful and even instructive piece not only academic, but also scientific as well as practical destination.

The basis of European communities’ integration is diversified. Some of its aspects are particularly emphasized, like the dynamics of economic development, which creates new quality of life for millions of Europeans. Much attention is devoted to the common historical past and the common democratic political values. The attention is focused, to a lesser extent, on what constitutes the real basis of cultural identity for European societies, namely law and the attitude to it. It is law and values attributed to it as well as legal institutions, which have been the strongest links of cultural chain connecting Europeans. Except for a basic issue, that is the Roman law tradition, one can point at a great common achievement with essential practical qualities. Lex mercatoria in the field of commercial law. Traditions of European constitutionalism, including the second, in the terms of the time of creation, modern constitution which was Polish constitution of 1791. Modern civil law becoming widespread due to the French Napoleonic Civil Code, which at the beginning of the 19th century was binding on the eastern European territory within such borders, which are now the European Union’s borders. The exchange of ideas and legal doctrine from the Middle Ages at European Universities. Promoting in these discussions, starting from the 16th century, modern solutions in the area of law, like the postulate of departing from capital punishment and equal rights. A systematic development of subjective rights, human rights, equal rights for women, rights of minorities and rights of the disabled. Introducing these rights to the positive law and ensuring their international and institutional protection.

In the paper there are analysed five British and German incongruent civil law terms. German terms appear in the German act of law called Bürgerlicher Gesetzbuch. British terms name the terms characteristic of each of the three separate legal systems: of England and Wales, Scotland or Northern Ireland. All terms constitute legal terms according to the definition by Morawski. The research problem is to verify whether the published typology of translation methods used in the Polish-English translation of succession and family law terms (which are civil law terms) encompasses translation methods applied when translating civil terms from German into English. The term translation method is defined according to Hejwowski. In order to determine the translation methods applied while producing equivalents, the definitions of the source terms and the equivalents in question are analysed. Furthermore, the appearance of the suggested equivalents in the sources of the British law as well as the corpora of the English language is verified. Finally, having examined the translation methods employed, it is concluded that the equivalents suggested have been formed with the application of as many as 4 different methods listed in the abovementioned classification. Moreover, the Ukrainian terms denoting the legal institutions discussed have been analysed compared to the Polish terms. With regard to the translation of the terms under analysis from Ukrainian into English two different methods have been employed.

The paper discusses the extent to which it is possible to find the right Polish equivalents of such English concepts as acquisitive prescription (in property law), entitlements of the dependents (in the law of inheritance) and commercial impracticability (in the area of obligations). Although the general idea of the discussed concepts may easily be grasped and smuggled into such Polish institutions as zachowek, zasiedzenie (legitim), and rebus sic stantibus, deeper insight into the description of these concepts in the two legal systems discloses many differences in detail.

The introduction of the principle unity of civil law into the Polish civil law with the entry into force of the Civil Code in 1965 did not involve ensuring internal consistency of normative acts forming the core of civil law, i.e.: the Civil Code, regulations regarding commercial companies contained in the 1934 Commercial Code, the Family and Guardianship Code, and the law on land and mortgage registers. The Code of Commercial Companies of 2000, to some extent, but not completely, pursued the postulate of ensuring the consistency of the provisions of the Civil Code and the law of commercial companies. In the legal literature, attention is paid increasingly to the necessity to complete the process of adjusting the Commercial Companies Code to the Civil Code as well as the introduction of relevant modifications and corrections to the Commercial Companies Code ensuring the necessary coherence of the legal regulations of these codes. In the first place, this is required by the following issues: Firstly, concerning the nature, manner and scope of applying the freedom of contract principle in the area of legal regulation of commercial companies. Secondly, the relation between the provisions of the Civil Code concerning acts in law, in particular contracts, and articles of association in commercial companies as well as the so called invalidity of articles of association (Article 21 CCC). Thirdly, the issues concerning the concept of an act in law and resolutions of a capital company body, invalidity of an act in law and challengeability of a resolution of the general meeting or of the general assembly of a capital company, as well as the explanation of the so called non-existent resolutions. Fourthly, the legal and financial status of the spouses where at least one of them is a participant in a commercial company. Fifthly, synchronization of the provisions of the Act on the National Court Register concerning registration procedure with structural provisions of the Commercial Companies Code concerning the functioning of commercial companies. The application of adequate provisions of the Code of Civil Procedure is to be considered in this respect.

In last 20 years Slovenian civil law has experienced a revival and it tried to get rid of the former influences of socialism and communism. Slovenia does not have a uniform civil code. Civil law is governed by the four headline acts: Code of Obligation (from 2001 with changes), Property Code (from 2002 with changes), Marriage and Family Relations Act (from 1976, but with last official consolidated text from 2004 and later changes) and Succession Act (from 1976 with changes). Especially noticeable changes were made in the area of property law, which in last 20 years has undergone several substantive changes. The new Code of Obligations has largely succeeded former Yugoslav obligation law, but in some areas it has brought new radical changes (e.g. contract of donation, life care contract, loan agreement). Succession and family law are still governed by the law from year 1976, but family law was subjected important changes, especially regarding the children and foster care. In 2005 an Act on Same sex registered partnership. A new Family Code was also adopted, but the Slovenes in the referendum in March 2012 decided against the new Family code, so that it is now in the process of change. In 2012, a first draft of the Succession Act was also created. It was subjected least changes since 1991.

The article is devoted to the views of Professor E. V. Vaskovsky on the system of Russian civil law of the late XIX beginning of XX centuries. Giving a presentation on the civil law system E. V. Vaskovsky, first of all, emphasizes the feasibility of isolation in a special section of the general part. The most important parts of civil law system, he believes property law, law of obligations, family law and inheritance law, constitute a special part of civil law. Author composed of sections, which are section of the special part of civil law, including the rights materialized, embodies the bearer. Summing up the views of E. V. Vaskovsky on the system of civil law, it should be noted that along with the traditional inclusion of family law, the novella is extremely large character that took place in the end of XIX century in the field of legal regulation of intellectual creativity, and found in it reflected. Further, the article presents a generalized analysis of the current system of the Russian civil law. The concept of the civil law system, all also based on the division into the general and special part. Now, however, in the civil law system is allocated a number of subbrunches. Selecting subbrunches of the modern civil law associates with the isolation of each of them with their own general part. Currently, the structure of the special part of civil law includes the following subbrunches: corporate law; property law; inheritance law; law of obligations; the law of “intellectual property”; commercial law. Historical experience has shown that the “materialized rights” that E. V. Vaskovsky also singled out in the structure of the special part of civil law did not subbrunch of the modern Russian civil law, as the rapid development of the stock exchange trade resulted in the so-called “dematerialization” of securities, which is the main instrument of the stock market. Currently, the data set of rules should be considered as one of the most important institutions of commercial law as a subbrunch of modern civil law.

This paper emphasises that Europeanisation of law contributes greatly to the phenomenon of decodification. The impact of European legislation on the position of the civil code as the main source of private law is clearly visible in the case of directly effective regulations. Also, implementation of directives can (and often does) lead to the creation of legislation regulating civil law matters, yet separate from the civil code. The Polish experience with implementation of directives concerning consumers protection makes for a good example. Regulation of timeshare contracts completely outside the civil code is – according to the Polish doctrine – a result of difficulties with integrating this particular provision into the codification of private law. If such difficulties are inevitable, so is also progressing decodification of civil law due to its advancing harmonization on the European level.

The inheritance law seems to be a field that is of little interest to the world of politics and arousing far less social emotions than family or criminal law. However, after World War II the Polish authorities used the inheritance law in order to actively shape and consolidate the socialist system. As it was stressed on many occasions, inheritance is inseparably connected to ownership, and that determines the nature of all other property institutions. The influence of ideology and politics on Polish inheritance law was especially visible during the works on codification of civil law in the period from 1947 to 1964. However, as it turns out, most representatives of the doctrine were able to bypass the political determinants in order to keep a high legal standard. The author strives to show how the scholars tried to save the classical inheritance law institutions by manipulating the political doctrine. By ideological justifications of the proposed legal solutions in fact they enabled to keep in the 1964 Civil Code most of the basic inheritance law rules of 1946. Unfortunately it was impossible to prevent the introduction of provisions on inheritance of farms into the Civil Code.

The paper deals with the specific organization of the shared custody regime in Spanish Law. This requires a separate analysis of two aspects: how the physical organization will be and how the time will be distributed among the parents. With regard to the first question, there are two possible alternatives for the physical organization of the shared custody regime: that the children remain in the same home and the parents rotate, or that the children rotate between their parents' homes. Both possibilities are analyzed, considering the advantages and disadvantages of each, as well as their practical repercussions, through the study of the judgements of our courts. With regard to the second aspect to be analyzed – the distribution of time between parents, as we know, shared custody does not necessarily imply an equal distribution of time, although it does seem to be similar, as this is the main data that allows it to be differentiated from an exclusive custody regime that involves a wide regime of visits for the non-custodial parent. The paper attempts to determine the necessary time requirement to be able to speak of shared custody and addresses the issue of the specific duration of periods of alternation – which may be long and extended in time or, on the contrary, short and frequent. For this, once again, the jurisprudence emanating from our courts is taken into account, as well as the doctrine of the authors who have worked on this issue.

The author is contrasting the legal status of landlords from the times before servitude of transmission was established and after its implementation. The author is of the opinion that taking into consideration the vast range of powers the landlords have today, servitude of transmission may be treated as, at least, a favorable adjustment.

The study pertains to the common misconception of an issue that is fundamental for the labour law, namely the problem of the legal grounds for employment. It is about what actually determines the choice of these grounds, and more precisely whether it is ‘free will’ of parties that is ultimately decisive in this respect. The questions are as follows: is it erroneous that the legislators have chosen the direction of equating the legal grounds for employment in the sphere of labour law and civil law? Next, if it is the case, what should certain ‘planning’ of the legal grounds for work provision look like, and what determines the legislators’ decision about this planning, or maybe it is this ‘free will’ of the parties that is solely decisive here? Finding the answer to the above questions is of primary importance in order to counter the wave of criticism to the proposals included in the draft code on individual labour law prepared by the Codification Committee in the years 2016–2018.
Opracowanie dotyczy ciągle powszechnego niezrozumienia fundamentalnej dla dyscypliny prawa pracy kwestii, jaką stanowi problem prawnej podstawy zatrudnienia. Chodzi mianowicie o to, co tak naprawdę determinuje wybór owej podstawy, a dokładnie, czy w przedmiotowej kwestii przesądzająca jest ostatecznie owa „wolna” wola stron. Pytania są następujące: czy rzeczywiście obrany przez ustawodawcę kierunek zrównywania prawnych podstaw zatrudnienia w sferze prawa pracy i prawa cywilnego jest błędny, a jeśli tak, to jak powinno wyglądać pewne „rozplanowanie” prawnych podstaw świadczenia pracy i co determinuje decyzję ustawodawcy o tymże planowaniu, a może to po prostu owa „wolna” wola stron w tej mierze decyduje wyłącznie? Znalezienie odwiedzi na powyższe pytania jest zupełnie kluczowe, żeby odpierać falę krytyki na propozycje zawarte w projekcie kodeksu z zakresu indywidualnego prawa pracy, opracowanego przez Komisję Kodyfikacyjną z lat 2016–2018.

Opis:
The granting of financial assistance from the European Agricultural Fund for Rural Development is performed by means of either an administrative decision or a civil law contract. From the legal perspective, the refusal to grant assistance under a contract is not a typical administrative decision. It has the form of an administrative act in the meaning of Article 3 section 2 point 4 of the Law on Proceedings before Administrative Courts. The above mentioned provision guarantees the person interested in financial assistance the judicial-administrative protection equivalent to that in a case of administrative decision. Furthermore, in some cases this protection is even wider; e.g. when the administrative Court recognises the entitlement to financial assistance in a judgment passed pursuant to Article 146 section 2 of the above mentioned Law. This kind of entitlement is accompanied by the obligation of a State Agency to grant the assistance to the farmer. In a case when fulfilling of the obligation has the form of a contract, the beneficiary can claim its conclusion, e.g. pursuant to Article 64 of the Civil Code.

The opinion presents Sejm’s draft position in the proceedings before the Constitutional Tribunal in relation to the constitutional complaint (ref. No. SK 28/12) concerning the Code of Civil Procedure. The author claims that the challenged Article 378 §1 of the Code, to the extent that it requires the court of second instance to take into account – by the operation of law – the nullity of legal proceedings resulting from improper authorization of an attorney only within the “scope of appeal”, is consistent with Article 45 (1) and Article 77(2) of the Constitution.

This article tries to return to the essence of civil law which, with a little more than ten key contractual institutions, allows all disputes created from newly founded institutions to be examined and interpreted. If law is science it must be ableto be reduced to a set of basic concepts that have been coined and concluded from daily contractual practice and, almost in their entirety, have been in force over time. Hence the study of Roman law and Roman legal tradition remain a constantreference to our continental law. However, this does not prevent them from being open to gradual enrichment.

The purpose of this opinion is to explain two legal issues relating to rules of concluding such contracts and control their execution by the National Health Fund. The author claims that the National Health Fund can shape content of contest notice and intention of obligations relationship to provide more than minimum required by the law number of employees in institution, where such health services are supplied. In the author’s view, control of the execution of contracts for performance of basic health services, carried out at night or during the holidays is allowed in any time without prior notice to the performer.

This study presents interrelations between social insurance law and civil law. The author describes the nature of social insurance law regulations and their influence on possible invocations of the civil law provisions with regard to cases based on social insurance law. Then, the scope of application of civil law in proceedings before a disability pension authority is presented. The author describes in particular invocation of the civil law provisions in connection with the need to verify accuracy and diligence in execution of social insurance obligations by premium payers. Based on examples selected by the author, the issues of examination of validity of concluded contracts (civil law contracts or employment contracts) and individual contractual stipulations aimed at verification of the moment of inception of entitlement to social insurance or accuracy of verification of premium assessment basis are presented.

Orientation sentences for the remark 1. In the case of non-fully harmonised EU law, the fundamental rights of the Basic Law constitute the primary standard of assessment. Within the diversity of fundamental rights provided for by European law, the presumption is that the fundamental rights of the Charter of Fundamental Rights of the European Union (GrCh) are co-guaranteed by those of the GG(German Constitution). That presumption can only be rebutted if there is concrete and sufficient evidence to support it. 2. Threats from the dissemination of personal reports and information as part of public communication affect the scope of protection of the expressions of general personality law, not that of the right to informational self-determination. 3. The general right of personality does not give way to filtering and restricting publicly available information about one’s own person according to his own ideas. The unlimited public confrontation with previous positions, statements and actions, on the other hand, is not appropriate. 4. On the contrary, it is necessary to strike a balance with the interests of the content provider, with specific emphasis on the temporal aspect, availability and context of the information in relation to the communication conditions of the Internet.

The amendment of the above mentioned Act results from the implementation of the provisions of five directives of the European Communities into the Polish legal order. Nevertheless, the author points out that the proposed amendment goes beyond the limits specified by EU law, reducing both the autonomy of private entities and constitutional freedom of contracts. He refers to the defective wording of the provisions specifying the substantive scope of the Act, at the same time supporting the proposal for the extension of the scope of claims that can be brought by persons harmed by unequal treatment and provisions modifying the rules for application of statute of limitation of claims.

The Consumer Credit Act of 12 May 2011 introduced, with effect from 11 March 2016, Article 36 a 1, which specifies the maximum amount of non-interest credit costs. The maximum amount of these costs is calculated according to a formula (Article 36a (1)), and additionally, these costs over the entire duration of the credit may not be higher than the total amount of credit (paragraph 2). On the other hand, with effect from 30 May 2010, Article 304 CC was amended to include new paragraphs 2 and 3-2, aimed at protecting the consumer from excessive benefits in loan agreements. According to the author of the article, the provisions aimed at protecting the consumer against unfair practices of lending entrepreneurs are insufficient and, despite the implementation of Directive 93/13/EEC, do not provide sufficient consumer protection. Therefore, the court deciding the case should always ex officio examine whether contractual provisions constitute prohibited clauses.

The present article concentrates on the interpretational divergence concerning VAT taxation of entity change in a civil law partnership. On the basis of the presented research it is difficult to justify the autonomy of taxation law from other branches of law. As far as the context of autonomy of taxation law is concerned, it is possible to interpret some factual conditions different from other branches of law but also it is difficult to justify the fact that within the taxation law one act approaches the issue completely differently than the other.

A dominant view that a foreign state uses immunity in court examination of civil law cases deserves acceptance. This is the so-called limited immunity. The immunity of a foreign state in court examination of civil law cases and matters related to its examination should not be regulated in domestic law, including the Code of the Civil Procedure. Solutions for pursuing claims before national courts from a foreign state cannot be limited only to the issue of regulation of state immunity and the possibility of its waiving by the foreign state, but they also should cover issues related to the subsequent execution of a judgement delivered in such proceedings.

Opis:
Franciszek Ksawery Bohusz (1746—1820), Jesuit and diocese priest after the dissolution of the monastery, was a man educated in philosophy, theology, and law. Between 1777—1778 and 1781—1782, he made long journeys abroad, during which he got to know Czechia, Germany, France, England, Austria, Italy, and Switzerland. These were the journeys of an intellectual, typical of the period of Enlightenment. Not only did he admire edifices worthy of interest, visit museums and libraries, but he also tried to gain knowledge of the political regimes, social and economic relations in the visited countries. His observations were diligently noted down in travel journals and finally edited upon his return to the country. A lot of comments concern court law: civil and criminal, particularly procedural law. The traveler was also interested in the administration of punishments. The references to law vary from extensive, comprehensive discussions of whole branches of law to prevailing brief mentions of particularly interesting legal institutions. The author attempts to offer a possible objective view of legal solutions he became familiar with, yet, does not always fully succeed. It is worth noting his commentaries on English law, which are not only exceptionally extensive, but also filled with not always well-justified praise. On the other hand, his evaluations of other legal systems, for instance Swiss, seem to be rather harsh and stereotypical. Nevertheless, Fr. Bohusz’s observations on court law in the visited countries deserve a thorough analysis since they let us assess their accuracy and the degree to which some foreign legal solutions found appreciation in his eyes.

The paper describes the behavior of a patient who in order to obtain medical benefits simulates symptoms which, according to special medical knowledge could be recognised as a threat to life or health. The main problem arises when despite the fact that the limits of medical benefits financed from the public funds have run short, a medical doctor, wishing to fulfil his statutory duty, decides to render medical assistance to such patient. Whether that assistance was really indispensible can only be determined after the patient has been thoroughly examined. It may then be too late, though, and the doctor may face serious difficulty in being reimbursed by the National Health Fund, or, if there was no actual threat to patient’s life or health, such compensation for rendered service becomes out of reach. The author analyses the abovementioned situation from the civil law point of view.

The Hungarian labour law reform is a good example of how the idea of flexicurity is enforced in the 21st century in a post-socialist country. Flexible employment relationships overshadow the social side what is necessary in order to develop effectiveness and competitiveness. This process is completed by the relationship between labour and civil law and it is traced back to the special tradition of legal history. The present study surveys the main connection between labour and civil law and gives some remarks on the special private law-nature of labour law. This paper deals with one of the central questions of the Hungarian labour law reform, that is, the changing relationship between labour and civil law. This legal problem can be observed in Hungarian law for a long time. The study focuses on the civil law-type of the employment relationships and the differences between them. This study examines the regulation before 1st July of 2012 with the aim that development will be seen clearly in connection with the regulation in force. The study emphasizes what kind of fundamental changes the direct usage of civil law can perform in the strict structure of employment relationships.

Separating Roman law from the theory of applicable private law inspires - from the beginning of 20th century – the questions pertaining to the meaning, aims, and methods of researching Roman law. This article analyses these issues in the context of the changes of the evaluation of research resulted from the Polish higher education and science act enacted in 2018. The core of this analysis is the comparison of the traditional understanding of the internationalization of the study of Roman law by Polish researchers and the understanding of world-class research according to the new Polish law. The tension between traditional approach of Romanists and bibliometric criteria of evaluation has significant implication for whether and how the Roman law should be studied and taught on the Polish faculties of law. The paper stresses the role of the impact of Polish researches of Roman law on the European debate about basic problems of private law and legal method today. The future of Roman law in Polish legal education interacts with today’s fundamental dispute about what is Western civilization and how it is to be understood.

Infringements of competition law can cause serious harm to both consumers and undertakings. Aside from the development of public enforcement of competition law, much focus has been placed in recent years in the European Union on private competition law enforcement. Lawsuits raised by undertakings that sustained damages from anti-competitive practice concerning the compensation of such damages have historically not been widespread in Europe. No such cases have been recorded in Albania at all yet, despite the fact that its competition protection legislation has provided this possibility since 1995. The main causes of the lack of private competition law enforcement in Albania include the absence of judicial practice and doctrinal approaches in this area. Relevant here is also the inability of Albanian businesses and consumers to react to competition protection cases as they still lack competition law knowledge and as a result of the absence of an appropriate legal framework for class actions. The scope of this article is to analyze the current situation of private competition law enforcement in Albania. The paper emphasizes the current legal framework including existing obstacles to private competition law enforcement and improvements that should be introduced in the context of its competition law, the law of civil procedures and the law of obligations.
Les violations du droit de la concurrence peuvent causer un préjudice grave aux consommateurs et aux entreprises. À part du développement de l'application publique du droit de la concurrence, beaucoup d’attention a été consacrée les dernières années à l’application privée du droit de la concurrence dans l’Union européenne. Néanmoins, les actions en indemnisation introduites par les entreprises qui ont subi des dommages résultant de la violation du droit de la concurrence n’étaient pas trop répandues en Europe. Malgré le fait que depuis 1995 la loi albanaise sur la protection de la concurrence prévoit la possibilité d’introduire les actions en indemnisation par les entreprises qui ont subi des dommages resultant de la violation du droit de la concurrence, aucune de ces actions n’était pas été introduite en Albanie jusqu’à présent. Les raisons principales du non-développement de l’exécution privée du droit de la concurrence en Albanie sont : l’absence de la pratique judiciaire et l’absence de la doctrine juridique dans ce domaine. il faut aussi mentionner sur ce point l'incapacité des entreprises et des consommateurs albanais de répondre aux actions privées ce qui résulte du manque de connaissances en droit de la concurrence et l'absence d'un cadre juridique approprié pour les actions collectives. Le but de cet article est d’analyser l’état actuel de l’exécution privée du droit de la concurrence en Albanie. L’article met l’accent sur le cadre juridique actuel, y compris les obstacles à l’exécution privée du droit de la concurrence, et propose les améliorations qui devraient être introduites dans le droit de la concurrence, dans la procédure civile et dans le droit des obligations afin de changer cette situation.

The paper describes the behavior of a patient who in order to obtain medical benefits simulates symptoms which, according to special medical knowledge could be recognised as a threat to life or health. The main problem arises when despite the fact that the limits of medical benefits financed from the public funds have run short, a medical doctor, wishing to fulfil his statutory duty, decides to render medical assistance to such patient. Whether that assistance was really indispensible can only be determined after the patient has been thoroughly examined. It may then be too late, though, and the doctor may face serious difficulty in being reimbursed by the National Health Fund, or, if there was no actual threat to patient’s life or health, such compensation for rendered service becomes out of reach. The author analyses the abovementioned situation from the civil law point of view.

Code of Criminal Procedure provides some kind of possibility of seeking compensation for wrongful conviction, temporary detention or detention. Claims, pursuant to article 552 § 1 of the Code of Criminal Procedure, does not provide for exceptions to the principle of full compensation of damages. It includes both claims for damages for actual loss as well as for lost profits. The indicated provision corresponds to art. 417 § 1 of the Civil Code and article 4171 § 2 of the Civil Code The State Treasury is liable for damage caused by unlawful act or comission in the exercise of public authority. If the damage was caused by issuing a final decision or a final decision, its remedy can be demanded after it has been found in the proper proceedings that they are unlawful. Therefore, whether the situation described in article 552 of the Code of Criminal Procedure - the revocation of a final judgment by way of cassation, as a result of which a more favorable decision is issued for the accused, is the state equivalent to finding the unlawfulness of the ruling thus violated? The liability of the State Treasury for damage and harm caused by unjust condemnation, arrest or detention, in many cases, extend the scope of this responsibility to states that could not be classified as unlawful acts or omissions in the exercise of public authority. Depending on the choice of position, one should consider maintaining a separate criminal and civil procedure for examining cases for damages for unjustified conviction, temporary detention or detention.

Civil law contracts are widely used in school practice. It is the school running body which is entitled to entering into such contracts, however in most cases of school practice, school principal is also capable of entering into such contracts. Civil law contracts most of all will find application in dealing with external parties. They are less common in employee relations. This is due to the specificity of teacher’s job, which is characterised by employment relationship, and this excludes the possibility of entering into a civil law contract. However, it is possible to enter into a civil law contract with a teacher so that they can perform additional tasks. It seems that nowadays when cooperation with external parties is becoming more and more relevant, which is facilitated by the new core curriculum, civil law contracts will have wider application.

In 1952 Witold Czachórski posited as a general principle of Polish contract law that legal actions leading of a transfer of wealth require for their validity a proper cause; the rule was construed as a mandatory one and precluded the creation of abstract obligations unless expressly permitted by law. Czachórski’s theory was underpinned by an in-depth analysis of the entire body of civil law, as well as axiological considerations that emphasized the need to control contractual fairness (Section 1). After 40 years of largely uncontroverted acceptance the rule was abruptly abandoned by the Supreme Court on grounds of freedom of contract (Section 2). Despite its fundamental nature, this change was not accompanied by any in-depth discussion in legal doctrine (Section 3). While unsatisfactory on a theoretical level, it seems in retrospect that this was, at a time of systemic transformation to a liberal market economy, a pragmatic and perhaps inevitable approach that served to further the newly re-established principle of freedom of contract. Paradoxically, however, with the contemporary shift to a more control-oriented approach to freedom of contract it would not be entirely surprising to see a rebirth of the role of cause and of Czachórski’s theory some time in the future (Section 4).

The purpose of the paper is to discuss the problems arising from the application of sub-clause 20.1 of the FIDIC contract templates in the civil and common law countries. For these considerations, the author chose the red and yellow book editions of 1999 in unmodified versions. The paper tries to determine whether it is possible to implement the sub-clause in their original wording in the above-mentioned legal systems. Another aspect under the scrutiny of the author is the legal nature of provisions of 20.1 sub-clause which concern, in particular, the issues related to the 28-day deadline for filing a claim and releasing the contracting authority from the obligation to provide compensation as a result of the Contractor's failure to meet the indicated deadline. The research was conducted using the legal-comparative method. With regard to the civil law system, the analysis concerned the compliance of the sub-clause provisions with mandatory standards, in particular Article 119 of the Civil Code, and Article 353¹ in conjunction with Article 58 of the Civil Code. When it comes to the common law jurisdiction, the study concerned the consequences of failure to comply with the obligation imposed by the sub-clause on the Contractor in the light of the prevention principle and on the basis of praemia that law does not arise from injustice. As a result of the conducted research, it was found that sub-clause 20.1 of the FIDIC contract terms requires prior modifications both in civil and common law countries and adaptation to the requirements of the law in force in the country in which it is to be implemented.

This article is directly connected with the issues presented in the article “The historical background for the legal expression of the rule Impossibilium nulla obligatio est (D. 50,17,185) in the German Civil Code”. The mentioned article criticizes, from historical point of view, the enlargement of the application of the Celsus’s rule to the cases of initial subjective and subsequent – both objective and subjective, impossibility of performance. The following article shows some of doctrinal consequences of such an enlargement interpretation. One of them concerns the § 311a (2) BGB, which contains the separate liability regime for the initial impediments of performance. This paragraph entitles the creditor to claim damages in lieu of performance, unless the debtor did know of the impediment when the contract was concluded, and was not responsible for not having known about it. The debtor held liable for the positive interest. This regulations is firstly presented in relation to its doctrinal inconsistency. Afterwards, it is presented in relation to the proposition of the analogy application of § 122 BGB when the debtor is not responsible for not knowing about the impediment, to make him liable at least for the negative interest. Finally this regulation was evaluated in relation to the demand of staying in the line with the Principles of European Contract Law and the UNIDROIT-Principles.

Artykuł stanowi odpowiedź na głosy krytyki w zakresie kluczowych kwestii z punktu widzenia celów nowelizacji Kodeksu postępowania cywilnego. W tekście zwrócono uwagę na ratio legis przywrócenia odrębnego postępowania w sprawach gospodarczych, co nastąpiło z dniem 7 listopada 2019 r., kiedy to obowiązywać zaczęła zasadnicza nowelizacja Kodeksu postępowania cywilnego z dnia 4 lipca 2019 r. Wskazano, że obowiązujące od dnia 3 maja 2012 r. do wejścia w życie omawianej nowelizacji przepisy nie sprawdziły się oraz generowały liczne problemy. W dalszej części zmierzono się z krytyką niektórych praktyków i teoretyków kwestionujących rozwiązania przyjęte przez ustawodawcę. Polemika została podjęta w szczególności w zakresie zagadnienia sprawy gospodarczej, postrzegania przedsiębiorcy, czy kognicji sądów (wydziałów) gospodarczych.
The article is a response to criticism regarding the key issues, from the point of view of the objectives of the amendment to the Code of Civil Procedure. The text highlights the ratio legis of the restoration of separate proceedings in commercial cases, which took place on 7th November 2019, when the fundamental part of amendment to the Code of Civil Procedure from 4th July 2019 became effective. It was indicated that the provisions in force from 3rd May 2012 until the entry into force of 160 the amendment in question, did not work out and generated numerous problems. Later, criticism of some practitioners and theorists who questioned the solutions adopted by the legislator was challenged. The polemic was mainly raised with regard to the issue of economic matters, the perception of an entrepreneur and the jurisdiction of economic courts (departments).

The aim of the proposal is to provide a uniform way to fill the current legal gap in those EU Member States which have not yet adopted legislation specifically on supply of digital content, and the harmonization of the legal systems of those countries that have already adopted such a legislation. Its entry into force will prevent particularization of national rules on liability for failure to perform the obligations arising from contracts for the supply of digital content and for the improper performance of obligation, including the lack of conformity of the digital content with the contract. As a result, it will prevent fragmentation of the digital content market. Entry into force of the proposed directive should improve legal protection of consumers in the event of non-compliance with the contract of digital content received from their suppliers. The proposed directive will have a significant impact on the legal situation of suppliers of digital content. Worth consideration is the removal of defects identified in the opinion that raise doubt as to its legislative correctness.

One of the most drastic legal solutions introduced after the outbreak of the October Revolution was the abolition of inheritance. In subsequent years the basic institutions of inheritance law have been gradually restored, but the scope of the inheritance law granted to citizens has remained narrow. The purpose of this paper is to indicate the potential impact of these Soviet patterns on contemporary Polish inheritance law. The article is divided into three parts. The first part presents a brief outline of the evolution of Soviet inheritance law, from the period of the October Revolution to 1945. There- after, the proposal to implement Soviet solutions into Polish law is presented. It was embodied in five theses for the project of inheritance law, prepared during the works of the Codification Commission in 1951. The last part describes the further history of this project. The article finishes with the concluding remarks in which the author seeks to indicate the legacy of the October Revolution in the current inheritance law in Poland.

Zasadniczym celem podjętych rozważań była z jednej strony ocena przekładalności wyników badań kryminologicznych na decyzję ustawodawcy o zakresie kryminalizacji wyselekcjonowanego zachowania niepożądanego, przy uwzględnieniu zarówno potrzeb dyktowanych polityką kryminalną, jak i problemów wynikających z ułomności języka jako nośnika treści takiej decyzji; z drugiej zaś odpowiedź na pytanie, czy inne niż prawnokarne narzędzia normatywne są w stanie skuteczniej reagować na naruszanie dóbr prawnych osoby pokrzywdzonej. Jako egzemplifikację wybrano zjawisko stalkingu oraz powiązane z nim regulacje, tj. § 107a austriackiego kodeksu karnego oraz § 382g ustawy o procedurze egzekucyjnej i zabezpieczającej w austriackim postępowaniu cywilnym. W pracy odwołano się do kilku orzeczeń austriackiego Sądu Najwyższego, a wykorzystując metodę formalno-dogmatyczną, dedukcyjną oraz diagnozy kryminologicznej, dokonano krytycznej analizy wskazanych regulacji.
The underlying objective of the analysis carried out in the paper was on the one hand to evaluate how the results of criminological examinations translate into the legislator’s decision as to the scope of criminalisation of a selected undesirable behaviour, taking into account both the requirements of criminal policy and problems resulting from the imperfect nature of language as a carrier of the contents of such a decision. On the other hand, the paper was intended to determine whether other normative tools than those offered by penal law can more effectively respond to violations of legal interests of an aggrieved party. The phenomenon of stalking and related regulations, namely § 107a of the Criminal Code of the Republic of Austria and § 382g of the Austrian Federal Act on Execution and Safeguarding Proceedings, was used to illustrate the analyses. The paper makes references to several judgments of the Supreme Court of Justice of Austria, and uses the formaldogmatic method, as well as the deductive approach and criminological diagnoses to carry out a critical analysis of the regulations referred to above.

The aim of the proposed directive is full harmonization of national legislation on consumer goods in relation to conformity with the contract for distance sale, the seller’s liability for lack of conformity of goods with such contract and under the commercial guarantees. The proposal causes no legislative objections. Its entry into force requires implementation through an amendment of the Civil Code. The implementation of the directive may lead to re-fragmentation of the legal system as concerns the liability for the lack of conformity of goods with the contract. In the case, indeed, the implementation of the proposal will mean the creation of a specific rules relating solely to consumer contracts for a distance sale, and will result in establishing a particular legal regime governing the seller’s liability for one of the many types of sales contracts, distinguished upon the way of its conclusion.

The author observes that on the basis of the Act on the System of Social Security the differentiation between mandate contracts and contracts for specific work is of primarily practical nature. It determines the possibility of recognizing particular contracts as autonomous right to social security. The author indicates a set of criteria enabling to differentiate those two types of contracts–a type of performance, an obligation concerning the result and due diligence action, a range of risk concerning performing such contracts, a possibility to terminate them by one-sided legal acts. The author claims that qualification of civil law contracts in context of the system of social security must not differ from their qualification in civil law. Rules that social security is common and compulsory might justify application of directional directive ordering deciding on the doubts concerning law, only when civil law instruments of interpretation of expressions of will do not allow for qualifying a contract as a mandate contract or a contract for specific work, which might take place in extraordinary circumstances of mixed contracts.

W artykule omówiono instytucje oświadczyn z perspektywy prawa cywilnego. Ukazano cechy oświadczyn przemawiające za uznaniem ich za ofertę w rozumieniu Kodeksu cywilnego oraz postarano się przeanalizować orzecznictwo i poglądy przedstawicieli nauki odnoszące się do tej problematyki. Celem publikacji jest przybliżenie zagadnienia związanego z charakterem oświadczyn na kanwie prawa cywilnego.
The article discusses the institution of proposal from the perspective of civil law. The article points out the characteristics of declarations that support their recognition as an offer within the meaning of the Civil Code and analyses the jurisprudence and opinions of scholars on this issue. The purpose of the publication is to present the issue related to the nature of proposal in the context of civil law.

This paper reflects on the justified reasons that underlay the continuation of the works on a new version of the Polish Civil Code. The author proposes a departure from the current method of the regulation of the civil code, which seems to be now exhausted and offering no hope of improvement. He justifies his views by indicating the necessity to face and challenge the imminent crises that affect the legislature (de-codification, hasty and not well thought over decisions of amendments, or departure from the law-making model based on negotiations) but also the science of civil law (the crisis of universities – the teaching focused on the needs and expectations of a mass student group and the dogmatic-views of the researchers) and the judicature in which the judges are brought down to the position of ‘higher level clerks’ working in work overloaded courtrooms. The paper identifies the insufficiencies of the current reflection on private law, and to illustrate this, two examples are offered: the recent and doubtful amendments to the Civil Code (to which a new provision of Article 72 § 2 was added) and the insufficient doctrinal reflection given to exploitation (Article 388 of the Civil Code). In conclusion the author proposes a departure from the current system in favour of a system whose roots are based on legal principles defined and precised by legal science and judicial decisions.
W artykule podjęto refleksję nad zasadnością kontynuacji prac nad nowym kodeksem cywilnym. W tym względzie autor wskazuje na konieczność porzucenia dotychczasowej metody regulacji, gdyż ta już się wyczerpała i nie daje nadziei na poprawę sytuacji. Swoje zapatrywania autor uzasadnia koniecznością zmierzenia się z zasygnalizowanymi w tekście kryzysami, dotykającymi zarówno legislatywę (zjawisko dekodyfikacji, nieprzemyślane nowelizacje, odejście przez ustawodawcę od negocjacyjnego modelu tworzenia prawa), jak i naukę prawa cywilnego (kryzys uniwersytetów – prowadzenie dydaktyki zorientowanej na masowego studenta oraz nadmierne hołdowanie metodzie formalno-dogmatycznej przez badaczy), a także judykaturę (sprowadzenie sędziów do roli „lepszych urzędników”, nadmierne obłożenie sądów). W artykule wskazano nadto na niedomagania obecnej refleksji nad prawem prywatnym, a by to zilustrować, wykorzystano dwa przykłady: niedawnej wątpliwej nowelizacji Kodeksu cywilnego (dodanie nowego przepisu art. 72 § 2 k.c.) oraz niedostatecznej refleksji doktrynalnej nad zjawiskiem wyzysku (art. 388 k.c.). W konkluzji autor proponuje odejście od obecnego modelu, w którym centralną pozycję zajmuje pandektystyczny kodeks cywilny, na rzecz systemu ruchomego, którego rdzeniem są zasady prawne, doprecyzowane przez naukę i orzecznictwo.
