Opis:
This paper concerns the problem of unilateral legal actions of a member of the management board of a limited company. At the beginning the authors present the existing views on Articles 210 § 1 and 379 § 1 of the Polish Company Code. In detail, the aim of the introduction of the abovementioned articles to the legal order is discussed. The main objective of the paper strives to answer the question whether, besides the requirement of the representation of the company by the supervisory board or a plenipotentiary established by a resolution of the shareholders, in cases of contracts with a member of the management board there are other legal actions that require this special way of representation. This issue is analysed not only from the perspective of the company as a recipient of the declaration of intent but also from that of the person that submits the declaration of intent.

Immanuel Kant’s philosophy, especially his categorical imperative, is one of several ethical theories mainly used to morally legitimize actions, referred to as Corporate Social Responsibility. Opis:
Shareholders of Polish companies dispose of various rights – property as well as corporate. Majority of corporate rights can be exercised by a representative. Representation, in this regard includes two categories: proxy and statutory rep-resentation. Regulations concerning representation vary, depending on kind of company in which they are used (limited liability companies, joint – stock com-panies or public companies, whose regulation is influenced by European law). In current study representation to exercise corporate rights of shareholders will be examined on the meta-law level. Provisions of international private law shall be observed to determine that which country’s legal regime shall be applied to interpret the institution of representation in cross-border situations. Additionally, it is necessary to distinguish the scopes of laws applicable for different issues connected with representation. The dissertation is aimed to address all abovementioned questions with the reference to European and Polish law.
