Private international law is of great practical importance in the European Union, especially for the proper functioning of the internal market. It has been enacted mainly in the form of the Rome I-Regulation. The question of which national law applies in a cross-border case is often decisive with regard to employment contracts, because national substantive employment laws remain extremely diversified. The first aim of this paper is to outline the major issues relating to conflict-of-laws rules concerning the employment relationship. The second aim is to show the scope of the freedom to choose the law applicable to the employment relationship. The employment relationship, like any contractual relationship, can be subject to the law chosen by the parties but this choicehas limited practical importance. The priority is therefore the protection guaranteed to the employee under the law of the state indicated by objective hyphens.

Shareholders of Polish companies dispose of various rights – property as well as corporate. Majority of corporate rights can be exercised by a representative. Representation, in this regard includes two categories: proxy and statutory rep-resentation. Regulations concerning representation vary, depending on kind of company in which they are used (limited liability companies, joint – stock com-panies or public companies, whose regulation is influenced by European law). In current study representation to exercise corporate rights of shareholders will be examined on the meta-law level. Provisions of international private law shall be observed to determine that which country’s legal regime shall be applied to interpret the institution of representation in cross-border situations. Additionally, it is necessary to distinguish the scopes of laws applicable for different issues connected with representation. The dissertation is aimed to address all abovementioned questions with the reference to European and Polish law.

This article explores the accepted and emerging international law principles applicable to the resolution of sovereign debt crises. The need for agreement on a set of guiding principles and mechanisms for resolving such crises is highlighted. The history of debt moratoriums, exchange controls and bailouts as instruments for dealing with sovereign debt crises is first outlined. The article then turns to an examination of alternatives to these policy options. Both market based and statutory approaches to sovereign debt restructuring are examined. The article ends with recommendations on a set of guiding principles for choosing between the various policy options available when a sovereign debt crisis is threatened.

Mass inflow of Ukrainian citizens into Poland gives rise to many legal issues, including conflict-of-law questions about rights in rem held by such persons both in respect of property left in Ukraine and property brought to Poland. In the context of the prolonged stay of such persons in Poland, one crucial task may be, for example, to establish the law applicable to the disposal of their property brought to Poland under legal acts made in Poland.The Agreement between the Republic of Poland and Ukraine on legal aid and legal relationships in civil and criminal matters, done at Kiev on 24 May 1993, applicable in Polish-Ukrainian relations, devotes several  provisions to those questions.However, the Agreement ignores the question of the law applicable to property law relationships having movable items as their objects. In particular, it does not designate the law applicable to contracts transferring the ownership of movable assets and contracts encumbering such assets with limited rights in rem. The relevant norms in this regard are conflict-of-law rules of the Polish Act of 04 February 2011 — Private International Law, and of the Ukrainian confl ict-of-law Act of 23 June 2005, designating the law applicable to property.Accordingly, as long as movable items are located in Poland, Polish law will apply with regard to the respective property law relationships. This is provided for in Article 41 (1) of the Private International Law Act. However, Polish law will not apply to obligational and property rights having as their object immovable properties located in Ukraine, which is covered by Article 32 of the Agreement of 24 May 1993. In this regard, Ukrainian law is exclusively applicable.Under Article 41 (2) of the Private International Law Act, in the assessment of legal relationships relating to a movable property brought to Poland from Ukraine, one should also consider legal events taking place when the asset in question was still in Ukraine. However, the assessment of legal events having an impact on property law relationships taking place in Poland and relating to movable items brought back to Ukraine will be based on the Ukrainian law.

The Act of 5 July 2018 on the succession administration of the business of a physical person introduced a possibility to carry out transactions relating to establishing and performing administration of the estate. In particular, the Act permits to appoint a succession administrator and empowers him or her to carry out legal transactions relating to the business of the deceased entrepreneur. A need to determine the law applicable to these legal transactions arises. The article contains an analysis of the conflict rules adopted in the EU Succession Regulation. From this analysis the author draws a conclusion that the appointment of the succession administrator and the legal acts relating thereto are subject to the law applicable to succession. Likewise one should classify legal transactions relating to the administration of the business undertaken by persons named in the Act to carry out administration in the period before the succession administration is established. The prerequisites of the validity of the legal transactions carried out by the effectively nominated succession administrator on the other hand are subject to the law applicable to the given legal transactions, as according to general rules relating thereto. This includes, inter alia, that the legal acts falling with the scope of the law applicable to succession (Article 23 of the Succession Regulation), are governed by that law.

This article focuses on the existence of power laws in the firm-size distribution in Poland. Specifically, we empirically test whether the size distribution of companies in Poland has the characteristics of Zipf ’s law, a special case of power law observed in many different contexts in empirical economic literature. Our analysis uses 2019 data on the 2,000 largest companies in Poland as ranked by the Rzeczpospolita daily newspaper in its “Lista 2000” (Top 2,000 List). We reviewed theoretical mechanisms generating power laws and used several estimators of the power-law exponent in our empirical analysis. Our results confirm statistically significant deviations from Zipf ’s law in the firm-size distribution in Poland. We found evidence that the power law cannot satisfactorily approximate the sales-based distribution of firms.
Artykuł koncentruje się na istnieniu praw potęgowych w rozkładzie wielkości firm w Polsce. Przetestowano empirycznie, czy rozkład wielkości firm w Polsce ma cechy prawa Zipfa – szczególnego przypadku prawa potęgowego obserwowanego w wielu różnych kontekstach w literaturze ekonomicznej. W analizie wykorzystano dane z roku 2019, dotyczące 2000 największych przedsiębiorstw w Polsce, notowanych na Liście 2000 „Rzeczpospolitej”. Dokonano przeglądu teoretycznych mechanizmów generujących prawa potęgowe, a w analizie empirycznej zastosowano kilka estymatorów wykładnika potęgi. Uzyskane przez nas wyniki potwierdzają istotne statystycznie odchylenia od prawa Zipfa w przypadku rozkładu wielkości firm w Polsce. Znaleźliśmy dowody na to, że prawo potęgowe nie jest w stanie w zadowalający sposób aproksymować rozkładu firm opartego na sprzedaży.

The subject of the study is the analysis of the conflict of law rules contained in Article 30 of the Agreement between the Republic of Poland and Ukraine on legal assistance and legal relations in civil and criminal matters, made in Kiev on May 24, 1993 (Journal of Laws of 1994, No. 96, item 465) determining the jurisdiction and applicable law for establishing, amending, terminating and canceling the adoption. Before proceeding with this analysis, some differences in the substantive and procedural/technical rules relating to adoption in Polish and Ukrainian law are pointed out. Furthermore, it is emphasized that under Article 30 of the Agreement the institution of renvoi plays no part. In the event of multiple Polish and Ukrainian citizenship, the decisive factor becomes the “effective” citizenship. Article 30, on the other hand, offers no solution for stateless persons. Next, the jurisdiction designated by Article 30 sec. 5 sentence 1 of the Agreement (dealing with matters of adoption, as well as the amendment, termination or annulment of the adoption) is analyzed. Subsequently, the author takes up the questions relating to determination of the law applicable to adoption by one person and the joint adoption by spouses. The author contends that the law applicable to the adoption is fixed and so it is not subject to changes. The article assumes that the effects of a full adoption “transform” — on the confl ict-of-laws level — into relations between parents and children, and the effects of a partial adoption are governed by the law applicable to the establishment of adoption.The article shows that the law applicable to its establishment of the adoption is applicable also to the amendment, termination and annulment of adoption. The author further submits that in theory the public policy clause may be used under the Polish-Ukrainian Agreement, but in practice this should not occur too often because there are no provisions of the Ukrainian adoption law, the application of which would result in consequences contrary to the fundamental principles of the Polish legal order.

Clear normative grounds for the information obligation are visible in the Directive (EU) 2016/97 of the European Parliament and of the Council of 20 January 2016 on insurance distribution (hereinafter: IDD). One of the challenges before insurance law is to answer the question whether and how one should sanction violations of disclosure obligations resulting in the absence of the desired insurance protection. In this aspect important legal problem is law applicable to the assessment of liability for violation of disclosure obligations by the insurer. The second important problem is law applicable to the assessment of liability for violation of disclosure obligations by third parties vis-a-vis the insurer. Some remarks concerning jurisdiction in matters relating to the loss of chance to become insured, have different practical implications.

The paper deals with the question of the optimal conflict of law regulation for the protection of personality rights in Poland. Three issues are discussed: the question of the optimum objective connecting factor, the question of the choice of the applicable law and the question of the clause of the closest connection. The most appropriate objective connecting factor seems to be the place of damage, understood as the place of the publication of information. The choice of law by the parties should be allowed. This would imply the autonomy of the will, but it would also enhance the certainty of the applicable law. Finally, it seems justified to introduce a clause of the closest connection. This would make it possible to apply the substantive law most closely linked to the situation, and also help to avoid characterisation conflicts

The article raises issues concerning legal basis for the application of the overriding mandatory rules. In the Polish doctrine there are two opposing concepts in terms of explanation of the legal grounds for application of overriding mandatory rules. Both theories do not have a universal dimension, in the sense that they do not sufficiently explain the basis for the application of domestic as well as foreign overriding mandatory rules, being part of lex causae or coming from a third state. The article presents arguments for and against the possibility of deriving the legal grounds for application of the overriding mandatory rules, with reference to submissions made to that effect in literature. The author makes also an attempt to formulate a concept complementary to the concept of an integrated conflict-of-law rule with the substantive law rule, boiling down to the assumption that the basis for application of overriding mandatory rule is a second degree conflict of laws rule allowing to apply a first degree conflict of laws rule integrated with the substantive rule.
