    The fundamental purpose of this article is to present the results of analysis the level and structure of equity of the selected companies quoted on the Warsaw Stock Exchange. The empirical investigation are aimed at verification of the hypothesis which assumes that on the forming of book value of equity of the joint-stock exchange companies mainly influenced by the value of the resource capital, which the share in the equity in the meaning way is prevailing above the share capital of. The empirical investigations have been preceded by the theoretical deliberations upon the role and meaning of the structures of equity in the joint-stock companies.

    The fundamental purpose of this article is to present the results of analysis the level and structure of the resource capital of the selected companies quoted on the Warsaw Stock Exchange. The empirical investigation are aimed at verification of the hypothesis which assumes that the supplementary capital and self-financing capital plays the primary role in forming the book value of the resource capital, also in companies about so formed structure of resource capital observed higher profitability of total capital (total assets – ROA). This article presents the estimate of the effectiveness of companies using nonparametric DEA method. It enables to determine the effectiveness of objects at taking into consideration many inputs and many outputs and does not require determining the functional relation between variables. The analysis has been carried out using an input-oriented measure of efficiency and the constants returns to scale (CRS model).

    Running a business is not possible without suitable resources of financing. Determination of rational financial structure is a necessary condition for efficient operation of a company. Financial resources as well as their configuration may lead either to development or to bankruptcy of a company. Thus, the decision about financial structure is a matter of fundamental importance to subsequent operation of organization. Moreover, this decision is made by the management during continuous company's activity. Unfortunately, both the description of the very process of reaching the decision and its validation seem to be really hard to formalize and to operationalize. Despite the fact that there have been carried out analyses, the issue of managing the financial structure remains to be resolved. Above all, the difficulties reside in the process of devising a suitable and universal model which would be widely accepted, particularly in the context of Polish capital market. This paper brings up modern models for constructing the capital structure as well as models for analyzing the efficiency of managing such a structure. Polish capital market issue, given in question is also illustrated in the context of administering financial structure in the Polish companies (including the ones which went out of business on stock.

    The paper investigates financial performance and market value of Polish listed innovative companies between the years 2009–2012. The study, using a non-parametric independent-samples Kruskal-Wallis test and Median test, shows that the distribution and the medians of ROE, ROA, profit margin, P/E and P/BV are different across categories of listed innovative companies in compared to other listed companies. The obtained results may suggest that the innovation have positive impact on return on equity, assets and profit margin. However better effectiveness is not always reflected in the market value. What is more managers of companies that implemented R&D to increase its market value should focus on breakthrough innovation and improving the quality and dissemination speed of R&D activity information for shareholders.

    The main purpose of this study was to examine the role and importance of the comprehensive income, which was introduced to financial reporting in Poland in 2009, in the forming of the market value of listed companies. The major subject of the theoretical- empirical study was to test of the general research hypothesis that stipulated that the comprehensive income create a significant growth potential of market value and is a drivers of the wealth of the shareholders of a listed company. The research comprised joint-stock companies listed on the Warsaw Stock Exchange and included in WIG-30 Index (qualified on 14.04.2014). Empirical data for the study was obtained from the quarterly financial statements (the period from 2009 to 2013), stock market bulletins, as well as information published on the enterprises' websites.

    Strategiczna karta wyników jest jednym z podstawowych narzędzi zarządzania przedsiębiorstwem, którego działalność opisuje się standardowo w perspektywach: finansowej, klienta, procesów wewnętrznych i rozwoju. Przedstawia ona w sposób przyczynowo-skutkowy cele całej działalności przedsiębiorstwa i ich mierniki. Wzorując się na strategicznej karcie wyników stosowanej dla całego przedsiębiorstwa, zaproponowano analogiczną kartę do projekcji i oceny skutków integracji przedsiębiorstw. Integracja przedsiębiorstwa, a szczególnie fuzje i przejęcia są przedsięwzięciami inwestycyjnymi i dotyczą jednego celu strategicznego, tj. rozwoju przedsiębiorstwa.W ramach tej aktywności do badania skutków integracji przedsiębiorstw zaproponowano bardziej szczegółowe obszary (perspektywy) obejmujące zagadnienia efektywności, zasobów, produktów i rynku oraz kompetencji. W perspektywie efektywnościowej podstawowym miernikiem celu jest wzrost wartości przedsiębiorstwa macierzystego, ale także stosowane są uzupełniająco mierniki statyczne i dynamiczne. Do standardowych mierników statycznych należą wskaźniki rentowności, a do dynamicznych wartość zaktualizowana netto. W perspektywie zasobowej cele integracyjne upatruje się w aktywach geologiczno-górniczych, w szczególności w koncesjach na poszukiwanie, rozpoznanie i użytkowanie złóż. Zasadnicze wymiary oceny plasują się w makroekonomicznej i mikroekonomicznej lokalizacji oraz ocenie geologiczno-górniczej. W perspektywie produktowo-rynkowej cele integracyjne sytuują się w obszarze produktu i polegają na zwiększeniu wolumenu produkcji, wzbogaceniu jego użyteczności w tym cech jakościowych oraz nowych produktach związanych z dywersyfikacją działań. Cele w obszarze rynkowym dotyczą zwiększenia bazy klientów przy czym korzysta się odpowiednio z analiz sektorowych lub portfelowych. Perspektywa kompetencyjna obejmuje wiele obszarów tworzących wiedzę organizacyjną przedsiębiorstwa, na którą składa się mistrzostwo indywidualne, doświadczenie, umiejętność rozwiązywania problemów. Działania, których firma nie może zrealizować samodzielnie, zlecane są na zewnątrz. Zwrócono także uwagę na fakt, że jednym z podstawowych celów integracji przedsiębiorstw jest poszerzenie pola kompetencji.
    Strategic scorecard™ is one of the basic tools in managing the company, which activity is standardly described from several perspectives i.e. finance, client, internal processes and development. It presents, in casually-consecutive way, the targets of company and their measurers. Modelling after the strategic scorecard utilized with regard of entire company, the similar card for projecting and evaluating the results of companies integration, was proposed. Company integration, especially mergers and takeovers are the investment projects and concern, as a whole, one strategic target i.e. the company development. Within that activity, in order to study the results of companies integration, the areas (perspectives) covering the problems of effectiveness, resources, products and market as well as competences, were proposed. From the perspective of effectiveness the basic target measurer is the increase of parent-company’s value but also static and dynamic measurers are used. Among the standard static measures are profitability ratios, while among dynamic ones the net present value (NPV). From resource perspective, the integration targets are sought in mining-geological assets, especially in deposits exploration, prospection and mining concessions (royalties). Essential dimensions of evaluation are positioned within the macroeconomic and microeconomic location and geological and mining estimation. From the product-market perspective, the integration targets are located within the product area and consists in increasing the production volume, improving its usefulness including quality features and new products related with activity diversification. Targets in the market area concern the increase of clients database, whereat the sectorial or portfolio analyses are used respectively. Competence perspective includes many areas building the general organizational knowledge of the company involving individual mastership, experience and problems solving competence. The activities which cannot be made by company itself are contracted outside. It was pointed out that one of the basic targets of companies integration is widening their competence range.

Analizę wpływu polityki zrównoważonego rozwoju na wzrost wartości rynkowej firm przeprowadzono na podstawie przedsiębiorstw górniczych LW „Bogdanka” S.A. oraz KGHM Polska Miedź. S.A.
    This paper discusses the impact of the concept of sustainable development on the increase of market value of enterprises and points to the specific need of its implementation in the mining sector. By using the Stock Exchange index called RESPECT Index, the benefits gained by companies operating in accordance with the principles of CSR were defined. The analysis of the impact of sustainable development on the growth in the market value of companies was based on LW „Bogdanka” SA and KGHM Polish Copper. S.A. mining companies.

    The purpose of this article is to present certain trends in the distribution of value created by businesses for groups of stakeholders as part of a conception of sustainable growth. The articles defines value, who this value should benefit, and in what way it should be distributed. A method for measuring distributed value based on cash flow is demonstrated. The current value of this cash flow within a definite timeframe may serve as a potential indicator for the continuation or liquidation of operations in terms of the maintenance or loss of benefit for stakeholders.
    Celem artykułu jest przedstawienie aktualnych trendów w koncepcji dystrybuowania wartości dla interesariuszy jako obszaru zarządzania opartego na zrównoważonym rozwoju. Artykuł definiuje wartość jako korzyść i sposoby jej pomiaru. Jednocześnie zaprezentowano pomiar dystrybuowanej wartości dla interesariuszy na podstawie dynamicznego podejścia opartego na przepływach pieniężnych. Wartość dodana oparta na przepływach pieniężnych dla interesariuszy może stanowić potencjalny miernik do podejmowania decyzji dotyczących kontynuacji lub likwidacji działalności.

    This study aims to analyze the relations between the institutional investors’ share in the ownership structure and the operation of publicly-traded companies, in particular, their financial standing and value. It presents the most significant reasons and mechanisms how institutional investors affect the chosen aspects of operation of portfolio companies. The findings of the selected international and domestic research pertaining to the impact of institutional investors on the development of the financial standing and value of companies were discussed. Moreover, the creation of value of companies and value for shareholders in the Polish capital market has been assessed. It was found that positive, statistically-significant relations between the institutional ownership and the financial standing and value of companies are usually seen in the developed capital markets. It pertains mainly to the markets featuring a high degree of institutional ownership development. The research in the Polish capital market has not resulted in any implicit outcomes, but there is an increasing amount of empirical evidence demonstrating certain relations.
    Celem pracy jest analiza zależności między udziałem inwestorów instytucjonalnych w strukturach własnościowych a funkcjonowaniem spółek giełdowych, zwłaszcza ich kondycją finansową i wartością. W pracy przedstawiono najważniejsze przesłanki i mechanizmy oddziaływania inwestorów instytucjonalnych na wybrane aspekty funkcjonowania spółek portfelowych. Zaprezentowano wyniki wybranych badań zagranicznych i krajowych, dotyczących związków między udziałem inwestorów instytucjonalnych we własności a kondycją finansową i wartością spółek. Ponadto przeprowadzono ocenę kreacji wartości spółek i wartości dla akcjonariuszy na polskim rynku kapitałowym. Ustalono, że pozytywne, statystycznie istotne zależności między własnością instytucjonalną a kondycją finansową i wartością spółek są zazwyczaj obserwowane na rozwiniętych rynkach kapitałowych. Dotyczy to zwłaszcza rynków charakteryzujących się dużym stopniem rozwoju własności instytucjonalnej (Thomsen, Pedersen, 2000; Ferreira, Matos, 2008). Natomiast badania na polskim rynku kapitałowym nie przynoszą jednoznacznych wyników (Aluchna i inni, 2005; Aluchna, 2007; Jeżak, Matyjas, Bohdanowicz, 2010; Adamska, Urbanek, 2014). Ocena kreacji wartości dla akcjonariuszy w spółkach z udziałem inwestorów instytucjonalnych była zróżnicowana (Szewc-Rogalska, 2012). Spółki z dużym udziałem funduszy emerytalnych wyróżniały się pod względem kreacji wartości dla akcjonariuszy, a także pod względem poziomu wypłacanych dywidend. Natomiast w spółkach z dużym udziałem funduszy inwestycyjnych nie występowała kreacja wartości dla akcjonariuszy.

    Groups of companies play a significant role in the Polish economy. However, many of them do not increase their value. The aim of the article is to indicate the transfer of value as one of the reasons for value destruction in groups of companies. The legal aspects of the functioning of groups of companies are also presented. In Poland, the holding law will implemented in 2021, but it will not probably fully apply to listed companies. The reasons for and consequences of such treatment of listed companies were explained.
    Grupy kapitałowe odgrywają dużą rolę w polskiej gospodarce. Okazuje się jednak, że wiele z nich nie powiększa swojej wartości. Celem artykułu jest wskazanie na transfer wartości jako jedną z przyczyn destrukcji wartości w grupach kapitałowych. Zaprezentowano także aspekty prawne funkcjonowania grup kapitałowych. W Polsce od 2021 roku będzie obowiązywało prawo holdingowe (prawo grup spółek). Prawdopodobnie nie będzie dotyczyło w pełni spółek giełdowych. Wyjaśniono powody oraz konsekwencje takiego potraktowania spółek giełdowych.

    The article concerns the patterns of development of the tax legislation of the Russian Federation and other countries related to the taxation of companies providing digital services. Some scientific and practical issues affecting the problems of tax incentives for entrepreneurship in digital companies are analyzed. The article covers the issues of the staged transformation of Russian tax law, which occurred as a result of the so-called "tax maneuver" of the rules for taxation of IT companies, associated with the need to stimulate the production of national software. The main idea of the research is - the concept of legal regulation of taxation of digital companies should be based on the supranational agreements reached by states, in accordance with which the digital transformation of tax legislation of individual countries will be carried out. The prospects for the introduction of digital taxes in Russia were also estimated, taking into account the experience of other countries as a unilateral response actions to the failure to reach an international consensus on taxation of the digital economy. At the same time, both the possible risks and the positive aspects of establishing a digital tax, which have a beneficial impact on the Russian tax climate, are indicated. The author uses the historical and comparative legal methods of science, as well as the method of systems analysis.
