    The rise of the financial sector – and alteration of its functions in capitalism – has been discussed not only by economists but also by sociologists and political economists. Financialization is “(…) the increasing role of financial motives, financial markets, financial actors and financial institutions in the operation of the domestic and international economies” (Epstein 2005: 2). It is not a brand new process in sociology. However its scale and nature become an ever more popular element of the current diagnoses. Its main assumption is that crises of capitalist economies are not anomalies and their scale is dependent on the (lack of) control according to the market laws. The idea that the form of crises and their scale seem to be even more grave and take into account the interdependencies between national economies is becoming paradigmatic in the social sciences. The analysis starts with a review of financialization theories, proposed in political economy and sociology. I then empirically examine the Polish financial sector of the last 15 years with a particular focus on the role of mortgages.

    Przedmiot badań: Artykuł odnosi się do fenomenu koordynacji działalności gospodarczej w ramach korporacji. Punkt wyjścia stanowi obserwacja, że teorie ładu korporacyjnego z reguły zwrócone są do wewnątrz organizacji, ku otoczeniu kierują się głównie z uwagi na jego wpływ na organizację. Tymczasem obserwuje się, że korporacje nie zawsze dostosowują się biernie do reguł stanowiących ład w ich otoczeniu. Cel badawczy: Artykuł ma na celu zwrócenie uwagi na te próby teoretycznego objaśniania fenomenu korporacji, które wychodzą poza zakres ładu korporacyjnego. Stawia pytania: Jak domena badań ładu korporacyjnego może być wzbogacona i rozszerzona dzięki przyjęciu ekonomiczno-politycznej perspektywy badawczej? Co nowego wnosi taka perspektywa w sensie oddziaływania korporacji na ich dalsze otoczenie? Metoda badawcza: W niniejszym przeglądzie idei wykorzystano aparat analityczny wybranych teorii ekonomiczno-instytucjonalnych i ekonomiczno-politycznych (instytucjonalna teoria firmy, szkoła odmian kapitalizmu, teorie strukturalnej zależności). Sposób analizy tworzy intelektualny pomost pomiędzy teoriami ładu korporacyjnego oraz instytucjonalną ekonomią polityczną. Wyniki: Teorie z pogranicza ekonomii i polityki pozwalają znaleźć argumenty na rzecz tezy, że korporacja jest w stanie zmieniać środowisko instytucjonalne, w którym funkcjonuje. Fenomen koordynacji działalności gospodarczej w organizacyjnych ramach korporacji nie ogranicza się bynajmniej do wpływu na przedsiębiorstwa konkurentów i na własnych pracowników. Korporacje mają zdolność nie tylko do uzyskiwania wyników w ramach systemu gospodarczego, lecz także zdolność wpływania na wyniki w ich dalszym otoczeniu, bowiem dysponują władzą strukturalną.
    Backgrounds: The subject is a phenomenon of coordinating economic activities within corporate framework. The paper sets off from a following observation: Corporate governance theories as a rule are inside-looking, which also means they consider mainly the impact of environment on corporation while practice says corporation is not always willing to surrender to its regulatory environment. Research purpose: The paper points to these theoretical explanations of the coordination it considers, which develop perspective broader than corporate governance theories. The central questions are: How economic-political approach adds to corporate governance theories? How this approach contributes to our understanding of corporation’s impact on social environment? Methods: This review draws from analytical toolbox of selected economic-political and economic-institutional theories which are: institutional theory of firm, Varieties of Capitalism school and theories of structural dependence. The line of this analysis builds an intellectual bridge between corporate governance theories and institutional political economy. Conclusions: The economic-political approach provides arguments on behalf of the supposition that corporation is able to change its institutional environment. The impact of coordinating economic activities within corporate framework must be not constrained to impact on competitors and employees of corporation alone. Apart of striving for economic performance, corporations are able to influence economic performance once they are able to produce structural power in their social environment which is broader than population of their competitors.
