Opis:
The manner, in which a written tender has been regulated in the Act of 19 October 1991 on Management of the Treasury Agricultural Property, shows many specific features. Similar to other tender procedures provided for in other legal acts, in particular in the Civil Code, it is a multilateral and qualifying procedure. However, unlike other tender procedures, price of the land is not the subject of competition of the participants. Moreover, no provision of the future agreement of sale is defined in the course of the tender. This makes it a unique solution, to which the tender provisions contained in the Civil Code may be applied only by analogy. It seems that this applies to regulations of the Civil Code related to the claim to conclude a contract of sale, the annulment of the contract concluded by invitation to tender and the effects of lodging the security to the extent not regulated by the Act on Management of the Treasury Agricultural Property.

The main purpose of this paper is to analize few selected aspects of the article 28a of the Act on management of the agricultural properties owned by the State Treasury. It is one of the legal instruments aimed at prevention against excessive concentration of agricultural properties. Important issue is to verify opinions formulated in the legal doctrine regarding to legal sanctions associated with above mentioned regulation. Author states, that violation of that legal norm causes nullity of sale contract. There are no justified reasons to assume another concept formulated in legal doctrine. Particulary, the author disagrees that it is norm without a sanction. Paper deals also with the problem of the definition of family farm in the legal regulation of tender procedure conducted by Agricultural Property Agency. Family farm is defined in the act on formation of agrarian system and it is not necessary to create different definition exclusively for tender procedure regulation.

The constitutional complainant challenged the constitutionality of a part of a Criminal Code provision that states: “anyone who, in order to achieve a material benefit, prevents or obstructs a public tender, or acts in concert with another entity to the detriment of the owner of property or an entity or institution for which the tender is to be held is liable to imprisonment for up to 3 years”, insofar as it provides for criminal liability for entering into an agreement with another person. The author of the opinion concludes that the statutory regulation challenged by the applicant does not violate the principle of specificity of criminal law provisions. Although the regulation raises certain doubts regarding its interpretation, they do not render the addressees of this provision unable to carry out a rational test of the foreseeability of criminal law consequences of their conduct. The challenged provision is in compliance with the Constitution.

Opis:
Local government units try to ensure better access to health care services and assignment of municipal properties for tenancy is one of the most common ways of achieving this goal. Thanks to this activity, entrepreneurs have the possibility to start providing health care services to the local population. The author introduces the provisions of law which should be applied in order to organize and carry out such a tender. Special attention was paid to the process of constructing criteria for the evaluation of offers. The choice of business partner to render medical services in municipal properties could not be a random one. The article contains much advice on how to construct criteria for the evaluation of offers in the correct way (especially from the point of view of the tender’s goals), and reviews the most commonly committed errors by the organizers of tenderprocesses.

Toehold purchase, defined here as purchase of one share in a firm by an investor preparing a tender offer to acquire majority of shares in it, reduces by one the number of shares this investor needs for majority. In the paper we construct mathematical models for the toehold and no-toehold strategies and compare the expected profits of the investor and the probabilities of takeover the firm in both strategies. It turns out that the expected profits of the investor in both strategies coincide. On the other hand, the probability of takeover the firm using the toehold strategy is considerably higher comparing to the no-toehold strategy. In the analysis of the models we apply the apparatus of incomplete Beta functions and some refined bounds for central binomial coefficients.

The article contains a draft position of the Sejm relating to the application submitted by a city council to the Constitutional Tribunal. Contested provisions of the Act on Maintaining Cleanliness and Order in Municipalities adopted on 13 September 1996 provide for mandatory tender for the collection and management of municipal waste. Based on detailed analysis, author claim that Article 6d (1) and Article 6e of the contested Act do not violate the constitutional standard of autonomy of local government units and the European Charter of Local Self Government. In this draft position, she proposes to apply for discontinuance of the proceedings for other parts of the claim due to the inadmissibility of a judgment.

Tender is fundamental procedure leading to conclusion of the sale agreement of the properties belonging to the Agricultural Property Resources of the State Treasury in accordance with the Act on the Management of Agricultural Properties owned by the State Treasury. The author distinguishes several principles, which shall be applied to the above way of conclusion of the sale agreement. The general principle of the proper management reflects in all legal forms of disposition of agricultural properties owned by the State Treasury. Its violation doesn’t cause an invalidity of the sale contract. Appropriate principles, which shall be applied to the tender are as follows: principle of openess, principle of equal treatment and equal access to the tender, principle of fair competition, principle of uniformity and principle of equivalency. Unlike opinions in legal doctrine, the author states that the openess and uniformity are the separate principles. All principles indicate values on which the legal institution of the tender is founded. These principles are also the grounds to formulate the rules of interpretation, which are useful during the operation of decoding of the legal norms.

W kontekście uwarunkowań dla zamówień publicznych poddano analizie ceny ofertowe firm wykonawczych spełniających warunki przetargu ograniczonego na realizację zadania: „Budowa drogi ekspresowej S7 Kraków–Rabka Zdrój na odcinku Naprawa–Skomielna Biała … wraz z budową tunelu”. Zbadano zmienność cen ofertowych przedmiotu zamówienia oraz realizacji poszczególnych obiektów (grup robót), jak również udział nakładów na drążenie tunelu w ogólnej wartości zamówienia. W analizach uwzględniono również doświadczenia z budowy tunelu w drodze S69 Szare–Laliki. Wnioski stanowią próbę wskazania regularności w strukturze kosztów realizacji dróg wraz z obiektami inżynierskimi i tunelem.
Article examines the architecture offers submitted in the open tender for the task: “Construction of the expressway S7 Krakow–Rabka Zdrój section Naprawa–Skomielna Biała ... with the construction of the tunnel.” We examined the volatility of the contract and the implementation of individual tasks, as well as the participation of expenditure on hollow tunnel in the total contract value. In the example, the calculation of the estimate presented the design and structure of prices drill holes tunnel mining method and contrasted it with the investor’s cost estimate and offer the winner. The analysis also takes into account the experience of the construction of a tunnel through S69 Szare–Laliki. Proposals are an attempt to formulate a response to the question about the causes of the existing level of asking prices.

The Act of 21 August 1997 on real estate management specifies two modes in which real estate which is property of the State Treasury or of a local government unit can be transferred or given in perpetual usufruct – a tender and non-tender mode. The real estate resources are the basic assets element of the above-mentioned entities. They may be used for the purposes of development and organised investment activity, in particular for the construction of residential housing as well as implementing other public purposes. A tender procedure has been specified in the Polish law. A tender is the most optimal way to commit public property. The objective of this instrument consists in transactions involving public real estate according to universally applicable rules. It is a way which gives the greatest guarantee of security in terms of transferring immovable property assets.

The article discusses the concept of Olga Tokarczuk’s “tender narrator”, which was demonstrated in her Nobel speech, and developed in a book entitled “Tender Narrator” (Tokarczuk 2020). The writer’s proposed way of describing the narrative and narrator was used to examine the concept of the biographical narrator, his bond with a hero, the truth and the fiction in the biography, the process of discovering and finding a purpose to existence. Olga Tokarczuk’s idea was discussed in the context of other useful theories aimed at the search for meaning: a reference to the concept of the course of life of Charlotte Bühler (1933/1999) and the will to make sense of Viktor E. Frankl (1948/2018, 1982/2017, 1988/2018, 1992/2018) allowed us to see a common ground for reflection on the role and specificity of biographical narrative. On the one hand, Agata Bielik-Robson’s concept (2004) on the trauma of the present highlighted the need for retrospective life storytelling and its therapeutic, reparative nature. On the other hand, the personalistic norm (in its original sense proposed by Karol Wojtyła in “Love and Responsibility” of 1986), according to which the only appropriate way to refer to a person is love, turned out to be close to the model of “tender narrator”. The extensive conceptualization of that idea, proposed by Olga Tokarczuk, compared to the concept of biographical narrator and the concepts mentioned above, allows for a reconsideration of the important issues discussed earlier: the “tender narrator” model turned out to be inspiring for attempts to rethink the adequacy of biographical representation, the objectivity vs. involvement of a biographer, and the relationship between biography and literature.

Theoretical background: The growth in the number of companies delisted from the Warsaw Stock Exchange (WSE), as a result of the cancellation of the dematerialisation of shares, has become a reason for considerations regarding the share price in tender offers addressed to shareholders who have held company securities since the Initial Public Offering (IPO).Purpose of the article: The goal of this study was to evaluate whether the price in tender offers of the shares of companies which had fially been excluded from trading on the WSE as a result of the cancellation of the dematerialisation of shares would ensure a positive rate of return for shareholders who have held the shares since this company’s debut on the regulated market of the WSE.Research methods: Public tender offers, announced between 2012 and 2018 on the regulated market of the WSE have been analysed. The analysis covered prices of shares of new listings on the WSE and share prices in the tender offers of 213 companies, out of which 55 companies have been excluded from trading on the regulated market of the WSE as a result of the cancellation of the dematerialisation of shares.Main findings: The results of the research indicate that more than a half of the shareholders who have held the securities of companies in their portfolio since their debut, have suffered losses after companies have been excluded from trading on the WSE as a result of the cancellation of the dematerialisation of shares. Only 11% of the examined companies have generated more than double profit for investors compared with the issue price during their IPO. This research is one of the few studies on the Polish stock market to the best of the author’s knowledge.

The present study described a group of factors that may influence the decision to participate in a tender, when the subject of the order is the preparation of design documentation. The importance of the proposed factors was based on the opinions of designers who perform such services at the construction market. This analysis is followed by an assessment of the conformity of the opinions by means of the dispersion coefficient of relative ranking. The values of the dispersion coefficient of a relative classification differ considerably, from one another depending on the value under assessment. Yet, it is worth noticing that in the assessment of the factors influencing a bid/no bid decision, experts’ subjectivism cannot be avoided.

One of the main directions of activities conducted by the Agricultural Property Agency is to support agricultural farms. The most significant manifestation of such activities, aimed at supporting this objective, is the sale of land from the Agricultural Property Stock of the State Treasury to individual farmers who wish to enlarge their family farms, under a restricted tender procedure. Although the Act on the Management of the Agricultural Property Stock of the State Treasury also provides for other categories of entities – i.e. other potential participants of such restricted tenders, the procedures aimed at individual farmers are of the greatest importance in the Agency’s activities in this field. However, it should be noted that the statutory regulation concerning tenders for the sale of land with a view to supporting family farms is not complete and does not provide for any legal instruments designed not only to ensure that the land will be acquired by persons with adequate qualifications, but also that such land will be used by the purchaser for the conduct of agricultural activity. Therefore, the Agency introduces appropriate clauses into agreements with such purchasers in order to ensure that agricultural activity is conducted on the land acquired by them. However, the acceptability of such clauses may raise reasonable doubts.

Skupia się na „czułości” jako kategorii metodologiczno-literackiej wprowadzonej przez Olgę Tokarczuk i analizuje jej funkcjonowanie w powieści Prowadź swój pług przez kości umarłych. Takie próby poszukiwania języka Innego kierują ludzki podmiot w stronę międzygatunkowego współbycia i współodczuwania, a gest narracyjnego otwierania się na doświadczenie zwierzęcia staje się majeutyczną metodą przekazywania tego, co zwierzęce i nieświadomie. Podjęta zostanie również próba refleksji nad tym czy narrator oddający głos zwierzęciu nie uzurpuje sobie prawa do przekazywania zwierzęcego doświadczenia.
The article deals with a reflection on the transfer of animal experience in literary texts. It focuses on “tenderness” as a methodological and literary category introduced by Olga Tokarczuk and analyzes its functioning in the novel Drive Your Plow over the Bones of the Dead. Such attemptsto search for the language of “the Other” direct the human subject towards interspecies coexistence and compassion. The narrative gesture of opening up to the animal’s experience becomes a method of transmitting what is animal and unconscious.
