The paper analyses steel restructuring at one of the major steel companies in Poland. It traces the restructuring history from the 1990s up to recent times, arguing that restructuring was heavily influenced by EU-accession conditionality and by the sector-oriented policy of Polish trade unions. While steel restructuring is often considered a major success story in Poland, this article, basing its argument on the life trajectories of the redundant workers, highlights the downside of a sectoral approach which operates at the expense of regional restructuring.

The following article underlines the importance of restructuring as an organisational change. The author determined the prerequisites and the notion of restructuring, and put an emphasis on the significance of restructuring as a change of radical character. On the basis of his own experiences, the author devised and executed restructuring processes in companies. An emphasis was put on the importance of time management for corporate management.
W artykule przedstawiono znaczenie restrukturyzacji jako zmiany organizacyjnej. Omówiono przesłanki i jej istotę, a także podkreślono znaczenie restrukturyzacji jako zmiany o charakterze radykalnym. Autor wykorzystał również własne doświadczenia z opracowywania i realizowania procesów restrukturyzacji przedsiębiorstw.

The article focuses on the European Union law concerning a transfer and restructuring of undertakings, namely on the Directive 2001/23/EC, Directive 98/59/EC and Directive 2002/74/EC. It explains basic definitions adopted by a legislator for the application of these provisions. On the basis of selected case studies, the article identifies when a transfer of undertakings takes place, taking into account selected characteristics of this process. Only under certain circumstances a transfer and restructuring of undertakings are legally recognized, as it has been clarified by the European courts in their rulings. Protection of the rights of employees in the case of a transfer and restructuring of undertakings is directly connected with this subject matter, which has been elucidated in the elaboration.

The restructuring law in force in Poland for two years is still a young branch of law, mainly based on bankruptcy law, which is referred to by the judiciary and doctrine. However, despite the many similarities that combine somehow the two legal acts, i.e. the restructuring law and the bankruptcy law, one should point to some differences already existing at the foundation of these legal acts, i.e. the principles on which they were based. These principles constituted the basis for legislative work, as well as now constitute the main interpretation of the restructuring law. The main purpose of restructuring proceedings is to preserve the debtor’s enterprise, which, as a consequence, generates a lot of positive effects, in this that it helps to achieve the second of the prime objectives of the proceeding, i.e. to satisfy the debtor’s creditors. Other important measures that are supposed to be a consequence of the application of regulations based on the principles described in this article are also those affecting the awareness and mentality of entrepreneurs, among whom there is still a widespread belief that filing for bankruptcy involves bankruptcy, the inability to recover their debts, which causes frequent lack of willingness to take active actions on the part of creditors. Restricting the restructuring law on the described principles is to provide multiple benefits – ensure the debtor’s further existence, satisfy the creditors and maintain stability in the economic market.

Postępowanie restrukturyzacyjne ma na celu dokonanie restrukturyzacji zobowiązań pieniężnych dłużnika, a w jednym z tych postępowań - w postępowaniu sanacyjnym - także restrukturyzacji zatrudnienia i przedsiębiorstwa dłużnika. Ważną kwestią jest więc, jak w takich postępowaniach ma być uregulowany zarząd restrukturyzowaną masą. Przyjęte rozwiązania, w istocie niewiele różniące się między sobą, zdają się uznawać, że zarząd własny upadłego powinien być ograniczony do zarządu zwykłego, w pozostałym zakresie powinien go sprawować ustanowiony przez sąd zarządca. Przyjęte rozwiązanie budzi wątpliwości i opracowanie to stanowi próbę ich rozstrzygnięcia.
The restructuring proceedings aim to restructure monetary obligations and in one of these proceedings (remedial proceedings) to also restructure the employment and business of the debtor. An important question is, therefore, how the management of the restructured assets should be regulated in such proceedings. The solutions, which are in fact slightly different from each other, seem to recognize that the bankrupt's own management should be limited to an ordinary scope. In other respects, it should be exercised by a court appointed manager. The adopted solution is questionable and this paper is an attempt to settle existing doubts.

Zawiera on szeroką analizę pojęcia zdolności restrukturyzacyjnej oraz podstaw jakie muszą zostać spełnione oraz które nie mogą wystąpić, aby możliwe było otwarcie postępowania. Opracowanie odnosi się do innych postępowań restrukturyzacyjnych, a także do orzecznictwa Sądu Najwyższego i sądów powszechnych oraz innych aktów prawnych, w tym w szczególności Prawa upadłościowego.
This article presents the premises for opening the most characteristic of the restructuring proceedings - sanation proceedings. It contains a broad analysis of the concept of restructuring capacity and the grounds that must be met and that cannot occur in order to open proceedings. The study refers to other restructuring proceedings, as well as to the jurisprudence of the Supreme Court and common courts and other legal acts, including in particular the Bankruptcy Law.

Purpose: The aim of the article is to illustrate how important strategic decisions are throughout the process of organisational restructuring and to evaluate the entire process. Design/methodology/approach: Case study of ZPR Group, a media company that operates in Poland. Findings: The analysis presented here on the example of the consolidation of the ZPR Group's sales departments may serve as a starting point for further in-depth analyses which will take into account the aspects of organizational restructuring. Research limitations/implications: The article is based on a case study of the selected organization and in the future this research could be developed in other organizations of this sector or as part of comparative analysis with organizations from other sectors. Practical implications: The article presents a practical assessment of organizational restructuring in the media sector. Social implications: The article presents the social dimension of restructuring processes to some extent. Originality/value: The article presents restructuring and consolidation processes in the media industry.

Uchwalenie nowej ustawy Prawo restukturyzacyjne w Polsce spowodowało, że coraz więcej przedsiębiorców decyduje się na skorzystanie z sądowej ścieżki naprawy swoich przedsiębiorstw. Wynika to z faktu, iż otoczenie gospodarcze dynamicznie się zmienia, co przekłada się na sposób konkurowania i działania podmiotów gospodarczych na rynku. W przedmiotowej pracy autor przedstawia konsekwencje wszczęcia postępowania sanacyjnego z perspektywy organów sprawujących władzę oraz grup interesariuszy w postaci wierzycieli, właścicieli, instytucji finansowych itd.
The adoption of the new Restructuring law in Poland resulted, that more entrepreneurs deciding to use the judicial path to restructure their businesses. This is due to the fact that the economic environment is changing dynamically, which has impact on the way companies compete and operate on the market. In this article, the author presents the consequences of initiating a restructuring proceeding from perspective of the enterprise authorities and stakeholder groups, i.e. creditors, owners, financial institutions, etc.

Doradca restrukturyzacyjny pełni ważną rolę w postępowaniu prowadzonym wobec dłużnika niewypłacalnego lub zagrożonego niewypłacalnością. Istotność tej funkcji podkreśla fakt, że mogą ją pełnić osoby posiadające odpowiednie uprawnienia potwierdzone przez Ministra Sprawiedliwości. Poniższy artykuł ma na celu wskazanie, jakie funkcje pełnią doradcy w postępowaniach naprawczych. Pokazano w nim również, jakie wymogi muszą oni spełnić, aby móc wykonywać czynności wynikające z zapisów ustawy. Dodatkowo sam proces restrukturyzacji został scharakteryzowany wraz ze wskazaniem jego rodzajów funkcjonujących w obrocie prawnym.
The restructuring advisor plays an important role in the proceedings against the debtor who is insolvent or threatened with insolvency. The significance of this function is emphasized by the fact that it can be held only by persons having appropriate qualifications confirmed by the Minister of Justice. The following article is intended to show what functions advisers perform in restructuring process. It also shows what requirements they must meet in order to carry out activities resulting from the provisions of the Restructuring Act. In addition, the restructuring process itself has been characterized along with an indication of its types operating in Poland.

The author provides a critical evaluation of the bill, pointing out that, among others, it does not contain a legal definition of the term “equity facility”, which can give raise to numerous interpretative doubts. The author proposes improvement of this definition due to the significant size of that concept and the need to efficiently navigate the text of the act at the time of its existence. He also puts forward changes to avoid a conflict with a European Union rule. The provisions concerning the organization and operation procedure of the Bank Guarantee Fund does not provide the operational and structural independence of each individual function of the Fund, which also is in conflict with European Union law. In the author’s opinion, the bill deserves further legislative consideration.

This paper presents a way to rescue traditional branches of Silesian industry based on the use of restructuring of mining and metallurgy. In recent years crisis has shaken the stability of many industries, including Silesian industry. To improve their condition, they began to use tools to rationalize resources and streamline internal processes more frequently. One example of such actions is restructuring. The fact of undertaking restructuring does not guarantee immediate improvement. Restructuring gives a good chance of achieving the desired objectives, but executed improperly ends in failure.
W artykule tym przedstawiona została droga ratowania tradycyjnych gałęzi przemysłu śląskiego na podstawie restrukturyzacji górnictwa i hutnictwa. W ostatnich latach kryzys zachwiał stabilnością wielu gałęzi przemysłu, również przemysłu śląskiego. Aby polepszyć swoją kondycję, z większą częstotliwością zaczęły one stosować narzędzia służące racjonalizacji zasobów oraz usprawnieniu wewnętrznych procesów. Jednym z takich przykładów takich działań jest restrukturyzacja. Fakt przeprowadzenia restrukturyzacji nie gwarantuje jednak natychmiastowej poprawy. Restrukturyzacja daje duże szanse na osiągnięcie zamierzonych celów, jednak przeprowadzona niewłaściwie kończy się niepowodzeniem.

Tematem artykułu jest analiza skuteczności postępowań upadłościowych z możliwością zawarcia układu z wierzycielami zgodnie z przepisami ustawy Prawo upadłościowe i naprawcze. W związku z wejściem w życie nowych przepisów od dnia 1 stycznia 2016 roku autor przeanalizował akta 20 postępowań w jednym z sądów upadłościowych w centralnej Polsce. Analiza wskazuje na bardzo niską efektywność postępowań układowych co było następstwem późnego składania wniosków przez przedsiębiorców, ograniczenie działań restrukturyzacyjnych wyłącznie do redukcji i/lub rozłożenia w czasie zobowiązań. Autor zwraca uwagę także na bardzo zróżnicowaną jakościowo dokumentację przygotowaną przez przedsiębiorców. Na podstawie wyników omówiono przygotowane rekomendacje, które winny być uwzględnione przy wdrażaniu ustawy Prawo restrukturyzacyjne.
The topic of the article is an analysis of effi cacy of bankruptcy procedures with the possibility of entering into an arrangement with creditors pursuant to the regulations of the Corporate Bankruptcy and Reorganisation Law Act. Having in mind the implementation of new rules since 1 January 2016, the author has analysed the documents of 20 procedures in one of the bankruptcy courts in central Poland. The analysis indicates a very low effi cacy of arrangement procedures, what was a consequence of the late applications fi led by entrepreneurs, the limitation of restructuring measures exclusively to reduction and/or staggering their liabilities. The author also pays attention to very diversifi ed in terms of quality documents prepared by entrepreneurs. Based on fi ndings, the author discussed the prepared recommendations which should be taken into account while implementing the Restructuring Law Act.

Opis:
Zarządzanie przedsiębiorstwem z uwzględnieniem idei społecznej odpowiedzialności jest nie tylko odpowiedzią na oczekiwania społeczne, ale także sposobem na usprawnianie działania przedsiębiorstwa i efektywne konkurowanie w zmiennym otoczeniu. Wydaje się zasadne, by zarządzając podmiotem gospodarczym stosować tę koncepcję i związane z nią instrumenty także w tych momentach, kiedy staje on w obliczu konieczności przeprowadzenia głębokich zmian, czyli restrukturyzacji. Celem niniejszego opracowania jest ocena stopnia, w jakim polscy licencjonowani doradcy restrukturyzacyjni znają i stosują w prowadzonych procesach restrukturyzacji narzędzia z zakresu społecznej odpowiedzialności przedsiębiorstw (CSR). Oceny dokonano w oparciu o analizę wymogów stawianych licencjonowanym doradcom restrukturyzacyjnym oraz odpowiedzi udzielonych przez przedstawicieli tej grupy w przeprowadzonym badaniu sondażowym. Badania wykazały, że zainteresowanie wśród respondentów zagadnieniami z zakresu społecznej odpowie-dzialności jest stosunkowo niewielkie, choć w praktyce sięgają oni po niektóre narzędzia z tego obszaru.
Taking into account the idea of corporate social responsibility is not only a response to contemporary social expectations, but also a way to improve the company's operations and its ability to effectively compete in a changing environment. Therefore, it seems reasonable to manage the company using this concept and its instruments, especially at these moments when the organization is facing the need for changes. Such change is known as restructuring. The aim of the study is to assess the extent to which Polish licensed restructuring advisors know and apply the corporate social responsibility (CSR) tools in the restructuring processes. The assessment was based on an analysis of the formal requirements for licensed restructuring advisors and the answers given by the representatives of this group in the survey. The conducted research has shown that the interest in issues related to the concept of corporate social responsibility is relatively small, although in practice restructuring advisors use some CSR tools.

The automotive industry is one of the branches with the highest degree of internationalization of production. The beginnings of the investment activities of automobile concerns, including Western Europe, in the new Member States date back to the early 1960s. The inflow of foreign direct investment to the automotive sector was widespread in the 1990s. The transition to a market economy was accompanied by growing demand for foreign capital with the change in ownership of industrial enterprises. The main form of inflow of FDI to Poland to the automotive sector, since the beginnings of the 90s was the takeover of existing industrial plants by foreign investors for their restructuring and joint ventures.

Nomy in the context of the ongoing transition and tries to assess the reasons for its failure. It deals with the concept of transformation, as well as inherited from the socialist system structural distortion that determine its course. It also describes restructuring process in the context of economic transition. The author analyzes the main stages of economic transition and restructuring process in Ukraine and comes to the conclusion that the main cause of lack of its success was inefficient economic strategy, allowing for consolidation of the inefficient economic structures.

Artykuł rozważa wpływ nowej regulacji Prawa restrukturyzacyjnego na sytuację pracowników. Zajmuje się obiema formami ochrony pracownika przed zwolnieniem: powszechną i szczególną (biorąc też pod uwagę zagadnienie zwolnień grupowych) z uwzględnieniem możliwości przejęcia pracowników przez innego pracodawcę. Autor porównuje obecne postępowania restrukturyzacyjne z dawną upadłością układową oraz postępowanie sanacyjne z naprawczym. Przedstawia też instytucję układu likwidacyjnego i rozważa jej wpływ na sytuację pracowników.
The article analyzes the impact of the new regulation of the Restructuring Law on the situation of employees. It deals with both forms of employee protection against dismissal: common and special (also taking into account the issue of collective redundancies), including the possibility of transfer of employees to another employer. The author compares the present restructuring proceedings with the previous insolvency agreement and remedial proceeding with the rehabilitation one. He also presents the institution of liquidation agreement and considering its impact on employees.

W artykule przedstawiono rozważania dotyczące różnych modeli reakcji ludzi na planowane zmiany w przedsiębiorstwie. W praktyce najczęściej mamy do czynienia z sytuacją, w której pracownicy negatywnie reagują na procesy zmian. Obawiają się utraty dotychczasowej pozycji i przywilejów. Zaprezentowano różne metody kształtowania pozytywnych postaw wobec restrukturyzacji. Jednym z podstawowych narzędzi zarządzania personelem w procesie restrukturyzacji jest właściwie funkcjonujący system przepływu informacji do pracowników.
The article presents ideas concerning various models of human reactions to changes planned in the company. In practice, employees, who fear the loss of their present position and priviledges, most often react to the process of changes in a negative way. The article present methods of forming positive attitudes towards restructuring. One of the basic tools in personnel management in the process of restructuring is a good information flow towards employees.

On the turn of the 1980s and 1990s several unfavourable events affected the Polish hard coal mining. Critical for the mining sector were breakdown of the country's request for energy and drop of coal prices on the world market. In the period of 1989-1998, Poland's economic reserves (balance sheet resources) of hard coal decreased by 17%, and the industrial reserves dropped by 41%. Simultaneously, there was and there is still in progress a programme of technical and economic restructuring of the hard coal mining. According to the restructuring programme of coal mining, the total yearly output of Polish hard coalmines will drop from 101 million t in 2003 to 80 million t in 2020. However, there should be taken into consideration that in consequence of 2003-2020 liquidation of consecutive coalmines, ceasing of mining of the coal balance sheet reserves contained in seams below 1.50 m thick as well as other factors may limit the recoverable reserves of coal. In this context, it is highly possible that in the period 2010-2020 the availability of coal resources will be one of the critical problems of hard coal mining in Poland.

The primary objective of the article is to identify conditions of restructuring from the point of view of Polish steel industry by using Cobb and Douglas model (C-D). Both in European economies and Polish economy, the steel industry is included to important branch of industry. The steel sector has been a permanent component of the Polish economy. Restructuring of metallurgy in Poland has been realized since 1990s. Finally after several years of changes (in the first decade of the 21st century) steel plants adjusted theirs operations to market economy conditions. Nowadays we think that the steel sector has competitive position on the domestic and European markets but if it is truth. On the base of C-D model, the author of the article presents results of the statistical analysis and answer the question about influence property and employment on production in steel industry. Obtained relations between particular components of production function show the condition of steel industry in Poland.

Poprzez wprowadzenie ustawy z dnia 15 maja 2015 r. Prawo restrukturyzacyjne ustawodawca zdecydował się na powrotne normatywne i proceduralne rozdzielenie postępowań związanych z niewypłacalnością dłużnika. Niemniej jednak w ramach przepisów Prawa restrukturyzacyjnego ustawodawca zdecydował się na pozostawienie instytucji nawiązujących do postępowania upadłościowego. Jedną z takich instytucji jest układ likwidacyjny, który występowała na gruncie poprzednio obowiązującego stanu prawnego. Obecna regulacja układu likwidacyjnego ma bardziej szczątkowy zakres w porównaniu z przepisami Ustawy Prawo upadłościowe i naprawcze. W ramach niniejszego artykułu analizie poddaną zasadniczo kwestie związane z problematyką sposobów likwidacji majątku dłużnika, jak również zakresu sukcesji przy nabyciu przedsiębiorstwa na podstawie układu likwidacyjnego.
By introducing the Restructuring Law Act of 15 May 2015 the legislature decided to return to normative and procedural separation of proceedings related to the insolvency of the debtor. However, in the framework of the Restructuring Law some institutions referring to the bankruptcy proceedings have remained. One such institution is a liquidation arrangement. The current legal regulation of liquidation arrangement seems to be more fragmentary in comparison with the provisions of the Bankruptcy and Rehabilitation Law. This article comprises essentially issues of ways related to liquidation of the debtor assets as well as the scope of succession on the acquisition of the company on the basis of the liquidation arrangement.

W artykule podjęto problematykę tzw. restrukturyzacji pozasądowej stanowiącej propozycję kolejnych usprawnień w systemie postępowań insolwencyjnych. Restrukturyzacja pozasądowa prowadzona z pominięciem etapu zatwierdzenia układu przez sąd nie jest aktualnie znana polskiemu prawu, ale została ona fakultatywnie przewidziana przez europejskiego ustawodawcę w oczekującej na implementację dyrektywie Parlamentu Europejskiego i Rady (UE) 2019/1023 z 20 czerwca 2019 r. w sprawie ram restrukturyzacji zapobiegawczej, umorzenia długów i zakazów prowadzenia działalności oraz w sprawie środków zwiększających skuteczność postępowań dotyczących restrukturyzacji, niewypłacalności i umorzenia długów, a także zmieniającej dyrektywę (UE) 2017/1132). Celem artykułu jest próba oceny zasadności wprowadzenia do krajowego porządku prawnego rozwiązań dotyczących restrukturyzacji pozasądowej. Przyjęto w nim tezę badawczą, że jest to narzędzie, które może pozwolić na przyspieszenie postępowań restrukturyzacyjnych, aczkolwiek istotną przeszkodą dla skutecznego wdrożenia tego mechanizmu w praktyce jest brak wzajemnego zaufania charakterystyczny dla polskich uczestników obrotu gospodarczego. Dla realizacji postawionego celu oraz weryfikacji przyjętej tezy badawczej wykorzystano metodę dogmatyczną oraz komparatystyczną. Została ponadto przeprowadzona analiza danych statystycznych dotycząca oceny kapitału społecznego w Polsce, odwołująca się do indeksu dobrobytu opracowanego przez Instytut Legatum.
The article deals with the issue of the so-called out-of-court restructuring, which is a proposal for further improvements to be introduced to the restructuring proceedings system. Out-ofcourt restructuring conducted with omitting the stage of judicial approval of the arrangement is currently unknown to Polish law, but it has been provided as an option by the European legislator in the pending implementation of the Directive (EU) 2019/1023 of the European Parliament and of the Council of 20 June 2019 on preventive restructuring frameworks, on discharge of debt and disqualification measures to increase the efficiency of procedures concerning restructuring, insolvency and discharge of debt, and amending Directive (EU) 2017/1132. The main objective of this paper is to attempt to assess the legitimacy of introducing solutions concerning out-of-court restructuring into domestic law. The research thesis is that this kind of restructuring is an effective instrument that allows for the acceleration of the proceedings, however, a significant obstacle to its effective implementation in practice is the lack of interpersonal confidence, which is characteristic of business relations in Poland. To achieve the main aim and verify research thesis, dogmatic and comparative methods were used. Moreover, an analysis of statistical data on the assessment of social capital in Poland was carried out, referring to the welfare index developed by the Legatum Institute.

W artykule przedstawiono wybrane zagadnienia dotyczące procesów restrukturyzacji górnictwa węgla kamiennego w minionym okresie dwudziestolecia a w szczególności procesy dotyczące zmian organizacyjnych w sektorze, działań dotyczących ograniczenia nadmiernych zdolności produkcyjnych i nadmiernego zatrudnienia. Szczegółowo omówiono poszczególne programy rządowe oraz dokonano analizy efektywności ich wdrażania w przemyśle wydobywczym. Przeprowadzono również porównanie funkcjonowania sektora w stosunku do założeń przyjętych w tych programach. W podsumowaniu dokonano oceny zgodności realizowanych działań z kierunkami nakreślonymi w programach rządowych, jak również przedstawiono podstawowe wskaźniki techniczno-ekonomiczne uzyskane przez górnictwo w minionych dekadach.
The article presents selected issues of hard coal sector restructuring process in the last twenty years, particularly the processes of organizational changes, activities aimed at excessive production capacity and overfull employment reduction. Individual governmental programmes have been presented in details and the analysis of effectiveness of their implementation in mining sector has been conducted. The comparison of functioning of the sector to the assumptions of these programmes has been done. The evaluation of compliance of realized activities with the directions of governmental programmes has been done in conclusions as well as the basic technical and economic indexes of mining activity in the previous decades have been presented.
