    Przeprowadzone badania dotyczyły określenia efektywności polskich banków spółdzielczych w zależności od płci osoby pełniącej funkcję prezesa zarządu. Badaniami objęto 40 losowo wybranych banków spółdzielczych działających w Polsce w latach 2010-2014. Przeprowadzone badania wykazały, że w przypadku badanych polskich banków spół-dzielczych kobiety pełniły funkcję prezesa zarządu w znacznie mniejszych bankach niż mężczyźni. Liczba klientów, liczba członków, wartości aktywów ogółem i wartości kapitałów własnych w bankach zarządzanych przez mężczyzn była ponad dwukrotnie większa niż w bankach zarządzanych przez kobiety. Niemniej jednak efektywność banków spółdzielczych zarządzanych przez kobiety była w badanych bankach zdecydowanie wyższa niż w przypadku banków zarządzanych przez mężczyzn.
    The studies was concerned on determining the effectiveness of Polish cooperative banks, depending on the gender of the person holding the position of chairman of the board. The study included 40 randomly selected cooperative banks operating in Poland in the years 2010-2014.The study shows that the gender of the person acting as a chairman of the board in a cooperative bank affect the level of its effectiveness, as banks managed by women, in 2010-2014, were granted a significantly higher average level of efficiency measured by ROE, ROA and C/I than banks managed by men. In addition, the correlation coefficient showed the existence of a significant correlation between the sex of a person holding the position of chairman of the board and the level of efficiency of the bank.

    Opis:
    Coherent and logical system of functioning not only of the Management Board itself but especially of the mutual relationships between the Members of the Management Board of a joint stock company as introduced in the Polish Code of Commercial Companies, for at least several years is being more and more often violated, especially in so-called state-owned companies. This takes place through the appointment of the person which „performs the duties of the President of the Board” and accepting this unknown to the Code of Commercial Companies institution by registry courts. Moreover, such a practice is recognized also in the normative acts and the case law, where the concept of the person „performing the duties of a Member of the Board” is described as an institution distinct from the „Member of the Board”. The term „an individual performing duties” is not unknown to Polish law. Its essence is to ensure the continuity of operations of a particular entity or establishment for a specified time, necessary for the appointment of a new manager (manager, president, director etc.). In general, the „performing duties” status is acquired by the head of the body or establishment which steps down until a particular post is taken by the new manager and there should be an unambiguous legal basis for doing so. Recently, more and more often we can see in normative acts the notion of individuals „entrusted with performing of the duties of the President of the Board” and besides, specific for such a post, temporariness, it is linked with a statutory ability to „withdraw entrusted responsibilities”. In the sphere of commercial companies we witness situations where the registry courts, despite the lack of legal basis, order registration in the National Court Register of individuals to whom company’s governing body „entrusted with performing of duties of the President of the Board” despite the fact that the Code of Commercial Companies does not provide for such a possibility. The institution of „entrusting the performance of duties of the President of the Board” is unknown to this legal act. The essence of the problem was described by the Polish Supreme Court in its judgment of 25 October 2016. Together with a decision to return the case to be reconsidered by the District Court, the Supreme Court noted that it is necessary that the District Court determines from which legal provision such a right arises in matters of labour law. One should bear in mind that this issue is not limited only to labour law.

    Niniejsza glosa porusza problematykę sytuacji prawnej prezesa zarządu w perspektywie strony postępowania administracyjnego prowadzonego przez organ nadzoru (Komisja Nadzoru Finansowego) w przedmiocie zatwierdzenia prezesa zarządu spółdzielczej kasy oszczędnościowo kredytowej. Instytucja zatwierdzenia prezesa zarządu jest konstrukcją nietypową, jako że wynika z potrzeby dokonania oceny sytuacji zastanej w związku z objęciem nadzorem Komisji Nadzoru Finansowego spółdzielczych kas oszczędnościowo- kredytowych. Autor podziela pogląd Wojewódzkiego Sądu Administracyjnego, wedle którego prezes zarządu spółdzielczej kasy oszczędnościowo-kredytowej nie jest stroną postępowania prowadzonego przez Komisję Nadzoru Finansowego ze względu na to, że brak jest przepisu prawa materialnego, który stanowiłby o tym, iż posiada on interes prawny w tym postępowaniu. Zainteresowanie tej osoby wynikiem postępowania, w ocenie autora, jest interesem faktycznym, a nie prawnym.
    This commentary raises the issue of the legal position of the president of the management board in the perspective of the administrative proceedings conducted by the supervisory body (Polish Financial Supervision Authority) regarding the approval of the president of the management board of the spółdzielcza kasa oszczędniościowo-kredytowa. The institution of approval of the president of the board is an atypical construction, as it results from the need to assess the existing situation in connection with the supervision of spółdzielcza kasa oszczędnościowo-kredytowa under the supervision of the Polish Financial Supervision Authority. The Author agrees with the view of the Wojewódzki Sąd Administracyjny, according to which the president of the spółdzielcza kasa oszczędnościowo-kredytowa is not a party to the proceedings conducted by the Polish Financial Supervision Authority due to the lack of a substantive law provision that would have a legal interest in the proceedings. The interest of this person as a result of the proceedings, in the Author’s opinion, is an actual and not a legal interest.
