The real seat is a recognised, although expressed in different terms, connecting factor of the EU international private law, relating to companies in they different legal relations. Under the regulations unifying particular areas of this law, relevant form the point of view of cross-border operations of companies, the real seat is the connecting factor determining the applicable law in the field of contractual and non-contractual obligations, and the company’s bankruptcy. Furthermore, it deretmines the jurusdiction for insolvency proceedings against the company, and i salso a jurisdictional connecting factor for general civil and commercial matters. The real seat connecting factor may also constitute a connecting factor determining the law applicable to company, accectable under the EU freedom of establishement.

This paper presents the results of research on the behavior of executive management in an international metallurgical organization. The purpose of the research was to establish the level of congruence between that behavior and the organizational culture of the company from two different points of view: employees and managers. The researchers also tried to establish what type of organizational culture was desirable for each group. The typology developed by Cameron and Quinn has been used. Based on the collected results the authors of the paper try to answer the following research questions: How is the organizational culture in the analyzed company assessed by the managers and by the employees? And: Is there any difference in assessing the managers’ behavior and competencies by themselves and by their staff? For the purpose of research the following hypothesis was also put forward: The behavior of the managers in that organization corresponds to the culture of the clan. The analysis carried out by the authors confirmed that hypothesis.

W artykule omówiono tradycje metodologiczne przedsiębiorczości międzynarodowej, dyscypliny leżącej na styku biznesu międzynarodowego i przedsiębiorczości, oraz wyzwania związane z prowadzeniem badań jakościowych w naukach o zarządzaniu. Następnie dokonano systematycznego przeglądu badań jakościowych z zakresu przedsiębiorczości międzynarodowej, poświęconych problematyce firm typu born global, tj. przedsiębiorstw, które od początku swojego istnienia budują przewagę konkurencyjną, opierając się na wykorzystaniu zasobów i sprzedaży produktów w wielu krajach. Przegląd wykazał, że stosunkowo młoda dyscyplina, jaką jest przedsiębiorczość międzynarodowa, zdążyła wypracować pewne spójne standardy dotyczące zastosowania metod jakościowych. Badania osadzone są w paradygmacie pozytywistycznym, a dominującą strategią badawczą jest porównawcze studium przypadku prowadzone w schemacie przekrojowym.
The article discusses methodological foundations of International Entrepreneurship, the discipline lying at the intersection of International Business and Entrepreneurship, as well as the challenges of conducting qualitative research in management science. Next, a comprehensive overview of qualitative research is provided regarding the phenomenon of born globals, i.e. companies that, from inception, seek to derive competitive advantage based on the use of resources and the sale of products in various countries. The review shows that a relatively new academic field of International Entrepreneurship has already developed consistent rules and standards guiding the use of qualitative methods. The research is typically based on positivist paradigm, with cross-sectional multiple case study being the dominant research strategy.

Opis:
Here we present a unique life path of Sergiy Gulyar, a world-known Ukrainian scientist who was overcoming extreme conditions studying them on himself. He has developed his determination and responsibility from his basic experiences as a surgeon and his desire to win from his involvement in sports. His research in underwater laboratories has shown a capacity to find untrodden pathways to understand and explain what others did not even suspect. His physiological studies on the role of sea depths, breathing mixtures, underwater exposures, and diving schemes marked the path to the aquanauts and undersea man. Reaching the hyper depths equivalent to 2,500 m revealed the physiological limits of human being and defined how to handle hyperbaric respiratory failure. Prof. S. Gulyar suggested a usage of natural physiological mechanisms to accelerate the re-adaptation process as a part of the highmountain rehabilitation of hyperbaria-adapted people. Dissertations were defended, books and articles were written, a scientific school of followers was created. Unfortunately, during the Soviet period, Prof. S. Gulyar faced a set of organizational problems and obstacles from the Soviet regime. In particular, his works were classified or hushed up, his intellectual property was often used without mentioning the author and his scientific team was intimidated by criminal investigations. Main recognition during this period had come from professional societies in Europe and the United States. After the collapse of the Union of Soviet Socialist Republics (USSR), Prof. S. Gulyar introduced a number of innovations and inventions in electromagnetic medicine and physiology. In particular, he has managed to account for main common features of physiological effects of light stimulation produced by Lasers, Light-Emitted Diodes and Bioptron light sources. By doing so, some mystical dogmas were filtered out and new paths to sensible light-induced treatments were developed. At the same time, Prof. S. Gulyar has preserved the legacy of many generations of medical professionals who used light in their treatments. He has shown in his physiological experiments that stimulation of biologically active zones including acupuncture points light stimulation has a wide spectrum of biological effects including alleviation of pain symptoms. Now mono- and polychromatic visual and transcutaneous light therapy of pain has been recognized scientifically and clinically, and its place in medicine has been firmly established. Prof. S. Gulyar described a new functional system of the organism that regulates the electromagnetic equilibrium. A step into the future was the first experimentally grounded technology for the use of fullerene-modified light. Positive changes have been proven with its percutaneous and ocular use. These first results open the door to complete analysis and future investigations. Prof. S. Gulyar has published 20 monographs, 470 papers and abstracts, and received 11 patents. Many of his inventions have been implemented, the others are still awaiting implementation. This article is based on the data obtained by the authors during many years of their personal cooperation, as well as from the memoirs of Prof. S. Gulyar and the materials he provided.
Przedstawiamy wyjątkowe życie Sergieja Gulyara, znanego w kręgach światowych medycyny w tym medycyny podwodnej ukraińskiego naukowca. Pokonał ekstremalne warunki, zdobywając samodzielnie. Jego wykształcenie jako chirurga zaszczepiło w nim determinację i odpowiedzialność, natomiast sport zaszczepił w nim wolę zwycięstwa. W pionierskich badaniach w podwodnych laboratoriach ujawniły jego zdolność do rozwiązywania problemów, by znaleźć i wyjaśnić to, z czego inni nawet nie zdawali sobie sprawy. Jego badania fizjologiczne nad rolą głębin morskich, z zastosowaniem mieszanin oddechowych, metod nurkowania utorowały drogę akwanautom. Doświadczalne badania zjawisk oddechowych na hiper głębokości równej 2500 m rozszerzyło wiedzę na temat fizjologicznego ograniczenia człowieka i określiło sposoby pomocy przy hiperbarycznej niewydolności oddechowej. Prof. S. Gulyar zaproponował wykorzystanie naturalnych mechanizmów fizjologicznych do przyspieszenia procesu readaptacji osób zaadaptowanych do hipierbarii poprzez ich rehabilitację wysokogórską. Zdobywał stopnie naukowe, publikował książki i artykuły oraz założył szkołę naukową, w której znaleźli się jego zwolennicy. Niestety, w okresie sowieckim prof. S. Gular napotykał na szereg problemów organizacyjnych i przeszkód ze strony władz sowieckich. W szczególności jego prace były utajniane lub przemilczane, jego własność intelektualna była często wykorzystywana bez podania autora, a jego zespół badawczy był zastraszany przez dochodzenia kryminalne. Główne uznanie w tym okresie pochodziło od towarzystw zawodowych w Europie i USA. Po upadku ZSRR prof. S. Gulyar dokonał również szeregu innowacji i wynalazków z zakresu medycyny i fizjologii elektromagnetycznej. Jego wyniki wyniki otwierają drzwi do szczegółowych analiz i przyszłych badań. Opublikował 20 monografii, 470 referatów i rozpraw oraz uzyskał 11 patentów. Wiele z jego wynalazków zostało zrealizowanych, inne wciąż czekają na realizację. Artykuł powstał na podstawie danych zebranych przez autorów w wyniku wieloletniej, osobistej współpracy, a także na podstawie wspomnień prof. S. Gulyara i przedstawionych przez niego materiałów. W aktywnym życiu brał udział w wielu wyprawach i pracach związanych z promowaniem kultury i historii Ukrainy.

Мета роботи: Дослідження та створення ефективних методів вдосконалення стратегічного менеджменту з метою розвитку міжнародних компаній на основі впровадження крос-функціонального підходу. Дизайн / Метод / Підхід дослідження: Використано процесний підхід, структурний аналіз, квантитативний аналіз, діалектичний, абстрактно-логічний метод пізнання, факторний, порівняльний підходи, методи емпіричного узагальнення, інтегральної оцінки, стратегічного аналізу, а також прийоми матричної та графічної візуалізації статистичних даних. Результати дослідження: Розроблено концептуальні положення стратегічного менеджменту щодо розвитку ринкової діяльності міжнародних компаній, які враховують специфіку реалізації функцій стратегічного планування, що базуються на результатах структурування проблем науково-технологічного розвитку з урахуванням основних положень корпоративного управління, що розкривають вимоги до процесу стратегічного менеджменту при прийнятті ефективних управлінських рішень у середовищі міжнародних компаній. Розроблено методичний підхід щодо оцінки системи стратегічного менеджменту розвитку міжнародних компаній, що базується на оцінці елементів, що входять до її складу, що відрізняється визначенням інтегрального показника стратегічного планування в залежності від величини займаної площі на оціночній матриці, що враховує сукупність ресурсів, що використовуються компанією для освоєння або утримання міжнародних ринків. Запропоновано підхід до формування проектної команди, що здійснює стратегічне планування розвитку міжнародної компанії, що базується на реалізації принципу крос-функціональності, що дозволяє врахувати мотиваційні та демотиваційні фактори, що впливають на розвиток членів проектної групи та здійснювати поточне регулювання команди врахуванням міжфункціональної взаємодії її членів при реалізації окремих компетенцій застосування в компанії системного підходу в корпоративному менеджменті. Теоретична цінність дослідження: Теоретична значущість дослідження полягає в обґрунтуванні положень, що актуалізують методичні підходи реалізації стратегій міжнародних компаній з урахуванням їх галузевої належності, про застосування специфічних методів та інструментів стратегічного менеджменту, моделювання вибору пріоритетних напрямків ринкового розвитку. Практична цінність дослідження: Практичне значення дослідження полягає в тому, що висновки та рекомендації можуть бути використані міжнародними компаніями під час удосконалення системного забезпечення системи стратегічного менеджменту, а також практичного застосування обґрунтованих положень для розвитку ринкової присутності і ведення конкурентної боротьби. Оригінальність / Цінність дослідження: Сформовано адаптивну систему стратегічного менеджменту розвитку міжнародних компаній на засадах крос-функціонального підходу, що відрізняється структурною композицією (керуюча, керована, забезпечуюча підсистеми), що враховує вплив вхідних факторів внутрішнього середовища, націлена на отримання ефективних стратегічних рішень у галузі визначення пріоритетних напрямків корпоративного розвитку. Обмеження дослідження / Майбутні дослідження: Отримані в ході дослідження висновки та результати суттєво розвивають теоретичний апарат дослідження системи стратегічного менеджменту міжнародних компаній та можуть бути використані під час проведення подальших розробок з проблем удосконалення стратегічного процесу в міжнародному корпоративному секторі.
Purpose: Research and creation of effective methods of improving strategic management in order to develop international companies using a cross-functional approach. Design/Method/Approach: Process approach, structural analysis, quantitative analysis, dialectical, abstract-logical methods of cognition, factorial, comparative approaches, methods of empirical generalization, integral assessment, strategic analysis, as well as methods of matrix and graphic visualization of statistical data are used. Findings: Conceptual provisions of strategic management regarding the development of the market activity of international companies have been developed, which take into account the specifics of the implementation of strategic planning functions, which are based on the results of structuring the problems of scientific and technological development, taking into account the basic provisions of corporate management, which reveal the requirements for the strategic management process when making effective management decisions in environment of international companies. A methodical approach to the evaluation of the strategic management system for the development of international companies has been developed, which is based on the evaluation of the elements included in its composition, which is distinguished by the definition of the integral indicator of strategic planning depending on the size of the occupied area on the evaluation matrix, which takes into account the totality of resources used by the company for developing or maintaining international markets. An approach to the formation of a project team that carries out strategic planning of the development of an international company is proposed, based on the implementation of the principle of cross-functionality, which allows taking into account motivational and demotivational factors affecting the development of members of the project group and carrying out current regulation of the team taking into account the cross-functional interaction of its members at implementation of individual competences in the company's application of a system approach in corporate management. Theoretical Implications: The theoretical significance of the research lies in the substantiation of the provisions that update methodological approaches to the implementation of strategies of international companies, taking into account their branch affiliation, about the use of specific methods and tools of strategic management, modeling the choice of priority areas of market development. Practical Implications: The practical significance of the study is that the conclusions and recommendations can be used by international companies during the improvement of the system support of the strategic management system, as well as the practical application of reasonable provisions for the development of market presence and competitive struggle. Originality/Value: An adaptive system of strategic management of the development of international companies was formed on the basis of a cross-functional approach, characterized by a structural composition (controlling, managed, providing subsystems), which takes into account the influence of the input factors of the internal environment, aimed at obtaining effective strategic decisions in the field of determining the priority directions of corporate development. Research Limitations/Future Research: The conclusions and results obtained during the research significantly develop the theoretical apparatus of the study of the strategic management system of international companies and can be used during further development of the problems of improving the strategic process in the international corporate sector.

Celem opracowania jest przedstawienie opinii właścicieli całorocznych obiektów noclegowych działających na terenie województwa lubelskiego na temat wpływu otoczenia międzynarodowego na rozwój przedsiębiorstw świadczących usługi noclegowe. Ocena sytuacji została dokonana na podstawie badań własnych zrealizowanych metodą CATI w kwietniu i w maju 2018 roku. Przedsiębiorcy rzadko dostrzegają szanse i zagrożenia, które wynikają z otoczenia międzynarodowego. Wydaje się, że często myślą oni „w sposób lokalny”. Działania prorozwojowe wynikające z otoczenia międzynarodowego najbardziej pozytywnie ocenili respondenci z gmin miejsko-wiejskich. Przynależność do struktur międzynarodowych, w tym Unii Europejskiej, daje wiele możliwości rozwoju. Badani przedsiębiorcy powinni być bardziej aktywni w monitorowaniu unijnych form wsparcia i ubieganiu się o projekty unijne.

Opis:
Purpose: The article evaluates the associative relationship between international supervisory board experts and foreign ownership, along with the experts’ influence on the financial and operating performance of firms. The study was based on data collected for 257 companies listed on the Warsaw Stock Exchange in 2010–2015. Methodology: The dataset was built as a panel, and then generalized least squares regression models with a fixed or random effect were employed to test hypotheses. Findings: The findings of the study clearly show that the presence of investigated firms in foreign markets positively affects company performance. Moreover, models with dependent variables ROA and ROS show that supervisory board members with foreign experience positively affect profitability indicators of firms that do not operate on foreign markets. The data analyses reveal that international experts are more effective advisors for companies that conduct no business activities on foreign markets. Furthermore, the results show a positive moderate association between the share of international experts in supervisory boards and the share of foreign ownership in the company. Originality: The article contributes to the understanding of determinants and consequences of the presence of international experts in supervisory boards and company internationalization.

Objective: The article aims to evaluate the influence of international supervisory board experts on firm financial performance, based on the impact of international experts’ characteristics, such as their knowledge, experience, independence, and connections. Methodology/research approach: The empirical study is based on a unique handcollected dataset covering a final sample of 256 companies listed on the Warsaw Stock Exchange (WSE) and which operated on the market during the observation period 2010- 2015. The Generalized Least Squares (GLS) regression model with a random effect is employed to test the hypotheses. Findings: The findings strongly suggest that the presence of supervisory board members with an outside perspective and international experience may exert a positive impact on companies’ operational outcomes. Research limitations/implications: The research has practical implications for Polish governmental agencies, as it verifies the usefulness of the recommendations for supervisory board composition presented in the Best Practices for WSE Listed Companies. Originality/value: The study contributes to the existing literature on the factors that affect company performance. Consequently, great value is added to the research on supervisory board characteristics that are crucial for effective monitoring and advisory roles, enhancing the quality of corporate governance.

Today, corporations play an important role in the global, national and local economy. Regardless of the business profile, degree of internationalisation or size, they participate in numerous economic processes, which is why they are the subject of research in geography of industry, especially in geography of enterprises. The main goal of the article is to review research related to corporations in Polish literature on the subject in the field of geography of industry. The author also aims at organising the concept of corporations, presenting closer their classifications, as well as indicating the place of research on corporations in geography. The preparation of the article began with a literature query, as well as an analysis of the existing data (desk research). As a result, the analysis of the concept of a corporation, various types of classifications and divisions of corporations, as well as a literature review of the subject in terms of the corporation’s research issues were made. As the research carried out indicates, in Polish literature on the issues of geography of industry, the researchers who concentrate on corporations look at the concentration of their head offices, theory and location factors, shaping processes and location of production, service and various branches, network connections, strategies implemented by corporations and their organisational forms, processes of corporation influence on international conditions for the development of domestic and regional systems and industrial enterprises, stimulation of inflow of foreign direct investment, the influence of corporations on the shaping of various industrial sectors, export relations, the role of cities in globalisation processes and the location of the corporation and their effects, as well as on corporate CSR activities.

The purpose of this paper was to determine the nature of the relationship between multinationality and performance (M-P relationship) among Polish companies. It is based on a sample of over 300 Polish companies listed on Warsaw Stock Exchange, studied over two years (625 observations were used for statistical processing). Multiple regression and t-statistic analyses were applied to test three hypotheses. The dependent variable was company performance and the independent variable was the degree of company internationalization. A number of control variables were also incorporated in the regression models. The statistically significant results of the multiple regression analyses show that Polish companies experience a negative linear relationship between their degree of internationalization and performance for two variants of the dependent variable, and a non-linear, U-shaped relationship for one dependent variable. The results also show that companies operating on international markets achieve lower market-valuation results than their domestic counterparts, and companies with lower levels of multinationality perform better than those with higher levels of multinationality

Autor artykułu przedstawił wyniki badań nad systematyką oraz specyfiką transferu zysku do akcjonariuszy spółek dywidendowych będących komponentami indeksu WIG, DAX, CAC40 oraz S&P500 za okres 2013-2019. Celem artykułu jest krytyczna ocena systematyki wypłaty dywidend przez spółki krajowe oraz międzynarodowe z uwzględnieniem stopy wzrostu dywidend, skumulowanej stopy dywidendy oraz średniej stopy zwrotu z inwestycji w akcje tych spółek. Przeprowadzone badania objęły 120 spółek notowanych na rynku polskim, niemieckim, francuskim oraz amerykańskim (po 30 spółek w każdym kraju), które w latach 2013-2019 wypłacały dywidendy i na koniec 2019 roku charakteryzowały się największą kapitalizacją w danym indeksie. Następnie autor dokonał analizy dla każdego rynku tylko tych emitentów, którzy w badanym okresie wypłacali dywidendy bez przerwy (przez 7 lat).

In today’s globalized world nationality has become a dynamic concept. During the period of nation state stability the flag under which a firm operated was fairly stable, however with the advent of firm mobility, extensive cross border mergers and acquisitions and global supply chains along with equally multinational distribution channels, the colour of the flag becomes often blurred. Furthermore, the rise and the collapse of international trade treaties and the agglomeration and occasional fracturing of nation super states, such as the European Union (EU), makes the problem a critical one. This article proposes an encompassing framework for evaluating nationality of a firm and examines the contentious status of several well-known firms where the colour of nationality is rapidly changing.
W dzisiejszym zglobalizowanym świecie narodowość stała się pojęciem dynamicznym. W okresie stabilizacji państwa bandera pod którą firma działała była dość stabilna. Jednak wraz z pojawieniem się mobilności, szerokich transgranicznych fuzji i przejęć, globalnych łańcuchów dostaw, także z wielonarodowymi kanałami dystrybucji, kolor flagi stał się często zamazany. Co więcej, wzrost i upadek międzynarodowych traktatów handlowych oraz aglomeracja i okazjonalne rozbicie superpaństw narodowych, takich jak Unia Europejska (UE), sprawia, że problem jest krytyczny. W tym artykule zaproponowano obszerne ramy dla oceny narodowości firmy i przeanalizowano stan sporny kilku dobrze znanych firm, w których kolor narodowości szybko się zmienia.
