This paper aims to assess the impact of the second-generation numerical fiscal rules on the effectiveness of public debt management in the Member States of the European Union. The research was conducted using dynamic panel models on a sample of 27 EU Member States over the period 2008–2021. The effectiveness of public debt management was determined by the level of public debt servicing costs, considering not only the impact of the quality of numerical fiscal rules on interest payments, but also other factors influenced by these rules, such as the quality of fiscal policy, the solvency of public finances and the quality of institutional governance. The motivation for this topic was to evaluate the effectiveness of the second-generation numerical fiscal rules following the changes made to their design in the context of the reconstruction of the EU fiscal surveillance system after the global economic and financial crisis of 2008–2010. The research has found that strong numerical fiscal rules improve the effectiveness of public debt management. In addition, stable fiscal policy and higher solvency of public finances, as well as political stability and the absence of violence, are conducive to lower public debt servicing costs. This paper enriches the literature by extending it with a new approach to fiscal rules, highlighting their multifaceted impact on the quality of public debt management.

Celem badań było wykazanie przyczyn występowania instytucji nieformalnych na przykładzie renty transformacyjnej w gospodarce niedoboru. Przedmiot badań został określony m.in. poprzez ukazanie tła historycznego, charakterystyki gospodarki okresu transformacji oraz okoliczności uchwalenia ustawy o działalności gospodarczej. Dane zebrane poprzez wykorzystanie metody monograficznej pozwoliły wysnuć wniosek, że renta transformacyjna charakteryzuje się strukturą hybrydową, gdyż jest jednocześnie produktem przeszłości z elementami gospodarki centralnie planowanej oraz dostępności możliwości stwarzanych przez nowy system (kapitalizm). Zgodnie z założonym celem badań pogoń za rentą transformacyjną powstaje w wyniku pogorszenia dobrobytu grup tracących korzyści osiągnięte w gospodarce niedoboru. Ponadto,  renta transformacyjna stanowi barierę i niedoskonałość ładu instytucjonalnego.
The aim of the research was to demonstrate the reasons for the existence of informal institutions using the example of the transformational rent in a deficit economy. The object of the research was defined, among other things, by showing the historical background, the characteristics of the transition economy and the circumstances of the enactment of the business act. The data collected through the use of the monographic method allowed the conclusion to be drawn that the transformational rent is characterised by a hybrid structure, as it is simultaneously a product of the past with elements of the centrally planned economy and the availability of opportunities created by the new system (capitalism). In line with the stated aim of the research, the pursuit of transformational rent arises as a result of the deterioration of the welfare of groups losing the benefits achieved in the scarcity economy. In addition, the transformational rent chase represents a barrier and an imperfection in institutional governance.

In this paper, sustainable development is defined as an undisturbed process of steady growth within four areas. These areas are also referred to as governances: environmental, social, economic and institutional-political. When searching for factors stimulating sustainable development, it is important to identify correlations between individual governances. Data for the study were retrieved from the Eurostat website. Variables were assigned to individual governances and divided into stimuli and inhibitors according to the description of variables provided by Eurostat. The collected data was used to determine the synthetic measure of economic governance and synthetic measures for groups of variables defining institutional-political governance. Hellwig’s taxonomic measure was used as the research tool. This study made it possible to determine the econometric model indicating statistically significant correlations for two groups of variables selected from among five groups characteristic of institutional- political governance. The group of characteristics relating to coherence and efficiency policy and the group describing civil society (openness, participation and active citizenship) showed a statistically significant and positive direction of impact on economic governance in the analysed period.
Istotnym problemem w poszukiwaniu czynników stymulujących rozwój zrównoważony jest odkrycie wzajemnych interakcji między poszczególnymi obszarami rozwoju zrównoważonego, często określanych jako łady. Dane do przeprowadzonych analiz zaczerpnięto ze strony internetowej Eurostat. Zgromadzone dane posłużyły do wyznaczenia syntetycznego miernika ładu gospodarczego oraz syntetycznych mierników dla grup zmiennych opisujących ład instytucjonalno-polityczny. Wykorzystanym w tym celu narzędziem badawczym był taksonomiczny miernik Hellwiga. W wyniku realizacji badania wyznaczono model ekonometryczny wskazujący na statystycznie istotne zależności dla dwóch grup zmiennych wyselekcjonowanych spośród pięciu grup charakteryzujących ład instytucjonalno-polityczny. Statystycznie istotny i dodatni kierunek oddziaływania na ład gospodarczy wykazywał w badanym okresie agregat cech odnoszących się do polityki spójności i efektywności oraz agregat opisujący społeczeństwo obywatelskie (otwartość i uczestnictwo oraz aktywność obywatelską).

The aim of the paper is to examine how the introduction of state regulation and self-regulation impacts on the disclosure of director and executive remuneration in Australia. In doing so, we step beyond the simple state-market dichotomy in the extant literature, and proposes a symbiotic association between both regulatory modes for remuneration governance. The study reveals that remuneration disclosure levels are significantly higher after the advent of both self-regulatory and state regulatory reforms rather than state regulation alone. Furthermore, foreign-MNCs which experience increased agency problems due to spatial complexities and increased liabilities of foreignness do not have a superior disclosure level of director and executive remuneration: findings with important messages for policy makers and for regulators.

Research background: Diversity management is one of the hot topic issues present in current public discussions. Board diversity requirements are quite new for Polish public companies. The companies listed on the Warsaw Stock Exchange have to publish a statement on the company's compliance with the corporate governance recommendations and principles included in ?Best Practice for GPW Listed Companies 2016?. This regulation is based on the 'comply or explain? principle, thus the company may decide whether to comply with every rule included in the code, but decision on not implementing one or more rules should be explained by the company. Some of the recommended rules regard the board (supervisory and management) diversity policy implementation, where diversity refers to such dimensions as gender, education, age and professional experience. Purpose of the article: This study aims to investigate determinants of board diversity policy implementation by domestic companies listed on the WSE. It also documents explanations provided by companies that do not apply board diversity policy. Methods: The research sample covers 268 non-financial domestic companies listed on the Warsaw Stock Exchange between 2016 and 30 November 2018. The companies? current reports on company compliance with the corporate governance codes and information issued on companies? websites were analyzed in order to identify those that announced implementation of board diversity policy. This study uses logistic regression analysis to identify the firm-level characteristics that may influence the implementation of board diversity policy. Findings & value added: This is the first study analyzing the drivers of board diversity policy implementation by Polish companies listed on the WSE. It shows that large companies, companies with larger management boards and companies with women acting as presidents of the supervisory boards are more likely to take actions seeking to achieve management and supervisory board diversity.

Economic and fi nancial crisis made the European Union take countermeasures, devoted first of all to the euro area countries. However the problem has turned out to be more complex, since the Treaties on which the European Union is based, have not provided for provisions that would allow the Union to undertake common actions in a situation of deep crisis. Initially, the institution of international agreements was used, followed by common actions that are not limited to the euro area countries but remain open to countries from outside the euro area. Undertaken measures generate changes that have infl uence on both the institutional balance and the shaping of a new institutional architecture. New institutional solutions such as a banking union or a fi scal union, make up elements of the new economic governance in Europe. It must be said that many anti-crisis measures breach the hitherto logic of the European Union governance, since they allow for permeation of different instruments, forms and legal regimes. The European Union is becoming more and more heterogeneous and its diversifi cation, which denies the so far far-reaching unification,creates nonetheless better conditions for adaptation and contributes to greater effectiveness of measures taken especially in diffi cult situations, to which, no doubt, the recent fi nancial crisis belongs.

Codes of conduct seek to institutionalize certain practices and govern the actions of those who accept the regime. As they arise and seek to displace established ways of life in organizations, they provide examples of institutional development and change. This paper examines how the UK code of corporate governance arose and developed over time, and how it leads to a common understanding across various fields of social actors. Specifically, it examines the debate about what the ethos of the board for directors should be, as exhibited in consultations informing the 1992, 2003 and 2010 versions of the code. It shows social actors, as expected, taking stances aligned with their economic interests. But over time and through the institutional work involved in the debate, some of those actors identify increasingly with the process, and the collective understanding informs the identity of those participants.

The aim of this paper is to contribute to the understanding of the relationship between activist hedge funds and other institutional investors. Hedge funds are more likely to target firms with high levels of institutional ownership and demonstrate a preference for short-term focused institutional investors. Hedge fund activism generates short run and long run abnormal returns without increasing stock return volatility. Regardless of the investment horizon, volatility is inversely related to prior period institutional ownership. The trading behavior of institutional owners with different investment horizons is consistent with hedge fund activism creating value. These findings hold regardless of whether investment horizon is based on portfolio churn rate or type of institution. Overall the results suggest a mutually beneficial relationship between activist hedge funds and other institutional investors.
