The main subject of this article is an attempt to resolve whether and on what principles active financial market participants were entitled to continue their activities related to trading in financial instruments during the so-called transition period determined by the provision of Article 29 of the Act of 1 March 2018 amending the Act on Trading in Financial Instruments and certain other acts (Dz.U. [Journal of Laws] of 2018, item 685). To this end, the authors have interpreted this provision in the context of the overall regulation of the amending act, with particular attention paid to the new wording of the definition of trading in financial instruments. The analysis of the indicated issues is carried out primarily from the point of view of active participants of the financial market, which constitutes a significant enrichment of the studies that have so far dealt with the discussed problem. Against the background of the above considerations, the authors draw attention to the influence of the Polish Financial Supervision Authority (Financial Supervision Commission) on other financial market participants, especially in relation to the supervisory proceedings conducted by the Authority and the supervisory measures applied. As a result of the conducted deliberations, the authors notice that the imprecision and incompleteness of the content of the analysed legal acts may be connected with significant negative consequences for the financial market participants, primarily in the form of financial sanctions.

The Polish Financial Supervision Authority (hereinafter: KNF) is the key element of the economic security system of the Polish State. By establishing the KNF, the Polish legislator applied the concept of integrated financial supervision (covering bank supervision, insurance supervision and capital market supervision) located outside the central bank. The KNF has been vested with a broad mandate, including powers to supervise authorised entities. However, the scope and nature of measures available to the KNF in the prevention of economic crime are determined by the institutional position of the KNF, which has not been established as a law enforcement authority or a uniformed or special service but rather an institution engaged in the fight against economic crime by providing expertise, supporting other state services specialised in this area. The KNF and the Office of the Polish Financial Supervision Authority (hereinafter: UKNF) actively support, among others, the police units that fight crime in the financial market and work to increase the economic security of the Polish State. Therefore, it is imperative to ensure broad and efficient cooperation between the police and the KNF. However, such collaboration must not be limited to relations between the institutions’ management; it should also involve, as far as possible, working and operational activities carried out at both institutions by individuals responsible for day-to-day tasks. This paper provides a closer perspective on the formal and organisational framework of said cooperation and discusses its examples.

The Polish Financial Supervision Authority is the authority competent for cybersecurity for the banking sector and financial market infrastructure. It is the only cybersecurity authority that does not have the status of a minister managing a government administration department as well as being the only authority competent for cybersecurity outside the structure of the government administration and not operating within the legal personality of the State Treasury. Only some entities supervised by the Polish Financial Supervision Authority under the regulations on supervision over the financial market are subject to its supervision as the authority competent for cybersecurity. Regulatory differences lead to the necessity to apply different rules when the Polish Financial Supervision Authority carries out controls under the regulations on financial market supervision and controls under the National Cybersecurity System Act.

The article discusses problems created by the introduction of foreign currencies mortgage loans (especially indexed to the Swiss Franc) into the mass consumer market in Poland (mainly in years 2005–2008). Approximately 900 thousands of Polish consumers have their mortgage loans indexed to foreign currencies. This kind of loan became very popular due to lower interest rates. However, indexation of mortgage loan to foreign currency has also exposed borrowers to foreign exchange risk of which consumers were insufficiently informed. This risk has materialised to some extent with sharp increases in CHF exchange rate in 2009 and 2015. The article reports the unsuccessful attempts of self-regulation of the banking sector as well as delayed actions undertaken by regulatory bodies, namely the Banking Supervision Authority, and subsequently, the Polish Financial Supervision Authority, which tried to limit the scope of such risky loans on the consumer market. As political attempts to solve the problem have also been unfruitful, the individual litigations in civil courts have become of particular significance. The courts have not reached a common approach to individual claims yet. In some judgments such loans are declared null and void, in others orders are issued to perform the loans but disregarding the unfair terms of indexation. There are also judgments that declare such contracts perfectly legal. The author discusses the present case-law and presents a preferred direction of action which in his opinion may provide full protection of consumers against unfair contract terms which would be at the same time in line with the requirements of the Court of Justice of the European Union.

The correct risk identification, its measurement and setting its acceptable level are the basis for credit risk management in every bank, as well as the whole banking system. The last subprime crisis in the USA clearly showed that irresponsible behaviour of market participants may destabilise the financial system, causing serious consequences, both social and economic, not only for the banking system of a particular country, but also for the global financial system. The new areas of risk which are emerging nowadays force local as well as international regulators and supervisors to take serious actions in order to limit this risk and prevent any future crisis. In the following dissertation actions taken by the Polish banking supervisor, concerning mortgage loans, have been analyzed in order to establish the impact they have had on the development of the mortgage market, as well as quality and safety of its credit portfolio for the Polish banking system. The considerations were mostly based on the analysis of supervisory recommendations published by Polish Financial Supervision Authority. They describe good practices in the field of retail credit risk management (Recommendation T) as well as residential mortgage loans and loans secured by mortgage (Recommendation S). The content also includes references to EU regulations.

According to the author of the opinion, a legal basis of control activities executed individually by the Deputy with regard to the Polish Financial Supervision Authority may be found in Article 16 of the Act on the Exercise of the Mandate of a Deputy or Senator. It creates an opportunity to obtain “information and explanations on matters resulting from the performance of Deputy’s duties”. Consequently actions taken by Deputies should be related to a collegial activity of the Sejm or its bodies. In the context of Articles 19 and 20 of the above act the author points out that the Polish Financial Supervision Authority is not a governmental administration body. Thus it stays outside of the scope of the Deputies’ intervention.

Financial market supervision is exercised by the Polish Financial Supervision Authority (PFSA). It is a central public administration authority, but not a government administration authority. Since 1 January 2019, it has become a body of a state legal entity – the Office of the Polish Financial Supervision Authority (UKNF). A number of systemic changes concerning the shape of financial market supervision were introduced based on limited objectives without a broader analysis of the systemic consequences of these changes being conducted. This also applies to the recognition of the Office of the Polish Financial Supervision Authority as a state legal entity, and the Polish Financial Supervision Authority and its Chairman as authorities of the Office. Under administrative law, the Office remains the work apparatus of the Authority.

The subject of this article is an evaluation of part of recommendation H of Polish Financial Supervision Authority regarding legal risk. The author proves that the recommendation should be revised since legal risk as an element of operational risk grows and has an impact on stability of banking system. The author presents sources of recommendations system and stresses the need of improvements. Afterwards he introduces his own definition of legal risk, detailing and rationalizing its elements, adding economic meanings to raised issues. Next the author critically evaluates the only recommendation of PFSA regarding legal risk and finally indicates the structure of new recommendation to exhaust the scale and range of raised issues.

Rynek finansowy stanowi bardzo specyficzne środowisko, w którym normy prawa prywatnego przenikają się z normami prawa publicznego, a tzw. miękkie normy prawne (soft law) są niejednokrotnie ważniejsze dla uczestników tego rynku niż klasyczne akty rangi ustawowej. Wyżej opisana specyfika przejawia się również w subsydiarnym oznaczeniu podmiotów działających na rynku finansowym, które to przybiera postać ratingu oraz list ostrożnościowych organu nadzoru. Przedmiotem analizy niniejszego opracowania autor uczynił zatem zarówno charakterystykę ww. form subsydiarnego oznaczenia, jak i ich kwali-fikacje prawną, podkreślając status rynku finansowego jako specyficznej gałęzi prawa.
The financial market is very specific environment in which the rules of private law cooperate with the norms of public law and with so-called soft law regulations that are often more important for market participants than the classic acts of statutory legislation. The above-described specificity is also demonstrated by the alternative designation of entities operating in the financial market, that takes the forms of the rating and of the prudential supervisory authority lists. The goal of the analysis of the present paper is the description of both above-mentioned forms of alternative designation and their legal classification, highlighting the status of the financial market as a specific branch of law

The main aim of this article is to analyze the organizational, legal, and systemic implications of the judgement of the Constitutional Tribunal in the context of the possibility that a civil service corps functions in the Polish Financial Supervision Authority (PFSA). The authors put forward and substantiate the thesis that the ruling of the Constitutional Tribunal definitely closed the possibility of establishing a civil service corps in the Polish Financial Supervision Authority, which resulted in significant legal and organizational consequences, both positive and negative. Firstly, it increases the flexibility of human resources management processes in the financial market supervisory authority, and thus permits to enhance the attractiveness of the employment. Secondly, it limits the possibility of interference by the representatives of the executive branch, such as the Prime Minister, in the substantive activities of the staff, as the Prime Minister is not their constitutional chief. Thirdly, closing the possibility of establishing a civil service corps in PFSA, while failing to establish other quality and independence assurances concerning employees of this institution, may negatively affect the quality of the functioning of the state in a holistic approach. As a result of the conducted analysis, it has been established that the systemic and legal status of the PFSA is characterized by a significant level of independence and autonomy. In the opinion of the authors, it is greater than in the case of other regulatory bodies which are also defined in law as central bodies of government administration. The authors also agree with the standpoint of the Constitutional Tribunal, which stated that the KNF Board is a public administration body functioning outside the structures of government administration. Therefore, there is no possibility for a civil service to exist in the PFSA.

Wraz z wejściem w życie rozporządzenia Parlamentu Europejskiego i Rady (UE) 2017/2402 z 12.12.2017 r. w sprawie ustanowienia ogólnych ram dla sekurytyzacji oraz utworzenia szczególnych ram dla prostych, przejrzystych i standardowych sekurytyzacji, a także zmieniającego dyrektywy 2009/65/WE, 2009/138/WE i 2011/61/UE oraz rozporządzenia (WE) nr 1060/2009 i (UE) nr 648/2012 (Dz.Urz. UE L 347 z 28.12.2017, s. 35–80), dalej „rozporządzenie 2017/2402”, na nowo został ukształtowany stan prawny dotyczący sekurytyzacji. Działalność uczestników tego procesu została objęta nadzorem, który jest sprawowany przez Komisję Nadzoru Finansowego. Tym samym podmiotami nadzorowanymi stały się również podmioty niepochodzące z tradycyjnych segmentów rynku finansowego: bankowego, kapitałowego oraz ubezpieczeniowego. Istotnym, w szczególności dla rynku polskiego, nowym obowiązkiem jest sprawozdawczość, której zasady zastały określone w rozporządzeniu. Niniejsza analiza dotyczy tego obowiązku oraz sposobu jego nadzorowania, w tym sankcjonowania jego niedochowania.
With the entry into force of Regulation (EU) 2017/2402 of the European Parliament and of the Council of 12 December 2017 on establishing a general framework for securitization and creating a specific framework for simple, transparent and standardized securitization, and amending Directives 2009/65 / EC, 2009/138 / EC and 2011/61 / EU and Regulations (EC) No 1060/2009 and (EU) No 648/2012 (Official Journal EU L 347 of 28.12.2017, pp. 35–80), hereinafter 'Regulation 2017/2402' the securitization legal status has been modified. The activities of participants in this process have been supervised. The supervision is exercised by the Polish Financial Supervision Authority. Thus, supervised entities became entities not only from traditional financial market segments: banking, capital and insurance. An important, especially for the Polish market, new obligation is reporting, the principles of which have been set out in the Regulation. This analysis concerns this obligation and the way it is supervised, including sanctioning its failure to comply.

Współczesny rynek kapitałowy w Polsce jest młodym rynkiem, który rozwija się dopiero od 1991 r. jednocześnie stanowiąc jeden z fundamentów gospodarki narodowej. Należy zauważyć, że transakcje w zakresie zorganizowanego obrotu papierami wartościowymi dokonywane są poprzez profesjonalnych pośredników – maklerów, którzy zawodowo zajmują się pośrednictwem w transakcjach kupna i sprzedaży papierów wartościowych. W niniejszym opracowaniu analizie poddano regulację prawną odnoszącą się do sankcji nakładanych na maklerów papierów wartościowych. Jako podstawową metodę badawczą zastosowano metodę analityczną. Analizie poddano obowiązujące ustawodawstwo, dorobek literatury oraz orzecznictwo. Celem poniższych rozważań było przedstawienie statusu prawnego maklera papierów wartościowych, jego obowiązków oraz sankcji grożących za ich niewykonanie.
The modern capital market in Poland is a young market, which has been developing only since 1991 and at the same time constitutes one of the foundations of the national economy. This market has a complex structure and is divided into several segments. It is a regulated market and is subject to the supervision of the Polish Financial Supervision Authority. It should be noted that organized securities transactions are carried out through professional brokers who professionally act as intermediaries in the buying and selling of securities. The present paper analyses the legal regulations relating to sanctions imposed on securities brokers. An analytical method was used as the basic test method. Existing legislation, literature and case law were analyzed. The purpose of the following considerations was to present the legal status of a securities broker, his/her obligations and sanctions for their non-performance.
