Information asymmetry between claimants seeking damages for competition law violations and the alleged infringing undertaking(s) is a key problem in the development of private antitrust enforcement because it often prevents successful actions for damages. The Damages Directive is a step forward in the facilitation of access to evidence relevant for private action claims. Its focus lies on, inter alia, 3rd party access to files in proceedings conducted by national competition authorities (NCAs). The harmonization was triggered by the inconsistencies in European case-law and yet the uniform rules on access to documents held in NCAs’ files proposed in the Damages Directive seem to follow a very stringent approach in order to protect public competition law enforcement. The article summarizes the most relevant case-law and new provisions of the Damages Directive and presents practical issues with respect to its implementation from the Polish perspective.

The following article focuses on the issue of private enforcement of competition law as one of the key elements of the current European and national debate on the efficiency of competition law. By analyzing this concept, the article aims to determine the influence of the European private enforcement model on the national competition law enforcement practice. The goal of the analysis is to answer two main questions: Does the current convergence of the national competition law enforcement system towards the European model guarantee the establishment of an effective, public-private system of antitrust enforcement? Under which conditions may the development of private methods of antitrust enforcement lead to an increase in the efficiency of Polish and European competition law? In order to address these questions, the article analyses the development of the private enforcement doctrine in the European Union and Poland. It refers to European and Polish jurisprudence on private enforcement, the competition policy of the European Commission as well as of the Polish competition authority – the UOKiK President. It also covers recent legislative changes introduced in the European and national legal orders. The analysis leads to the conclusion that the current convergence of the national antirust system towards the European model did not lead to the establishment of an effective mechanism of private enforcement in Poland. Nevertheless, the assessment of recent changes at the European level gives grounds to assume that the adoption of the Directive on Damages Actions, and its transposition into the national legal order, might overcome this problem and allow for better protection of individuals against anti-competitive behaviors.

This paper provides a study of the interaction between public and private enforcement of Lithuanian antitrust law. The study refers to the Damages Directive. It has been found that private enforcement depends greatly on public enforcement of competition law. Therefore, their compatibility and balance are of great importance to antitrust policy. The Lithuanian NCA prioritises cases where an economic effect on competition does not have to be proven. This creates uncertainty about the outcome of private enforcement cases. Private enforcement in Lithuania is also in need of detailed rules on the identification of harm and causality. The analysis reveals how challenging it can be to estimate and prove harm or a causal link in private enforcement cases. Support from the NCA is therefore exceedingly needed. Moreover, even though the use of the leniency programme helps, it remains insufficient to solve the problem of under-deterrence. However, measures introduced by the Damages Directive do not make the leniency programme safe.

This paper is devoted to the impact of EU law on national leniency programmes, especially the Polish one. It analyses the jurisprudence of the Court of Justice in Pfleiderer, Donau Chemie and Schenker and identifies three specific areas of potential EU influence on national leniency programmes. The impact of EU law on the rules of access to leniency documents is analysed in detail on the basis of both EU and Polish law and taking into account the Draft Directive on Antitrust Damages Actions. The paper covers also the extent to which the principle of effectiveness of EU law limits the procedural autonomy of Member States in regard to their leniency programmes. This analysis covers both “negative conditions”, that is, elements of national leniency programmes which are incompatible with EU law, and “positive conditions”, in order words, those elements of domestic leniency programmes which are seen as necessary for securing their effectiveness.
L'article concerne l'influence du droit de l‘Union européenne sur les programmes de clémence nationaux, en particulier le programme polonais. La jurisprudence de la Cour de justice de l’Union européenne est analysée, surtout les arrêts en Pfleiderer, Donau Chemie et Schenker. Les trois avenues de l'influence du droit européen sur le programme de clémence sont identifiés – les règles d'accès aux confessions des entreprises bénéficiaires de la clémence, qui sont analysées en détaille, les limitations des programmes nationaux de clémence à cause du principe d'effectivité et les obligations des autorités nationales de concurrence d’assurer l'effectivité des programmes de clémence

The article focuses on the concept of passing-on of overcharges and the peculiarities of its regulation by the Damages Directive. The Damages Directive obliges Member States to ensure that the defendant in an action for damages may invoke the passing-on defence. Moreover, the Directive establishes the new framework and the main principles that govern the application of the passing-on defence. The national case law on passing-on is very insignificant in Central and Eastern European countries and many questions are expected to be raised in the courts of the CEE Member States. While discussing the concept of passing-on in the Damages Directive, a lot of emphasis should be paid to the issue of causation. Causation will definitely be the subject of most of the questions in cases when an indirect purchaser will bring a claim for damages. Causation may be tricky when an indirect purchaser claims it suffered an ‘overcharge harm’ because of passing-on. In most cases, the issue of causation will be decided mainly by national courts based on national procedural rules. Depending on the situation, passing-on may be used as a basis for the claim (as a ‘sword’) or as a defence (as a ‘shield’). It could be used as a basis for the claim by an indirect purchaser, in case s/he has suffered any harm because of the illegal actions of a cartelist or a dominant company. At the same time, it could be used as a defence by the infringer against a claim for damages. The article also analyses the specifics of the implementation of the Directive into the national laws of CEE Member States.

The article gives an overview of Ukrainian legislation and experiences concerning antitrust damages actions. The analysis has led to a number of conclusions: private claims are rare in Ukraine due to difficulties in obtaining evidence, high legal costs, and lacking confidence in the Ukrainian court system. The paper gives examples of Ukrainian private antitrust enforcement practice and provides a statistical analysis of the dynamics of ‘compensated’ damages caused by antitrust infringements in Ukraine. The value of ‘compensated’ damages is compared to the value of the economic effect of stopping antitrust infringements, as well as to the value of the overall welfare loss deriving from market power in the national economy. Finally, some new sources of damages caused by market power are discussed considering the development perspectives of this branch of antitrust activity.

The article reviews the jurisprudence of Lithuanian courts on private enforcement of competition law and identifies the main obstacles for the development of this practice. The analysis of the jurisprudence makes it possible to summarise that: most rulings of the Lithuanian courts relate to cases on the abuse of dominance; usually, dominant undertakings were allegedly applying discriminatory conditions towards the injured party and; most of the claims were presented as follow-on actions after a decision of the Competition Council. The courts held that damages caused by a breach of competition law have to be recovered in accordance with Lithuania’s main principles of civil responsibility. At the same time, the courts made it clear that their jurisprudence is based on the rulings of European Courts and the main principles of EU competition law. The main obstacles for the successful development of antitrust damages claims in Lithuania are, inter alia: complexity of competition cases; difficulty in obtaining substantive evidence; proving a consequential relationship and; high legal costs. The article also analyses substantial and procedural provisions of Lithuanian legislation that regulate the submission of antitrust damage claims.

The article focuses on the novelties introduced by the Damages Directive in the field of consensual settlements of disputes concerning private enforcement. The Damages Directive obliges Member States to ensure that the limitation period for bringing an action for damages is suspended for the duration of any consensual dispute resolution process. The Directive also establishes the main principles that govern the effect of consensual settlements on subsequent actions for damages. Since the EU framework for consensual dispute resolution of private enforcement disputes is quite new, many issues must still be solved in Member States’ practice. While analysing consensual dispute resolution in private enforcement cases, particular interest should be paid to mediation and arbitration as a form of Alternative Dispute Resolution (ADR). Mediation is often used in competition law litigation. In a mediation process, parties are subject to fewer legal costs than in litigation and arbitration. It may thus be concluded that consensual dispute resolution is usually a faster way to receive compensation. However, voluntary arrangements and ADR in competition law still raise many problems concerning both procedural and substantial legal acts.

This article presents Commission documents (“package”) on actions for damages based on infringements of EU competition rules and collective redress which were published on 11 June 2013. The article provides a brief overview of the measures contained in the package and indicates potential difficulties if it became necessary to transpose or implement them into the domestic legal system by the Polish legislature.

One of the main objectives of the so-called Damages Directive (2014/104/EU) was to make antitrust enforcement more effective. Although in most EU countries private antitrust enforcement has been possible subject to general rules of civil law; the number of private antitrust litigations has remained relatively low. It is presumed that the complementary roles of public and private enforcement, as well as the synergy between them, will take effect if formal decisions taken during public enforcement will have binding effect with regard to follow-on private litigations. According to the Damages Directive, final national decisions on competition infringements shall have binding effect in follow-on litigations. What is to be understood under ‘binding effect’, and the potential effects thereof, has been subject to a lively debate among academics and practitioners. It has been questioned if decisions of an executive body can bind the judiciary, and if so, to what extent. What is the evidentiary value of a formal decision of a NCA regarding national courts, but also on the court of another Member State. The article deals with the main issues and arguments presented in the general debate on the binding effect of national competition law decisions, and provides a closer look on this topic with regard to specific CEE countries.

In the tradition of civil law Member States, civil liability issues are linked to the legal entity that caused a damage, with the exception of lifting the corporate veil. The Finnish competition authority imposed fines to Finnish companies that participated in an asphalt cartel. Following that decision, an action for damages was lodged for infringement of Article 101 TFEU that ultimately led to the Skanska ruling. The European judge completes and specifies some ambiguities of the Damages Directive. From a holistic point of view of the objective pursued by both public and private enforcement of European competition law rules, the economic entity of an ‘undertaking’, as it is defined by European law rather than the legal entity as it is defined by national law, must be a substantive criterion, and not a procedural one, in civil liability procedures before national courts awarding damages for European law infringements. Introducing the principle of economic continuity to national civil liability procedures is a creeping harmonisation of national civil law in order to serve the effectiveness of European competition law. The scope of Skanska could also extent to Article 102 TFEU infringements. Corporate restructuring must follow from now on a lengthy and complex due diligence as the acquirers could be liable for their predecessors’ infringements in any Member State.
Dans la tradition des États membres de droit civil, les questions de responsabilité civile sont liées à la personne morale qui a causé un dommage, à l’exception du voile corporatif. L’autorité finlandaise de la concurrence a infligé des amendes aux entreprises finlandaises qui ont participé à une entente sur l’asphalte. Depuis cette décision, une action en dommages-intérêts a été introduite pour violation de l’article 101 du TFUE, qui a finalement abouti à l’arrêt Skanska. Le juge européen complète et précise certaines ambiguïtés de la directive Dommages et intérêts. D’un point de vue global de l’objectif poursuivi par l’application publique et privée des règles du droit européen de la concurrence, l’entité économique de l’ «entreprise» telle qu’elle est définie par le droit européen, et non l’entité juridique telle qu’elle est définie par le droit national, doit être un critère de fond, et non de procédure, dans les procédures en responsabilité civile devant les juridictions nationales qui accordent des indemnités pour violation du droit européen. L’introduction du principe de continuité économique dans les procedures nationales de responsabilité civile est une harmonisation progressive du droit civil national afin de servir l’efficacité du droit européen de la concurrence. Le champ d’application de Skanska pourrait également s’étendre aux infractions à l’article 102 du TFUE. La restructuration des entreprises doit dorénavant faire l’objet d’un contrôle préalable long et complexe, car les acquéreurs pourraient être fiables pour les infractions commises par leurs prédécesseurs dans tous les États membres.

Artykuł prezentuje regulacje prawne oraz orzecznictwo, które ukształtowały prywatnoprawny model dochodzenia roszczeń odszkodowawczych z tytułu naruszenia prawa konkurencji w państwach członkowskich i w Unii Europejskiej. Autorka podejmuje próbę opisu i oceny rozwiązań prawnych przyjętych przez Dyrektywę Parlamentu Europejskiego i Rady 2014/104/UE z 26 listopada 2014 r. w sprawie niektórych przepisów regulujących dochodzenie roszczeń odszkodowawczych z tytułu naruszenia prawa konkurencji państw członkowskich i Unii Europejskiej, na tle problemów, które przyjęta dyrektywa powinna rozwiązać. Równocześnie wskazuje na pewne wady przyjętych rozwiązań.
The article examines legal regulations and court verdicts which have formed the private law model for making damage claims for infringements of the competition law provisions of the Member States and of the European Union. The author discusses and evaluates legal instruments of Directive 2014/104/EU on certain rules governing actions for damages under national law for infringements of the competition law provisions of the Member States and of the European Union in the context of problems this Directive strives to resolve with regard to shortcomings of those instruments.

Merricks v Mastercard [2019] is the first action under the newly developed ‘opt-out’ collective proceedings regime for aggregate damages under UK competition law to be considered by the UK Court of Appeal. It is significant for both the level of damages (£14 billion (€16 billion)) and the clarification of the legal test at the certification stage for the suitability for an aggregate award: the method for calculation of the aggregate damages and the sufficiency of evidence. The Court’s lowering of these thresholds importantly opens the door to future class actions and reasserts the importance of collective proceedings as a valuable means of redress for competition law infringements. The decision has now been appealed to the UK Supreme Court where these issues may be further clarified and resolved.
Merricks v Mastercard [2019] est la première action examinée par la Cour d’appel du Royaume-Uni, dans le cadre du nouveau régime de procédure collective «opt-out» récemment mis au point en vertu du droit britannique de la concurrence. Cette action est importante tant pour le niveau des dommages (14 milliards de £; 16 milliards de €) que pour la clarification du test juridique au stade de la certification de l’aptitude à une indemnisation globale: la méthode de calcul du dommage et le caractère suffisant des preuves. L’abaissement de ces seuils par la Cour ouvre la voie à de futurs recours collectifs et réaffirme l’importance des procédures collectives en tant que moyen utile de réparation pour les infractions au droit de la concurrence. La décision a maintenant fait l’objet d’un appel devant la Cour suprême du Royaume-Uni, où ces questions peuvent être clarifiées et résolues.

Opis:
This article presents the main difficulties surrounding private enforcement of antitrust law in Poland, currently the key implementation problem in the field of antitrust law. Whereas the basic standards concerning the public pillar of antitrust enforcement have already been established, either in the European Community (EC) or in its Member States, the private pillar of antitrust enforcement has not yet been fully developed. The fact that private enforcement of antitrust law is possible, and in fact equal, to public enforcement is not yet commonly recognized. In response to the European Commission’s White Paper on Damages actions for breach of the EC antitrust rules, private enforcement of antirust law is presently under intense discussion in EC Member States. This article should be considered as one of the contributions to this debate. It presents the main legal framework of private enforcement of antitrust law in Poland. In order to do so, it directly refers to the Polish Act on competition and consumer protection, the Civil Code and the Civil Procedure Code. This article also discusses Polish case law in this area. It aims to assess whether existing Polish legal provisions are, in fact, sufficient to ensure effective private enforcement of Polish as well as EC antitrust law. The article refers to the main proposals of the European Commission’s White Paper. It is concluded that private enforcement of antitrust law is indeed possible in Poland on the basis of currently applicable procedural rules, even if there are no special instruments designed to facilitate it. However, it cannot be expect that in the current legal climate, private parties will eagerly and frequently apply for damages in cases of a breach of Polish antitrust law. Antitrust cases are special in many aspects and, thus, they require specific solutions in procedural terms. This article aims to pinpoint those areas, where the Polish law needs to be changed in order to develop and promote private enforcement of antitrust law in Poland.

This paper is devoted to the Polish leniency programme, including the conditions of obtaining lenient treatment and the applicable procedure. The type, scope and form of information that must be submitted are commented on as well as the marker system and summary applications. The intersection of the leniency scheme with private enforcement of antitrust rules is discussed in detail. Special attention is devoted to the possible ways in which private antitrust plaintiffs might access information submitted to the UOKiK by leniency applicants. Thoroughly analysed are the rules regulating the possibility of obtaining relevant documents from the UOKiK and from the defendant in the course of civil proceedings as well as the status of the administrative decision in subsequent civil litigation. The paper covers also the scope of the leniency recipient’s civil liability and touches upon the possible ways in which it could be limited to enhance the effectiveness of the leniency scheme. Some suggestions de lege ferenda are also provided concerning the means of increasing this effectiveness without prejudice to the private parties’ right to compensation.
