Opis:
Alexandre Yakovlev was a famous Russian painter, graphic and theatre artist, a graduate from the Imperial Academy of Arts and a member of the “World of Art”. In 1917 by the order of the Academy (material collection to decorate interiors of the Kazanian railway station) Yakovlev went to Beijing, then he traveled a lot throughout China, Mongolia and Japan. He explored Chinese and Japanese theaters, as a result he made many ethnographic sketches, portraits and photographs. He arranged the exhibition of his drawings in Shanghai (in 1919). Finding out about the revolution in Russia he emigrated to France. Since 1919 he lived in Paris. He showed multiple works of Far Eastern cycle at personal exhibitions in Paris (Barbazanges Gallery, 1920 and 1921; together with V. Shuhaev), London (Grafton Gallery, 1920) and Chicago (Art Institute, 1922). In 1922 the pub-lisher Lucien Vogel published an album Drawings and paintings of the Far East, which included 50 reproductions of Yakovlev’s Far-East cycle (the book was designed by Shuhaev). At the same time the artist produced an album on the Chinese theater with accompanying text by a Chinese author Zhu Kim-Kim. In 1931–1932 Yakovlev took part in the “Yellow Cruise” arranged by the “Citroen” company. From this expedition he brought some new series of drawings. At the end of the cruise he presented his artworks in Paris and at foreign exhibitions. This background of the artist’s life is subject to be studied better in Russia.

COVID-19, mobility, socio-social changes have transferred to the world of social media communication, purchasing activities, the use of services. Corporate social media has been created to support clients in using various services, give them the possibility of easy communication without time and local barriers. Unfortunately, they still very rarely take into account the security and privacy of customers. Considering that the purpose of this article is to investigate the impact of social media on the company's image, it should be remembered that this image also works for the security and privacy of customer data. Data leaks or their sale are not welcomed by customers. The results of empirical research show that the safety, simplicity and variety of services offered on social media have a significant impact on the perceived quality, which in turn positively affects the reputation. The authors proposed a methodology based on the Kano model and customer satisfaction in order to examine the declared needs and undefined desires and divide them into different groups with different impacts on consumer satisfaction. The interview participants were employees of 10 randomly selected companies using social media to conduct sales or service activities. 5,000 people from Poland, Portugal and Germany participated in the study. 4,894 correctly completed questionnaires were received.

SummaryThe article discusses the issue of succession of rights of the injured party in criminal proceeding in case of transformation of the legal entity into another entity. The first part of the article focuses on the definition of the injured party. The further part contains several examples of transformations of legal entities and related to the transformation – problem of succession of rights in criminal process. The author analyzes in detail the different variants of the transformation of legal persons and other organizations in order to solve recent problems in determining the subject entitled to exercise the rights of the injured party, for example, in case of disposal of the company or its transformation. Moreover, the author provides consequences of the transformation that is dependable on the way of transformation – whether the transformation was based on the universal or singular succession of the rights. The final part contains de lege ferenda demands and general principles that may be useful to court and law enforcement entities in determining the entity which should be given the status of the injured party, if it is not a natural person.
StreszczenieArtykuł omawia problematykę sukcesji praw pokrzywdzonego w postępowaniu karnym w razie przekształceń podmiotów niebędących osobami fizycznymi. Pierwsza część artykułu skupia się na definicji pokrzywdzonego. Dalsza część artykułu została poświęcona omówieniu szeregu przykładów przekształceń podmiotowych oraz związanej z nimi sukcesji praw pokrzywdzonego w postępowaniu karnym. Autorka szczegółowo analizuje różne warianty przekształceń osób prawnych i innych jednostek organizacyjnych chcąc wyjść naprzeciw współczesnym problemom w określaniu podmiotu uprawnionego do wykonywania praw pokrzywdzonego np. w razie sprzedaży przedsiębiorstwa czy przekształcenia spółki. Autorka podnosi nadto konsekwencje przekształceń podmiotowych i sukcesji praw pokrzywdzonego w zależności od tego czy przekształcenia dokonano na zasadzie sukcesji uniwersalnej, czy syngularnej. W końcowej części pracy zawarte są wnioski wraz z postulatami de lege ferenda oraz sformułowanymi zasadami ogólnymi, które mogą okazać się przydatne organom ścigania i sądowi przy określaniu podmiotu, któremu należy nadać status pokrzywdzonego, jeśli nie będzie to osoba fizyczna.

Istotnym problemem w zakresie kapitału relacyjnego jest brak jego precyzyjnej definicji. Autorki badań podjęły próbę stworzenia definicji obejmującej najważniejsze elementy, które pojawiają się w definicjach tej formy kapitału. Ponadto w artykule zaprezentowano poziom zainteresowania terminem kapitału relacyjnego w latach 2006-2017. Zastosowane metody badawcze obejmują analizę i krytykę piśmiennictwa oraz analizę popularności słów kluczowych z wybranych baz naukowych.
A major problem in the field of relational capital is its lack of a precise definition. The authors of studies have attempted to create a definition of the major elements that appear in the definitions of this form of capital. Furthermore, the article presents level of interest in relational capital in 2006-2017. The research methods used include the analysis and critique of literature and analysis of the popularity of keywords selected scientific bases.

Opis:
According to the present legal status sheltered workshops may use various forms of public aid supporting employment of disabled persons. Such aid is provided as aid in finding employment within the frame of group exclusions in the form of the de minimis aid. One of the basic forms of aid to sheltered workshops provided on the de minimis grounds is funding tasks connected with rehabilitation of disabled employees (tasks that are profitable for the employer) from the means of the company disabled persons rehabilitation fund that is created from exemptions from paying some taxes and payments. The means cumulated in the fund may be designed to a closely defined aim indicated by the act. Freedom in laying out the means is excluded. Funding professional, social and therapeutic rehabilitation is allowed, including individual rehabilitation programs for disabled persons drawn up by rehabilitation boards appointed by the employers, and insuring disabled persons according to the company regulations of using the means. The fact of providing aid should be confirmed by a certificate of the de minimis aid issued by the proper tax organ, by an organ entitled to collect payments on the basis of separate regulations, or by the subject providing help.

Glosa analizuje wpływ niedawnego wyroku Sądu Najwyższego, w którym ustalono nowe wskazania dotyczące podstawy odpowiedzialności członka zarządu. Zgodnie z tym orzeczeniem syndyk może żądać naprawienia szkody w ramach odpowiedzialności kontraktowej przez dochodzenie roszczenia przewidzianego w art. 293 Kodeksu spółek handlowych. Wniosek ten istotnie różni się od przyjętego wcześniej stanowiska. Dotychczas bowiem sądy uznawały, że syndyk, jako osoba trzecia, może żądać odszkodowania tylko w ramach odpowiedzialności deliktowej. Rozważania w omawianym wyroku skupiają na kwestii uchwały wspólników niezbędnej do żądania odszkodowania. Niemniej pogłębiona analiza tego orzeczenia ujawnia dalej idące konsekwencje tego rozstrzygnięcia. W glosie podnosi się w szczególności, że nowe wskazania mogą oddziaływać na klasę zachowań powodujących powstanie odpowiedzialności członka zarządu, a także wpływać na termin przedawnienia.
The following paper examines the impact of the recent Supreme Court judgment which established new guidelines regarding the basis of director liability. According to the ruling, the receiver (syndyk) may demand damages under contractual liability by pursuing a claim provided for in art. 293 of Polish Company Code. This conclusion differs significantly from the previously adopted position. Until now, the courts have held that the receiver, as a third party, can demand compensation only under tort liability. The considerations in the discussed judgment are focused on the question of the shareholders’ resolution necessary to claim damages. However, a more thorough analysis reveals the far-reaching consequences of the ruling. In particular, the paper argues that the new guidelines may affect the class of behaviour which may give rise to director liability as well as the limitation period for damage claims.

Celem niniejszego artykuł jest zbadanie sprzeczności z prawem jako przesłanki odpowiedzialności członka zarządu za szkodę wyrządzoną spółce. Głównym punktem odniesienia dla tych rozważań jest orzecznictwo, w którym wymaga się wskazania przez spółkę „konkretnego” przepisu naruszonego przez członka zarządu. W artykule wywodzi się, że takie ujęcie budzi istotne trudności teoretyczne i praktyczne związane z dokładnym określeniem prawidłowego zachowania członka zarządu. Jednocześnie z analizy wynika, że orzeczenia najczęściej odnoszą się do powyższego wymogu w szczególnym kontekście, tj. w sprawach dotyczących naprawienia szkody wyrządzonej spółce przez niestaranne zachowanie członka zarządu. W konkluzji artykuł kwestionuje zasadność omawianego wymogu.
The purpose of this article is to investigate the unlawfulness as a premise for liability of a management board member for damage caused to the company. The main point of reference for these considerations is the case law which requires the company to indicate a 'specific' provision breached by a management board member. The article argues that such an approach raises significant theoretical and practical difficulties related to the precise determination of the correct behaviour of a management board member. At the same time, the analysis shows that the judgments most often refer to the above requirement in a special context, i.e. in cases concerning compensation for damage caused by negligent behaviour of the management board member. In conclusion, the article questions the validity of the discussed requirement.

In the process of shaping particular academic disciplines, there is a need to synthesise the existing research results and on their basis propose new methodological approaches and indicate the possibility of applying new directions of theoretic-cognitive and application research. This is the idea to which the theme and purpose of this paper refers. It proposes a new holistic research concept. The first part of the article reviews the hitherto research problems concerning the operation of an industrial plant (enterprise). Presented are the changing research concepts that initially treated the industrial plant as a landscape element, and then as a production plant affecting the processes of industry concentration, as well as socio-economic and cultural changes of the surroundings. In the second part, in the light of the theory of the dynamic system, the assumption was made that an industrial enterprise is not an isolated element of geographical space, but one of its functional components. Its role changes under the influence of endogenous and exogenous factors, as well as in the process of civilisation development. Using the idea of a dynamic system and the model of the functioning of geographical space, a new, holistic concept of research into the operation and development of an industrial enterprise is proposed. It includes various relationships: between the enterprise and the elements of geographical space (natural, socio-economic, cultural), between the rules of economic development, between different functional types of enterprises, competitive, between the categories of the environment, between the power elites and types of policies. The proposed model approach makes it possible to define various relations with the enterprise and allows for a comprehensive understanding of its functioning in a diversified surroundings, and it provides for the definition of a more precise strategy for its development.

The paper, on the background of the economic development rules (micro-, meso-, macro- and mega-economic and development of the world), presents: the concept of the spatial structure of the industry, basic indicators of industrial potential, corporate functions in the spatial structure of the industry and the behaviour of enterprises in the conditions of crisis. Model considerations is partly illustrated with the examples of industrial change at the national level.

Postępujące procesy rozwoju gospodarczego, społecznego i kulturowego zostały niepodziewanie zakłócone przez pandemię COVID-19. Jej negatywne skutki w różnym zakresie wpłynęły na zmianę funkcjonowania podmiotów gospodarczych i układów przestrzennych w skali świata, poszczególnych kontynentów, krajów, a także układów regionalnych i lokalnych. W literaturze przedmiotu podejmowane są analizy dotyczące rozmaitych aspektów dotyczących wpływu pandemii na funkcjonowanie i uwarunkowania rozwoju sektorów gospodarczych, firm oraz gospodarki krajów. W niniejszym artykule podjęto próbę konstrukcji modelu pozwalającego na całościowe ujęcie wpływu pandemii na zachowania podmiotów gospodarczych i układów przestrzennych. W odniesieniu do funkcjonowania dotychczasowej struktury gospodarczej określono zmiany uwarunkowań działalności firm i sytuacji społeczno‑gospodarczej, które dokonują się pod wpływem pandemii. Zaproponowane ujęcie pozwala na całościowe przestawienie oddziaływania kryzysu na zmiany warunków działalności firm w nowej sytuacji społeczno‑gospodarczej. Następnie dokonano częściowej empirycznej weryfikacji zaproponowanego ujęcia na wybranych przykładach zachowania działalności przemysłu, budownictwa, firm i sektorów przemysłowych, w tym przemysłu samochodowego.
The ongoing processes of economic, social and cultural development were unexpectedly disturbed by the emerging COVID-19 pandemic. Its negative effects, to a different extent, changed the functioning of economic entities and spatial systems in the world, individual continents and countries, as well as regional and local systems. In the literature on the subject, analyses are carried out on various aspects, the impact of a pandemic on the functioning and conditions for the development of economic sectors, companies and the economy of individual countries. In these considerations, an attempt was made to construct a model that would allow for a comprehensive understanding of the impact of a pandemic on the behaviour of economic entities and spatial systems. Against the background of the outline of the functioning of the current economic structure, changes were made in the conditions of business operations and the socio‑economic situation taking place under the influence of the pandemic. The proposed approach allows for a comprehensive presentation of the impact of the crisis on changes in the operating conditions of companies in the new socio‑economic situation resulting from the emerging pandemic. Then, a partial empirical verification of the proposed approach was performed on selected examples of the behaviour of industry and construction, selected companies and industrial sectors, including the automotive industry.

Obejmuje on szereg etapów badawczych, m.in.: ocenę dotychczasowego procesu kształtowania przedsiębiorstwa oraz struktury przestrzennej przemysłu określonego układu przestrzennego, wyznaczanie celów dalszej przebudowy stanu początkowego, określenie możliwości generowania nowych i wykorzystania dotychczasowych czynników rozwoju oraz możliwości ograniczania barier, podejmowanie decyzji co do wyboru najefektywniejszych metod zarządzania do realizacji założonych celów, określenie kierunków przemian struktur przemysłowych, analizę mechanizmu procesu przebudowy od stanu początkowego do stanu końcowego, ocenę stanu końcowego, aby sformułować dalsze kierunki przemian.
The paper proposes a research pattern, which can be applied to the works in the field of industrial geography. It includes several stages of research, among others: an assessment of the formation process of the company and the spatial structure of industry in defined spatial system, setting targets for further reconstruction of the initial state, identifying opportunities to generate new and use of existing factors of development and the possibilities of reducing barriers, decision-making process in the selection of the most effective methods for managing organizational goals, the establishment of transformation guidelines of industrial structures, analysis of the conversion process mechanism from initial to a final state, assessment of the final state for the formulation of further directions of change.

W artykule przedstawiono podstawy teoretyczne restrukturyzacji przedsiębiorstw oraz unijne i krajowe regulacje dotyczące pomocy publicznej na ratowanie i restrukturyzację przedsiębiorstw. Omówiono przebieg procesu pozyskiwania pomocy na restrukturyzację przedsiębiorstwa PKS w Staszowie, założenia programu restrukturyzacyjnego tej firmy oraz efekty udzielonej pomocy publicznej.
In the article there are presented theoretical foundations of restructuring program for the companies, and EU/Polish regulations of public aid for rescue and restructuring programs for the companies. There are shown the aid obtaining process for the restructuring program of "PKS – Staszów" company, the foundations of restructuring of the company, and the results of received public aid.

The purpose of the article is to examine the impact of leverage on the market valuation of companies. The article verifies two hypotheses: 1. the degree of leverage is an important factor that impacts the market valuation of companies; 2. for companies with a high level of leverage, the impact of this leverage on their valuation is negative, and for companies with a low level of leverage, the impact is positive.The methodology of the study includes a critical literature review and empirical research based on correlation and regression analysis, including univariate and multivariate regression. The analysis covered quarterly data of ten energy companies listed on the Warsaw Stock Exchange. An important component of the research was classifying those companies into several groups, depending on their level of debt ratio in relation to the industry median debt ratio.The results of the research: The literature review did not provide an unequivocal conclusion to the problem. The empirical analysis did not give grounds to reject the first hypothesis; however, the second one was rejected. The research showed positive correlation and regression coefficients between the debt ratio and the price to book value ratio for highly leveraged companies and negative ones for companies with a low level of debt. The results are surprisingly contrary to the expectations based on theoretical premises.
