The principle of this article was not only the legal analysis of the content of the agricultural property lease agreement concluded by Agricultural Property Agency but, above all, positioning of this Agency in the process of concluding the abovementioned agreement. The necessity of looking into this matter again resulted from large scale changes in the Act dated 19 October 1991 on the management of agricultural properties owned by the Treasury and accompanying acts, introduced by the amending Act dated 16 September 2011 which came into effect as of 3 November 2011. The changes largely concerned the lease of agricultural properties owned by the Treasury. The basis of the article constituted also a lawsuit, during which the Agency was a party. The lawsuit caused changes in the property sale and lease procedure. The article also presents the basic legal requirements for the functioning of Agricultural Property Agency. The introduced legislative changes exposed the monopolistic position of the Agency. The statutory tendency to liquidate lease of the state–owned agricultural properties was also clearly presented, what met with criticism in the doctrine. Moreover, concerns were also aroused due the fact that the amended Act on the management of agricultural properties owned by the Treasury introduced legal instruments which allow for the unilateral interference in the content of lease agreements concluded for a definite period of time. Undoubtedly, the tenant of the state–owned agricultural property, in case of the greement concluded for a definite period of time, should receive a far–reaching legal protection. Only this type of protection guarantees achievement of the economic objective and allows for the permanence of management of the land held under lease. The amended act questions this permanence.

The manner, in which a written tender has been regulated in the Act of 19 October 1991 on Management of the Treasury Agricultural Property, shows many specific features. Similar to other tender procedures provided for in other legal acts, in particular in the Civil Code, it is a multilateral and qualifying procedure. However, unlike other tender procedures, price of the land is not the subject of competition of the participants. Moreover, no provision of the future agreement of sale is defined in the course of the tender. This makes it a unique solution, to which the tender provisions contained in the Civil Code may be applied only by analogy. It seems that this applies to regulations of the Civil Code related to the claim to conclude a contract of sale, the annulment of the contract concluded by invitation to tender and the effects of lodging the security to the extent not regulated by the Act on Management of the Treasury Agricultural Property.

The subject of thorough analysis is, among others, the effectiveness of the performed transformation and one of the first attempts, in Polish science, to compare the legal changes; the attempt to answer the research question concerning the method of the implemented changes – whether the administrative and legal regulation has brought the expected results and whether all legal institutions relevant to the private law have been used appropriately; results and method of the performed inspection and supervision of the process of ownership changes in both of the countries in question. One of the basic purposes is to answer the question of how the national administration interfere in the legal turnover of agricultural real estate nowadays and how the national agricultural property influences the legal turnover of real estate. The analysed legal regulations of both countries become an interesting research area. In both cases the process of ownership changes began similarly but the further changes were proceeding differently; also, the ultimate result of the system transformations is different. The execution of the project enabled to reveal advantages and disadvantages of the changes implemented during the last 20 years. It also enabled to suggest de lege ferenda changes in the Polish Law, which made it possible to reasonably manage the agricultural real estate being the property of the State Treasury, including the transformations of the Agricultural Property Agency.

The main purpose of this paper is to analize few selected aspects of the article 28a of the Act on management of the agricultural properties owned by the State Treasury. It is one of the legal instruments aimed at prevention against excessive concentration of agricultural properties. Important issue is to verify opinions formulated in the legal doctrine regarding to legal sanctions associated with above mentioned regulation. Author states, that violation of that legal norm causes nullity of sale contract. There are no justified reasons to assume another concept formulated in legal doctrine. Particulary, the author disagrees that it is norm without a sanction. Paper deals also with the problem of the definition of family farm in the legal regulation of tender procedure conducted by Agricultural Property Agency. Family farm is defined in the act on formation of agrarian system and it is not necessary to create different definition exclusively for tender procedure regulation.

The draft bill on shaping of the agricultural system which is to repalce the current version of the Act of 11 April 2013 was submitted to the Parliament by Polish People’s Party in in July 2014. Beyond aims listed in the article 1 of the Bill, undoubtedly it is also to create more effective than the present ones mechanisms counteracting the possibility of acquisition of agricultural lands by foreigners. Planned arrangements are partly based on the current Act of 2003 and there are also new instruments proposed, such as obligatory mediating of Agricultural Property Agency in the sales of every agricultural property irrespectively of its size, as well as prohibition of sale and encumbrance of the agricultural property purchased by tender for 10 year of the date of purchase. The proposals are ill-conceived from the agricultural activity practice point of view and the limitations go far beyond the nature of property right, which is contrary to the Constitution.

This paper attempts to describe selected elements regarding the situation on the agricultural property market and the assumptions of the policy in this respect in Poland. Particular attention was paid to legislative changes related to agricultural property trading. Statistical data from the Property Market Analysis and Monitoring System (AMRON), the Central Statistical Office, the Agency for Restructuring and Modernization of Agriculture (ARiMR) and the National Center for Agricultural Support, were used. The purpose of the study was to attempt to assess changes in land prices in Poland after systemic transformation. Attention was also paid to the issue of changes in the conditions for purchasing a property after the entry of the amended provisions of the Act on shaping the agricultural system came into force. An attempt was made to answer the question whether the introduced restrictions caused the prices of agricultural properties in Poland to change in spatial terms.
W niniejszym artykule podjęto próbę opisu wybranych elementów dotyczących sytuacji na rynku nieruchomości rolnych i założeń prowadzonej polityki w tym zakresie w Polsce. Szczególną uwagę zwrócono na zmiany legislacyjne związane z obrotem nieruchomościami rolnymi. Wykorzystano dane statystyczne pochodzące z Systemu Analiz i Monitorowania Rynku Obrotu Nieruchomościami (AMRON), Głównego Urzędu Statystycznego, Agencji Restrukturyzacji i Modernizacji Rolnictwa (ARiMR) oraz Krajowego Ośrodka Wsparcia Rolnictwa. Celem opracowania była próba oceny zmian w cenach ziemi w Polsce po transformacji systemowej. Szczególną uwagę zwrócono na zagadnienie zmiany uwarunkowań zakupu nieruchomości po wejściu w życie znowelizowanych przepisów ustawy o kształtowaniu ustroju rolnego. Podjęto próbę odpowiedzi na pytanie, czy wprowadzone ograniczenia spowodowały, że ceny nieruchomości rolnych w Polsce uległy zmianie w ujęciu przestrzennym.

Agricultural real estate has always been a separate element in the functional plane. While assessing the character of agricultural production systems, it is important to pay attention to land use which can be defined as an essential means of production in the agricultural sector. Regardless of economic and organizational factors, land still remains a crucial component in agricultural production, which increases the importance of agricultural real estate. The fundamental attribute of ownership, especially in agricultural property rights, is a right to farm. Agricultural real estate is associated with farming which is understood as assets of the estate and stands for property in terms of civil law. Functional separation of agricultural real estate also relates to the concept of agricultural property which is a part of farming. Agricultural real estate refers to property and constitutes a set of rights and obligations.

The article discusses the evolution of the legal status regulating management of agricultural property owned by the State Treasury. It presents this evolution as the consequence of multiple, often provisional actions of the legislator conditioned by changing political objectives, which results in an incoherent model of Agricultural Property Stock of the State Treasury aiming to serve the development of a specific agricultural system in Poland. The incidental nature can also be attributed to the regulations used as grounds for establishment of the National Support Centre for Agriculture in 2017. These provisions were supposed to implement the longdemanded closing of the Agricultural Property Agency. However, this demand was previously associated with the need for definitive distribution of the Agricultural Property Stock owned by the State Treasury through the completion of its restructuring process and ultimately its privatisation. Meanwhile, the establishment of the National Support Centre for Agriculture only means that the past activity of the Agency will continue under a new name and that the Stock will function as property used exclusively for restructuring purposes in the near future. Such legal conditions make it difficult to achieve the main objective of state agricultural property management, which is to facilitate access to agricultural land for farmers with respect of their economic interests.

According to Article 172 § 3 of the Civil Code, title to agricultural property may be obtained by way of usucaption only by the individual farmer. This regulation has given rise to numerous doubts as to its interpretation. It should be noted here that for the purpose of determining the scope of application of this provision, one should not make references to the Act of 11 April 2003 on shaping the agricultural system to the extent that the same does not result directly from Article 172 § 3 of the Civil Code. Particular difficulties occur with the application of Article 172 § 3 of the Civil Code to mixed type of property, which is only partially agricultural, held under acquisitive prescription by a person who is not an individual farmer. In this case, one should assume that the person in question may only acquire title to the non-agricultural portion of such property. In the event of usucaption of agricultural property by the individual farmer, the Agricultural Property Agency may exercise its right of acquisition under Article 4 of the Act on shaping the agricultural system. However, this solution is highly dysfunctional as the exercise of the right of acquisition by the Agency may lead to division, or even liquidation, of the family farm run by the individual farmer.
Zgodnie z art. 172 § 3 Kodeksu cywilnego zasiedzieć nieruchomość rolną może jedynie rolnik indywidualny. Uregulowanie to jest źródłem wielu wątpliwości interpretacyjnych. Wskazać trzeba, że określając zakres zastosowania tego przepisu, nie należy sięgać do regulacji ustawy z dnia 11 kwietnia 2003 r. o kształtowaniu ustroju rolnego w zakresie, w jakim nie wynika to wprost z art. 172 § 3 k.c. Szczególny problem z zastosowaniem art. 172 § 3 k.c. pojawia się w sytuacji, gdy posiadacz samoistny, niebędący rolnikiem indywidualnym, włada nieruchomością o mieszanym, jedynie częściowo rolnym charakterze. Wówczas należy przyjąć, że zasiedzieć może on jedynie jej część nierolną. W razie zasiedzenia nieruchomości rolnej przez rolnika indywidualnego Agencja Nieruchomości Rolnych może wykonać prawo nabycia z art. 4 ustawy z dnia 11 kwietnia 2003 r. o kształtowaniu ustroju rolnego. Jest to rozwiązanie dysfunkcyjne, ponieważ wykonanie prawa nabycia przez Agencję może doprowadzić do rozbicia, a nawet likwidacji gospodarstwa rodzinnego prowadzonego przez rolnika indywidualnego.

The concept of agricultural property as proposed by A.Stelmachowski relies on the association of the original construction of property law with its specific object, i.e. the farmstead. According to this concept, agricultural property (specified in respect of the matter of ownership) is a complex of laws and obligations describing the legal standing of the subject – farm owner. The concept of agricultural property is an important element of the doctrinal accomplishment underlying the distinguishing of agricultural law as a new branch of legislation; it may also form – on the didactic level – an axis to organise the presentation of agricultural law institutions. Core ownership issues are obviously regulated by civil law. To describe the general features of property law, as a particular legal category, A.Stelmachowski indicates that property law 1) possesses the most comprehensive content as regards the relationship of the subject to the property attributed to him; 2) awards the owner exclusive right (a certain monopoly) as regards a specified object; 3) is characterized by a singular flexibility. All of these features can be referred to various kinds of ownership, regardless of its subject, including agricultural property. The originality of A. Stelmachowski’s approach to ownership arises from a proposed construction which is different to the classic, civil law model of ownership. This model has been inherited from Roman law (triad of ownership), which stressed the absolute rights of the owner. The owner had rights but no obligations towards the others, on the contrary, they are obligated to respect the rights of the owner. The protection of agricultural property is a continuation of the essential idea of the concept Author, and thus encompasses not only the substantive nature of agricultural law but property, that is a farmstead, itself. Important are both the subject and the scope (intensity) of protection. To protect the individual components civil regulations on property are applied, and to protect the farm, it is necessary to restrict the right to dispose of its components at will. When considering the subject of protection, one should take note of two elements: 1) what goods in various historical periods effected protection of the property law, and equally 2) whose interests were taken into account when awarding the protection, in other words, this will be a query regarding the function of property law. The interest (function) which brought about protection of agricultural property in the legal order currently in place in Poland could be described as execution by farmstead proprietors of European Union legislation on the use of agricultural holdings. Similarly as in the period of socialist economy in agriculture, the legal measures are rooted in a model of farming administration developed outside Poland, and introduced here.

The new act on agricultural system was passed on 5 August 2015. It will enter into force on 1 January 2016, thereby repealing the Act on Agricultural System that has been in force since 16 July 2003 and has been repeatedly criticised. Providing the rationality of the legislator’s action, judging by the real and not merely declared need and willingness of factual improvement of not merely the conditions of living in the countryside, but also, most of all, the improvement of still little productively and economically efficient regional structure of premises, it could be expected that there will be new solutions which will effectively implement the aims pointed in article 1 of the act. Unfortunately, the Act of 2015 is mostly based on actions prescribed in the previous regulation in terms of the control of real estate transactions, not introducing any new solutions. The main function is sealing the real estate and counteracting the purchase of agricultural real estates by European Union citizens. The new act on agricultural system should regulate the entirety of agricultural system and be the specific constitution of agricultural activity. Subordinating the act to one aim makes the postulate of entire regulation of the agricultural activity still present. The remarks applied for the previous act of 2003 can be also related to the new regulation, because the basic issues concerning the internal organisation of a premise, the status of particular members and the protection of the premise workers rights were not raised in the act and the improvement of agricultural structure and the reinforcement of the Polish agriculture or introducing solutions which couldprovide Polish farmers honourable existence are raised merely on the margins of main provision of the law. There is no doubt that despite passing the new law on agricultural system there is still lack of modern and comprehensive regulations involving agricultural issues.

The purpose of the paper was to answer the question whether the legal regulations ensure an agricultural producer (lessee) sufficient stability in terms of farming, namely in terms of running a stable agricultural activity. According to the author of this article, this stability consists of two elements: ensuring the agricultural producer continuity of possession and enjoyment of the profits as well as guaranteeing manufacturing capacity of the subject of the agricultural lease. The article presents, among other things, the assessment of the influence of legal solutions included in Act of 16 September 2011 on changing Act on the management of agricultural property of the State Treasury on stability of the agricultural lease. It also analyzes questions relating to lease of private land and lease of land from the units of local governments. Moreover, the article focuses on the instruments protecting the manufacturing capacity of the subject of the lease, including EU regulations that make the obtaining of financial support subject to meeting numerous requirements concerning the treatments and maintaining good agricultural condition. The article also concentrates on the issues of amendments and improvements. In the final part of the article the author has stated that research has confirmed that the legal regulations do not protect farming on leased agricultural land in a sufficient way. The current legal regulations on agricultural land lease do not correspond to the requirements of present situation in Poland. Therefore, de lege ferenda proposal has been put forward to change the provisions relating to the agricultural land lease

On 1st January 1992, the Act on management of agricultural land owned by the State Treasury of 19th October 1991 (hereinafter referred to as the Act) came into effect, which introduced new legal regulations concerning the principles of management of property owned by the State Treasury with reference to agricultural land and other kinds of real estate as well as property left after liquidation of state agricultural enterprises (Polish: państwowe przedsiębiorstwo gospodarki rolnej; hereinafter referred to as ppgr), real estates which on the day of the Act’s coming into effect were under management of state organisational units as well as real estate in perpetual usufruct by natural and legal persons; in usufruct or beneficial estate by natural persons, legal persons and other organisational units; in the State Land Fund. With this Act the process of changes in the structure of ownership of agricultural real estate began, real estate that had been taken over to the benefit of the State Treasury on grounds of the decree on agricultural reform of 6th September 1944, as well as on grounds of other legal titles (e.g. in exchange for allowance or retirement pension, or taken over by the state by way of other titles on grounds of later legal acts). In order to accomplish the goal of introducing changes in the structure of ownership of agricultural real estate by virtue of the Act of 19th October 1991, the Agricultural Property of the State Treasury Agency was established. The Agency was invested with attributes of a state–owned legal person, which the State Treasury in accordance with art. 5 of the Act entrusted with exercising ownership rights and other property rights to the benefit of the State Treasury in relation to the aforementioned property. As a consequence whereof, on the day of the Act’s coming into effect, i.e. on 1st January 1992, the Agency entered into possession of elements of property of the State Treasury it was entrusted with (above all property left after liquidation of state agricultural enterprises), and exercises on its own behalf the rights and obligations related to them towards third parties, as well as on its own behalf exercises public law liabilities related to these elements, and liabilities resulting from administrative decisions. The Agency also inherited the liabilities of ppgr, what is to be considered an exception to the principle voiced in the Civil Code that state–owned legal persons are not responsible for the liabilities of the State Treasury. Thus the Act on management of agricultural land owned by the State Treasury, being a unique legal instrument, modifies the ruling of art. 40 § 1 of the Civil Code. The Agency is only a trust institution of the State Treasury, an institution which is the administrator of the right the State Treasury is entitled to. In no way is the Agency entitled to property rights in relation to property entrusted to it, whereas the State Treasury in no way ceases to hold ownership of the property entrusted to the Agency. However, one has to assume that the Agency is entitled, in relation to the property entrusted to it, to any and all rights listed in art. 140 of the Civil Code. The activity of the Agency as trustee constitutes, in a sense, a statutory specification of tasks of the administrative body that the Ministry of Agriculture and Rural Development is. However, describing the Agency as a unique state–owned legal person seems most appropriate, a state–owned legal person executing statutory and public administration tasks, including appointed to it public administration functions. Executing the tasks imposed on it by the legislators, the Agency not only makes use of civil law, but also of administrative law mechanisms.
