    Opis:
    The legal process involved in domestic mergers has been considered. European Union regulations were investigated, as well as their direct transposition into Polish legislation. The process itself always consists of managerial, ownership and registration phases. Nevertheless, these phases are not homogeneous and may take different courses depending on the provisions prescribed by the regulations. Several methods of measuring the time to complete mergers have been presented. In the empirical part of the article, the definition of the private time to completion has been adopted which assumes that that the procedure starts by drafting the terms of the merger and ends with the registration of the merger. The influence of different provisions on this measure has been analyzed for the case of Polish domestic mergers. Moreover, statistical reasoning has been conducted for this market showing that several recent legal amendments have shortened the legal procedure involved in consolidation. Finally, some conclusions and suggestions for future research have been presented in the paper.

    The article addresses three challenges in the M&A theory and practice: poor value orientation, lack of integrated approach to an acquisition process, and limited integration scope. It integrates the existing literature reviewing existing models as well as the author's merger experience. This paper proposes a novel acquisition framework addressing the challenges and gaps in the M&A value-creation process. The framework emphasises the role of corporate strategy as the key value creation formula in setting the right context for a merger. It also reiterates the importance of a performance management system assuring accountability and alignment at every stage of a merger including two new process stages. The model also offers a novel perspective on merger integration challenging the traditional approach and promoting earlier initiation of integration efforts. The paper also demonstrates, through a business case, a practical application of the proposed framework by a serial acquirer.
    Artykuł dotyczy trzech wyzwań w literaturze i praktyce M&A, tj. słabej orientacji na kreowanie wartości, braku zintegrowanego, a także zbyt wąskiego podejścia do procesu integracyjnego. Zaproponowano nowatorskie spojrzenie analityczno-biznesowe, wychodząc naprzeciw powszechnym wyzwaniom w kreowaniu wartości w procesie akwizycyjnym. Koncepcja ta oparta jest na krytycznym przeglądzie ewoluujących w czasie modeli M&A, jak i na doświadczeniach praktycznych autora. Prezentowana struktura akcentuje rolę strategii korporacyjnej definiującej sposób kreowania wartości danej firmy, w tym również jej działalności akwizycyjnej. Podkreśla ona również znaczenie systemu zarządzania przez cele w zapewnieniu odpowiedzialności i spójności działań akwizycyjnych na każdym etapie procesu. Model proponuje także odejście od tradycyjnego podejścia do procesu integracji na rzecz wcześniejszego inicjowania działań integracyjnych. Artykuł prezentuje praktyczne zastosowanie modelu poprzez business case.

    This paper emphasizes the importance of proper management of employees’ characteristics through their obtained education i.e. their educational attainment, on the development and application of knowledge management, and therefore on the productivity and competitiveness of the business. The study focuses on whether and to what extent human resources through socio-demographic characteristics have a decisive role in the successful implementation of the knowledge management program in textile enterprises in Serbia, as well as which segments i.e. dimensions, can be affected. Research goals are directed towards determining the impact of the educational attainment of respondents (independent variable) on the dimensions of knowledge management (dependent variable). The sample of respondents consisted of N = 336 employees from 83 textile companies in Serbia. Significant results were seen in the dimensions of the organisational culture (0.050), the process of knowledge acquisition (0.013) and competitive advantage (0.021). Adequate selection of human resources can influence the above-mentioned organisational units in the enterprise. Investment in both the intellectual capital of human resources and in all technological processes and resources at all levels would allow knowledge management to be fully implemented in enterprises and to improve the textile industry in Serbia.
    W artykule podkreślono znaczenie prawidłowego zarządzania zasobami ludzkimi na wzrost wydajności i konkurencyjności biznesu. W pracy skoncentrowano się głównie na tym, czy i w jakim stopniu pracownicy dzięki cechom społeczno-demograficznym mają decydującą rolę w pomyślnym wdrażaniu programu zarządzania wiedzą w przedsiębiorstwach włókienniczych na terenie Serbii. Celem badawczym było określenie wpływu wykształcenia respondentów (niezależnej zmiennej) na wymiary zarządzania wiedzą (zmienna zależna). Próbka respondentów składała się z 336 pracowników z 83 serbskich firm tekstylnych. Znaczące wyniki odnotowano w wymiarze kultury organizacyjnej, procesie zdobywania wiedzy i przewagi konkurencyjnej. Odpowiedni dobór kadry pracowniczej może wpływać na wyżej wspomniane jednostki organizacyjne w przedsiębiorstwie. Inwestycje zarówno w kapitał intelektualny pracowników, jak i we wszystkie procesy technologiczne umożliwiają pełne wdrożenie zarządzania wiedzą w przedsiębiorstwach oraz poprawę sytuacji przemysłu tekstylnego w Serbii.

    The new enterprise development paradigm is currently one of the major challenges facing enterprises. This is connected to the need to analyse the network structures in the organisation through the prism of the triumvirate of management roles consisting of the following archetypes: the entrepreneurial, leadership, and managerial roles. This means the implementation of modern organisational, technological, market, and social innovation solutions. The purpose of process management is to standardise the organisation’s activities in order to anticipate changes in production processes, services, and environmental variability. These processes are currently based on knowledge which can strengthen the financial, organisational, social, technical and technological efficiency of the enterprise. Its theoretical and practical application is included in this article.
    Nowy paradygmat rozwoju przedsiębiorczości jest obecnie jednym z głównych wyzwań stojących przed przedsiębiorstwami. Wiąże się to z potrzebą analizy struktur sieciowych w organizacji poprzez pryzmat trzech ról występujących w zarządzaniu: przedsiębiorczości, przywództwa i funkcji kierowniczej. Oznacza to wdrożenie nowoczesnych rozwiązań w zakresie organizacji, technologii, rynku i innowacji społecznych. Celem zarządzania procesami jest ujednolicenie działalności organizacji w celu przewidywania zmian w procesach produkcyjnych, usługach i środowisku. Procesy te są obecnie oparte na wiedzy, która może wzmocnić finansową, organizacyjną, społeczną, techniczną i technologiczną efektywność przedsiębiorstwa. Teoretyczne i praktyczne zastosowanie wiedzy zostało opisane w niniejszym artykule.

    This paper presents an original methodology of acquisition and statistical analysis of data from the process of drying thin wooden items, without interference in the manufacturing schedule or process. The research was aimed at reducing the duration of the lamella drying process in a convectional drying chamber, and minimising non-conformities of dry lamellas. The authors discuss the effective application of convectional drying methods, taking into consideration non-homogeneous wood quality resulting from over- or under-drying caused by uneven or insufficient exposure to the drying agent, long duration of the drying process serving to minimise the internal stress of the material, poor efficiency of the drying process, and relatively high operational costs. Based on the tests performed, a quick drying programme is recommended. To reduce the fraction of non-conforming lamellas, the authors suggest that the arrangement of lamellas in the cage be changed so that all lamellas are protected against unconstrained deformation.

    As customers demand easier access to individualized products and services, companies now face an ongoing problem of how to deliver flexible and innovative solutions while maintaining efficiency and competitiveness. In this environment, the only sustainable form of competitive advantage rests in the ability to learn faster than the competition (de Geus, 1988). The article returns to the somewhat forgotten concept of the learning organization and explores how its principles can be applied with the use of dynamic business process management (dynamic BPM). Enabling in this concept individual or team-based limited experimentation and providing conditions for learning though experience in the course of performing business processes allows for the constant creation of practical knowledge. This article provides examples of how dynamic BPM facilitates the constant creation and verification of practical knowledge, with the aim of improving and adapting processes to maintain the competitive advantage of the organization.

    The first part of the article presents the main ideas of expert systems. Then the author proposes the general concept of the supporting factual knowledge acquisition, which make use of the expert system. Additionally, the article presents, how to optimize the inference process in the rule expert system.

    Pomimo iż fuzje oraz przejęcia są obecnie powszechnymi zjawiskami, badania ekspertów z tej dziedziny dowodzą, że wiele firm nie uzyskuje w procesie konsolidacji oczekiwanej wartości rynkowej i zysków, głównie ze względu na fakt bagatelizowania podczas integracji aktywów niematerialnych. Sukces fuzji gwarantuje bowiem ich zdaniem uchwycenie punktu równowagi między aktywami materialnymi i niematerialnymi oraz wpływ przywództwa. Badania potwierdziły, że polskie podmioty przygotowują się znacznie gorzej do procesu fuzji lub przejęcia niż zagraniczne, a w ich przygotowaniu do konsolidacji dominuje brak dokładnych wyliczeń przy analizie efektów ekonomicznych. Analiza czynników mających wpływ na powodzenie fuzji czy też przejęcia jasno wskazuje, że łączenie jedynie aktywów materialnych, chociaż rozpatrywane zazwyczaj w pierwszej kolejności, nie zapewni rozwoju nowo powstałej organizacji. Należy bowiem zadbać jednocześnie o elementy niematerialne, które w miarę pogłębiania integracji procesów i systemów będą obejmowały: ład korporacyjny, zaangażowanie pracowników i zarządzanie relacjami z klientami.
    The author focus on presentation and analysis of main factors having influence on successful and efficient consolidation process. The results introduced in a lecture come from two global reports prepared by the Hay Group in cooperation with La Sorbonne and Mergermarket. The third report shows the studies conducted by Capital Market Area of BZ WBK. The Hay Group has identified two key factors, which provide a firm foundation for a smooth integration process, which companies should adopt to become the part of few successful few. The first one is striking the right balance. Companies should carefully consider how to align and integrate both tangible and intangible assets to be successfully merged, as well as use properly the time between announcement and completion to advance fully both tangible and intangible assets. The second factor is the impact of leadership. We need to acknowledge here, that the roles required in a M&A context are often one or two levels higher than current capacity of senior managers. Top team selection needs to be carried out quickly, as the sooner key roles are defined and allocated, the better level of integration between organizations we can achieve. The top team must also demonstrate the new company values to the workforce in everything they do. The research of Capital Market Area of BZ WBK points out poor preparation of a consolidation process made by Polish companies. In specialists' opinion companies do not analyze potential benefits, which may be achieved in M&A transactions. Most of interviewed managers point out the necessity of better preparation of an integration plan, as well as due diligence analyze in future consolidation processes. The results confirm, that the benefits a successful merger can gain are indisputable. Despite the impact of recent sub-prime lending on the average the availability of credit overall, M&A remains a trusted weapon in the growth strategies of organizations. Customers must pay due attention to a company's real value, which is found in its boardroom, human capital and business culture. When the balance is achieved between tangible and intangible assets, it provides a solid foundation for strategic growth and ensures return on investment.

    W swoim artykule autorka zwraca uwagę na znaczenie procesów komunikacyjnych podczas przeprowadzania tak skomplikowanych zmian organizacyjnych, jakimi są fuzje i przejęcia. Wychodząc od definicji pojęcia komunikacji, jej rodzajów i charakteru działania w ogólnym wymiarze przechodzi do pokazania jej znaczenia w życiu i funkcjonowaniu każdej organizacji. Szczególną uwagę poświęca komunikacji wewnętrznej, ze względu na jej miejsce w świadomości pracowników i rolę, jaką może pełnić podczas transakcji M&A. Autorka przytacza również wyniki badań, tak i swoje jak innych badaczy, które dowodzą, że komunikacja może odpowiadać za sukces firmy, która z różnych przyczyn przeprowadziła fuzję bądź przejęcie. Różnorodność metod i narzędzi, służących do przekazywania informacji w przedsiębiorstwie, pomaga z kolei w zbudowaniu spójnej i skutecznej polityki komunikacyjnej.
    The author pays attention to the importance of communication processes during performing such complicated organizational changes as mergers and acquisitions. Starting from the definition of the concept of communication, the types and nature of the action in the general dimension she moves on to show its importance in the life and functioning of each organization. Particular attention is given to internal communication, because of its place in the minds of workers and the role it can play in M&A transactions. The author quotes the results of research, both her own and other researchers, which prove that the communication may be responsible for the success of the company, which for various reasons has carried out a merger or acquisition. The variety of methods and tools used for the transfer of information in the company helps, in turn, to build a coherent and effective communication policy.

    Various forms of language-activity influence the acquisition of a foreign language. In this article, the author underlines the importance of foreign-language exercises, and their effectiveness in the developing the learner’s encoding of decoded foreign-language information structures in the form of constant structure-matrices. The theories of teaching and learning drawn on in the article point to the variety of methods and degrees of foreign-language acquisition, both through cognitive exercises and through the pattern approach.     The paper presents an analysis of SPC (Statistical Process Control) procedures usability in foundry engineering. The authors pay particular attention to the processes complexity and necessity of correct preparation of data acquisition procedures. Integration of SPC systems with existing IT solutions in area of aiding and assistance during the manufacturing process is important. For each particular foundry, methodology of selective SPC application needs to prepare for supervision and control of stability of manufacturing conditions, regarding specificity of data in particular 'branches' of foundry production (Sands, Pouring, Metallurgy, Quality).

    The article presents an experimental stand to assess the state of punch in the process of sheet blanking. Blanking trials were carried out on an eccentric press. During all the trials, there were recorded signals of acoustic emission (AE) that accompanied the process of blanking. For the recorded AE signals, the methodology of data preparation and analysis was presented. On that basis, the results of the assessment of the state of the punch were presented, and they employed five methods of visualization: Andrews curves, Principal Components Analysis, Linear Discriminant Analysis, a modified method of Stochastic Neighbor Embedding and Sammon Mapping. The aim of the work was to assess the possibility of using visualization methods to predict the condition of the tool on the basis of acoustic emission signals in processes carried out in extremely short times.

    Opis:
    High-Throughput Data Acquisition Systems are an essential part in many scientific experiments, and the processing of the large amount of data, represents a challenge in designing systems capable of managing such volume of data. Owing to the nature of this type of experiments, the processes responsible for gathering the data from devices that measure real-world phenomena, and those processes in charge of distributing the data to monitoring and/or controlling systems, shall communicate with accuracy and reliability. By running those processes concurrently in a multi-processor computer system, such requirements of accuracy and reliability can be achieved. In this paper, we present the design of a C++ framework, which implements a ring-buffer by using shared-memory as a fast mechanism of data communication among processes. Likewise, the framework controls the access to data in the shared ring-buffer by implementing inter-process synchronization objects in shared-memory. The effectiveness of the proposed solution has been evaluated by evaluating the latency time from when a new data is written into the shared ring-buffer and the longest instant when such a data is gathered. After the experimental test, the results show that it is possible to develop a C++ framework for helping programmers to create data acquisition system when a high-throughput data-stream is involved, getting suitable performance by using shared-memory.
