    Opis:
    Private international law is of great practical importance in the European Union, especially for the proper functioning of the internal market. It has been enacted mainly in the form of the Rome I-Regulation. The question of which national law applies in a cross-border case is often decisive with regard to employment contracts, because national substantive employment laws remain extremely diversified. The first aim of this paper is to outline the major issues relating to conflict-of-laws rules concerning the employment relationship. The second aim is to show the scope of the freedom to choose the law applicable to the employment relationship. The employment relationship, like any contractual relationship, can be subject to the law chosen by the parties but this choicehas limited practical importance. The priority is therefore the protection guaranteed to the employee under the law of the state indicated by objective hyphens.

    The article is aimed at determining the relevance of the flag state (regarding vessels) and the country of registration (regarding aircrafts) principles for the purpose of the application of territorial connecting factors (the place of the event giving rise to damage (place of acting) and the place where the damage occurred (place of damage)) employed by article 7(2) of the Regulation No 1215/2012 (Brussels I bis Regulation) providing a special jurisdiction rule in matters relating to tort, delict or quasi-delict and by article 4(1) of the Regulation No 864/2007 (Rome II Regulation) specifying the law applicable to a non-contractual obligation arising out of a tort or delict. The flag state and the country of registration principles could be taken into account when circumstances constituting the event giving rise to damage or the damage itself are situated on board of a vessel navigating in or an aircraft flying through the areas outside the sovereignty of any state (in particular the High Seas). The reference to the flag state or the country of registration instead of the sovereignty in order to identify the member state whose courts have jurisdiction pursuant to article 7(2) of the Brussels I bis Regulation or the statewhose law is applicable according to article 4(1) of the Rome II Regulation may also be possible in cases when the determination of the place where the event giving rise to damage occurred or where the damage occurred is difficult or even when the competent jurisdiction and the applicable law identified based on the sovereignty over the area where the vessel navigated or the aircraft flew at the moment when the event giving rise to damage occurred or damage occurred does not materialise the closest connection principle.

    W umowach konsumenckich zawieranych przez Internet (z elementem międzynarodowym) zwiększa się ryzyko trudności z ustaleniem prawa właściwego, a w razie sporu na tle umowy z przedsiębiorcą zagranicznym, konsument może napotkać także trudności natury proceduralnej. Ponadto, może okazać się, że zastosowane prawo nie zapewnia konsumentowi takiej ochrony, jaką miałby w miejscu swojego zwykłego pobytu. Problematyka ta była przedmiotem rozważań Sądu Najwyższego, który w wyroku z dnia 17 września 2014 r., (Sygn. akt I CSK 555/13), orzekł, że zamieszczenie we wzorcu umowy konsumenckiej postanowienia przewidującego zastosowanie prawa obcego dla konsumenta, a właściwego dla twórcy wzorca, stanowi klauzulę niedozwoloną w rozumieniu art. 3851 § 1 k.c. Niniejszy wyrok skłania do pytania: czy w relacjach B2C (business to consumer) w praktyce dochodzi do wyłączenia możliwości wyboru prawa.
    An increased risk exists now related to the correct determination of the applicable law in consumer contracts (with an international aspect) concluded online. In case of a dispute regarding contracts between a consumer and a foreign entrepreneur, the consumer may face procedural difficulties. It is also possible that the law which has been applied, on the basis of the ‘choice of law’ clause, does not provide the type of protection which the consumer may have in his own place of residence. The Polish Supreme Court Such analysed this issue in a judgment dated 17 September 2014 (I CSK 555/13). The Court ruled therein that a clause in standard consumer contracts predetermining the application of law foreign to the consumer, but ‘domestic’ to the entrepreneur, should be considered an unfair contractual provision in light of Article 385(1) § 1 of the Polish Civil Code. The above mentioned ruling leads to the question if, in practice, the ‘choice of law’ clause is thus excluded in consumer transactions (B2C).

    This paper aims to comment an important ruling concerning the Posted Workers Directive (Directive 96/71/EC). In the judgement C-396/13 (Sähköalojen ammattiliitto ry v. Elektrobudowa Spółka Akcyjna), the European Court of Justice providedits pro-worker’s interpretation of Art 3 of Directive 96/71/EC concerning the scope of the "minimum pay rate". The second issue raised by the European Court of Justice was the assignability of pay claims governed by Polish law based on Art 14 (2) of Rome I Regulation and prohibited under that law. In commented judgement, the Court admitted the assignment of claims arising from employment relationships in light of article 47 of the Charter of Fundamental Rights of the European Union and accepted the trade union’s right to represent the posted workers.

    The question of which law should govern the third-party effects of assignments of claims was considered during the preparation of the Rome I Regulation. The European Commission’s proposal for the Rome I Regulation admitted the law of the assignor’s habitual residence as the law that should apply to the proprietary effects of assignments of claims. Finally, EU Regulation on the law applicable to contractual obligations did not include the issue of the third-party effects of the assignment. However, Article 27(2) of the Rome I Regulation required the European Commission to present a report on the question of the effectiveness of assignments of claims against third parties accompanied, if appropriate, by a proposal to amend the Rome I Regulation. Proposal for a Regulation on the law applicable to the third-party effects of assignments of claims (COM(2018) 96 final) is a response to this request. This paper analyses current draft of the new EU Regulation, the rules on determination of the third-party effects of assignments of claims (law of the assignor’s habitual residence and law of the assigned claim) and "super conflict rules" in specific cases. The author argues that the law of the assignor’s habitual residence remains the appropriate conflict rule for proprietary effects of assignments of claims.

    The question of the law applicable to the third-party effects of assignments of claims is widely discussed in the doctrinal debates. In common opinion, the existing European conflict-of-laws regulations do not provide for a rule governing this issue. In the case BGL BNP Paribas SA v. TeamBank AG Nürnberg (C‑548/18), the Court of Justice of the European Union confirmed this gape of the Rome I Regulation.The gloss presents the justification of the European Union Court’s judgment, the reasons for the lack of the uniform conflict-of-laws regulation, and the consequences of this state. It also analyses briefly the European Commission’s proposal for the EU Regulation concerning the law applicable to the third-party effects of assignments of claims (COM(2018) 96 final), as a response to this situation. Finally, it examines the appropriate conflict-of-laws rules for proprietary effects of assignments of claims (the law of the assignor’s habitual residence and the law of the assigned claim).

    Opis:
    The Directive (EU) 2018/957 of the European Parliament and of the Council of 28 June 2018 introduced several changes to the Directive 96/71/EC on the posting of workers in the framework of the provision of services, affecting the posted worker’s employment relationships directly. Article 3(1) of the Directive 96/71/EC requires that an employer has to guarantee his workers posted to the Member State, the terms and conditions of employment, in matters listed in it, resulting from the law where the work is carried out, regardless of the law applicable to employment relationships. First of all, the Directive (EU) 2018/957 introduced the new concept of “remuneration” paid to the posted workers. Secondly, it extended the list of mattes in article 3(1) by adding point (h) — “the conditions of workers’ accommodation where provided by the employer to workers away from their regular place of work” and point (i) — “allowances or reimbursement of expenditure to cover travel, board and lodging expenses for workers away from home for professional reasons.” Finally, the Directive (EU) 2018/957 established the posting period, not clearly defined before, which should not last longer than 12 months (18 months when the service provider submits a motivated notification).This paper analyses the main changes introduced by the Directive (EU) 2018/957 amending the Directive 96/71/EC in the employment relationship field.

    This paper comments on a recent ruling concerning the choice of law to the individual employment contract according to the Rome I Regulation. In the judgement in the joined cases C–152/20 and C–218/20 (DG, EH v. SC Gruber Logistics SRL and Sindicatul Lucrătorilor din Transporturi, TD v. SC Samidani Trans SRL), the Court of Justice of the European Union (CJEU) provided the interpretation of Article 8 of the Rome I Regulation on two issues. At first, the EU Court was asked about the freedom of choice of law applicable to the individual employment contract if (a) national law required the inclusion of a clause into that contract under which the contractual provisions are supplemented by national law and (b) the contractual clause concerning that choice was drafted by the employer. The second issue was connected with the concept of the employee’s protection, under which the choice of law may not have the result of depriving the employee of the protection afforded to him (her) by provisions that cannot be derogated from by agreement, under the law that would have been applicable to the contract in the absence of choice. Regarding the first question, the CJEU admitted that the parties to an individual employment contract dispose of freedom to choose the law applicable to that contract, even if the contractual provisions are supplemented by national labour law under a (relevant) national provision, if “the national provision in question does not require the parties to choose national law as the law applicable to that contract”. Secondly, the Court found that the parties to an individual employment contract were “to be regarded as being, in principle, free to choose the law applicable to that contract, even if the contractual clause concerning that choice is drafted by the employer”. Therefore, the CJEU confirmed the application of the rules concerning the choice of law resulting from Article 3 of the Rome I Regulation to the individual employment contracts. Referring to the second issue of the commented ruling, the CJEU confirmed that Article 8 (1) of the Rome I Regulation must be interpreted as meaning that, where the parties have chosen the law governing the individual employment contract, the application of the law that would apply to the contract in the absence of choice must be excluded, with the exception of “provisions that cannot be derogated from by agreement”, if those provisions offer the employee concerned greater protection than those of the law chosen by the parties. The EU Court underlined that rules on the minimum wage could be treated as “provisions that cannot be derogated from by agreement” and the law that, in the absence of choice, would be applicable should decide about it. Unfortunately, it is necessary to follow the commented judgment’s justification to correctly understand the concept of an employee’s protection applied in Article 8 (1) of the Rome I Regulation. The thesis of the ruling in this regard seems to be too laconic, and it can be misinterpreted.

    The article discusses the law applicable to the determination of a right secured on a property – i.e. a mortgage. Major reflections are preceded by the legal analysis of a mortgage, the concept of the Eurohypothec and the European Land Information Service – EULIS. What follows is a short review of mortgage regulations in selected legal systems (e.g. the French and German systems). The core of the article focuses on the rules for the search of the law applicable to a mortgage and their scope. The change of law for mortgages (properties), e.g. as a result of the change of borders, including a hostile incorporation (annexation), is also discussed.
    Artykuł omawia kwestię prawa właściwego dla ustanowienia prawa zabezpieczającego na nieruchomości –hipoteki. Główne rozważania poprzedza analiza prawna hipoteki, projektu eurohipoteki jak i wspólny system informacji europejskiej EULIS. Następnie dokonano krótkiego przeglądu uregulowania hipoteki w wybranych systemach ( np. francuskim, niemieckim). Zasadnicza część artykułu dotyczy reguł poszukiwania prawa właściwego dla hipoteki, zakresu tych reguł. Omówiona zostaje kwestia zmiany prawa dla hipotek (nieruchomości) np. wskutek zmiany granic w tym zmiany wrogiej (aneksji).

    Artykuł zawiera analizę skutków wyboru prawa dokonanego przez strony w umowach o charakterze międzynarodowym oraz w umowach, które zamykają się w obszarze jednego państwa i nie zawierają elementu obcego, który uzasadniałby stosowanie norm kolizyjnych. Podstawą do dokonanej analizy jest wyrok TSUE z 8 czerwca 2017 r. w sprawie C-54/16, Vinyls Italia SpA w upadłości a Mediterranea di Navigazione SpA, w którym Trybunał uznał, że przepisy rozporządzenia upadłościowego są przepisami lex specialis wobec rozporządzenia Rzym I o prawie właściwym dla zobowiązań umownych. Daje to zdaniem Trybunału kompetencje stronom do dokonania wyboru prawa – prawa państwa trzeciego (członkowskiego) w tym przypadku prawa angielskiego – ze skutkami wyboru kolizyjnego w umowach, w których nie występuje element obcy – w tej sprawie umowy czarteru morskiego statku włoskiego pomiędzy dwoma spółkami włoskimi (z siedzibą we Włoszech). Autor wyklucza możliwość istnienia relacji lex specialis – lex generalis pomiędzy rozporządzeniem upadłościowym i Rozporządzeniem Rzym I. Wskazuje także na kierunek wykładni – liberalny – występowania elementu obcego w ramach umowy. Artykuł zawiera wniosek, że drogą poszerzania autonomii woli stron jest materialnoprawna zasada swobody umów.
    The article focuses on the issue of the choice of law made by the parties to a contract in the situation of the conflict of laws. It includes an analysis of the effects of the choice of law made by the parties in an international contract and in contracts that are limited to the area of one state and do not include a foreign element which would justify the application of conflict-of-law rules. The basis for the analysis is the judgement of 8 June 2017 in case C- 54/16, Vinyls Italia SpA, in liquidation, v Mediterranea di Navigazione SpA, in which the Court of Justice ruled that the provisions of the insolvency regulation are the lex specialis provisions with respect to the Rome I regulation on the law applicable to contractual obligations. In the opinion of the Court of Justice, this gives the parties the competencies to elect the applicable law – the law of a third country (a member state), in this case the English law – with the effects of the choice of law in contracts that do not include a foreign element – in this case the charter contract of an Italian ship concluded between two Italian companies (with registered seats in Italy). The article explores and excludes the possibility of the lex specialis – lex generalis relationship between the insolvency regulation and Rome I. Both regulations have separate scopes of regulation. It also indicates the liberal direction of the interpretation of the occurrence of a foreign element in a contract. The conclusion is that in order to extend the autonomy of the will of the parties, it is necessary to apply the substantive principle of the freedom of contracts, not the choice of law, which is related to conflict-of-law situations.

    This commentary examines the judgement of the CJEU of 18 October 2016 in case C-135/15 Republik Griechenland v. Grigorios Nikiforidis. The judgement in question concerns the issue of treatment of foreign overriding mandatory provisions under the Article 9(3) of Regulation No 593/2008. This topic is the subject to a great deal of controversy and academic discussion. The ECJ concluded that the mentioned provision must be interpreted as precluding overriding mandatory provisions other than those of the State of the forum or of the State where the obligations arising out of the contract have to be or have been performed from being applied, as legal rules, by the court of the forum, but as not precluding it from taking such other overriding mandatory provisions into account as matters of fact in so far as this is provided for by the national law that is applicable to the contract pursuant to the Regulation. This interpretation is not affected by the principle of sincere cooperation laid down in Article 4(3) TEU. In this respect the judgement of CJEU brings significant clarification on the question, whether a court of the forum can have regard to foreign overriding mandatory provisions, which do not belong to the legal system of the country of performance of the contract on the level of the applicable substantive law. However, there are still questions arising under Article 9(3) of Rome I Regulation, which need to be clarified.
