The intention of the authors of the act of 2018 – Entrepreneurs’ Law (Polish: UPP) was to have the regulation cover a wide group of bodies mandated to audit businesses. With regard to the Supreme Audit Office this objective was not, however, met. This is due to the nature of NIK’s audits – which is state auditing – rather than administrative control, conducted for the legislative branch – the Sejm, which is mandated to present its proposals for audits, to be included in the NIK’s work plan, concerned with the executive branch. If the provisions set forth in Chapter 5 of the Entrepreneurs’ Law were applied, the control function of the Sejm would be significantly limited. In his article, the author attempts to answer the question whether the limitations set forth in the Law should be applied by NIK during its audits concerning entrepreneurs.

This publication considers key guarantees in the economic law of the rights of entrepreneurs regulated by the content of the package of laws creating the so‑called. The starting point is, however, the location of economic activity and the social market economy in the regulations of the Constitution of the Republic of Poland and the basic principles, rights and freedoms derived there from, constituting the basis for the free undertaking of this activity. It also seemed necessary to refer to the general concept of economic activity, as well as various definitions defined by the legislator, depending on the normative act used, in order to understand the subjectivity of economic law participants more widely. As a consequence, the above allowed for a broad display of the principles and rights of conducting business activity guaranteed in the Act – Entrepreneurs' Law and the consequences arising from them. The institution of the Ombudsman for Small and Medium‑sized Enterprises was also subject to a detailed assessment, as an additional element of ensuring protection of the rights of entrepreneurs in business transactions and in relations with public administration bodies.

The legal situation of entrepreneurs in Poland is determined by a huge number of normative acts. However, the legislator’s interest in entrepreneurs and economic activity should not come as a surprise. Indeed, an economically conscious state cannot afford to be indifferent to the entrepreneur and, even in a market economy, should normatively regulate the rules for undertaking, performing and terminating economic activities and shape the rights and obligations in this regard. It must also be remembered that the matter to be regulated is very broad, complex and multi- faceted, and the law must take into account the enormous diversity of relationships, roles, events and facts in which the entrepreneur functions in connection with their economic activity. On this basis, it can be assumed that the law that determines the rules for undertaking, performing and terminating economic activities is natural and necessary. Nevertheless, it should be clearly emphasized that the quality of the law shaping the situation of entrepreneurs and their economic activities should be prioritized as an overriding and fundamental value – the appropriate quality of the law (i.e., properly enacted and applied) is a sine qua non of economic development, while a lack of quality in the sphere of lawmaking and application makes it difficult or even impossible for entrepreneurs to function, and thus leads to stagnation or regression in the economy. The study is focused on the guarantees of the quality  of lawmaking and application empowered by the Act of 6 III 2018 – Entrepreneurs’ Law. Analyzing the provisions of this act makes it possible to identify the regulations focused on the quality of lawmaking and application. The study also aims to answer the question: Can the guarantees set out in this Act contribute to improving the quality of lawmaking and application of the law on the undertaking, conduct and termination of economic activity?

The aim of the article is to discuss the amendment to the Act of 9 June 2011 – Geological and Mining Law (Journal of Laws from 2017, item 2126 with further amendments), as a consequence of the entry into force of the Act of 6 March 2018–Law of Entrepreneurs (Journal of Laws from 2018,item 646), as well as the assessment of relevance of the changes devised. The author analyzes in detail a legal nature of the concession and then the changes introduced to the Geological and Mining Law in Chapter I of Section III, concerning concession rules. Paying particular attention to the context, causes and effects of the changes, the author indicates that the amendment was in fact only a technical activity, however, not devoid of the practical significance. This article attempts to answer the question whether the legislative practice of transferring general provisions to the sectorial act, which is undoubtedly the Geological and Mining Law, will contribute to a better understanding of the regulations among their potential recipients.

Ustawa z 6 marca 2018 r. Prawo przedsiębiorców modyfikuje, względem obowiązujących na gruncie ustawy z 2 lipca 2004 r. o swobodzie działalności gospodarczej, brzmienie definicji legalnych pojęć „przedsiębiorca” oraz „działalność gospodarcza” i w ten sposób tworzoną nową koncepcję identyfikacyjną. Niniejsze opracowanie wskazuje na potrzebę tych zmian, przedstawia znaczenie terminu „przedsiębiorca” oparte na art. 4 ust. 1 i art. 3 u.PP, w tym także kategorię tzw. działalności nieewidencjonowanej, o której mowa w art. 5 tego aktu. Ukierunkowane jest przede wszystkim na ukazanie odmienności względem definicji obowiązujących na gruncie u.SDG oraz zasygnalizowanie trudności interpretacyjnych oraz problemów praktycznych, które mogą one powodować.
The new sense of the term entrepreneur (in force from 30 April 2018) is specified in the form of a legal definition formed in Article 4 of the Act of 6 March 2018 – Law of Entrepreneurs. In accordance with this regulation, an entrepreneur is a natural person, legal person and organisational entity not being a legal person, to whom a separate law grants legal capacity, and who performs an entrepreneurial activity. This article is aimed at pointing at key differences in the identification of entrepreneur between the new and the former definition (which was formed in Article 4 of the Act of 2 July 2004 on Freedom of Entrepreneurial Activity). It also indicates the consequences, including the difficulties, that this reform may cause in practice.

Zagadnienia związane z identyfikacją przedsiębiorców są objęte regulacją na gruncie zarówno publicznego, jak i prywatnego prawa gospodarczego. O ile jednak znaczenie regulacji prywatnoprawnych we wskazanym obszarze jest ograniczone do unormowania firmy przedsiębiorcy, o tyle domeną publicznego prawa gospodarczego są obowiązki identyfikacyjne przedsiębiorców sensu stricto, pozwalające na ustalenie ich tożsamości w sposób niebudzący wątpliwości. Są to obowiązki posługiwania się niepowtarzalnymi i niezmiennymi numerami NIP, KRS i REGON. Obowiązek posługiwania się firmą należy uznać za obowiązek identyfikacyjny sensu largo – z uwagi na brak absolutnego charakteru zasady wyłączności firmy nie zawsze pozwala on na pełną identyfikację przedsiębiorcy. Obowiązek ten stanowi odzwierciedlenie ogólnej zasady prawa nakazującej podmiotom prawa występowanie w obrocie w sposób nieanonimowy.
Identification of entrepreneurs is regulated by both public economic law and private economic law. While private economic law regulation is limited to defining entrepre-neur's business name, public economic law establishes entrepreneurs' duties of identification in the strict sense. The duties of this kind, i.e. duties of using the Tax ID [NIP], the National Court Register [KRS] number and the Statistical ID [REGON], allow to determine the identity of the entrepreneurs without any doubt. The duty of using business name is a duty of identification in the broad sense. Because the principle of business name exclusivity does not have an absolute character, the business name does not always allow to fully identify the entrepreneur.

On 30th August 2018, the act – Law of Entrepreneurs (u.p.p.) entered into force, whose Chapter 5: Limitations on Economic Activity Auditing comprises the basic regulations related to the principles and mode of entrepreneurs auditing. As a result, the need arouse to decide whether the provisions of the said chapter should apply to NIK audits, or whether the provisions of the Act on NIK of 23rd December 1994 should be applied. The dialogue in “Kontrola Państwowa” presents two opposing stances. Rafał Padrak is of the opinion that u.p.p. should be treated as superior in interpreting the individual provisions of the law related to entrepreneurs, while Elżbieta Jarzęcka-Siwik believes that the discipline stemming from the regulations of u.p.p. does not apply to audits conducted by NIK. This is because it cannot be reconciled with the constitutional and statutory provisions related to the status of a supreme audit institution, the subject matter of state auditing, its principles and objectives. It seems that the problems identified will be solved in practice, including judicature.

W artykule analizie poddane zostały desygnaty pojęcia działalności gospodarczej zawartego w ustawie Prawo przedsiębiorców. Perspektywa badawcza obejmowała ustalenie systemowych następstw związanych z pozytywną kwalifikacją działalności jako gospodarczej. Uwzględniono w tym zakresie zarówno system prawa polskiego, jako również prawo w wymiarze ponadnarodowym. Przyjęto, iż definicja zawarta w ustawie Prawo przedsiębiorców właściwa jest dla całego systemu prawa, z wyjątkami przewidzianymi przez ustawodawcę wprost. Wynika to z uniwersalnego charakteru przedmiotowego pojęcia, które swoją treścią właściwie służy realizacji konstytucyjnie gwarantowanej wolności działalności gospodarczej.
The article analyses the hallmarks of the concept of economic activity contained in the Entrepreneurs’ Law Act. The research perspective included the determination of the systemic consequences related to the positive qualification of activity as economic activity. In this respect, both the Polish legal system as well as the law in the supranational dimension were taken into account. It was assumed that the definition contained in the Entrepreneurs’ Law Act is adequate for the entire legal system, with the exceptions expressly provided by the legislator. This results from the universal character of the term in question, which with its content properly serves the purpose of achieving the constitutionally guaranteed freedom of economic activity.

In the article, the author defined what objectives and values the Polish law-giver is guided by in the field of regulations regarding public economic law. He referred to both the Freedom of Business Activity Act and the Entrepreneurship Law Act, as well as to the relation of the economic law with EU law and the Polish Constitution. This study also considers the possibility of ensuring equality for economic entities and freedom of economic activity.
Autor w niniejszym artykule przeprowadził wywód, w którym określił, jakimi celami i wartościami kieruje się polski ustawodawca w zakresie regulacji dotyczących prawa gospodarczego publicznego. Odniósł się zarówno do ustawy o swobodzie działalności gospodarczej, jak i do ustawy Prawo przedsiębiorców, a także do relacji ustawy gospodarczej z prawem unijnym i polską Konstytucją. W niniejszym opracowaniu podjęto również rozważania na temat możności zapewnienia równości podmiotom gospodarczym i wolności działalności gospodarczej.

This article explores the regulation of economic activity (licences, permits, registers of regulated activity) as laid down in the new Polish Act: Law on Entrepreneurs against the background of the previous Acts of 1988, 1999 and 2004. The author attempts to answer questions which are key from the systemic perspective: whether the new form of economic activity regulationcorresponds with the objectives and the scope of the law on entrepreneurs, and whether it will strengthen or weaken the level of legal protection of economic freedom of entrepreneurs conducting regulated business activity. While searching for answers to these questions, prior to offering an assessment of the new legal provisions, the author provides a review of the previously applicable laws on the regulation of business activity and compares them with the laws currently in force. This comparison leads to a conclusion that the burden of regulating economic activity has been shifted from a general act: Law on Entrepreneurs to special acts, devoted to particular types of regulated activity. Although the change of the place of the provisions in question in the legal system did not result in any significant change as regards their substance, the author asserts that it may affect their interpretation and, consequently, the legal position of entrepreneurs conducting business activity in the regulated markets.
Przedmiotem artykułu jest regulacja reglamentacji działalności gospodarczej (koncesji, zezwoleń, rejestrów działalności regulowanej) w nowej ustawie Prawo przedsiębiorców na tle wcześniejszych ustaw z 1988, 1999 i 2004 r. Autor stara się udzielić odpowiedzi na podstawowe, z perspektywy systemowej, pytania: czy nowy kształt regulacji reglamentacji działalności gospodarczej koresponduje z celami oraz zakresem ustawy Prawo przedsiębiorców oraz czy jego skutkiem będzie wzmocnienie, czy może osłabienie, poziomu prawnej ochrony wolności działalności gospodarczej przedsiębiorców prowadzących reglamentowaną działalność gospodarczą? Poszukując odpowiedzi na te pytania, przed dokonaniem oceny nowych przepisów, autor dokonuje przeglądu prawnej regulacji reglamentacji działalności gospodarczej we wcześniej obowiązujących ustawach oraz porównuje je z unormowaniem aktualnie obowiązującym. Porównanie to prowadzi do wniosku, że ustawodawca przesunął ciężar regulacji reglamentacji działalności gospodarczej z ustawy ogólnej, jaką jest Prawo przedsiębiorców, do ustaw szczególnych, poświęconych poszczególnym działalnościom reglamentowanym. Jakkolwiek nie spowodowało to istotnych zmian w treści samych przepisów, to jednak w ocenie autora zmiana ich umiejscowienia w systemie prawnym może mieć wpływ na ich wykładnię, a w konsekwencji na pozycję prawną przedsiębiorców prowadzących działalność gospodarczą na rynkach objętych reglamentacją.

The Ombudsman for Small and Medium-sized Enterprises (SME Ombudsman) is a new state body established pursuant to the Act of 6 March 2018: Law on Entrepreneurs. The author analyses the nature of this body, asking whether it is another specialised body of government administration or maybe a special kind of ombudsman, that is Ombudsman specialised in the protection of the rights of micro-, small and medium-sized enterprises (SMEs). First of all, the analysis of the tasks and competences of the SME Ombudsman was undertaken and a suggestion how to systematise them presented. It was established that within the scope of intervention in individual cases of SMEs and activities aimed at a uniform interpretation of economic law, currently the only specialised body is the SME Ombudsman, and these tasks have not been regulated by the economic law provisions, which accentuates the exceptional nature of these tasks and the special role of the SME Ombudsman. An analysis of the tasks and competences of the SME Ombudsman, the rules on the appointment and dismissal of that body, as well as comparative analyses relating to the original legislative approach to the institution and the status of other bodies referred to as ombudsmen lead to the conclusion that it is a high-profile body of legal protection. The author comes to the conclusion that it is of a hybrid nature, which cannot be strictly placed either within the category of a fully independent ombudsman, not dependent of the executive power, or within the category of a typical public administration body.
Rzecznik Małych i Średnich Przedsiębiorców (Rzecznik MSP) to nowy organ państwa, utworzony na podstawie ustawy z 6 marca 2018 r. Prawo przedsiębiorców. Autor stawia pytanie o charakter tego organu. Czy jest to kolejny, wyspecjalizowany organ administracji rządowej, czy może szczególny rodzaj ombudsmana, a więc Rzecznika Praw Obywatelskich, tym razem wyspecjalizowany w ochronie praw mikro-, małych i średnich przedsiębiorców (MSP)? W pierwszej kolejności podjęto analizę zadań i kompetencji Rzecznika MSP oraz przedstawiono propozycję ich usystematyzowania. Ustalono, że w zakresie podejmowania interwencji w indywidualnych sprawach MSP oraz działań na rzecz jednolitej wykładni przepisów prawa gospodarczego obecnie jedynym wyspecjalizowanym organem jest Rzecznik MSP, a zadania te nie było do tej pory uregulowane w przepisach prawa gospodarczego, co podkreśla wyjątkowy charakter tych zadań oraz szczególną rolę Rzecznika MSP. Analiza zadań i kompetencji Rzecznika MSP, zasad powoływania i odwoływania tego organu, a także analizy porównawcze odnoszące się do pierwotnych założeń legislacyjnych dotyczących tej instytucji oraz do statusu innych organów określanych mianem rzeczników praw prowadzą do wniosku, że jest to organ ochrony prawnej o wysokiej pozycji prawnej. Autor dochodzi do wniosku, że jest to organ o charakterze hybrydowym, którego nie sposób umieścić w ścisły sposób ani w ramach kategorii w pełni niezależnego od władzy wykonawczej ombudsmana, ani w kategorii typowego organu administracji publicznej.

On 30th August 2018, the act – Law of Entrepreneurs (u.p.p.) entered into force, whose Chapter 5: Limitations on Economic Activity Auditing comprises the basic regulations related to the principles and mode of entrepreneurs auditing. As a result, the need arouse to decide whether the provisions of the said chapter should apply to NIK audits, or whether the provisions of the Act on NIK of 23rd December 1994 should be applied. The dialogue in “Kontrola Państwowa” presents two opposing stances. Rafał Padrak is of the opinion that u.p.p. should be treated as superior in interpreting the individual provisions of the law related to entrepreneurs, while Elżbieta Jarzęcka-Siwik believes that the discipline stemming from the regulations of u.p.p. does not apply to audits conducted by NIK. This is because it cannot be reconciled with the constitutional and statutory provisions related to the status of a supreme audit institution, the subject matter of state auditing, its principles and objectives. It seems that the problems identified will be solved in practice, including judicature.

The normative scope of the Act: Law on Entrepreneurs encompasses the rules of the undertaking, performance and termination of economic activity on the territory of the Republic of Poland, including the rights and the obligations of entrepreneurs as well as the tasks of public authority. Although the subject matter of the Act does not differ substantially from what was regulated by the Act on Freedom of Economic Activity, attention should be drawn to the manner in which the normative scope of the law on entrepreneurs is approached. The subject matter which the Act regulates, being a fundamental law governing economic relationships, has been anchored in legal values whose significance for entrepreneurs is nothing short of crucial, while the principles it relies on (the rule of law, legal certainty, freedom of economic activity) serve specific purposes, in that they seek to ensure the rights of entrepreneurs and guarantee continuous development of economic activity under conditions of free competition. These principles underscore the status of entrepreneurs, the significance of economic liberties and subjective rights. An analysis of the provisions contained in the Act in the light of its objective which the legislator formulates as ‘continuous development of economic activity,’ leads to the conclusion that this statutory determination of the behaviours of public administration dovetails with the legal category of ‘supporting entrepreneurship,’ a category both  acknowledged and described in the doctrine. Significantly enough, the behaviours in question span detailed tasks of public administration which need to be carried out as part of its typical functions within the domain of economic activity, as well as general norms governing the interaction between the administration and the entrepreneurs.
Ustawa Prawo przedsiębiorców obejmuje swoim zakresem normowania zasady podejmowania, wykonywania i zakończenia działalności gospodarczej na terytorium Rzeczypospolitej Polskiej, w tym prawa i obowiązki przedsiębiorców oraz zadania organów władzy publicznej. I choć materia ustawy nie różni się znacząco od regulacji ustawy o swobodzie działalności gospodarczej, to należy zwrócić uwagę na sposób ujęcia zakresu normowania ustawy Prawo przedsiębiorców. Materia objęta regulacją tej podstawowej dla stosunków gospodarczych ustawy osadzona została w wartościach prawnych o zasadniczym znaczeniu dla przedsiębiorców, a ujęte w niej zasady (praworządności, pewności prawa, wolność działalności gospodarczej) służą określonym celom: zagwarantowaniu praw przedsiębiorców oraz zapewnieniu ciągłego rozwoju działalności gospodarczej w warunkach wolnej konkurencji. Zasady te podkreślają status przedsiębiorców, znaczenie gospodarczych wolności i praw podmiotowych. Analiza przepisów ustawy w kontekście realizacji celu określonego przez ustawodawcę jako „ciągły rozwój działalności gospodarczej” prowadzi do wniosku, że to ustawowe określenie zachowań administracji publicznej mieści się w znanej i opisanej w doktrynie kategorii prawnej, jakim jest „wspieranie przedsiębiorczości”. Przy czym są to zarówno szczegółowe zadania organów administracji publicznej związane są z realizacją typowych funkcji administracji w działalności gospodarczej, jak i ogólne normy postępowania w stosunkach z przedsiębiorcami.

Działalność górnicza jest jednym z najbardziej skomplikowanych rodzajów aktywności gospodarczej – i to w wielu wymiarach. Wymusza to na ustawodawcy unormowanie zasad wykonywania takiej działalności. Łatwo jednak przekroczyć granice potrzeb regulacji, tworząc niepotrzebne przepisy, których funkcjonowanie może wywoływać skutki odwrotne od zamierzonych. W artykule poruszono wybrane problemy prawne z zakresu prawa geologiczno-górniczego, ukazując zarówno ich wpływ na bieżącą działalność przedsiębiorców górniczych, jak również podano propozycje de lege ferenda. Obejmują one zagadnienia z zakresu kwalifikacji górniczych, postępowania w sprawie zatwierdzenia planu ruchu zakładu górniczego oraz dodatków do planu, procedur planistycznych szczebla gminnego, praw do informacji geologicznej, projektów zagospodarowania złóż, danin publicznych związanych z wykonywaniem działalności górniczej, zabezpieczenia złóż, a także synchronizacji przepisów tzw. ustawy o ocenach oddziaływania na środowisko z ustawą – Prawo geologiczne i górnicze.
Mining business is one of the most complicated economic activity – in many dimensions. It enforces the legislature to normalize the rules for conducting this kind of business. It is easy to exceed the limits of regulations and create unnecessary counterproductive law. This paper presents selected legal problems focusing on geological and mining law, showing their influence on the current activity of mining entities, but also gives proposals de lege ferenda. These include the following issues: mining qualification, proceedings on mining plant operation plan approval and additions to the plan, municipal planning, rights to geological information, deposit development plan, public levies connected with mining activity, but also the synchronization of the so called EIA Act with the Geological and Mining Act.
