The aim of the proposed directive is full harmonization of national legislation on consumer goods in relation to conformity with the contract for distance sale, the seller’s liability for lack of conformity of goods with such contract and under the commercial guarantees. The proposal causes no legislative objections. Its entry into force requires implementation through an amendment of the Civil Code. The implementation of the directive may lead to re-fragmentation of the legal system as concerns the liability for the lack of conformity of goods with the contract. In the case, indeed, the implementation of the proposal will mean the creation of a specific rules relating solely to consumer contracts for a distance sale, and will result in establishing a particular legal regime governing the seller’s liability for one of the many types of sales contracts, distinguished upon the way of its conclusion.

The aim of the proposal is to provide a uniform way to fill the current legal gap in those EU Member States which have not yet adopted legislation specifically on supply of digital content, and the harmonization of the legal systems of those countries that have already adopted such a legislation. Its entry into force will prevent particularization of national rules on liability for failure to perform the obligations arising from contracts for the supply of digital content and for the improper performance of obligation, including the lack of conformity of the digital content with the contract. As a result, it will prevent fragmentation of the digital content market. Entry into force of the proposed directive should improve legal protection of consumers in the event of non-compliance with the contract of digital content received from their suppliers. The proposed directive will have a significant impact on the legal situation of suppliers of digital content. Worth consideration is the removal of defects identified in the opinion that raise doubt as to its legislative correctness.

Sposób jej zorganizowania decyduje o sposobie odpowiedzialności za zobowiązania powstające w trakcie działalności. Dla działalności architektonicznej najlepszą formą jest spółka partnerska. Wykonujący tę działalność mogą prowadzić ją w innych formach, a mianowicie spółek osobowych innego rodzaju niż spółka partnerska i spółkach kapitałowych. Od formy organizacyjnej zależą zasady odpowiedzialności za zobowiązania w ramach działalności architektonicznej.
Architectural business shall be subjected to the same rules as any other economic activity. The way it is organized determines the manner of the liability for the obligations undertaken during the activity. A limited liability partnership is the best option for an architectural company. It can also be run in different forms of partnership, as well as as joint-stock companies. The organizational form determines the principles of liability for the obligations within architectural businesses.

The article is an explanation of the way the European company operates. The author briefly points to the laws and their provisions regulating the status of the European company in its present form. The author primarily highlights EU legislation in the field of European company law, but also regulations in French commercial law related to the analyzed company. Additionally, the author shows the ways of creating a European company and possible styles of managing it. The author also highlights the situation of the employees of a European company and the advantages of creating this type of company, whether fiscal, related to the location, or resultant from the statute of thiscompany. In conclusion, the author points out a number of prospects for the functioning of a European company, highlighting the competitiveness of such a company on the European market and the possibility of its development by European enterprises, as well as indicating that the company is a kind of compromise between the regulations proposed by the European legislator and the regulations laid down by the domestic law of the Member States.

Opis:
Corporate group law has not been comprehensively regulated in EU law, but it is nevertheless the subject of numerous studies prepared by various expert bodies for legislative purposes. These studies are aimed at creating a legal framework for the concept of the common interests of a group of companies, and at enabling managers of companies belonging to the group to make business decisions in the interests of the group, on the basis of recommendations of parent companies motivated by the interests of the group. Modern corporate group law should take the form of an ‘enabling law,’ but should not disregard the requirement that the interests of stakeholders and minority shareholders of the companies belonging to a group be protected. The initiatives undertaken by the experts resulted in a proposal of the European Model Company Act (EMCA), a proposal of the EU regime for the management of cross-border company groups developed by the Forum  Europaeum on Company Groups (FECG), and a report of ICLEG (an advisory  group of the European Commission) regarding the need to recognize the interests of a group of companies in EU law. These documents, along with the assumptions of the French Rozenblum doctrine, may serve as an inspiration for EU legislation, which should primarily consist in recognizing the concept of the interests of the group of companies and legitimizing the actions taken by the managers of subsidiaries on the basis of these interests.
Prawo koncernowe nie zostało kompleksowo uregulowane na poziomie prawodawstwa unijnego, jest ono jednak przedmiotem licznych opracowań przygotowywanych na potrzeby legislacyjne przez różnorakie gremia eksperckie. Celem tych prac ma być stworzenie ram prawnych dla koncepcji wspólnego interesu grupy spółek oraz dopuszczalności podejmowania przez menedżerów spółek należących do grupy decyzji biznesowych w oparciu o polecenia spółek dominujących motywowane interesem grupy. Nowoczesne prawo koncernowe powinno kształtować się jako tzw. prawo organizacyjne, nie powinno jednak ono abstrahować od wymogów ochrony interesów interesariuszy oraz wspólników mniejszościowych spółek należących do grupy. Inicjatywy podejmowane przez ekspertów zaowocowały wydaniem propozycji Europejskiej Ustawy Modelowej o Spółkach (EMCA), propozycji ukształtowania unijnego reżimu zarządzania transgranicznymi grupami spółek stworzonej przez Forum Europaeum on Company Groups (FECG) oraz publikacją raportu ICLEG (gremium doradczego Komisji Europejskiej) dotyczącego potrzeby uznania interesu grupy spółek w prawie unijnym. Dokumenty te, wraz z założeniami francuskiej doktryny Rozenblum, mogą stanowić inspirację dla regulacji unijnej, która miałaby przede wszystkim polegać na uznaniu koncepcji interesu grupy spółek i legitymizacji działań uwzględniających ten interes, podejmowanych przez zarządców spółek zależnych.

Opis:
The recast of the European Insolvency Regulation, which has been applicable from 26 June 2017, implements a philosophy of Euro universalism, according to which insolvency proceedings opened in a Member State where the debtor has its centre of main interests (COMI) should have a universal scope and encompass all the debtor’s assets situated throughout the EU. The wording of the Recast Regulation is intended to comply with the ECJ case law concerning COMI, such as Interedil, Eurofood, Bank Handlowy or Mediasucre judgments. Nevertheless, it is now questioned whether the Recast Regulation strengthens or rather weakens the COMI/registered office rebuttable presumption and opens the gate for insolvency forum shopping. As far as international company law is concerned, the issue of transfer of seat as well as forum shopping has been widely discussed. So far the ECJ has issued a series of judgments in which it has explained the European freedom of establishment and the crossborder activities of companies in the internal market. Similarly, the US Supreme Court has issued several significant decisions, such as CTP Corp. v. Dynamics Corp. of America, Edgar v. MITE Corp., and International Shoe Co. v. State of Washington, in which the limits of acceptable forum shopping are better delineated. Based on the aforementioned, it may be concluded that European harmonization measures facilitating crossborder mobility should additionally assist in achieving predictability and efficiency, as well as the economic viability and security of the operations under consideration. This contribution analyses and expounds on the lessons that can be learned from both the ECJ case law as well as US Supreme Court’s decisions on international company law, including an examination of their effect on insolvency forum shopping. There is no doubt that, if successful, harmonized legislation on these matters would be a great asset for the internal market.

Opis:
The article presents author’s own opinion on case C-333/21 which concerns the controversial project of organizing a football Super League (ESL). The aim of this initiative is to develop a commercial organizational formula for football competition, which at the same time would be independent of the structures of FIFA and UEFA. For the above reasons, the resolution of the dispute before the Court of Justice of the European Union has a significant impact on the answer to the question about the future of the organizational structure of European football. In this case, the EU competition law and the determination of a catalog of values are of fundamental importance that could possibly justify compliance of the restrictions applied by FIFA and UEFA in relation to ESL organizers with Articles 101 and 102 TFUE.

Opis:
The application of European company law by domestic courts entails prior interpretation of EU legislation. Firstly, the manner of interpretation of European company law is affected by both the specific nature of European company law and l’acquis communautaire. Secondly, interpretation methods are subject to the principle of uniform interpretation, which aims to safeguard uniform understanding and application of l’acquis EUwide. Thirdly, when undertaking pro-European interpretation one must (i) have regard to all domestic methods of interpretation, (ii) in line with the blanket ban on contra legem interpretation, and (iii) bear in mind the purpose and wording of a directive serving as a point of reference for pro-European interpretation, as far as possible.
