The article is an explanation of the way the European company operates. The author briefly points to the laws and their provisions regulating the status of the European company in its present form. The author primarily highlights EU legislation in the field of European company law, but also regulations in French commercial law related to the analyzed company. Additionally, the author shows the ways of creating a European company and possible styles of managing it. The author also highlights the situation of the employees of a European company and the advantages of creating this type of company, whether fiscal, related to the location, or resultant from the statute of thiscompany. In conclusion, the author points out a number of prospects for the functioning of a European company, highlighting the competitiveness of such a company on the European market and the possibility of its development by European enterprises, as well as indicating that the company is a kind of compromise between the regulations proposed by the European legislator and the regulations laid down by the domestic law of the Member States.

In recent years, a tormenting phenomenon can be observed related to the decreasing number of transplants performed due to the limited amount of patron organs. This fact has become an opportunity to analyse the European Union’s regulations of transplantations. The achievements of the Council of Europe and the European Union in terms of organ donation and transplantation has been presented in detail with a conclusion heading towards the dangerous commercialization process of transplantations. This article presents also the standards developed by the European Union in regard to transplantology which clearly supports the fact that organ donation should be on non-profit and altruistic basis excluding commercial aspects.

Pursuant to the Regulation (EC) No 562/2006 of the European Parliament and Council establishing a Community Code on the rules governing the movement of persons across borders (Schengen Borders Code) border control and determining the possibility of entry to the European Union apply individually to every third country national. One of the conditions of entry of third country nationals into the Union is to have a visa. EU law indicates those third countries whose nationals must be in possession of visa when crossing the external borders of the Union. This requirement applies also to citizens of Russia. The existence of reasons for refusing entry stipulated in the EU law obliges competent authorities of Members States to issue a decision to refuse entry to the European Union for third country national.

Regulation of this matter is based on the specific division of lawmaking powers – in the Fifth Republic, which makes the government superior to the parliament. Although the change in the Constitution in 2008 greatly depleted the government’s prerogatives in the legislative procedure, it also imposed new obligations on the government to draft laws of better quality. The government is still the main actor in the legislative process. It is also responsible for ensuring progress in the implementation of EU legislation in France and for conformity of French national legislation with EU law.

The article deals with the procedure for assessment of conformity of bills with the EU law in the United Kingdom. In the British legal system, due to the principle of duality, international law (including EU law) has an impact on domestic law only through acts of national parliament. Formed at the end of the nineteenth century in the United States, the essential facilities doctrine was created to prevent the refusal of access to certain key equipment, which is used as an instrument to secure the dominant position of the undertaking in those markets where the emergence of competition is strictly related to obtaining access to key device. The author describes the initiation in the 1970’s of the acquisition of the American doctrine by European Union law by focusing on the role of the European Commission and the Court of Justice of the European Union in this process. Both American and European prsemises for an application of the essential facilities doctrine are presented, as well as its advantages and disadvantages.

In Germany, the Ministry of Justice plays a central role in assessing the compatibility of draft federal laws with EU legislation. The Ministry of Internal Affairs and other ministries are also involved in this process. The Federal Minister of Justice may raise an “objection” to any bill which is inconsistent with the law (including EU law). Each new bill requires an explanatory statement which must also deal with the relationship of the bill and the EU law (with few exceptions). In fact, the responsibility for ensuring that the law adopted by the Bundestag is consistent with EU law rests primarily on the Federal Government and, within it, primarily on the legal services of the Federal Ministry of Justice.

The purpose of this article is to set out the multiannual process for establishing the European Ombudsman's office and the reasons for its establishment. It presents the history of the first European Ombudsmen and the history of the European Communities from a legal perspective. The author goes back to the reasons for setting up the European Ombudsman's body, which were the lack of legitimacy in the European Union. The role of bodies such as the European Ombudsman is to ensure that citizens' rights are actually respected. The European Ombudsman strengthens the rule of law in the European Union and complements the role of the courts by providing a cheap, accessible individual remedy and, on the other hand, complements the representative function of the European Parliament by becoming the centre of independent critical assessment and improvement of the quality of European administration. The rule of law serves to maintain the EU system as a supranational system. It is the construction of the axis of integration. If there is a lack of trust in the community in this respect, it begins to be treated differently. It is therefore important that the European Ombudsman fulfils his Treaty obligations as a body of the European Union effectively.

The opinion presents major differences in the legal situation of clients- entrepreneurs in relation to (legally privileged) recipients being household owners and consumers. Moreover, the author presents legal arguments for an extension of the protection standard regarding privileged entrepreneurs to micro-entrepreneurs and small entrepreneurs under the European Union legislation and in compliance with the national one. The opinion contains arguments for a specific national legislation, which would provide content to the state obligation to provide assistance to the development of entrepreneurship, in particular the micro-entrepreneurs, and which would facilitate an effective use of liberties of a uniformed EU market in the trans-border dimension.

The creation of a single market in Europe, conceived as the application of the so-called four freedoms (goods, services, capital and manpower) of movement was in vogue in the 1990s. What has happened to this dream? At the time not only business communities but also consumer associations, and even labour unions were all in favour of opening their national economies to the winds of continental competition. Three decades after, some national communities seem to have turned their backs on the free movement of people. The case of Eastern European immigrants settling for work in the UK after 2004 comes to mind, something which arguably was one of the main reasons for the Brexit vote in 2016. The issue could again become the focus of populist governments or parties (e.g., in Italy, France, Sweden, Austria, Hungary or The Netherlands), should the danger of an EU-wide recession or an idiosyncratic crisis in one of the poorest member states (MSs) materialize. Actually, a new intensification of intra-EU migration flows could be one of the outcomes of the unravelling of supply chains as a result of the COVID epidemic and geopolitical considerations, such as the EU’s wish to diminish trade dependence from China and Russia. The ground is slowly eroding under the feet of those adamant to cling to the free movement of people as part of the acquis. The EU Commission should give thought, before it is too late, about the fourth freedom particularly in view of future EU enlargements.

Upon entry into force of the accession treaty, Poland – as a member state of the European Union – became bound by the body of EU law (the acquis communautaire), including its primary and secondary law as well as the interpretation of EU law contained in the Court of Justice of the European Union case-law. Due to a very close approximation of Polish legislation to EU law – resulting from the obligation to consider, employ, and apply in the process of implementing the former a number of EU legal acts, i.e. regulations, directives, as well as acts of soft law such as guidelines and recommendations that are not acts of common law – the problem of the scope of application of EU law within the Polish legal system has occurred; this problem, or a gap in the legal sense, has been addressed and resolved, to a large extent, by case-law of the CJEU.

Opis:
Freedom of contract and corrective justice are considered to be the basic principles governing contract law. However, many contemporary legal orders implement various policy goals into private law. The regulatory private law of the European Union is the most striking example of such a trend. This article aims at reconciling the corrective justice theory of private law and the principle of freedom of contract with the regulatory dimension of the EU law. The main argument is that the meaning of the concept of harm, one that is crucial to the principle of corrective justice, should be understood broadly so that it can transform the corrective justice theory from a monistic one into a pluralistic one.

30 April 2016 saw the entering into force of the Act of 14 April 2016 on the Suspension of Sale of Land of the Agricultural Property Stock of the State Treasury and on Amending Numerous Acts . The amendments pertained to, inter alia, the Act of 11 April 2003 on the Formation of the Agricultural System , and introduced a variety of alterations thereto, thus restricting significantly the freedom of trading in agricultural land. This article provides an analysis of conformity of Polish legislation with European Union legislation and also explains the liability of the State Treasury in case of violations of EU law.

The paper is focused on discussing grounds for restricting the freedom of establishment as settled by the CJEU in C-55/94, Gebhard. The analysis shows that the possibility of imposing restrictions on economic activity should be carefully examined at the stage of adoption of national law, as it falls to the Member State to prove that national provisions meet conditions laid down in the EU legislation and the CJEU case law.

Sygnaliści pełnią istotną rolę w demokratycznym społeczeństwie, urzeczywistniając postulat transparentności życia publicznego, weryfikacji funkcjonowania instytucji i osób pełniących funkcje publiczne. Odpowiednie normy zapewniające ich ochronę stanowią istotny element pozwalający na urzeczywistnienie wolności wypowiedzi oraz prawa dostępu do informacji. Celem badawczym artykułu jest ocena dyrektywy Parlamentu Europejskiego i Rady (UE) 2019/1937 z 23 października 2019 r. w sprawie ochrony osób zgłaszających naruszenia prawa Unii (Dz. Urz. L 305/17) pod kątem skuteczności zaproponowanych rozwiązań. Metodą badawczą wykorzystaną do analizy regulacji jest metoda dogmatycznoprawna. W artykule wyodrębniono i przeanalizowano elementy skutecznego systemu ochrony sygnalistów oraz dokonano krytycznej analizy dyrektywy 2019/1937 pod kątem spełnienia tych warunków. Bez wątpienia pozytywnie ocenić należy zarówno stworzenie minimalnego poziomu ochrony na poziomie unijnym, jak i podejścia horyzontalnego obejmującego sektory publiczne i prywatne. Dyrektywa pozostawia jednak pewne luki dla prawodawcy krajowego, od których wypełnienia zależy rzeczywista skuteczność zaproponowanych w niej rozwiązań.
The role of whistleblowers is important in a democratic society, in terms of implementing the postulate of transparency in public life, and for verifying the functioning of public institutions and persons discharging public functions. For many years, the European Union has encouraged the Member States to introduce such regulations. The research objective of the article is to evaluate Directive (EU) 2019/1937 of the European Parliament and of the Council of 23 October 2019 on the protection of persons reporting breaches of EU law in terms of the effectiveness and adequacy of the proposed solutions. Appropriate standards ensuring their protection constitute an important element enabling the realization of the freedom of expression and the right of access to information. The research is based on the legal dogmatic method. The article singles out and analyses the elements of an effective whistleblower protection system and performs a critical analysis of Directive 2019/1937 in terms of meeting these conditions. Undoubtedly, both the creation of a minimum level of protection at the EU level and the horizontal approach covering sectors, public as well as private, should be positively assessed. However, the Directive leaves some gaps for the national legislator, the fulfilment of which depends on the actual effectiveness of the solutions proposed in it.

The purpose of this paper is to present a theoretical assessment of the existing Law on Personal Data Protection in the Republic of Macedonia. The paper aims to analyse whether there is a need for additional legal tools in order to achieve a balance between maintaining data integrity in the digital age and the use of modern technology. Having regard to the development of new technologies, prevailing data protection legislation may no longer be able to provide effective protection for individuals’ personal information. Therefore, existing laws should be continuously adapted to respond to new challenges and situations deriving from different online activities and communications.

Opracowanie stanowi kontynuację artykułu omawiającego kwestia bezpieczeństwa dzieci i młodzieży w prawie międzynarodowym. Istotnym z punktu widzenia prawa UE jest usystematyzowanie poprzez analizę syntaktyczno-semantyczną ustawodawstwa, które reguluje kwestie przedmiotowego zagadnienia. Autorzy akcentują znaczenie Karty Praw Podstawowych Unii Europejskiej, która urzeczywistniała „dziecko” jako podmiot autonomicznej ochrony w prawie UE opierając swe regulacje na postanowieniach Konwencji Narodów Zjednoczonych o prawach dziecka z 1989 roku. W artykule zostały omówione Rozporządzenia, Dyrektywy i Decyzje, które swym odziaływaniem chronią dzieci przed cyberprzemocą. Dalej autorzy niejako wskazują możliwe skutki funkcjonowania tzw. „pakietu” na rzecz cyberbezpieczeństwa stanowiącego przedmiot publicznej debaty. W podsumowaniu zawarto wnioski płynące z rozważań na poziomie prawa unii europejskiej.
The study is a continuation of the article discussing the safety of children and adolescents in international law. It is important from the point of view of EU law to systematize the legislation that governs the issue in question by a syntactic-semantic analysis. The authors stress the importance of the Charter of Fundamental Rights of the European Union, which has made the „child” a reality as an actor of autonomous protection in EU law, basing its regulations on the provisions of the 1989 United Nations Convention on the Rights of the Child. The article discusses the following Regulations Directives and Decisions that protect children from cyberbullying. Next, the authors somehow indicate the possible effects of the so-called „package” for cyber security, which is the subject of public debate. The summary draws conclusions from considerations both at the level of European Union law.

In European Union there are three levels of law governing elections to the Europen Parliament. First of all, European Union election law is regulated by the primary law and directive 93/109/WE as well as by the jurisprudence of the European Court of Justice. The second level is that of the Council of Europe – set out in the European Convention of Human Rights and interpreted by the European Court of Human Rights – to guarantee basic election principles. The third level of election law is national law. This, naturally, must conform to the wording of the Convention and decisions of the ECtHR in all member states of the Council of Europe and to the European Union election rules in 27 EU member states. The author of the article presents European Union law regulations concerning to the all stages of the electoral process and proposals of changes in this area. Stages of electoral process regulated in the European Union law are: ordering the elections, nomination of elections, setting roster of persons which have right to elected and right to be elected, electoral campaign, voting, establishing of the voting results and announcing of them, establishing of the elections results, affirmation of the validity of the elections, expirations of the mandate and by-elections. The author presents the opinion, that there are two ways of evolution of European Union regulation concerning to the elections to the European Parliament. First is gradual widening regulations of Act concerning the election of the members of the European Parliament by direct universal suffrage, and second is establishing the all-European constituency, in which right to present candidates would have only European political parties.

The proposal is part of the package of documents submitted by the European Commission to improve the institutional system of protection of the interests of the Union. As concerns the organization of the European Public Prosecutor’s Office, the author contests the decentralized nature of that authority proposed by the European Commission. He points out the vague wording of some pars of the proposal. In his view, doubts relate to the independence of prosecutors exercising the functions of European Delegated Prosecutors. He opts for limiting the jurisdiction of that authority. According to the author, the proposed regulation does not violate the principle of proportionality. He concludes that joint investigation and prosecution of perpetrators of offences against the Union’s financial interests are in common interest of both Poland and the EU.

In this article the Authors present the introduction of Council Framework Decision 2004/757 / JHA / into the legal system of the European Union and the Member States. In the fi rst part, historical facts preceding the draft ing and implementation of the decision there have been presented. It means in particular – the documents issued by the European Union on combat and prevent drug abuse. Th e article also presents data of a social nature with regard to the drug problem among youths. Th en the content broadly discuss provisions of the concerned legislation with respect inter alia to the defi nitions contained in it, forms of crime, penalties, special circumstances and the liability of legal persons. In the last part the above provisions were discussed in detail in terms of their subsequent implementation in the Polish legal system. Simultaneously it took into account the scope of required changes made by the legislature in order to make full use of the Decision. Th e Authors also referred to the issue of repressive drug policy in Poland compared to other European Union countries.
W niniejszym artykule Autorzy zaprezentowali wprowadzenie Decyzji ramowej Rady 2004/757/WSiSW/ do porządku prawnego Unii Europejskiej oraz Państw Członkowskich. W pierwszej części przedstawiono fakty historyczne poprzedzające sporządzenie oraz implementację omawianej Decyzji, tj. wydane przez Unię Europejską dokumenty nt. zwalczania i zapobiegania narkomanii oraz dane o charakterze społecznym z uwzględnieniem problemu narkotyków i narkomanii wśród młodzieży szkolnej. Następnie, w sposób rozszerzający, przedstawiono zapisy omawianego aktu, odnoszące się między innymi do zawartych w nim defi nicji, forma stadialnych i zjawiskowych, kar, okoliczności szczególnymi oraz odpowiedzialności osób prawnych. W części ostatniej, powyższe zapisy zostały szczegółowo omówione pod kątem późniejszej ich implementacji w polskim porządku prawnym, z uwzględnieniem zakresu wymaganych zmian dokonywanych przez ustawodawcę w celu pełnego stosowania Decyzji. Autorzy odnieśli się również do kwestii represyjności polityki antynarkotykowej w Polsce na tle innych krajów Unii Europejskiej.

Dokonujący się w ostatnich latach w Polsce szybki rozwój motoryzacji pociąga za sobą konieczność wprowadzenia racjonalnej gospodarki odpadami pochodzącymi z eksploatacji i złomowania pojazdów. Gwałtowny wzrost liczby samochodów oraz istniejąca struktura wiekowa krajowego parku pojazdów, w której znaczną część stanowią pojazdy stare i wyeksploatowane, przyczyniają się do stałego wzrostu łącznej masy odpadów samochodowych. Pilne staje się więc stworzenie warunków, zarówno o charakterze prawnym, organizacyjnym i technicznym do powstania w kraju systemu zbiórki, wykorzystania i unieszkodliwiania powstających z pojazdów samochodowych odpadów. Niniejszy artykuł oprócz charakterystyki obecnych uwarunkowań prawnych w Polsce, przedstawia także wybrane uregulowania dotyczące wycofywanych z eksploatacji pojazdów w krajach Unii Europejskiej.
Rapid development of automotive industry in recent years in Poland has entailed the introduction of rational management of waste materials from the operation and disposal of vehicles. Rapid increase of the number of cars and the existing age structure of the national fleet, where a significant part are the old and worn vehicles, causes the increase of the total mass of waste vehicles. That is why it becomes urgent to create conditions in both the legal and organizational and technical foundation in the country to collection, use and disposal of generated waste from motor vehicles. This article, apart from the characteristics of the current legal conditions in Poland, also presents some legislation on end-of-life vehicles in the European Union countries.

Opis:
This article analyses the priorities of European competition law in the air transport sector in the light of the ongoing process of the industry’s consolidation. The oligopolistic nature of the airline business results in a natural tendency towards its concentration. From the standpoint of regulatory oversight, the question is how to manage or counteract this tendency in order to achieve defined policy goals. In this vein, European competition law has departed from the model whereby the competitive process in itself is the priority and turned to an instrumental approach, with preference given to the welfare of customers. This analysis will highlight three policy areas relevant to the discussed subject. It begins with antitrust law, with special emphasis on the sector-specific phenomenon of airline alliances; then discusses merger control, especially in the context of pro-competitive remedies, and finally State aid, with particular focus on the effects of the compensatory scaling-down of operations which are imposed on recipients of a rescue and restructuring aid grant.
