Opis:
This study aims to examine the relationship of the three characteristics of the board of directors (board size, board independence, and CEO duality) as part of good corporate governance mechanism and its effects on the level of sustainability report disclosure with moderating effect of audit committee. This study underpins Signalling Theory to analyze and explain the role of corporate governance and their association with the management level of disclosure of sustainability report. In this study, 106 samples were taken from 35 companies listed at Indonesia Stock Exchange which disclose sustainability report using GRI G4 during 2013-2017 periods. Board size and board independence was found to have significant negative relationship with the level of sustainability report disclosure. Furthermore, the findings show that the audit committee strengthen the moderating effect of the relationship between board size, CEO duality, and the level of sustainability report disclosure, but weaken the moderating effect of the relationship between board independence and the level of sustainability report disclosure.
Niniejsze badanie ma na celu zbadanie związku trzech cech rady dyrektorów (wielkość zarządu, niezależność zarządu i dualność dyrektora generalnego) w ramach mechanizmu dobrego ładu korporacyjnego i jego wpływ na poziom ujawnienia raportu zrównoważonego rozwoju z moderującym efektem komitet audytu. Niniejsze badanie stanowi podstawę teorii sygnalizacji do analizy i wyjaśnienia roli ładu korporacyjnego i ich związku z poziomem zarządzania ujawnianiem raportu zrównoważonego rozwoju. W tym badaniu pobrano 106 próbek od 35 spółek notowanych na giełdzie w Indonezji, które ujawniają raport zrównoważonego rozwoju za pomocą GRI G4 w okresach 2013-2017. Stwierdzono, że wielkość i niezależność zarządu mają znaczący negatywny związek z poziomem ujawnienia raportu na temat zrównoważonego rozwoju. Ponadto ustalenia wskazują, że komitet audytu wzmacnia efekt moderujący związku między wielkością zarządu, dualnością dyrektora generalnego i poziomem ujawnienia raportu zrównoważonego rozwoju, ale osłabia efekt moderujący związku między niezależnością zarządu a poziomem ujawnienia raportu zrównoważonego rozwoju.

Purpose: Grounded in agency and entrenchment theories, this study assumes that CEOs’ propensity to entrench themselves can affect firm performance. The purpose of this article is to investigate the relationship between dimensions and mechanisms through which managers entrench themselves and influence firm performance. Design/methodology/approach: The article uses OLS regression to explain the assumed relationships between managerial entrenchment and firm performance. The study is based on a sample of 55 Moroccan listed companies over the period 2010–2015. Findings: Taken together, the findings contribute to a better understanding of the effect of several entrenchment pathways on firm performance. These findings imply that managerial entrenchment is not necessarily detrimental, as suggested by some governance theories. On the contrary, it can have a beneficial effect on wealth creation. Research limitations/implications: This study faces several limitations. The first appears in the sample size of its quantitative element. The second is related to the variables used to measure managerial entrenchment. The current research explores the effects of the most commonly used measures and some non-retained measures could be pertinent in verifying the assumed relationships. Originality/value: This analysis is one of the few studies conducted in the African countries that scrutinize the impact of managers’ entrenchment determinants (ownership, duality, age, and tenure) on firm performance

Purpose – The research focuses on examining which characteristics can raise or diminish board effectiveness in the context of M&A activities of companies.Design/methodology/approach – The nature of the research was quantitative, and the sample was selected purposefully. The data was retrieved from four databases: ThomsonOne, Eventus, Institutional Shareholder Platform (ISS) and Compustat. The final sample consisted of 2613 mergers and acquisitions and was selected by applying the following criteria: both the bidder and the target were US-based companies, the acquirer was a listed company, the acquisition announcement took place over the period 2008 – 2017, the deal value exceeded USD 1 million, the transaction resulted in a control gain over the target company. M&A performance was assessed using cumulative abnormal return (CAR) method, while the board influence was examined using ordinary least square (OLS) regression. Five hypotheses regarding the influence of board independence, gender diversity, board size, CEO duality and type of elections were tested in the research.Findings – Two out of five hypotheses were confirmed in the study. Board independence and board classification increase bidders’ CARs over the deal announcement period.Research limitations/implications: The main limitation is related to the measurement of M&A performance, which is relatively difficult to quantify. Moreover, the method of selection of the sample, especially a higher proportion of companies from certain industries could affect the outcomes and underestimate the impact of gender diversity. Further research could investigate the deals in the long-term perspective and apply different criteria in the sample selection process.Practical implications: The outcome of this study is of importance to acquisitive and non-acquisitive companies by aiding them in finding an optimal board structure, which can effectively monitor and motivate the CEO, leading to profitable decisions concerning not only M&A but all major investments.Originality/value: The study investigates the topic of board effectiveness in the M&A context, which the research coverage is still very limited. The study covers five board characteristics and several control variables to increase the robustness of the results and ensure their correct interpretation. Finally, the sample consists of the most recent data, which enables to draw up-to-date conclusions that consider constantly developing corporate governance law and trends regarding the board structure and composition.
