The audit committee and remuneration committee are the two most frequently appointed committees by the supervisory board. Their principal task is to help in conducting the current work of the supervisory organ. It is therefore important that the members forming part of those committees have appropriate qualifications and professional experience. The study will examine how the Polish companies from the banking sector see the recommendations of the European Commission and the Stock Exchange in Warsaw, to appoint the audit and remuneration committees.

The aim of the study was an assessment of experience in the realm of applying corporate governance best practices on the Polish capital market. Assessment of the process of transfer of the best practice component recommending the establishing of an audit committee in the supervisory board and its verification in practice over the years 2010–2012 was an additional research goal. Twelve respondents took part in the study. They represented different institutions present on the Polish capital market – e.g., the Warsaw Stock Exchange, Polish Financial Supervision Authority, Polish Institute of Directors, Association of Individual Investors, and the Association of Listed Companies – as well as representatives of the auditor, professional supervisory board member, and independent capital market expert communities. The study was qualitative in character and the research technique applied was the interview. Research results demonstrated the importance and need for preparing corporate governance best practices for Polish conditions. However, many weaknesses were observed in the way in which companies listed on Warsaw Stock Exchange applied them in practice. A basic weakness perceived by the interviewed respondents was “apparent action” taken by some listed companies. Most often this took on the form of information for the market stating compliance with best practices, where the reality was different. A second popular behavior was the way in which compliance reporting was carried out. In this case own reports were not written, but those of others were copied. Identified risks/threats to the formation of audit committees found confirmation in board practice. The main problems include difficulty in attracting professional members who possess knowledge and experience in the realm of finance and accounting to supervisory boards, and a lack of additional remuneration for members of the audit committee. The latter can also be an explanation as to why such professionals are difficult to invite to boards.

The relationships between the audit committee structure and earnings management is quite complicated. They are not simply bivariate correlations. Rather, there may be mediating effects or moderating influences on these casual associations. Nonetheless, previous research has not investigated these complicated relationships in emerging markets with an advanced economy. This paper aims to examine the mediating impact of audit committee structure and earnings management in Australia, Malaysia, and Pakistan. The results suggest that audit committee size is positively associated with financial reporting quality. We also noted that, instead of adding value, audit committee independence is negatively associated with reporting quality. The results indicate that the audit committee is a less significant factor in corporate governance than suggested by many previous researchers and policy makers. This paper contributes to the literature on corporate governance and earnings management by introducing a framework for identifying and analyzing moderating variables that affect the relationship between the audit committee structure and earnings management.

Gospodarka wodna jest nieodłącznym elementem życia i rozwoju nowo¬czesnych społeczeństw. Nieodłącznym elementem tej gospodarki są spółki wodne. W Polsce zagadnienia te są uregulowane w odpowiednich przepisach, a ich podstawę stanowi ustawa z dnia 18 lipca 2001r. prawo wodne . Spółki wodne jako forma działalności organizacyjnej, zostały ujęte już w ustawie prawo wodne z 1922r. Mają one więc swoje prawne umocowania od wielu lat. Znalazło to swoje odzwierciedlenie w prawie wodnym z 2001 r. W myśl przepisów tam zawartych urządzenia melioracyjne służące do nawad¬niania lub odwadniania gruntów utrzymywane są przez właścicieli gruntów lub inne podmioty, które odnoszą z tego tytuły korzyści. Dlatego dla usprawnienia i ulepszenia realizacji właściwego gospodarowania wodami i urządzeniami wodnymi przez właścicieli gruntów i wszystkich odnoszących ko¬rzyści tworzone są dobrowolne organizacje zwane spółkami wodnymi, które przejmują wykonywanie obowiązków związanych z utrzymywaniem urządzeń melioracji szczegółowych od zainteresowanych.
Water economy is an inseparable part of life and modern societies development. An inseparable part of the water economy are water companies. In Poland such issues are organized by proper regulations and their basis is a legal act set up on the 18th of July, 2001, called Water Law. Water companies as a form of organized activity has been implemented in legal act Water Law since 1922 thus having been fixed for many years. It was reflected in in the Water Law in 2001. According to the legal regulations in the Water Law, the devices used for irrigation and desiccation of the arable lands are maintained by the land owners and other business entities who benefit from the usage of these lands. Therefore, for the improvement of the usage of water and water devices by land owners and other entities, voluntary organizations called water companies are set up. Water companies take over the responsibilities concerned with the land improvement from the people concerned.

The article describes the issue of the ban on judgements to the disadvantage of the claimant during the proceedings related to reservations about the post-audit statement (reformationis in peius). Once the arguments presented by the parties in the dispute have been analysed, two opposing views can be identified. According to the first view, the ban should be respected during the adjudicating committee proceedings, because the ban on judging to the disadvantage of the claimant is the basis for all fair proceedings. Whereas in accordance with the opposing view, the ban on reformationis in peius should not be applied in proceedings related to reservations, as it is not openly set forth in the Act on the Supreme Audit Office, and its application may lead to distorted audit results.

Nowe wymogi dotyczące powoływania i funkcjonowania komitetów audytu dotyczą od drugiej połowy 2017 r. również jednostki samorządu terytorialnego (JST). Autor opracowania analizuje ustawowe przesłanki powołania komitetu audytu w JST i bada, których JST dotyczy ten wymóg. W artykule sformułowano model planu pracy komitetu audytu w JST na kanwie ustawowych zadań i dobrych praktyk z sektora komercyjnego. Na podstawie badania celu działania, zakresu zadań i składu osobowego zidentyfikowano różnice między komitetami audytu działającymi dotychczas w ministerstwach a nowymi komitetami audytu powołanymi w JST. Analiza wprowadzonych uregulowań dotyczących komitetów audytu posłużyła do sformułowano zestawu rekomendowanych zmian.
Since the second half of the year 2017, new requirements for the appointment and functioning of the audit committees have applied also to the local government unit (JST). The author looks into the statutory prerequisites for the establishment of an audit committee in JST and examines which of them have been affected by this requirement. In the article, a model work plan of an Audit Committee in the JST has been formulated on the canvas of statutory tasks and best practices from the commercial sector. On the basis of the examination of actions, terms of reference and personal composition, differences have been identified between the audit committees working in the ministries and the new audit committees appointed in the JST. The analysis of the newly introduced rules on audit committees served as a basis for a set of recommended changes.

W spółkach kapitałowych (ksh) obowiązek nadzorowania i monitorowania procesu sporządzania i badania sprawozdań finansowych realizowany jest przez rady nadzorcze. W przypadku gdy spółka ma status jednostki zainteresowania publicznego (JZP), tworzone jest dodatkowe ciało, jakim jest komitet audytu. Porównanie kompetencji obu organów pozwala na stwierdzenie, że ich zadania i obowiązki się powielają. Jednak zgodnie z polskim prawem jedynie rada nadzorcza jako całość ma wyłączne, ustawowe kompetencje decyzyjne. Komitet nie może zatem zastępować rady, zaś jego funkcja ogranicza się do działalności doradczej i wspierającej działalność rady. Jednak dzięki niezależności i określeniu kwalifikacji członków komitetu, przewidywanym karom administracyjnym oraz enumeratywnie wymienionym kompetencjom i obowiązkom możliwy jest pełniejszy nadzór nad adekwatnością i skutecznością wszelkich systemów spółki w kontekście prawidłowości i rzetelności generowanych informacji, a tym samym wspomaganie bezpiecznego funkcjonowania JZP.
In capital companies (CC) the obligation to supervise and monitor the process of preparing and auditing financial statements is carried out by the supervisory boards. If a company has the status of a public interest entity (PIE), an additional body is established, i.e. the audit committee. Comparing the competences of both bodies allows stating that their tasks and obligations are duplicated. However, in accordance with Polish law only the supervisory board, as a whole, has the exclusive, statutory decision-making powers. Therefore, the committee cannot replace the council, whereas its function is limited to advisory and supportive activities provided for the council. Independence and qualifications of the committee members, anticipated administrative fines and enumerated competences allow for the supervision over both adequacy and effectiveness of all systems in the context of the correctness and reliability of the generated information, and thus support the safe functioning.

The new act on statutory auditors, audit forms and public oversight, which came into force in the first half of 2017, introduced important changes related to activities of audit committees supervisor board in public-interest entities. The implemented regulations strengthened the role of audit committees in monitoring of financial statements, audit process and internal control, and choice of audit firm. The Act clearly defined the professional competencies that are needed by the members of an audit committee. One of them should have knowledge of the branch, and at least one should have knowledge in accounting or in financial audit. This requirement will make substantive supervision better, and the financial market participants will trust published information more. The aim of the article is to present the role of accounting specialists, when they are the members of an audit committee. The article refers to the kinds of activities, with widely understood interest of the company and shareholders.
Nowa ustawa o biegłych rewidentach, firmach audytorskich i nadzorze publicznym, obowiązująca od połowy 2017 r., wprowadziła istotne zmiany związane z funkcjonowaniem komitetów audytu rad nadzorczych w jednostkach zaufania publicznego. Ustawa bardzo wzmocniła rolę komitetów audytu w monitorowaniu sprawozdawczości finansowej, proce-sów audytu i kontroli wewnętrznej w spółkach oraz w wyborze firmy audytorskiej. Ten kie-runek zmian jest jak najbardziej pożądany. Celem artykułu jest prezentacja roli specjalistów z rachunkowości zasiadających w komitetach audytu rad nadzorczych w sprawowaniu nadzoru korporacyjnego. Odniesiono się do możliwych rodzajów aktywności takich specjalistów, mając na uwadze szeroko pojęty inte-res spółki, a więc i interesy akcjonariuszy. Autorka podkreśla, że w ustawie jednoznacznie określono kompetencje zawodowe, jakie powinni mieć członkowie komitetów audytu.

Purpose: The paper examines auditors’ experiences with corporate governance (CG) in general and audit committees (ACs) in particular in the setting of a Polish two-tier board system and a capital market characterized by high ownership concentration, which therefore extends the research on CG practices of an economy beyond the well-researched Anglo-American model. Methodology: This study adopts a qualitative research approach by using interview data from fifteen interviews with auditors working with large publicly-listed companies in Poland to examine the relationships among auditors, Audit Committees, and CG. Findings: The auditors indicate that the CG environment has changed. However, the institution alization of an AC in Poland generally is the subject of coercive isomorphic pressures, which lead to its decoupling and transition toward a ritualistic role. Moreover, auditors report only some reliance on CG information in the planning phase and none in the field-testing or review phases. Originality: The findings differ from those of prior studies conducted predominantly in the USA and the UK, in which auditors reported far greater reliance on CG in all phases of the audit process. The two possible reasons for this difference in findings could be the different development stages between capital markets and different CG systems.

This study examines the impact of regulatory compliance on the relationship between the audit committee diversity and the extent of voluntary disclosure in the Nigerian listed firms. The study investigates 71 company from 10 sectors listed on the Nigerian Stock Exchange (NSE) in the period of 2011-2017. As we adopt a basic and causality research design, a quantitative approach through generalized method of moment (GMM) panel models was used to analyse the data collected from each company’s annual report and the stock exchange fact books. The result indicates that regulatory compliance has a positive and significant impact on the audit committee and voluntary disclosure. Furthermore, audit committee independence and financial expertise have a positive influence on voluntary disclosure due to the positive interaction effect of regulatory compliance. The main contribution is the introduction of corporate governance regulations as a moderator of this relationship besides using the system Generalized Method of Moment (GMM) approach as a superior estimator. This study provides insights to policymakers and the business firms interested in improving the effectiveness of corporate governance within their countries.
Tematyką tego artykułu jest wpływ zgodności z przepisami na związek między różnorodnością komisji ds. Audytu a zakresem dobrowolnego ujawnienia informacji w nigeryjskich spółkach giełdowych. Przebadano 71 spółek z 10 sektorów notowanych na nigeryjskiej giełdzie papierów wartościowych (NSE) w latach 2011-2017. W badaniu zastosowano podejście ilościowe poprzez uogólnione metoda momentu (GMM) do analizy danych zebranych z raportu rocznego każdej spółki i ksiąg faktów giełdowych. Wynik wskazuje, że zgodność z przepisami ma pozytywny i znaczący wpływ na komisji audytu poprzez dobrowolne ujawnienie. Ponadto niezależność komisji audytu i wiedza finansowa mają pozytywny wpływ na dobrowolne ujawnianie informacji ze względu na zgodność z przepisami. Główną zasługą jest wprowadzenie przepisów dotyczących ładu korporacyjnego jako moderatora tej relacji, oprócz zastosowania systemowego podejścia uogólnionej metody (GMM) jako nadrzędnego estymatora. Badanie to dostarcza informacji decydentom politycznym i firmom zainteresowanym poprawą skuteczności ładu korporacyjnego w swoich krajach.

According to the Act on Voivodeship Self-Government, the chairman of the Audit Committee must be a member of the largest club of councilors. The fact, that submission of a candidacy meeting this requirement requires the approval of the largest political club, is determined by non-legal circumstances (political pragmatism), not normative ones. The composition of the committee must also comply with absolute statutory requirements. The author also points out that the paralysis of the audit committee due to the failure to appoint the chairman may lead to the suspension of the voivodeship self-government bodies and the establishment of a commissioner’s board on the basis of relevant rules.

The internal audit has functioned in the world for several centuries; however, in Poland, it was legally introduced to the public sector in 2002. In other sectors, very few regulations are in force; all of them are limited to selected areas of the functioning of the internal audit. The aim of the study is to present the scope of legal regulations on the subject of internal audit in Poland from the point of view of the following types of entities: public sector entities, public-interest entities, public companies, The research focused on the legal regulations regarding internal audits. The presented regulations show that the public sector is mostly regulated by legal acts, ordinances, and announcements. Audit procedures are described by Recommendation H, and public-interest entities and public companies have their own guidelines on the subject of audit statements.
Audyt wewnętrzny funkcjonuje na świece od kilku wieków, ale w Polsce został wprowadzony ustawowo w sektorze finansów publicznych w 2002 r. W pozostałych sektorach obowiązują regulacje prawne ograniczające się do wybranych aspektów funkcjonowania audytu wewnętrznego. Celem opracowania jest prezentacja zakresu regulacji prawnych audytu wewnętrznego w Polsce w przekroju następujących typów jednostek: − jednostki sektora finansów publicznych, − jednostki zainteresowania publicznego, − spółki giełdowe, − banki. Badaniem objęto przepisy prawne regulujące zakres audytu wewnętrznego. Z zaprezentowanych regulacji wynika, że najpełniej w formie ustawy, rozporządzeń i komunikatów jest uregulowany sektor finansów publicznych, procedury audytowe dla banków są opisane w Rekomendacji H, a jednostki zainteresowania publicznego i spółki giełdowe posiadają wytyczne w sprawie komitetów audytu.

Statutory provisions regulating the functioning of local government do not include a prohibition regarding assuming the function of a member of an audit committee by a person married to a person holding the function of a head of commune, mayor, starost (head of a district board) or marshal of a voivodeship. Main regulations concerning counteracting conflicts of interest in a local government unit concern the prohibition of combining public functions, restrictions on taking up economic or commercial activities outside the sphere of public administration and exclusion of a councillor from voting, if a vote concerns his legal interest.

Opis:
The determinants of firm performance and its link to corporate governance as well as ownership structure provides managerial implications from the point of view of managerial implications which are of importance to financial markets. Thus, this study examines the relationship between the independent board, audit committees, managerial ownership, institutional ownership, and the principle of large shareholder's structure on firm performance. This study uses multiple regression analysis methods to test hypotheses. This study indicates that audit committees, managerial ownership, and multiple large shareholder structures affect firm performance. In contrast, the independent board of commissioners and institutional ownership do not affect firm performance. This study has a practical implication regarding the importance of having effective audit committee for overseeing the firm reporting and financial performance. Additionally, the board needs to maintain the right size of managerial ownership within the firms to reduce agency costs and hence increase firm performance.
Determinanty wyników firmy i ich związek z ładem korporacyjnym oraz strukturą właścicielską dają implikacje zarządcze z punktu widzenia implikacji zarządczych, które mają znaczenie dla rynków finansowych. W związku z tym niniejsze badanie bada relacje między niezależnym zarządem, komitetami ds. Audytu, własnością zarządczą, własnością instytucjonalną oraz zasadą struktury akcjonariusza w zakresie wyników firmy. Niniejsze badanie wykorzystuje metody analizy regresji wielorakiej do testowania hipotez. Badanie to wskazuje, że komitety ds. Audytu, własność zarządcza i wiele dużych struktur akcjonariuszy wpływają na wyniki firmy. W przeciwieństwie do tego niezależna rada komisarzy i własność instytucjonalna nie wpływają na wyniki firmy. Niniejsze badanie ma praktyczny wpływ na znaczenie posiadania skutecznego komitetu audytu do nadzorowania sprawozdawczości firmy i wyników finansowych. Ponadto rada musi utrzymywać odpowiedni rozmiar własności menedżerskiej w firmach, aby zmniejszyć koszty agencji, a tym samym zwiększyć wydajność firmy.
