Opis:
Significant imbalance in the rights and obligations of the parties to a consumer contract term is, together with good faith, a fundamental pillar of substantive protection against unfair terms. It is the primary tool provided by Council Directive 93/13/EEC of 5 April 1993 on unfair terms in consumer contracts with a view to mitigating differences in bargaining power between professional traders and consumer on the ever-expanding capitalistic market within the EU. The paper comprehensively reviews the meaning of the “significant imbalance” element by reference to a cross-section of judgments handed by the CJEU and Polish courts. Generally, albeit with a few notable exceptions, the former court has engaged in a subjective-objective exercise aimed at discovering what the balance of rights and obligations would have been between the parties in the particular dispute at hand had it not been for the purportedly unfair clause. Besides that, the requirement has been utilized to impose ad bolster a host of information duties levied on traders so that protection is extended to cases where the consumer is unaware of their rights or are deterred from enforcing them due to procedural obstacles or prohibitive costs of judicial or administrative proceedings. The requirement of significant balance, rooted in the idea that the disproportion of market power between the parties to a disputed term necessitates government or judicial intervention to achieve or restore contractual equilibrium, is shown from a plethora of angles: its ideological foundations, practical connotations, its emphasis on consumer vulnerability and approach to economic power. Assistance and inspiration re gleaned from Polish jurisprudence where numerous questions either unanswered by the CJEU or left to the consideration of national courts, particularly the relation between reasonableness, on the one hand, and significant imbalance and good faith on the other, as well as between significant imbalance and good faith, have been tackled.

Mistaken identity and bad aim have been traditionally accepted as the two textbook situations where the doctrine of transferred malice has found application. By reference to a cross-section of academic sources as well as case law from a number of common law jurisdictions, three core elements of transferred malice are identified: the intent of the defendant, the consequence that befalls the unintended victim, and public intuitions with regard to resulting harm. The overarching conclusion of the considerations consists in reaffirming the role of factual contingencies in deciding cases as well as the existence of a significant policy element which has caused, the paper submits, judges to subsume under the umbrella term of transferred malice cases which could satisfactorily be explained by means of other legal concepts, most notably remoteness, foreseeability or negligence.

In a recent judgment in ERGO Poist’ovňa, a.s. v Alžbeta Barlíková, the Court of Justice of the European Union attempted to clarify the ambit of Article 11 of Council Directive of 18 December 1986 on the coordination of the laws of the Member States relating to self-employed commercial agents, that is the circumstances where a commercial agent’s right to remuneration may be extinguished should a negotiated transaction not be executed between the principal and the client. Notably, the Court held that in the event of even partial non-execution of a negotiated contract between the principal and the third party client, provided it happened due to no fault on the part of the principal, the agent’s right to commission is proportionately extinguished. The paper discusses the judgment in the light of previous CJEU case law and the Polish transposition of the said European standards with a view to finding any potential divergences between the two. The paper notes two problems. First, Polish law, as opposed to Slovak law, does not recognize an automatic termination of an insurance contract in the event of default on the part of the customer. Conversely, whether such an effect eventuates is left to contractual discretion of the parties. Second, Polish courts have been recently willing to substitute unjust enrichment for contractual liability even where, it appears, complainants have valid claims under Article 7614 of the Civil Code.

The “plain and intelligible language” requirement performs a dual function within the framework of Council Directive 93/13/EEC of 5 April 1993 on unfair terms in consumer contracts. First, it is listed as a requirement for application of the exemption included in Art. 4(2) as regards policing terms relating to the main subject matter of the contract or to the adequacy of the price and remuneration. Second, the “plain and intelligible language” requirement is a general requirement addressed at all consumer contracts executed in writing (Art. 5). This paper examines the boundaries of the precept, and places particular emphasis on the recent developments in both EU and Polish law, where the requirement has been used to imply a host of information duties aimed at enhancing consumers’ capacity to foresee the consequences of the terms that they are assenting to. This apparently novel approach, which has been developing in piecemeal fashion in the CJEU’s ever-expanding case law, may trigger significant consequences in the field of consumer contract law. In some ways, expansion of the substantive scope of the requirement may be said to be motivated by the fact that courts, under Art. 4(2) of Directive 93/13, are unable to subject the adequacy of the price and remuneration against the services or supply of goods received in exchange to the substantive fairness test under Art. 3(1) (examination of terms through the prism of the notions of good faith and significant imbalance in the parties’ rights and obligations to the detriment of the consumer).

The question of compensation of loss of a chance is relatively rarely debated in the Polish doctrine of the law of tort. One reason for such a state of affairs may be the virtually unanimous opinion of both courts and academic comment-ators with regard to the permissibility of granting damages for loss of a chance of obtaining a benefit – loss of a chance, traditionally defined as potential harm, does not give rise to damages and falls beyond the scope of Article 361 § 2 of the Polish Civil Code. The paper attempts to show, by reference to the latest experiences of common law jurisdictions, that there exist rational bases for an extension of the notion of harm so that it encompasses loss of a chance where a potential acquisition of a benefit is contingent upon an action of a third party or force majeure, on which the victim has no bearing, subject to the caveat that the victim put an effort into generating the chance in question. In the course of the analysis an attempt will be made to demonstrate, with reference to a selec-tion of factual scenarios considered by Polish courts, that it would be possible to achieve fairer results (whilst avoiding placing unfair compensatory burdens upon the other party) to recognize liability for loss of a chance where the victim put a significant effort into making the chance viable, material, and where, based on ordinary life experience, materialization of such a chance may be considered a natural course of events.

It is trite law and a common cliché reiterated in the judgments of the Court of Justice of the European Union that the economic situation of a consumer subjected to a purportedly unfair consumer contract clause is generally impertinent. This general tenet of the European regulation of unfair terms in consumer contractsis borne out particularly by Article 4(2) of Council Directive 93/13/EEC of 5 April 1993 on unfair terms in consumer contracts, under which assessment of the unfair nature of a term shall not encompass an inquiry into the adequacy of the price and remuneration, on the one hand, as against the services or goodssupplies in exchange, on the other, in so far as these terms are in plain intelligible language. Despite this seemingly bold orientation towards the formal side of the unfairness assessment, efforts have been made to inject into the judicial exercise of discretion a degree of consideration of the economic standing and interests of both the consumer and the trader involved in the particular dispute at hand. This has been done primarily by reference to the “significant imbalance” requirement pursuant to Article 3(1) of the Directive. The paper reviews an extensive crosssection of judgments handed down in Polish courts based upon the Polish transposition of the Unfair Terms Directive to show that the courts have on numerous occasions ventured outside the boundaries delineated by traditional legal analysis (even beyond the flexible bounds of purposive interpretation) to scrutinize the size and gravity of the economic burden the term under scrutiny is liable to impose upon the consumer relative to its economic strength on the market.

The recent development of internal combustion engines (ICE) goes towards the meeting of increasingly stringent requirements imposed to reduce toxic exhaust emissions and fuel consumption and thus to strive for carbon dioxide abatement and against depletion of global natural resources. The research on engines fueled by water-hydrocarbons emulsions has already a long tradition. So far, tests were based on emulsions obtained in chemical reactions. In this paper, similar analysis results have been presented, but the water-fuel emulsions used for the tests were obtained with making use of the cavitation effect. For this reason a unique cavitator was developed, which was then used to produce water-hydrocarbons emulsions of common, mineral and synthetic diesel fuel. Both of these fuels as well as their water emulsions with 20% water content by volume, were used for tests. The ESC (European Stationary Cycle) test conditions were determined and the engine was tested on engine dynamometer in accordance with the predetermined ESC test conditions. During the tests, under close scrutiny, engine emission and fuel consumption levels were measured. The tests it be more time repeat (with every liquid to engine fueling was 34 times) to achieve the statistical assessment of the results. By the use of emulsions was found to result in a significant reduction in the consumption of diesel fuels. This result is statistically significant.
Rozwój silników spalinowych podażą w kierunku spełnienia coraz bardziej rygorystycznych wymogów narzucanych w celu zmniejszenia emisji toksycznych składników spalin i zużycia paliwa, a tym samym do redukcji emisji dwutlenku węgla i zapobieżeniu wyczerpywania się globalnych zasobów naturalnych. Badania silników zasilanych emulsjami wodno-węglowodorowymi mają już długą tradycję. Dotychczas testy były oparte na emulsjach otrzymywanych poprzez dodawanie związków chemicznych. W niniejszym artykule przedstawiono wyniki badań, w których emulsje uzyskano przy wykorzystaniu zjawiska kawitacji. Z tego powodu opracowano unikatowy kawitator, który był następnie wykorzystywany do produkcji emulsji wodno-węglowodorowych zwykłego, mineralnego oraz syntetycznego oleju napędowego. Oba te paliwa, a także ich emulsje wodne o 20% zawartości wody objętościowo, zostały użyte do testów ESC (Europejskiego Cyklu Stacjonarnego). Określono warunki badania wg ESC i przetestowano silnik na hamowni zgodnie z tymi warunkami. Podczas testów zmierzono poziom emisji i zużycia paliwa. Przy każdym rodzaju paliwa testy powtarzano 34 krotnie aby uzyskać statystyczną ocenę wyników. Stwierdzono, że zastosowanie emulsji powoduje znaczne zmniejszenie zużycia olejów napędowych. Wynik ten jest statystycznie istotny.
