While Bulgarian scholars concur that Bulgaria’s Law of Obligations and Contracts, which was enacted in 1950 and which is still in force today following cosmetic changes in the early 1990s, is an original Bulgarian legal text, archival and comparative research shows that it is heavily based on the Italian Codice Civile of 1942. Why would a communist country seek inspiration in a country with a Fascist ideology? Exploring the reasons behind this legislative choice as well as the reasons why this ‘dark’ secret was buried for so long challenges traditional taxonomies of comparative law, reveals the peculiar patterns of legal change, including the key role of the legal scholar in the process, and demonstrates the power of comparative law in shattering myths in legal history.

The verdict of the Supreme Court of 11 October 2013 (fi le I CSK 697/12) and the decision of the Constitutional Tribunal of 25 June 2015 (fi le SK 32/14) are discussed and their signifi cance for the understanding of punitive damages analysed. The main problem discussed in this paper is the question whether there is room under Polish law for punitive damages modelled a common law system and whether the adoption of this solution could possibly infl uence the basic premises constituting the liability for damages already adopted. The main focus has been put on the argumentation of the Supreme Court presented in its verdict regarding the possibility of enforcing by Polish courts a judgment in which a foreign court awarded punitive damages, and the arguments of the Constitutional Tribunal regarding the constitutionality of a legal provision establishing a possibility of fl at-rate damages, being awarded and increased in the event of the determination of guilt by the breaching party. Certain detailed provisions that are contradictory from the point of view of the fundamental assumptions underlying the liability for damages in Polish law and the laws of most European legal systems (and the German system in particular) are also examined. Further, a synthetic analysis of the positive and negative aspects of punitive damages identifi ed by other researchers is presented. This is followed by a mention of other institutions available under Polish law which may constitute an alternative to punitive damages, at least when it comes to the provision of an adequate preventive and punitive measure in the event of gross or culpable damage.

The paper aims to present retrospectively the proposals on interpretation of contracts prepared during work of the Codification Commission of the Republic of Poland that preceded the enactment of the code of obligations of 1933. It is thereby an opportunity not only to illustrate in outline the process of defining the conclusive version of the code rules on contractual interpretation but also to point out the most significant issues determining the selection of appropriate legislative solutions in the field of interpretation. Due to the quality of the Polish code of obligations, commonly regarded as a remarkable legislative achievement, such retrospective scrutiny can constitute an important point of reference, especially in view of the contemporary attempts to create an adequate structure of interpretative rules within the ongoing recodification process undertaken by the Civil Law Codification Commission at the Ministry of Justice that has brought forward a draft of volume I of the new civil code (2008). It has already undergone a thorough revision and currently is set to be published in a modified version. The development seems particularly important in view of the fact that the general model of interpretation introduced in the code of obligations was – in principle, to some extent – adopted in the civil code now in force. Additionally, the questions examined in the article can be conceptualised in a broader context of the current debate focused on the issues of decodification and europeanisation of private law.

This article deals with the issue of securing the performance of the content of an administrative-legal relationship. The purpose of the discussion is to indicate what measures are provided for in the normative acts, as well as what measures are postulated in the doctrine. The article discusses the differences and similarities between the legal means of securing the performance of public-law obligations, as well as recognizing the basic problems that can be encountered when using these instruments and when assessing their effectiveness and efficiency. Administration is faced with a huge number of tasks. They are carried out in various legal forms, often there are imperative forms. The effect of the administra-tion’s actions are then orders and prohibitions of specific behavior addressed to those administrated. They result from administrative acts or normative acts. The state implements its goals and tasks primarily by means of administrative and legal orders and prohibitions, in order for them to be really effective, they must be secured by coercion or sanctions. In public law, the application of legal regulations results from the will of the competent state authorities, and the addressees of the actions of these entities cannot protect themselves from the consequences (consequences) of their adoption or violation. The multiplicity of these instruments is not an obstacle to achieving the goal of safeguarding compliance with administrative law; on the contrary, their richness makes the system more flexible and facilitates the choice of the best measure to se-cure the norm, and on the other hand, to be proportionate and fair in its application. The analysis of the legal problems is preceded by an explanation of the key terms: “administrative-legal relationship”, “administrative sanction” and “administrative lia-bility”, which allow the purpose and functions of individual legal instruments to be described. The article also discusses the objectives of administrative enforcement and administrative sanctions, as well as the problem of compliance of administrative sanctions with the Constitution of the Republic of Poland and international acts.

The article discusses the problem of evolution and the premises used in applying the English concept known as promissory estoppel. The birth of this legal concept has been discussed on the example of the most important court cases, the so called leading cases, such as, among others, that of High Trees (1947) and Combe v. Combe (1951), in which it was lord Denning who adjudicated. In the article, the author also analyzes the general principles of invoking promissory estoppel. He indicates that in the course of a court trial it is necessary to prove the existence of a promise, on the basis of which the person who was promised something, while acting in accordance with the common sense, decided to withdraw and by undertaking certain definite steps ultimately suffered a loss, whereas withdrawal on the part of the person making a promise would be unjustified. The author of the paper made an effort to try to answer the question whether the abuse of right clause mentioned in Art. 5 of the Civil Code may be regarded as the Polish equivalent of promissory estoppel.

Clear normative grounds for the information obligation are visible in the Directive (EU) 2016/97 of the European Parliament and of the Council of 20 January 2016 on insurance distribution (hereinafter: IDD). One of the challenges before insurance law is to answer the question whether and how one should sanction violations of disclosure obligations resulting in the absence of the desired insurance protection. In this aspect important legal problem is law applicable to the assessment of liability for violation of disclosure obligations by the insurer. The second important problem is law applicable to the assessment of liability for violation of disclosure obligations by third parties vis-a-vis the insurer. Some remarks concerning jurisdiction in matters relating to the loss of chance to become insured, have different practical implications.

The obligation of residence is the obligation to reside in a specific territory on a permanent basis in connection with holding an ecclesiastical office. The delict of violation of the obligation of residence is penalized under can. 1396 of the 1983 Code of Canon Law and is strictly linked to the entrusted ecclesiastical office such as: cardinals holding specific offices in the Roman Curia, diocesan bishop, coadjutor bishop, auxiliary bishop, diocesan administrator, pastor, parochial administrator and a group of clerics administering the parish in solidum, parochial vicar. Violation of the obligation of residence is subject to a mandatory penalty. The gravest penalty provided for by the ecclesiastical legislator is the privation of ecclesiastical office.

The subject of the study is the issue of freedom of construction, shown against the background of obligations relating to the maintenance of buildings. The source of building freedom is the constitutional principle of property protection, which provides the owner with protection against unlawful infringement of his rights and excessive power of public administration bodies. However, the exercise of building freedom does not mean complete freedom in the use of the building structure, because it has its limits outlined in the implementation of the values indicated in the Constitution of the Republic of Poland. The Code of Canon Law of 1983 came up with a list of obligations and duties of the Catholic faithful. This list is analogical to those of the charters of fundamental rights and freedoms found in the documents of international law and in the constitutions of democratic countries. the inspiration of church law by civilian law was a reality from the very beginnings of the development of Canon Law: first by Roman Law, in the modern world by complex codifications of civil law, and after Vatican II also the idea of universal human rights. The specifics of the Catholic Church in relation to a democratic state is the incorporation of the subject of law into the Church through baptism which brings, above all, duties and obligations. Thus the catalogue which may now be seen in the Code contains first and foremost a list of duties, not rights, which are not stressed in the modern state. In fact, the modern state has very few demands; often just the payment of taxes and compulsory school attendance. The article deals with the individual obligations and rights found in the Code of Canon Law and compares them with their analogies in constitutions. The concept of civil and canonical norms tends to get closer primarily in the case of inspiration by natural law, whereas the obligations of the faithful represent a specifically ecclesiastical goals, for which no analogy in civil law can be found. After all, the supreme law of the Church is the salvation of souls, indeed, the state does not have such a supernatural goal.
Il Codice di Diritto Canonico del 1983 ha introdotto un elenco di doveri e diritti dei fedeli laici. È analogo agli elenchi caratteristici dei diritti e delle libertà fondamentali contenuti nei documenti di diritto internazionale e nelle costituzioni dei paesi democratici. L’ispirazione della Chiesa al diritto civile è stata una realtà sin dall’inizio del diritto canonico: prima attraverso il diritto romano, poi, nel mondo moderno, attraverso complesse codificazioni del diritto civile, e dopo il Concilio Vaticano II, attraverso le idee dei diritti umani universali. Una caratteristica specifica della Chiesa cattolica rispetto a uno Stato democratico è l’incorporazione del soggetto di diritto nella Chiesa attraverso il battesimo, ciò che porta con sé tutti i diritti e gli obblighi. In questo modo, il catalogo dei diritti e degli obblighi, che ora esiste nel codice, include principalmente un elenco di questi ultimi. I diritti sono invece messi in evidenza dallo Stato moderno. In effetti, lo Stato moderno impone pochi obblighi ai suoi cittadini; spesso si tratta solo di pagare le tasse e di obbedire alla costrizione dell’istruzione obbligatoria. Il presente articolo tratta dei singoli obblighi e diritti contenuti nel Codice di Diritto Canonico e li confronta con i corrispondenti obblighi e diritti contenuti nelle costituzioni. Il concetto di norme civili e canoniche è simile, soprattutto se ispirato alla legge naturale. I doveri dei fedeli, invece, rappresentano fini ecclesiastici specifici, e in questo caso è difficile stabilire un’analogia con il diritto civile. Soprattutto, la legge suprema della Chiesa è la salvezza delle anime, e lo Stato non ha un obiettivo così soprannaturale.
Le Code de droit canonique de 1983 a dressé une liste de devoirs et de droits propres aux fidèles laïcs. Elle est analogue aux listes de droits et libertés fondamentaux contenus dans les documents de droit international et dans les constitutions des pays démocratiques. Le fait que l’Église se soit inspirée du droit civil est une réalité qui remonte aux origines du droit canonique : tout d’abord à travers le droit romain, puis, dans le monde moderne, à travers des codifications complexes du droit civil, et après le Concile Vatican II, à travers les idées de droits humains universels. Une caractéristique spécifique de l’Église catholique par rapport à l’État démocratique est l’incorporation du sujet de droit dans l’Église par le baptême, qui entraîne tous un ensemble de droits et obligations. De cette manière, ce catalogue des droits et obligations qui existe désormais dans le code comprend principalement la liste de ces dernières. Ce sont au contraire les droits qui sont mis en évidence par l’État moderne. En fait, l’État moderne impose peu d’obligations à ses citoyens; souvent, il ne s’agit que de payer ses impôts et de suivre l’enseignement obligatoire. L’article traite des obligations et droits individuels contenus dans le Code du droit canon et les compare aux obligations et droits correspondants contenus dans les constitutions. Les concepts de normes civiles et de normes canoniques sont comparables, notamment parce que toutes deux s’inspirent du droit naturel. Les devoirs des fidèles, en revanche, représentent un objectif spécifique de l’Église et, dans ce cas, il est difficile d’établir une analogie avec le droit civil. Par-dessus tout, la loi majeure de l’Église reste le salut des âmes, alors que l’État ne poursuit pas un but surnaturel de ce type.

The concept of legal relationship is a tool that lawyers use to describe the legal situation in which entities find themselves due to applicable legal norms. It is therefore a tool for practical analysis of legal norms. The concept of a legal relationship and other legal concepts related to it are used by a lawyer to determine what rights and obligations a particular entity has in a given legal system in relation to the situation of another entity. In other words, it serves to describe the interdependence of the legal situation of entities due to applicable legal norms. Analysis of the legal relationship and related concepts are also useful for researching the behavior of some entities towards others due to applicable legal norms. The concept of legal relationship and the concepts associated with it are therefore a tool for analyzing law in action, thanks to which it is possible to solve a number of legal problems arising in the practice of applying law. It is important for those branches of law in which there are correlations between legal situations of entities of these branches of law. Therefore, it is also important for the tax law and tax research, in which there are relations between the state and taxpayers and other entities of tax law. Although from the most general point of view the structure of the legal relationship may seem to be very similar, however, legal relations in particular branches of law have their own characteristics. This diversity results from the fact that the content of elements determining specific legal relations in these branches of law is different, such as: the subject of the law, facts causing the creation and termination of the legal relationship as well as the content of the rights and obligations of the parties to this relationship. Research on these elements of the legal relationship allows to achieve specific theoretical and practical goals. Due to the fact that they are embedded in applicable law, they allow to build a model of legal relationship, which becomes a tool for practical analysis of applicable law. Secondly, their study allows to deepen knowledge of the characteristics of individual elements of this relationship, such as the subjects of this right. Thanks to this, it is possible to decide what features an entity should have to be able to become the owner of the rights or obligations of a given branch of law, including tax law. The structure of subjectivity in this branch of law is significantly different from the legal subjectivity of civil law. They also allow to catch the relationships between individual rights and individual rights and obligations regulated in a given branch of law. Finally, they allow to understand the premises that give rise to the rights and obligations incumbent on the subjects of a given branch of law. This in turn allows for an in-depth analysis of the tax law norms themselves, as well as views on individual institutions of this law and their critical analysis, as well as a critical analysis of the views of case law on these legal institutions. In the field of tax law science of various countries, models of a tax law relationship have been already created, which allow ordering and analysis of tax law norms. However, many other countries as the Polish tax law science did not pay much attention to this issue of tax law. Therefore, in many countries the most general model of tax law relationship created by the theory of law is used. The same has happened in Polish tax law science. However, this is an insufficient model, as it requires taking into account the state of tax legislation and the specifics of its regulations. Hence, considerations of tax law doctrine’s sometimes lack consistency due to the lack of an appropriate research tool in the form of a tax law relationship model. They also often conflict with each other, because the starting points for the analyses are different. Therefore, further research on tax law relationship is necessary in this field. This paper presents the assumptions concerning scientific research on developing the concept of a tax law relationship.

The development of new information and communication technologies affects economic development. E-services, along with the accompanying social changes, are being implemented in almost every area of human life, and the development of information and communication technologies makes it possible to employ a number of new instruments in its various spheres (e-banking, e-commerce, e-education, etc.). Currently, the information space in the context of the provision and use of e-services includes consumers and entrepreneurs although it assigns them different rights and obligations in this area. It seems necessary to assess the impact of the implementation by entrepreneurs of obligations related to the provision of e-services and their impact on the economy and on consumer safety in online trade. Legal changes concerning the obligations imposed on entrepreneurs in that field appear periodically in response to new threats related to dynamic technological development. The publication is devoted to an analysis of the provision of on-line services and an assessment of the law, in particular with regard to fulfilling information obligations with respect to consumers in cyberspace.

Streszczenie: W artykule wskazuje się, że przesłankami zastosowania zasady z art. 52 § 1 pkt 1 k.p. są zachodzące wspólnie bezprawność działania, zagrożenie interesów pracodawcy i zawinienie co najmniej w stopniu rażącego niedbalstwa. Zasadnym jest, aby ocenę stopnia i rodzaju winy pracownika zastosować nie tylko do naruszenia samego obowiązku pracowniczego, ale również do zagrożenia lub naruszenia interesów pracodawcy1. Warto wskazać jednocześnie, że o stopniu i rodzaju winy pracownika, uzasadniającym rozwiązanie umowy o pracę bez wypowiedzenia w trybie art. 52, nie rozstrzyga wysokość szkody wyrządzonej pracodawcy2. Reasumując, dla stwierdzenia bezzasadności rozwiązania umowy o pracę w trybie art. 52 § 1 pkt 1 k.p. wystarcza brak chociażby jednej z przesłanek zastosowania tego przepisu3.Słowa kluczowe: umowa, wina, obowiązek pracowniczy, zwolnienie dyscyplinarne, niedbalstwo.Summary: In the article it is indicated that the conditions for the application of the rule from art. 52 § 1 pt 1 of Labor Code are overlapping: common lawlessness, a threat to the interests of the employer and a fault of at least gross negligence. It is essential that the assessment of the degree and kind of fault of the employee apply not only to the breach of the employee's own obligation but also to the threat or infringement of the employer’s interests. At the same time, it is worth pointing out that the degree and type of fault of the employee, justifying the termination of the employment contract without notice under art. 52, is not determined based on the amount of harm caused to the employer. In conclusion, to declare unreasonable termination of employment contract under art. 52 § 1 pt 1 of Labor Code, lack of just one of the conditions for the application of this provision is sufficient.Keywords: contract, fault, employee obligation, disciplinary dismissal, negligence.

W artykule przedstawiono zbiorczą analizę przepisów Kodeksu zobowiązań jaka została dokonana w licznych artykułach opublikowanych w latach 1934-1939 na łamach poznańskiego czasopisma prawniczego – ,,Ruchu Prawniczego, Ekonomicznego i Socjologicznego”. Autorzy zbadali artykuły takich prawniczych sław jak prof. Roman Longchamps de Berier, prof. Alfred Ohanowicz czy prof. Marceli Chlamtacz. Opracowanie przedstawia również toczące się na łamach pisma dyskusje na temat sposobu wykładni kontrowersyjnych przepisów Kodeksu zobowiązań, które wskazują na wielowątkowość opisów i ocen tego aktu normatywnego. Przeprowadzone badania pozwalają poszerzyć wiedzę o odbiorze Kodeksu zobowiązań przez środowisko naukowe i prawników-praktyków.
The paper presents evaluations and the analyses of the provisions of the Code of Obligations in the articles published in the years 1934-1939 in Poznań legal journal - “Journal of Law, Economic and Sociology”. The authors analyze the articles of such renowned personalities as Professor Roman Longchamps de Berier, Professor Alfred Ohanowicz and Professor Marceli Chlamtacz. The thesis describes also the discussions held in the journal considering the interpretation of controversial provisions of the Code of Obligations. The article presents an overview of multithreaded descriptions and assessments of the normative act. The conducted study allows for expanding knowledge about the acceptance of the Code of Obligations by the academic community and practicing lawyers.

The conscience clause, sometimes also referred to as the right to conscientious objection, is based on the possibility of refusing to comply with a binding legal norm due to its non-conformity with the indications of conscience of the person who invokes its content. Commonly derived, especially in Poland, from Article 53 of the Constitution of the Republic of Poland, this clause initially applied to physicians’ actions. It was also suggested that this clause could form the basis for conscientious objection to an abortion procedure. Drawing on Article 10(2) of the Charter of Fundamental Rights of the European Union, and emphasising the differences in the wording of this provision in different language versions, the article argues that such interpretation of the conscience clause is too narrow and poor. Attention is drawn to the amendments made to the wording of Article 10(2) of the Press Law, where the legislator replaced the journalist’s obligation to follow the editorial policy with the right to refuse to carry out an official order if the journalist believed that they were expected to publish a material that would violate the principles of reliability, objectivity and professional diligence. This solution undoubtedly constitutes the approval of the broadly understood conscience clause explicitly formulated in the Charter of Fundamental Rights of the European Union. The content of Article 10(2) of the EU Charter of Fundamental Rights allows for conscientious objection to apply to actions of the representatives across all professions.
