The article presents a synthetic approach to the history of Belgian commercial law. The author starts with the regulations of Roman law and leads us from the beginnings of civil law in the times of the Roman Republic, describing the role of aediles and praetors, to the times of the Roman Empire. A significant part is dedicated to the grain trade and searches – not always successfully – for a self-contained commercial law. A separate analysis of the Roman banking practices includes a discussion of cheques and accounting. The fall of the Western Roman Empire brought changes in trade in the Mediterranean region. The description of the Middle Ages includes a series of causal factors that contributed to the development of commercial law in Western Europe and that were related to the Roman tradition (for example the development of canon law and the Church itself as an institution, as well as the development of universities). It also contains the analysis of organisational elements of commercial law that mainly pertain to Italy, which at that time had a leading role. Attention is also devoted to the development of the notarial profession and the bill of exchange. In the 11th century, cities and, by consequence, autonomous and trade-oriented systems of city rights began to gain importance. This evolution which started on the Apennine Peninsula later also took place in the north of Europe, including in the German maritime cities, and eventually brought organisational changes and led to the establishment of the Hanseatic League. Legal regulations embraced, inter alia, the maritime trade. When the first annual fairs were organised, improved safety and decreased toll rates furthered the development of towns situated on trade routes. Changes in the socioeconomic structure and the fall of Constantinople influenced the progressive standardisation of commercial law in different countries. The Greeks brought to the West not only their money and wealth but also their law. In the modern era, the first companies with legal personality appeared. The origins of contemporary Belgian commercial law are without a doubt connected with French law. The French rulers’ protectionist policies, which were characterised by a strong interference in laws regulating trade, were included in the ordinance of 1673, the main drafter of which was Savary, and the ordinance of 1681. Such actions resulted in traders developing their own judicial bodies. The next stage that was important for contemporary Belgian law was the issuing of the Napoleonic Code de Commerce of 1807. The French law was implemented in the parts of the Netherlands conquered by Napoleon. Commercial law courts after the French model were established and were staffed not by professional judges but by entrepreneurs. When the Belgians gained independence in 1830, one of their goals was to implement a new commercial code. In the end, however, they chose a different path – a comprehensive revision of the existing law that continued throughout the following decades. In that process Belgian commercial law was complemented with, among other things, private companies. The changes to the legal code in the 20th century resulted mainly from the developments in international law (e.g. the acceptance of conventions concerning promissory notes) as well as European law. In 1999 company law was transferred from the Code de Commerce to the Companies Code. The French commercial court system was adopted after the Belgian Independence, but during the last two hundred years the organisation of these courts was changed. Although some argue that there is a need for reform and for the removal of non-professional judges, the author of this paper is of the opinion that lay judges are efficient.

Opis:
Commercial law (private economic law) is, in accordance with the principle of unity, the area which is a part of the branch of civil law. In the light of the above, what is applicable within commercial law are both the branch principles of civil law and the principles of the branch of commercial law which supplement, or modify the branch principles. The principles of commercial law shall be regarded as expressing the values, objectives and functions that are fundamental to this area. The inventory of commercial law principles should include the following principles: economic freedom, the turnover ratio, safety and security of business transactions, equal opportunities in entrepreneurship, professionalism, economic risk, respect for consumers’ rights and commercial honesty. The principle of commercial honesty involves the obligation to respect good commercial practices. The scope of this principle is broad, established by a general clause, and thus its content scope is shaped by non-systemic values. In any case, the essence of the concept of ‘good practice’ is the broadly understood respect for another human being. Commercial honesty (honesty of merchants) should apply to the whole of their activities, both in internal and external relations. The principle of commercial honesty can be treated as a special supplement of the principle of equity in the area of commercial law, due to the specific nature of the legal relations it refers to. It remains in relation to other principles of commercial law. Its breach results primarily in civil law sanctions.
Prawo handlowe (prywatne prawo gospodarcze) stanowi, zgodnie z zasadą jedności, dziedzinę będącą częścią gałęzi prawa cywilnego. W związku z powyższym w obrębie prawa handlowego znajdują zastosowanie zarówno zasady gałęziowe prawa cywilnego, jak i zasady dziedziny prawa handlowego, które stanowią rozwinięcie, ewentualnie są modyfikacjami zasad gałęziowych. Zasady prawa handlowego są uznawane za wyrażające podstawowe dla tej dziedziny wartości, cele i funkcje. Ich katalog powinien zawierać następujące zasady: wolności gospodarczej, szybkości obrotu, pewności i bezpieczeństwa obrotu gospodarczego, równości przedsiębiorców, profesjonalizmu, ponoszenia ryzyka gospodarczego, poszanowania praw konsumentów, uczciwości kupieckiej. Zasada uczciwości kupieckiej oznacza obowiązek respektowania dobrych obyczajów w obrocie gospodarczym. Zakres tej zasady jest szeroki, wyznaczony przez klauzulę generalną, a tym samym jej zakres treściowy kształtują wartości pozasystemowe. W każdym przypadku istotą pojęcia "dobre obyczaje" jest szeroko rozumiany szacunek dla drugiego człowieka. Uczciwość przedsiębiorcy (uczciwość kupiecką) należy odnieść do całokształtu jego działalności, w stosunkach zewnętrznych oraz wewnętrznych. Zasada uczciwości kupieckiej może być traktowana jako szczególne rozwinięcie zasady słuszności na gruncie prawa handlowego ze względu na specyfikę stosunków prawnych, do których się odnosi. Pozostaje ona w związku z pozostałymi zasadami prawa handlowego. Jej naruszenie wywołuje przede wszystkim sankcje cywilnoprawne.

Law No. 9901/2008 on “Entrepreneurs and Commercial Companies”, marked a milestone in the reform of the commercial law in Albanian. Among other novelties, the Law introduced a new approach in regard to the employees and their participation in co determination. Actually, the involvement of the employees were not that unfamiliar in the former Albanian Commercial Legislation thought the social responsibility was. The Law brought in a new approach which was widely inspired from the EU Law, by establishing the Council of the Employees for any commercial company having more than 50 employees. It is true that unlike the trade unions, it is the company that bears the costs of the establishment and functioning of these councils, but besides the costs, it would mean to grant importance to the employees, as stakeholders of the corporate, by being part of the decision making process with regard to the use of special funds or actives of the company or to the allocation of the divided that the General Assembly resolves to allocate to the employees. This article will explore the legal provisions of the Law in regard to the Council of the Employees, its establishment, functioning and entitlement and how these provisions are enforced in practice from the companies in Albania.

The aim of the article is to show the problems connected with the institution of cohabi- tation in Polish commercial law. Cohabitation does not directly occur in the regulations. However, this does not mean that it does not occur in the operation of commercial com- panies. Commercial law serves the implementation of projects by individuals. Natural persons choose the type and size of these projects without restraint. The institution of cohabitation is an expression of the freedom involved. Cohabitants, like spouses, can pursue an economic activity, regardless of its organizational and legal form. It also me- ans that cohabitation is an institution that allows to circumvent the limitations which are addressed to spouses and connected with commercial law. This situation is possible, since this is an informal relationship and is not subject to any records.

The modernisation of Turkish commercial law is a process which has been continuing for 170 years and constitutes an important part of the modernisation process of the Turkish law system. The modernisation process of the Turkish commercial law which started in 1850 by Kanunname-i Ticaret (Codex of Commerce) has continued after the establishment of the Republic of Turkey in 1923, by Code of Commerce numbered 865 in 1926, Turkish Code of Commerce numbered 6762 in 1956, and lastly Turkish Code of Commerce numbered 6102 in 2011. This long process has just one clear purpose: modernisation. Although this process can only be perceived as being Westernised or Europeanised, this perception is incorrect. In fact, at the core of this process, the aim is to rise to the level of developed civilisations and to adapt to the developed modern legal systems.

The Polish legislator introduced a series of mechanisms limiting the possibility of turnover of agricultural real estate. The rule has been adopted that only an individual farmer may be the acquirer of farming land, which excludes e.g. a commercial law company. The Agricultural Property Agency has been equipped with several competences enabling it considerable interference with the agricultural real estate turnover. The amendment to the Act on the Formation of Agricultural System, binding since 30 April 2016, has introduced several limitations in the acquisition of agricultural real estate by companies governed by commercial law. The acquisition of agricultural real estate with the consent of the President of the Agricultural Property Agency is the only option for legal persons to acquire agricultural real estate. In practice, the above regulations considerably hinder the conduct of agricultural activities by commercial law companies. The principle of the freedom of agricultural activities entails the choice of the form of conducting of such activities. The analysed regulations do not give such freedom. The introduction of a farm company, i.e. the subject whose main activity would be of an agricultural character and which could be treated like an individual farmer, into the Polish, law might constitute a be a good solution to this problem.
Polski ustawodawca wprowadził szereg mechanizmów ograniczających obrót nieruchomościami rolnymi. Wprowadzono zasadę, że tylko rolnik indywidualny może nabyć grunty rolne, co wyłącza możliwość ich nabycia m.in. przez spółki prawa handlowego. Agencja Nieruchomości Rolnych została wyposażona w szereg kompetencji pozwalających na znaczący wpływ na obrót gruntami rolnymi. Nowelizacja ustawy o kształtowaniu ustroju rolnego obowiązująca od 30 kwietnia 2016 r. wprowadziła szereg ograniczeń w nabywaniu nieruchomości rolnych przez spółki prawa handlowego. Nabycie nieruchomości rolnej za zgodą Prezesa ANR jest jedynym sposobem na uzyskanie własności nieruchomości rolnej przez osoby prawne. Powyższe regulacje w praktyce znacznie utrudniają prowadzenie działalności rolniczej przez spółki prawa handlowego. Zasada wolności działalności gospodarczej oznacza m.in. wybór formy, w jakiej można taką działalność podejmować. Kształt analizowanych przepisów takiej wolności nie daje. Być może właściwym rozwiązaniem byłoby wprowadzenie do prawa polskiego spółki rolnej, a więc podmiotu, którego głównym rodzajem działalności byłaby działalność rolnicza i który mógłby być traktowany na równi z rolnikiem indywidualnym.

Autor w artykule analizuje zagadnienie problemu wykorzystywania prawa porównawczego przez sędziów orzekających w sprawach cywilnych i handlowych. Założeniem wyjściowym dla analizy jest fakt, że odwołania do prawa obcego przez sędziów krajowych występują bardzo rzadko. Zdarzają się one czasem w prawie publicznym, ale nie istnieją niemalże w ogóle w prawie prywatnym. Autor stawia tezę zakładającą, że stosowanie przez sędziów prawa porównawczego przy orzekaniu w sprawach cywilnych i handlowych powinno stać się regułą. Tezę tę uzasadniono, używając dwóch argumentów. Po pierwsze, autor przedstawia zalety, jakie niesie ze sobą wykorzystywanie prawa porównawczego w orzecznictwie cywilnym oraz możliwości jakie przedstawia w kontekście coraz dalej idącego ujednolicania systemów prawnych. Po drugie, autor daje uzasadnienie prawne powoływania się przez sądy krajowe na prawo zagraniczne i wyjaśnia, dlaczego taka praktyka jest dopuszczalna de lege lata oraz jak można by ją rozpowszechnić de lege ferenda.

Opis:
The relationship between Turkey and the European Union began in 1959 with Turkey's application for membership. This relationship has survived to this day and in this process negotiations for membership have been frozen. This process contributed directly to Turkish law. This contribution has become more significant, especially since 1999. Turkish Code of Commerce entered into force in 2012, is recognized as a result of Turkey's EU process. By this Code, it is aimed to ensure harmonization between Turkish Commercial Law and EU legislation. For this reason, regulations in the sense of reform were included in TCC. However, the Code has been amended for a total of eighteen times. Sixteen times after the coming into force, two times even before coming into force. More than three hundred articles have been directly affected by these changes. The principles foreseen in the Code have been abandoned because of adopting a populist approach. This situation is accepted as a failure and disappointment for the TCC codification experience.
