In our article we present the use of hybrid securities in the privatization process. We show that exchangeable bonds may be successfully applied during privatization of state companies throughout the world. It may be profitable for many reasons. Firstly, the exchangeables offer a much lower coupon in comparison with the ordinary government bonds which may be crucial for highly indebted countries. Secondly, throughout the entire maturity period the state remains the owner of the privatized firm which means that the government can be a beneficiary of high dividends paid by the public enterprises and can actively manage them. Thirdly, in the case of unfavorable market conditions the authorities get an opportunity to wait for the end of economic turmoil in order to avoid selling the equity participations under their true value. Finally, the issue of certain types of exchangeables (e.g. callable exchangeables or mandatory exchangeables) and adding several provisions (e.g. greenshoe option or clean-up call) makes the instrument more flexible for the issuer. We also present a few examples of the privatization processes by means of exchangeable bonds i.a. in Germany and in Austria. Most of such operations, e.g. German Deutsche Post, Austrian Telekom Austria or Portuguese Galp Energia SGPS S.A. were completed with success.

The aim of this paper is to analyse the process of privatization in Poland.We reflect on the winners and the losers of transformation processes as such, but also of their particular elements which are directly connected with privatization. Privatization in Poland started in the 80s. and is still continuing. From the very beginning privatization was viewed, by liberal governments in Poland, as the key issue in the process of political system transformation, market reforms and implementing economic freedom. Although 60% of Polish citizens agree that capitalist economy basing on private entrepreneurship is the best system for our country, many Polish citizens still represent rather critical approach to market economy because the process of privatization in Poland has been connected with two negative factors: unemployment and corruption. Yet Polish people start to accept new reality seeing advantages of capitalist aspects over socialist ones.

The article identifies the main features of the PSMCs’ involvement in counterterrorism operations and outlines what their future involvement might look like with its implications for international peace and security. The main methods used to gather data and to draw inferences are a content analysis of relevant primary and secondary sources, and a discourse analysis, used as a method of examining the prevailing discourse surrounding the activities of PSMCs, seeking to understand the level of transparency, accountability and attributability of these actors. So far, the PSMCs’ potential for counterterrorism has not been fully exploited. There are many challenges surrounding the existence and operations of PSMCs, mainly lack of transparency and accountability, the continuous significance of the plausible deniability and political expediency PSMCs provide to nation governments, and an insufficient and inadequate international regulatory and control framework with no sanction or enforcement mechanisms. Most recently, the tendency to re-legitimise PSMCs’ activities can be identified. There will most probably be an expansion of PSMCs’ activities in the near future, as climate change consolidates security as a commodity, not a right. Therefore, there is a renewed urgency for adequate and effective international regulatory and control mechanisms on their activities on the international level.

The author of the article makes the research hypothesis that the local governments should join the restructuration programs of the municipal companies with more engagement because there are too less changes which would allow more efficient, cheaper and more competitive their management. Privatization is one of the restructuration methods recommended by the local governments which already have executed it. These are the actions which many local governments needlessly refrain and postpone them in time being afraid of sizes and scale of the changes in a company after their implementation. The local communities lose on such proceeding as they are forced to use expensive low-quality services. The purpose of the article is evaluation whether the change of the organisational and legal form from the budget unit to the limited liability company is effective. There will be used analysis of literature studies and source data concerning the Municipal Sports and Recreation Centre limited liability company in Radom to solve the created research problem. Results of the conducted research were included in the summary in points from 1 to 9, which prove that the assumed research?s goal in the article?s introduction has been achieved.

Water resources are essential for sustaining life forms, food production, socio-economic development, and for general well-being. Water is intrinsically linked with several perspectives of human rights like right to life, right to food, right to self-determination, right to adequate standard of living, right to housing, right to education, right to health, right to take part in cultural life, right to suitable working conditions etc. Yet, human rights to water remains imperfectly defined. Global water consumption is doubling every 20 years, more than twice the rate of human population growth. The growth in water consumption is highest in the agricultural and industrial areas, where the resources to buy water are readily available with rich farmers and industrialists. Potential human right issues can arise from lack of safe water. Construction of dams can lead to ecosystem imbalances and degradation of the quality of human life, specially the livelihood of the indigenous and tribal populations. To solve the growing water crisis, one of the possible solutions that has been proposed and has been implemented is water privatization, which majorly considers water as a profitable commodity. Water pricing and privatization will inevitably increase the price of the major crops and vegetables all around the world, which, in turn, can adversely affect food security. Community based water management policies such as rainwater harvesting, check dam construction, sustainable watershed management, integrated river basin management and irrigation efficiency can be sustainable solutions of water crisis, which also can respect the human right issues as well.

The paper focuses on the analysis of the privatization process conducted in the years 2008-2011 with an attempt to show a broad picture of privatization in Poland, indicate resources that still exist although hidden and show government practices in making privatization more effective or, on the contrary, in carrying out quasi-privatization practices. Three main issues are discussed. First, the privatization process that took place in 2008-2011 seems to be to some extent only sham privatization – many of the companies were simply communalized, or transferred to other state-controlled companies and various government agencies. Thus, contrary to opinions expressed by the government officials, the privatization process is far from being terminated. A new approach used by the Ministry of Treasury is to create special purpose vehicles in order to sell the state-controlled assets more effectively. It turns out that 76% of privatized enterprises in the years 2008-2011 were sold via a tender or auction mechanism - the rest can be considered sham privatization. Huge resources are still to be privatized - the companies have to be identified and should report to one government agency. The novelty is the government’s approach to privatization which involves packing assets into one market attractive entity. The hypothesis verification is preceded with analysis of privatization in Poland in the years 1989-2007, its relations with politics and the economic situation.

The article presents a legal analysis of regulations dealing with ownership transformation in Poland in the period 1990–2014. The paper also makes reference to the social and economic conditions at the time, which influenced the character of the first regulation for state-owned enterprises and subsequent evolution of the Polish legal framework for ownership transformations. The author underlines frequent changes to the laws which resulted from the necessity to reach privatizations goals as set by the Minister of the State Treasury.
Przedmiotem artykułu jest analiza dogmatycznoprawna obowiązujących przepisów regulujących problematykę przekształceń własnościowych w Polsce w latach 1990–2014. Merytoryczny zakres badań odnosi się także do uwarunkowań społeczno- gospodarczych, które miały wpływ na kształt pierwszej regulacji dotyczącej przedsiębiorstw państwowych, a następnie ewolucję ustawodawstwa regulującego przekształcenia własnościowe. Autorka zwraca uwagę na dużą dynamikę przepisów, która wiązała się z koniecznością osiągnięcia przez ustawodawcę celów prywatyzacyjnych określonych przez Ministra Skarbu Państwa.

Since rural China began to implement economic structural reforms in the late 1970s, township and village collective enterprises (TVEs) have attained significant expansion for a long time. They have became not only sections with most rapid economic development, but also experimental sites for the rural reconstruction of “common prosperity.” However, since the mid-1990s, TVEs have been experiencing a property rights transformation of rapid privatization. One of the noteworthy social consequences of this transformation is how the redefinition of property rights may lead to new differentiation and distribution of wealth and resources, in whose hands will wealth concentrate, and whether the concentration process will lead to new inequalities. Exploring the social process of property rights definition can help our understanding and analysis of these questions. Moreover, empirical materials concerning this process are complete and abundant, furnishing the sufficient conditions for new examinations and summaries on their basis.

After a Decade of privatization in insurance sector in India, Customers of LIC believes that LIC is still in leading position in insurance sector. LIC win the trust of majority of the customers LIC of India doesn’t charge any hidden charges and due to government organization LIC succeeds to provide feeling of security to their customer. A descriptive study is conducted among the customers of the LIC of India from different branches in Bhopal. The objective of this research is to study the perception of customers about the change management (Privatization) and impact of the change management on the services provided by LIC of India to their customers. Chi Square test is applied in this paper to check the authenticity of data given by the respondents. The findings suggests that the change management can be implemented through Planning and Implementation, Decision making, transparency in policies, by creating opportunities for development etc

Water related problems are continuously affecting the social infrastructures and jeopardizing the productivity of modern globalized society. As the water crisis intensifies, several governments around the world are advocating a radical solution: the privatization, commoditization and mass diversion of water. Water privatization involves transferring of water resources control and/or water management services to private companies. The water management service may include operation and management, bill collection, treatment, distribution of water and waste water treatment in a community. The privatization of water has already happened in several developed countries and is being pushed in many developing countries through structural adjustment policies. Water privatization will invariably increase the price of this common property resource because there are hidden costs involved in water collection, purification and distribution systems. Increase in water consumption will be satisfied through the market dynamics often at the cost of the poor who cannot afford the increased water tariffs. The corporations will recover their costs by exploiting the consumers irrespective of their economic conditions. Another possible threat of water privatization is the unsustainable water extraction by the water corporations for maximizing profits and subsequent destructions of water bodies and aquifers. Corporations in search of profits can compromise on water quality in order to reduce costs. Privatization can also favour bulk water exports as the control over water will be transferred from local communities to global corporations, which will have disastrous ecological and environmental consequences. Indiscriminate mining of groundwater by multinational companies in Andhra Pradesh, Tamil Nadu and Kerala has resulted behemoth threats to the local water resources, biodiversity and economic structures. Water pricing and privatization will inevitably increase the price of the major crops and vegetables all around the world, which, in turn, can adversely affect the food security of the common people. Community based water management practices like rainwater harvesting, sustainable watershed management, integrated river basin management and irrigation efficiency are sustainable alternatives to water privatization in the third world countries including India.

The aim of this article is to summarize the results of published researches conducted in the area of influence of ownership forms on companies and financial performance and to highlight the specifics of these relations in the environment of transition economies. Several authors have documented greater efficiency of private companies compared to state-owned. According to different studies, an alternative option for transition economies is foreign ownership. Recent studies show that the effect of ownership forms on companies and financial performance is more significant in Eastern European countries compared to developed countries. However, study results are often contradictory, therefore they require additional research.

RESEARCH OBJECTIVE: Scholars have formulated a wide definition with reference to societal values. Phillip Selznick (1985, p. 363) has, for instance, provided an uncritical understanding of regulation that is of particular relevance. He states that the central meaning of regulation “...refers to sustained and focused control exercised by a public agency over activities that are valued by a community.” THE RESEARCH PROBLEM AND METHODS: The research problem is to analyze of regulation of the societal values according different scholars. This statement is critical followed up in this paper. THE PROCESS OF ARGUMENTATION: According to Selznick, the emphasis on valued communal activities is important because the regulatory effort helps to uphold public standards, ethics and norms. He underestimates, in the early phase of the 1980s, the power concentration proceedings by the upcoming of the regulatory state in the Western domain. In the paper this process is analyzed in terms of empirical facts. RESEARCH RESULT: The research result published in the paper is that in its widest sense, we may define regulation and its implementation by the government as the totality of all mechanisms of social protection and control. We find bureaucracy and democratic deficit as embedded consequences of this type of governance. CONCLUSIONS, INNOVATION AND RECOMMENDATIONS: According to the theory of the regulatory state, the task of research is to present national and international “narratives” of different institutional arrangements and the practice of regulatory governance. Alongside this approach, there is the view of networking theory that emphasizes the study of political economics. Taming of the undemocratic power of the regulatory state issue will be essential for future politics. Besides too much regulation is an obstacle to innovation.

This study investigated the awareness of and demand for private agricultural extension services among smallscale farmers in Nigeria, using farmers in Oyo state as a case study. Specifically, the study examined the availability and operations of private agricultural extension services and factors that determine farmers’ willingness to pay for such services. The results showed that a considerable number of farmers are willing to pay for private agricultural extension services. The number of plots cultivated by the farmers was found to influence farmers’ willingness to pay for private agricultural extension services at one percent level of significance. Income, awareness, family size and total number of plots were identified as the major factors influencing the use of private agricultural extension services in the study area. The study recommended the need for the government to mobilize farm households to avail themselves of benefits of private extension services. Efforts should also be stepped up by all development stake-holders to provide additional sources of income for farm households, in order to raise their income and demand capabilities.
W niniejszym artykule przedstawiono badanie poziomu świadomości dotyczącej prywatnych usług w dziedzinie doradztwa rolniczego oraz popytu na nie wśród właścicieli małych gospodarstw rolnych w Nigerii. Badaną grupę stanowili rolnicy zamieszkujący stan Oyo. Szczególnie skupiono się na dostępności i funkcjonowaniu prywatnych usług w dziedzinie doradztwa rolniczego oraz na czynnikach, które wpływają na skłonność rolników do zapłaty za tego typu usługi. Wykazano, że znaczna liczba rolników jest skłonna zapłacić za prywatne usługi z zakresu doradztwa rolniczego. Okazało się, że na skłonność rolników do zapłaty wpływała liczba uprawianych działek ziemi, przy istotności na poziomie 1%. Dochód, poziom świadomości, wielkość rodziny i całkowitą liczbę działek uznano za główne ograniczenia w korzystaniu z prywatnych usług w dziedzinie doradztwa rolniczego na badanym obszarze. W artykule wskazano na konieczność zachęcenia gospodarstw rolnych przez rząd do skorzystania z prywatnych usług w dziedzinie doradztwa rolniczego. Także udziałowcy powinni podjąć kroki w celu zapewnienia dodatkowych źródeł utrzymania gospodarstwom, by zwiększyć ich dochód oraz popyt na usługi.
