Especially important and actual issue is to take into account the needs of and interests of local commun- ities by municipal companies that are increasingly common form of conduct of public utilities. Because of its public nature, they should strive for the best meeting the needs and expectations of residents to effectively improve the quality of their lives and prosperity in accordance with the concept of sustainable development. The main objective is to identify the essence and the fundamental objectives of corporate governance in commercial companies with the participation of local government units. To achieve this objective were used the method of analysis and critique of the literature in the field of supervision over the activities of companies, municipal economy, research the internal documents of the Ministry of the Treasury and selected polish local government units. This paper investigates whether municipalities in Poland use their municipal companies to increase debt capacity beyond the limitations imposed by the fiscal debt rules. The article presents corporate governance and agency problems on the example of relations between local government units and affiliated companies. We review and link literature on corporate finance, in particular capital structure, and public finance - debt liabilities of municipalities. We analyse a sample of 2,019 observations of municipalities and their municipal companies using the Ordinary Least Squares (OLS) method, where explanatory variables were taken from the public and corporate finance (leverage and its determinants). Results show that long-term debt of municipalities is positively associated with the leverage and size of municipal companies, but it is negatively related to their profitability.

In this article, the method of designating the tasks in the municipal services companies was described. Presented method consists of three phase: the preparatory phase, the optimization phase and the generated tasks phase. Each phase was characterized. In this paper, the mathematical model of this problem was presented. The function of criterion and the condition on designating the tasks were defined. The minimum route described in the optimization phase was designated by the genetic algorithm. In this paper, the stages of constructing of the genetic algorithm were presented. A structure of the data processed by the algorithm, a function of adaptation, a selection of chromosomes, a crossover, a mutation and an inversion were characterized. A structure of the data was presented as string of natural numbers. In selection process, the roulette method was used and in the crossover, process the operator PMX was presented. The method was verified in programming language C #. The process of verification was divided into two stages. In the first stage, the best parameters of the genetics algorithm were designated. In the second stage, the algorithm was started with these parameters and the result was compared with the random search algorithm. The random search algorithm generates 2000 routes and the best result is compared with the genetic algorithm. The influence of the inversion, the mutation and the crossover on quality of the results was examined.

Opis:
The goal of this article was to identify and characterize entities that participate in the process of performing public tasks. It contains their types and method of financial and/or organizational relationship with the budget of the municipal self-government. The article uses the methods of analysis and literature review as well as inductive and deductive reasoning. Institutional documents of a normative nature regarding the principles of self-government functions and literature on public (local) finances were used for the conducted research. The results show that functionally, the relationships between municipal companies and a commune budget can lead to disruptions in the assessment of the state of indebtedness of a local government entity. Following the experience of Great Britain, it can be concluded that one of the rational possibilities for carrying out projects is through a Public-Private Partnership. However, this solution can also bring financial dangers. Incorrectly dividing risks may lead to postponements of project performance or an excessive financial burden on the local government. It should also be noted that the private capital involvement formula (PPP contracts) can be used when there are economic benefits in the implementation of a specific public project, the scale of which may be of interest to the owners of capital. A significant number of public projects that are carried out by municipalities, especially in smaller (rural) entities, are in short supply and, in principle, do not give such an opportunity.
Celem artykułu było wskazanie i scharakteryzowanie podmiotów, które uczestniczą w procesie wykonywania zadań publicznych. Zamieszczono w nim ich typy i sposób finansowego lub/i organizacyjnego powiazania z budżetem samorządu gminnego. W artykule wykorzystano metodę analizy i krytyki piśmiennictwa oraz wnioskowania indukcyjnego i dedukcyjnego. Do prowadzonych badań wykorzystano dokumenty instytucjonalne o charakterze normatywnym dotyczące zasad funkcjonowania samorządu oraz literaturę przedmiotu z zakresu finansów publicznych (lokalnych). Po dokonaniu badań dowiedziono, że funkcjonalnie spółek komunalnych i ich rozliczenia z budżetem gminy może prowadzić do zakłóceń w dokonaniu oceny stanu zadłużenia podmiotu samorządowego. Podążając za doświadczeniem Wielkiej Brytanii uznać można, że jedną z racjonalnych możliwości realizacji zadań jest zawieranie umów w ramach Parnterstwa Publiczno-Prywatnego. Jednakże i to rozwiązanie może nieść ze sobą niebezpieczeństwa finansowe. Nieprawidłowy podział ryzyk, może doprowadzić do przesunięcia wykonania zadania w czasie lub zbyt dużego obciążenia finansowego samorządu. Ponadto formuła angażowania kapitału prywatnego w ramach PPP może być zastosowana w sytuacji, gdy przy realizacji określonego zadania publicznego pojawiają się korzyści ekonomiczne, których skala może zainteresować właścicieli kapitału. Znaczna część zadań publicznych realizowana przez gminy, szczególnie w mniejszych ośrodkach (wiejskich) jest deficytowa i co do zasady, nie daje takiej szansy.

Opis:
The article presents different models for cooperation of two municipal companies MPO and KHK. Multicriteria analysis is proposed as a method for selecting the optimal solution. As criteria affecting the implementation and functioning of the analyzed models, formal and legal aspects, tax aspects, financial analysis, waste management, social aspects and the experience of entities were taken into account. The criteria proposed are both quantitative e.g. financial analysis and qualitative e.g. social acceptance. On the basis of the multicriteria analysis, merger of companies by share apport of MPO to KHK and the acquisition has proved to be the optimal solution.
W artykule przedstawiono różne modele działania spółek komunalnych MPO Sp. z o.o. i KHK SA oraz zaproponowano metodę wyboru optymalnego rozwiązania za pomocą analizy wielokryterialnej. Jako kryteria mające wpływ na realizację i funkcjonowanie modelu uwzględniono aspekty formalno-prawne, aspekty podatkowe, analizę finansową, zarządzanie odpadami, aspekt społeczny oraz doświadczenie podmiotów. Zaproponowane kryteria mają charakter zarówno ilościowy (np. analiza finansowa), jak i jakościowy (np. odbiór społeczny). Na podstawie przeprowadzonej analizy wielokryterialnej warianty polegające na aporcie udziałów MPO Sp. z o.o. do KHK SA oraz połączenie spółek przez przejęcie okazały się optymalnym rozwiązaniem.

Od 2014 r. obowiązują nowe zasady regulujące możliwość zadłużenia się jednostek samorządu terytorialnego (dalej: j.s.t.). Zamiast dotychczasowych limitów kwotowych, czyli limitu zadłużenia ogółem i limitu spłaty długu w danym roku, wprowadzono indywidualny (liczony osobno dla każdej j.s.t.) wskaźnik spłaty zadłużenia, który ma charakter syntetyczny i zależy od aktualnej i przeszłej sytuacji finansowej j.s.t.
From 2014 are functioning new rules governing the possibility of borrowing of local government units (hereinafter: j.s.t.). Instead of the previous quota limits, which limits total debt and debt limit in a given year, introduced individual (calculated separately for each j.s.t.) ratio of debt repayment, which is a synthetic and depends on the current and past financial situation j.s.t.
С 2014 г. действуют новые правила, регулирующие возможность заимствования органов местного самоуправлени. Вместо прежних квот, что ограничивали общий долг и лимит долга в данном году, введено индивидуальное (рассчитывается отдельно для каждого органа местного самоуправления) отношение погашения долга, который является синтетическим и зависит от финансового положения органов местного самоуправления в текущем и прошлом периодах.

Objectives: To seek for the optimum economic model for public utility services in the sector of municipal waste management; to present the results of studies regarding the efficiency of companies in the sector of management of municipal waste and the systems that such companies function within. Research Design & Methods: Multi-criterion rankings with the use of synthetic variable, the structure of which has been based on zeroed unitarisation (method of zeroed unitarisation – MZU). Owing to general financial data, technical and operational data, as well as output data, it was possible to determine rankings of effectiveness for companies in the system of municipal waste management and communes. What is more, a correlation diagram was created – the dependency between the aggregated effectiveness of companies and the aggregated effectiveness of waste management in communes. Findings: Communes which entrust municipal companies with management of an integrated system for municipal waste management or/and its individual chains feature more properties of operating, economic, and financial effectiveness within the scope of management of municipal waste. Implications / Recommendations: It is demonstrated that communes which entrust municipal companies with management of an integrated system for municipal waste management – or/and its individual chains – feature more properties of operating, economic, and financial effectiveness within the scope of the management of municipal waste. Contribution / Value Added: Further extended research into the organisation and management of the municipal waste management system. Article classification: The article presents an original and innovative analysis of the municipal waste management sector with the use of the developed research method of aggregation and unit efficiency ranking. The purpose is to continue the extended research on the organisation and management of the municipal waste management system.

Opis:
The main aim of the article is to present the essence of management objectives and the issues formulating them in contracts for providing services in the management of municipal companies. The reasons for exploring the subject are legal changes regarding the principles of remunerating members of the state treasury and territorial self-government units, and their impact on the ownership supervision mechanism. Based on the analysis of legal acts, the literature on the subject, and personal observations, the author stated that formulating management objectives is a new phenomenon in the practice of organizing and managing municipal companies. Problems with specifying the objectives emphasize the importance of supervisory authorities in controlling, motivating, and disciplining management to achieve public aims.
Głównym celem artykułu jest przedstawienie istoty celów zarządczych oraz problematyki ich formułowania w umowach o świadczenie usług w zakresie zarządzania spółkami komunalnymi. Uzasadnieniem podjęcia tematu są zmiany prawne dotyczące zasad wynagradzania członków organów spółek Skarbu Państwa i jednostek samorządu terytorialnego oraz ich wpływ na mechanizm nadzoru właścicielskiego. Na podstawie analizy aktów prawnych, literatury przedmiotu oraz obserwacji własnych autora stwierdzono, że formułowanie celów zarządczych jest nowym zjawiskiem w praktyce organizacji i zarządzania spółkami komunalnymi. Z kolei problemy z ich uszczegółowieniem podkreślają znaczenie organów nadzorczych w kontrolowaniu, motywowaniu i dyscyplinowaniu zarządów do realizacji celów publicznych.

The work contains a historical outline of the beginnings of collective public transport in Tarnów and its region. It deals with issues related to the functioning of the tram line, which existed in Tarnów from 1911 to the Second World War. This also included city buses, which with the passage of years went further and further outside the city limits. The work also focuses on what impact these means of transport had on local society. This study contains information and comparisons of the of Tarnów roads and urban infrastructure, which had a direct impact on the introduction of the first forms of public transport in this area. The next pages in the article contain the direction in which public transport developed in the Tarnów sub-region, with particular emphasis on the period from the end of World War II to the political changes that followed the fall of communism in 1990. The following extensive themes is an attempt to outline in various ways which is the important issue of public transport.

Prawidłowe zarządzanie mieniem komunalnym wymaga m.in. przestrzegania zasady gospodarności związanej z ochroną przed nieuzasadnionym uszczupleniem majątku gminy. Jedną z metod umożliwiających odtworzenie mienia jest ubezpieczenie. W artykule rozważana jest możliwość ubezpieczenia majątku komunalnego w towarzystwach ubezpieczeń wzajemnych oraz wskazano korzyści i zagrożenia dla JST związane z umową ubezpieczenia zawartą z TUW.
Proper management of municipal property is related to protection against unjustified loss of municipal property. Insurance is one of the methods enabling its reproduction. The article considers the possibility of insuring municipal assets in mutual insurers and indicates benefits and threats to LGU related to the insurance contract concluded with a mutual insurer.

The article presents discussion around the essence and meaning of the privatization of public aims. The presentation of methods of their privatization, and detailed analysis of popular so-called: order “in house”. The entire problem was presented in the context of the performance of the owner’s supervision over a company performing this type of order. Further, the article presents the case study of functioning of this type of companies and presents the model of the supervisory structure on the example of research of empirical municipal companies end tools of the accountancy helping supervisory mechanisms in special municipal companies. The final part of the article presents conclusions from the research.

Opis:
W artykule przedstawiono dyskusję wokół innowacji organizacyjnych dotyczących koncepcji nadzoru właścicielskiego spółek komunalnych. Dokonano prezentacji teorii ekonomicznych w kontekście innowacji, a także omówiono uwarunkowania prawno-organizacyjne, które generują innowacje organizacyjne będące źródłem rozwiązań praktycznych. Całość zagadnienia jest osadzona w kontekście problematyki nadzoru korporacyjnego i jego specyfiki, tj. nadzoru właścicielskiego specjalnych spółek komunalnych (SSK). Ponadto przeanalizowano uwarunkowania funkcjonowania tych spółek z uwzględnieniem rozwiązań Unii Europejskiej i krajowych, zaprezentowano również źródła kryteriów oceny efektywności sprawowanego nadzoru właścicielskiego. W dalszej części artykułu zajęto się analizą przypadku funkcjonowania dwóch SSK oraz zaproponowano ramowy model struktury nadzorczej na przykładzie badań empirycznych. Celem opisanych badań jest dokonanie oceny istniejącego systemu nadzoru właścicielskiego specjalnych spółek komunalnych realizujących zamówienie in house oraz przedstawienie koncepcji nadzoru właścicielskiego sprawowanego przez jednostki samorządu terytorialnego (JST) nad tymi spółkami wraz z podaniem warunków jej implementacji. W końcowej części artykułu wymieniono wnioski wynikające z przeprowadzonych badań.
The article presents discussion around the essence and meaning of innovation of organizational concerning ideas of the owner’s supervision of communal companies. The presentation of methods of economic theories in the context of the innovation, and also detailed analysis of legal and organizational conditions which generate organizational innovations, being the source of practical solutions. The whole of the problem is embedded in the context of the problems of the corporate supervision and its specific i.e. the owner’s supervision of special communal companies (SCC). Also, it presents conditionings of the kelter of these companies with the regard of the EU and national solutions, also sources of evaluation criteria the effectiveness of performed owner’s supervision have been presented. In the further part of the article one presented the case study of the kelter of two SCC and presents the frame-model of the supervisory structure on the example of empirical research. The purpose of the research described in the article is the evaluation of the existing system of the owner’s supervision of special communal companies, realizing the order “in house” and presentation of the idea of the owner’s supervision performed by individuals of local government (LG) over these companies, along with defining the conditions of their use. The final part of the article presents conclusions of the research.

Opis:
The article compares the largest cities in Poland - those inhabited by more than 300 000 people - in terms of incomes, expenses, their public transport offer and all the funds assigned by the cities to subsidize municipal public transport. There are prominent and significant differences between the cities in the amount of funds directed towards municipal public transport. Municipal public transport, a financing of public transport, cities, incomes and expenses of the cities. The differences in the involvement of the cities in the financing of municipal public transport means that the cities follow their own strategies with regards to the development of the municipal public transport systems, which is reflected in the funds allocated for subsidies.
