Opis:: This article addresses the issues related to heredamiento - an agreement as to succession, characteristic of the Catalan legal system (Spain), the centuries-long functioning of which may be an inspiration for other legislators. The paper first attempts to locate this institution in the context of history and terminology. Further, it explains and describes the functioning of heredamiento in the provisions of Catalan law currently in force. The article then discusses the centuries-old location of this institution at the junction of succession law and family law. The paper also presents issues relating to the conflict of laws rules of private international law and the conflict of law rules of interregional law that are characteristic of the Spanish legal system. Therefore, introducing the reader to the institution of heredamiento, the author suggests that the Polish legislator should not cease looking for legal instruments adjusted and adapted to social realities, which would adequately protect the interests of both future decedents and heirs.

Opis:: W niniejszym artykule poruszono zagadnienia związane z umowami dotyczącymi spadku obejmującego przedsiębiorstwo rodzinne, ze szczególnym uwzględnieniem prawa katalońskiego. W artykule w pierwszej kolejności wskazano pewne ogólne trudności, które wynikają z braku oficjalnej definicji „przedsiębiorstwa rodzinnego”, zarówno na poziomie krajowym, jak i międzynarodowym. Następnie krótko wyjaśniono specyfikę hiszpańskiego systemu prawnego, która jest szczególnie widoczna z perspektywy prawa spadkowego, którego systemów Hiszpania ma aż siedem, w tym kataloński, który jest przedmiotem szczególnego zainteresowania w niniejszym artykule. Artykuł przechodzi następnie do protokołu rodzinnego – instytucji, której zadaniem jest pełne i kompleksowe wspomaganie przedsiębiorstw rodzinnych w ułożeniu zarówno wewnętrznych, jak i zewnętrznych relacji z osobami trzecimi. Następnie szczególną uwagę poświęca się heretament i pacte successori d'atribució particular jako przykładom umów dziedziczenia w prawie katalońskim. Omawiana przez autorkę dopuszczalność umów dziedziczenia jest ściśle związana z zachowaniem ciągłości przedsiębiorstw rodzinnych. Uważa się, że jest to odpowiedni środek gwarantujący ich integralność i transfer międzypokoleniowy. Dlatego też autorka sugeruje, aby polski ustawodawca nie zaprzestawał poszukiwań instytucji wspierających przedsiębiorców w procesie planowania dziedziczenia.
The present article addresses the issues relating to the agreements as to family business succession with a particular focus on the Catalan law pertaining thereto. The paper first identifies certain general difficulties that result from lack of official “family business” definition, both at the national and international levels. Then, briefly explains the specificity of the Spanish legal system, that is particularly visible from the perspective of inheritance law, the systems of which Spain has as many as seven, including Catalan, which is of particular interest in the present article. The paper then moves to the family protocol - the institution whose task is to fully and comprehensively assist family enterprises in arranging both internal and external relations with third parties. Then the special attention is devoted to the heretament and pacte successori d'atribució particular as examples of succession agreements in Catalan law. The admissibility of the succession agreements, as discussed by the author, is closely related to the continuity of family businesses. It is considered an appropriate measure to guarantee their integrity and intergenerational transfer. Therefore the author suggests that the Polish legislator should not cease searching for institutions that would support entrepreneurs in the process of inheritance planning.
