The main issues discussed in this paper concern application of recommendations of corporate governance compliant with OECD standards in companies listed on the Stock Exchange in Warsaw and Budapest. While undergoing political transformation, Poland and Hungary have put in place various regulations concerning the functioning of the capital market. The objective of the paper is to determine if, and to what extent, the standards of corporate governance recommended by OECD are applied in public companies operating in Poland and Hungary. The research methods applied to achieve the goal formulated in this way include analysis of the content of Polish and foreign literature, and analyses of desk research and benchmarking type. Comparative analysis applies information included in the EBOR Report entitled Corporate Governance in Transition Economies – Countries Report and OECD Corporate Governance Factbook 2019.

Today international business activities can be conducted through trade, non-eqity modes (NEM )or FDI. In 2010, the NEMs has generated about $ 2 trillion from the sale, with the greater part of this amount came from developing countries. NEM can be implemented in various forms such as licensing, franchising, management contracts, manufacturing contracts, contract farming and various strategic alliances. Thanks to these forms, KTN can coordinate their activities in their global value chains and influence the management of companies in the host countries, without owning an equity stake in those companies.

Opis:
The modern concept of management by the value contains a number of proposals and solutions for making strategic and operational decisions, which aim to maximize enterprise value for the owners and other stakeholders such as customers, employees, suppliers, creditors, local communities and society. Increasingly, attention is paid to the role of clients in the creation of goodwill. From the perspective of the company, customers are a valuable resource, the basis of existence and the main source of value. Literature and business practice suggest several approaches to the problem of measuring customer value. It should be emphasized that these approaches are not always exclusive. Customer value means the actual value of the customer relationship, which in the English-language publications is called value customer relationships. But alongside this term a lot more can be found the words: customer lifetime value (LTV customer lifetime value). Companies that are able to establish a privileged relationship with a competent and demanding customers are not currently achieve higher profits, but by building competence in so-called clients competence portfolio companies are more likely to maintain a competitive edge in the chosen market in the future.

Customer value in the concept of enterprise value The issue of creating and sharing value appeared in the literature in connection with research on competitive advantage of enterprises, defi ned as the ability to create and deliver value for the customer and the company more than competitors. Today, many companies aims to create market value. In case of market variability, a means for achieving this goal cannot be just to stay on the market with a minimum profi t, but, above all, the behavior of co-operation with relevant business partners and customers. The value must be present for both parties, though not always on both sides must be the same. From the standpoint of the company, customers are a valuable resource, the basis of existence and the main source of value because: generate profi ts and cash that is necessary for the existence and development of the company, enable the objectives of various interest groups, and create conditions for the safe circulation and growth. The dialogue with the client, listening to his expectations make it easier to offer him the values on which it depends. The value for the customer specifies the combination of the benefi ts derived by customers from purchased products and services including, among others price, quality, conditions of purchase, punctual delivery and service before and after the sale. The knowledge of what clients especially appreciate the company should offer more and better impact on the identifi ed client group from the side of their expectations and generated value for them. Thus, the company created the conditions better suited to create customer value strategies and more effective strategies to increase customer value and enterprise value.

Purpose: The purpose of the paper is to identify the level of involvement of the corporations of the EBRD regions in the implementation of the concept of sustainable development, and to evaluate the applied solutions in the field of green management. Design/methodology/approach: The research methods used in the paper include the review of Polish and foreign literature, and the analysis of data from secondary sources. The desk research analysis was conducted on the basis of numerical information contained in the publication entitled "Transition Report 2019-20" and presented on the website of The European Bank for Reconstruction and Development (EBRD). Findings: The result of the conducted research include the indication of the corporations in the countries of the EBRD regions that are leaders in the field of green governance and green management, and identification of factors and the extent to which they have an impact on the implementation of sustainable development postulates. Research limitations/implications: The presented findings encourage further research to determine the causes of drastic differences in the field of green governance and green management in the studied corporations of the EBRD regions and the possibility of limiting them. Practical implications: The analysis and evaluation of the implementation of the main practices of green management in the corporations of the EBRD regions allow to identify leaders in this area and apply the model of their operation (benchmarking) to improve the position of the organizations that show deficits. Social implications: The use of the presented data, analyses and conclusions should imply further actions and strategies in enterprises necessary to implement the concept of sustainable development. Originality/value: The paper synthetically presents the significance of the concept of green governance and the application of green management practices by corporations from the EBRD regions.

On the basis of the New Institutional Economics special role in the exercise of institutions whose essential function is to reduce uncertainty by identifying the standards that govern the behavior of the various stakeholders, including businesses, and defining the boundaries of what is lawful. As part of the corporate governance mechanism of the market one of the key areas is the products market and the institution – Office of Competition and Consumer Protection.

The article presents the concept of the knowledge economy and the conditions affecting its shape. The assessment of how effectively an economy is transforming into the KE is conducted with the use of two methodological approaches: sector-based and holistic. The article applies the KAM methodology to determine the level of the KE in the world economy and in selected countries.
W artykule przedstawiono istotę gospodarki opartej na wiedzy oraz uwarunkowania ją kształtujące. Ocena stopnia przeobrażenia danej gospodarki w kierunku GOW dokonuje się przy wykorzystaniu dwóch podejść metodologicznych: sektorowym lub holistycznym. W artykule wykorzystano metodologię KAM w celu określenia poziomu realizacji koncepcji GOW w gospodarce światowej i jej wybranych krajach.

W artykule przedstawiono zjawisko zwane pasywnością kredytową przedsiębiorstw. Celem opracowania jest wyjaśnienie, na czym zjawisko to polega, oraz określenie zakresu i przyczyn jego występowania w Polsce i na Słowacji. Dla osiągnięcia tak określonego celu przedstawiono i porównano dwa zasadnicze źródła finansowania inwestycji rzeczowych w sektorze przedsiębiorstw niefinasowych, tzn. wewnętrzne i bankowe. W artykule wykorzystano metodologię źródeł finansowania netto zainicjowaną przez C. Mayera.
The article places the main focus on borrower discouragement. Its primary aim is to explain what this phenomenon involves and determine its scope and causes in Poland and Slovakia. In order to achieve this aim, the author presents and compares two major sources of finance for physical investments in non-financial corporations, i.e. internal finance and bank finance. The article uses the methodology of net sources of finance initially developed by C. Mayer.

Nowadays, socio-economic conditions mean that companies must take into account a number of challenges associated with the various interest groups (stakeholders) and their expectations. As part of building relationships with stakeholders, companies use “soft normative approach”, in the form of a code of good practice. Niniejszy artykuł przedstawia zagadnienie bezpośrednich inwestycji zagranicznych (BIZ) oraz główne czynniki je determinujące. Wyjaśnienie istoty tego zjawiska zaprezentowano z wykorzystaniem tzw. paradygmatu OLI. Rozważania o charakterze teoretycznym wzbogacono analizą zasadniczych tendencji w realizacji strategii umiędzynarodowienia polskich przedsiębiorstw w formie BIZ. W tym celu wykorzystano bazy danych statystycznych UNCTAD oraz NBP dotyczące przepływów inwestycji zagranicznych w latach 1990-2017.
This paper presents the issue of foreign direct investment (FDI) and the main factors determining it. The concept of foreign direct investment is presented based on the so-called the OLI paradigm. Theoretical considerations are supplemented with the analysis of major trends concerning foreign direct investment of polish enterprises. The analysis draws on the UNCTAD statistical database and the database of Poland’s central bank illustrating foreign investment flows in the years 1990-2017.

Współcześnie w centrum uwagi wielu przedsiębiorstw znajdują się klienci wraz z ich potrzebami. Zgodnie z modelem relacyjnym istotą zarządzania jest sztuka zdobywania, utrzymywania i rozwijania relacji z klientem, dawanie i komunikowanie mu wartości, które mają dla niego największe znaczenie. Przedsiębiorstwo, budując relacje z klientami, nie może robić tego bezrefleksyjnie i spontanicznie. Aby proces tworzenia relacji przedsiębiorstwo – klient miał racjonale przesłanki, należy dokonać oceny wartości portfela klientów. Niniejszy artykuł prezentuje wybrane sposoby szacowania wartości portfela klientów przedsiębiorstwa.
Nowadays, the center of attention of many companies find customers with their needs. The essence of management is the art of building, maintaining and developing relationships with clients, giving and communicating to them the values that are most important to them. The company building a relationship with customers can not do this without thinking and spontaneously. To make the process of creating relationships before undertaking – the client had rational reasons should assess the value of the customer portfolio. This article presents some ways of estimating the value of the portfolio of clients.

Niniejszy artykuł prezentuje koncepcję zielonej gospodarki jako alternatywy dla nieokiełznanego rozwoju globalnego biznesu. Pojęcie to wpisuje się w szerszą ideę zrównoważonego rozwoju, realizowanego zarówno w makro-, jak i mikroskali. Mimo wielu głosów poparcia, nierzadkie są głosy krytyczne, sugerujące, iż jest to tylko nowa moda. Choć oczywista jest długoterminowa tendencja dotycząca zmniejszania się ilości zasobów oraz wzrostu cen energii i surowców, jednak bezwzględny rachunek ekonomiczny i dążenie do zysku za wszelką cenę są w kontrze do kategorii sprawiedliwości wewnątrz- i międzygeneracyjnej czy troski o środowisko przyrodnicze, zwłaszcza w skali globalnej. Niemniej przykłady krajów skandynawskich są wzorcami do naśladowania dla innych krajów i społeczeństw w zakresie podążania w kierunku „nowego zielonego ładu”. W artykule wskazano główne determinanty rozwoju zielonej ekonomi oraz miarę umożliwiającą benchmarking w zakresie realizacji jej priorytetów.
This article presents the concept of a green economy as an alternative to unbridled development of global business. This concept is part of a broader concept of sustainable development, implemented in both macro and micro scale. Despite the many voices of support there are criticisms, suggesting that this is just a new fad. For this reason, the article highlights the main determinants of the development of the green economy and the rate which allows for benchmarking of the implementation of its priorities.

Współcześnie, dużą rolę w tworzeniu i dostarczaniu wartości odgrywa proces stałego komu-nikowania się w układzie „konsument – firma – konsument” wsparty nowoczesnymi mediami elektronicznymi. Umożliwia to komunikację na skalę globalną, niespotykaną we wcześniejszych formach komunikowania masowego. Wykorzystanie mediów elektronicznych jest cechą zasadni-czych zmian społecznych i ekonomicznych w skali międzynarodowej i globalnej, określanych mianem tworzenia społeczeństwa informacyjnego. Zmienia ona tradycyjne pojmowanie nadawcy, odbiorcy oraz treści i formy samego przekazu. Uczestnicy procesu komunikowania mogą wzajem-nie zamieniać się rolami. Celem artykułu jest przedstawienie istoty modelu komunikacji w hipermedialnym środowi-sku komputerowym oraz jego roli w budowaniu wartości dla przedsiębiorstwa i klienta.
Nowadays, a large role in the creation and delivery of value plays a process of continuous communication with a 'consumer – the company – the consumer "supported by modern electronic media. This allows you to communicate on a global scale, unprecedented in earlier forms of mass communication. Use of electronic media is a fundamental feature of social and economic changes in the international and global, referred to as an information society. It changes the traditional understanding of the sender, the recipient and the content and form of the communication itself. Participants in the communication process can be interchanged roles.This article presents the essence of communication model in hypermedia computing environment and its role in building the value of the firm and the client.

One of the key priorities of a modern enterprise that ensures a relatively sustainable competitive advantage in the market is building and maintaining stable relationships with its stakeholders, including customers. In this respect, an important role is played by modern information and communication technologies. The paper presents the diagnosis of the use of social media as one of the options that an enterprise has to build and maintain long-term relationships with its customers. The analysis, evaluation and conclusions from the study are based on selected data on the EU enterprises retrieved for the years 2012–2016 from the Eurostat database.
Jednym z zasadniczych priorytetów współczesnego przedsiębiorstwa, który umożliwia osiąganie wględnie trwałej przewagi konkurencyjnej na rynku, jest budowanie i utrzymywanie trwałych relacji z jego interesariuszami, w tym z klientami. Istotną rolę w osiąganiu tego celu odgrywają nowoczesne technologie informacyjno-komunikacyjne. W artykule przedstawiono diagnozę stopnia wykorzystania mediów społecznościowych jako jednej z możliwości budowania i podtrzymywania trwałych relacji przedsiębiorstwa z jego klientami. Opis:
Przemiany dokonujące się po 1989 roku oraz akcesja do Unii Europejskiej uruchomiły i zdynamizowały procesy umiędzynarodowienia zarówno polskiej gospodarki, jak i podmiotów działających w jej ramach. W pierwszej części artykuł przedstawia ogólne rozważania związane z internacjonalizacją działania, motywami, jakimi kierują się inwestorzy, oraz charakterystykę różnych form ekspansji na rynki zagraniczne. Zasadniczym celem drugiej części artykułu było przedstawienie diagnozy wybranych form aktywności polskich przedsiębiorstw na rynkach zagranicznych, takich jak: eksport, franchsing i bezpośrednie inwestycje zagraniczne. W artykule zastosowano metodę krytycznej analizy piśmiennictwa i wykorzystano różne zestawienia zawierające dane statystyczne takich instytucji, jak: Główny Urząd Statystyczny, NBP i UNCTAD.
The transformation which took place after 1989 and the accession to the European Union provided a boost to the internationalization of the Polish economy and individual business companies. The first part of this paper presents general considerations associated with internationalization activities, the motives which guide investors, and the characteristics of different forms of expansion into foreign markets. The main purpose of the second part of the paper is to offer a diagnosis of selected forms of activity of Polish companies on foreign markets, such as export, franchising, and direct foreign investment. The paper uses the method of critical literary analysis and bases on a variety of statistical data from such institutions as: Central Statistical Office of Poland, NBP, and UNCTAD.
