    Opis:
    According to the Act of 1963 of Common Lands, in order to properly manage and develop the common land, its shareholders shall appoint the administrative entity called the common land’s company. The company is not the owner of common land, but acts as the land manager, since these lands are subject of specific type of joint ownership operated by a rural community. The establishment of the company is made by way of a resolution adopted by a majority of members entitled to participate in the common land in the presence of at least half of them. Upon approval of the statute of the company by the appropriate administration authority, the company acquires legal personality. The article describes the legal nature of the common land’s company and aims at placing it in the Polish legal system. In order to achieve it, the common land’s company is being compared to a civil, commercial and administrative law companies.

    This article attempts to approximate the conditions of process of virtualization of business activity in the aspect of virtual enterprises. The theoretical basis of the publication is therefore a reflection on the essence and functioning of virtual enterprises. The virtual enterprises operate in the Internet and all economic processes are carried out electronically. The practical part of the article is based on the results of research. The aim of research was to try to identify the virtual enterprises’ perception of society. The method of collection data was personal interview. Respondents participating in the research were asked about their perception of virtual enterprises. The results of the research have provided interesting informtion and introduced to the process of virtualization of business activity in the aspect of virtual enterprises. In addition, the article presents a fragment of the latest data on the use of information and communication technologies in Polish enterprises and issues related to e-commerce.

    Niniejszy artykuł ma na celu przedstawienie kierunków rozwoju współczesnych przedsiębiorstw hotelarskich, będących następstwem zmian zachodzących w ich dalszym otoczeniu. Zmiany w otoczeniu międzynarodowym sprawiają, że w obrębie hotelarstwa zachodzą zjawiska koncentracji poziomej i pionowej. Otoczenie technologiczne wymusza stosowanie nowoczesnych urządzeń oraz systemów rezerwacyjnych. Zmiany społeczno-kulturowe powodują wzbogacenie produktów hotelarskich o usługi związane ze zdrowiem, a trendy demograficzne implikują powstawanie hoteli trzeciego wieku. Otoczenie przyrodnicze determinuje oszczędne zarządzanie zasobami oraz stawia w uprzywilejowanej sytuacji obiekty zlokalizowane na obszarach czystych. Demokratyzacja życia oraz znaczne ułatwienia w przekraczaniu granic są tymi czynnikami prawno-politycznymi, które powodują konieczność powstawania hoteli ekonomicznych. Zmiany zachodzące w obrębie otoczenia ekonomicznego sprawiają, że hotele stosują outsourcing, czy znormalizowane systemy zarządzania jakością. Biorąc pod uwagę powyższe uwarunkowania, zdolności antycypacji zmian w makrootoczeniu będą w przyszłości jednymi z kluczowych kompetencji menadżerów, od których zależał będzie sukces biznesowy każdego przedsiębiorstwa hotelarskiego.
    This article sets out to present the directions of development of contemporary hotel companies resulting from changes in their macro-environment. Changes in the international environment case horizontal and vertical concentration within the hotel industry. The technological environment forces application of modern equipment and booking systems. Social and cultural changes result in enrichment of hotel products by health-related services whereas demographic trends imply establishment of the third-age hotels. The natural environment determines the economical management of resources and favours facilities located in clean areas. Democratisation of life and easier border crossing are the legal and political factors that result in the necessity of establishing low-budget hotels. The economic environment makes hotels use outsourcing or normalised quality management systems. Taking into account the aforementioned conditions, the ability to anticipate changes in the macro-environment will be, in the future, one of the key competences of managers on whom development of every hotel company will depend.

    The purpose of this article is to present the impact of elaborated the theoretical concept of companies’ groups and the related concepts of consolidating financial statements adopted by the international accounting regulations (IFRS) for the items and the value of the capital, reported in the financial statements. This effect was analyzed on example of selected Polish public companies listed on Warsaw Stock Exchange. Consolidated reporting concepts, developed at the turn of the 19th and 20th centuries implemented in accounting regulations differently affect the level of equity of capital groups, presented in the consolidated financial statements. Their example shows a clear trend in the transition from the proprietary concept to the entity concept, which corresponds to the general orientation of financial reporting from the perspective of the owners to the perspective of the stakeholders. The extended concept of the parent company used in the regulations of IFRS to the end of 2009, but mixed with the entity concept has shown, that the equity of capital groups include themselves both equity, attributed to the shareholders of the parent companies, but also assigned to the other shareholders of the subsidiaries (minorities). Only from 2010 there is a possibility of alternative uses of the pure entity concept, which contributes, in principle, to be even higher amounts of capital in the same operating conditions. In the present situation of possible parallel application of both concepts, the managements of the companies may recruit them at its own discretion, which may contribute to some manipulation on reported equity of capital groups, what examples already can be observed in practice of Polish companies. Analysis of financial data of certain Polish groups did not allow to formulate certain general conclusions, regarding the impact of an extended parent company concept on the level of equities of the Polish groups. In many cases, the impact of the controlled entities positively affected the reserves of the group, but many situations can also be observed in which the activities of subsidiaries was weakening the group's reserves. In such situations separate financial statements of the parent are more favourable to the data presented in the consolidated. However, this may confirm the supremacy of the consolidated reporting on the separate reporting, which is characterized by a greater sensitivity to operational and financial operations of the parent in relation to their subsidiaries. In the case of consolidated reporting, the manipulation of transactions with controlled entities is largely neutralized by what more relevantly and objectively (neutrally) contributes to the evaluation of the effectiveness of the boards of the parent companies.

    The main purpose of this article is to show place, role and meaning of the public polish companies' share repurchases in a defensive action against hostile takeover. The paper is divided into two main parts. The first one, constitutes the theoretical consideration which is scarified to hostile takeovers and share repurchases. The second part is an empirical material which is concentrated on: amount of polish companies caring out share repurchases, motives of conducting buy-backs and empirical experiences of polish entrepreneurs that used share repurchases as a method of defense against hostile takeovers.

    This study is an analysis of the existing regulations regarding the construction of the trade union organization, the mechanism for raising objections regarding the number of members of the trade union organization and the representativeness of trade unions. The latest amendment to the Trade Unions Act, introducing a change in the coalition law in trade unions, modifies the structure of the trade union organization at the same time. Also the criteria for establishing representativeness of a company or supra-company trade union organization have been materially amended. As regards supra-company trade union organizations, the threshold of representativeness has been increased from 10% to 15% per total of not just employees, as previously, but all persons performing paid work and covered by the scope of a given organization’s statute. Also on the company level the percentage thresholds of representativeness have been increased. In addition, the legislator introduced a new type of representativeness, which may be described as employee representativeness.

    The main goal of this article is to highlight the need for introducing a profit in the system of criteria and evaluation of social enterprises. The direct premise for application of social profit in the performance evaluation and development of social enterprises is the taking up and implementation by those entities that integrate specific tasks in referred area of its activities on both the economic and social fronts. This combination of economic goals with social objectives, taking place, albeit in the conduct of any business, in the case of social enterprises have distinctive content, form and terms of implementation. Placed objective of this paper and its implementation is used in its intention to more fully reflect the scientific visions, missions and social conditions for the effective operation of social enterprises pursuing many different goals. The article is divided into three parts. The first part presents the problems of the mission and objectives and organizational forms of social enterprises. The second part included reflections on the essence of social profit and its role in creating social value system of the company. The third part contains an analysis of forms of commercial and social mission of social enterprises.
