    Der Autor geht von der Voraussetzung aus, dass dip Begrenzungen des Aussenhandels den Verzicht auf die wirtschaftlichen Vorteile bedeuten, die durch eine Verstärkung der Arbeitsteilung im Rahmen de r Weltwirschaft zu erreichen wäran. Die RGW-Länder bemünen sich, meint der Autor, dieses wirtschaftliche Dilemma zu lösen, indem sie Möglichkeiten wahrnehmen, die joint ventures zu eröffnen. Im erwähnten Artikel stellt der Autor Überlegungen darüber an, ob joint ventures geeignete Instrumente für eine Verbesserung der Ost-West-Kooperation darstellen, und ob sie zur Überwindung der Aussenhandelsbarrieren beitragen können. Der Autor greift dabei auf die Erfahrungen zurück, die in den westlichen Ländern und - in einem gewissen Bereich - in den Ländern Osteuropas gemacht wurden. Abschliessend formuliert der Autor optimistische Schlussfolgerungen und rät "die Politik der kleinen Schritte" an.

    Internationalization of economic units has already become a common process in the capitalist economy, with its role in the economies of the socialist countries is growing as well. Establishment of joint ventures in the socialist countries was preceded by the resolution adopted at the 25th Session of the CMEA in July 1971, which states explicitly that the setting up of joint ventures is an expression of and should serve promotion and consolidation of co-operation and development of the socialist integration of the CMEA member countries. Creation of joint ventures is connected with satisfaction of concrete needs of the national economies of the member countries. Since establishment of joint ventures among the CMEA countries is at its initial stage, not all prerequisites indispensable for their rapid creation and effective performance have been fulfilled as yet. Provision of these prerequisites should be accelerated especially in the legislative sphere through enactment of indispensable legal acts adoption of appropriate economic solutions including wider introduction of economic-financial mechanisms.

    The establishing of joint ventures in the CMEA member-countries is an objective process in development of their economies paving the way for transition to a higher level of social effectiveness of activity end for promotion of the international labour division. In the CKFA, Joint ventures allow to satisfy better needs especially in groups of deficit goods, concentrate production and scientific-technical activities, and ensure freer transfer or scientific - technical innovations and capital. Development of Joint ventures is in the CMEA contries to encounter numeous difficulties in such fields as insufficient infrastructure, and in particular, unsatisfactorу functioning of economic mechanism, and especially in the foreign currency - financial sphere. There must be also amended legislative acts of these countries.

    Bardziej marketingowe podejście do rynków zagranicznych ze strony polskich producentów i eksporterów doprowadziło w ciągu ostatnich 8—10 lat do rozwoju j-v z udziałem polskiego kapitału. W przeprowadzonej analizie autor zwraca uwagę na szereg pozytywnych aspektów korzystania z j-v zarówno w operatywnej pracy polskich przedsiębiorstw eksportujących jak i w programowaniu długookresowej strategii eksportowej. W związku z tym należy zakładać znaczniejszy niż dotychczas rozwój tej formy działania na rynkach obcych. Poza liczną już formą spółek agencyjnych i dystrybucyjnych winien nastąpić rozwój afiliacji dla eksploatacji surowców mineralnych oraz dla przerobu płodów rolnictwa i hodowli.

    In order for the claims to be satisfied by the personal creditors of the spouses-partners it is important to consider the economic situation of the company, the character of receivables, the kind and origin of the deposit. Apart form the contract of the company itself we may distinguish two groups of legal proceedings which may hurt the personal creditors of the spouses-partners. As regards the board of the company we may, for example, list the following: 1) disproportional charge of the spouse-debtor with the responsibility for the debts of the company, 2) the company sells off some elements of the property, including especially as free of charge, e.g. donation, 3) the property of the company is divided in the case when it is dissolved and the spouse-debtor is the sufferer. Now among the actions as regards the management of the properties of spouses we find the following: 1) selling off some of the receivables, 2) the shift between the property masses of the obligatory joint laws. Among the legal instruments, the spouses-partners who are detrimental, the creditors are entitled to the following forms: the Pauliane action (art. 527 and ff. k.c.), relative ineffectiveness (art. 59 k.c.), appearance (art. 58 § 1 k.c), treating the legal action as contrary to the law or tending to evade the law (art. 58 § 1 k.c.).

Autor prezentuje propozycje możliwych ujęć rzeczowo-finansowych geologiczno-górniczych aktywów trwałych do stosowania przy rozliczeniach wspólnych przedsięwzięć na tle aktualnie obowiązującego prawa geologicznego i górniczego i stanowiska Ministra Środowiska.
    The purpose of this article is to present the issues to application solutions for making the appropriate identification and classification of geological-mining assets in cases of taking action within the framework of joint ventures (the consortium agreement). The author presents suggestions for possible approaches to deal with financial-geological-mining assets for use in the accounts of joint ventures on the background of the currently applicable geological and mining law and the position of the Minister of the Environment.

    Artykuł przedstawia problematykę partnerstwa publiczno-prywatnego w działalności eksploracyjnej. Omówione zostały aktualnie dostępne formy współpracy przedsiębiorców ze Skarbem Państwa i podmiotami publicznymi takimi jak, PIG–PIB czy przyszła Służba Geologiczna, NFOŚIGW lub PFR w zakresie poszukiwania i rozpoznawania złóż kopalin i badań górotworu. Przedstawiono występujące na świecie formy umów w tym zakresie, jak również aktualnie umowy, które można zawierać w kraju. Zaprezentowano kluczowe partnerstwo publiczno-prywatne i problemy interpretacyjne oraz wykonawcze w tym zakresie. W szczególności wskazano na problemy związane ze stosunkami własnościowymi, współwłasnością partnerów realizujących wspólne przedsięwzięcie w tym współdzieleniem praw w ramach użytkowania górniczego do korzystania z informacji geologicznej oraz innych pożytków i mienia wytworzonego w trakcie współpracy.
    The article present the issue of public-private partnerships in exploration activities. The currently available forms of business cooperation with the State Treasury and public entities, such as PIG–PIB or the future Geological Survey, NFOŚIGW or PFR have been discussed, in prospecting and exploration of mineral deposits and the research of the rock mass. The article presents the form of contracts in this area occurring in the world, as well as the current contracts, which can be bind in the country. The article presents key public-private partnership problems of interpretation and implementation in this regard. In particular, it points out the problems related to ownership relations, co-owned by implementing partners of joint ventures including sharing rights under mining usufruct for using geological information and other benefits and belongings generated during the mutual cooperation.

    Celem niniejszego artykułu jest analiza problematyki związanej z utworzeniem wspólnego przedsiębiorcy (joint venture) w polskim prawie ochrony konkurencji, w tym analiza stanów faktycznych, które – zdaniem autorek – w praktyce Prezesa UOKiK powinny lub nie powinny być kwalifikowane jako utworzenie wspólnego przedsiębiorcy. W niniejszym artykule autorki przedstawiają rozważania dotyczące problemów i rozbieżności definicyjnych w polskim i unijnym prawie konkurencji, mających istotne znaczenie w praktyce. Ponadto, szczegółowo omówiono kwestię obowiązku zgłoszenia zamiaru koncentracji polegającej na utworzeniu wspólnego przedsiębiorcy w polskim prawie konkurencji oraz wynikające z niej trudności praktyczne, z którymi na co dzień muszą mierzyć się przedsiębiorcy. Poczynione rozważania stanowią asumpt do omówienia alternatywnych możliwości kwalifikacji prawnej utworzenia nowej spółki i rozważań na temat potrzeby zapewnienia jak największej pewności prawnej w zakresie stosowania przepisów dotyczących utworzenia joint venture. W podsumowaniu niniejszego artykułu zawarte zostały wnioski i postulaty de lege ferenda dotyczące polskich przepisów antymonopolowych regulujących tworzenie wspólnych przedsiębiorców.
    The purpose of this article is to analyze the creation of a new joint venture company under Polish competition law. This analysis covers cases and situations which, in the authors’ opinion, should and should not be classified as the creation of a joint venture in the decisional practice of the UOKiK President. The authors provide an overview of potential problems and discrepancies between the definitions of a joint venture under Polish and EU competition law. These differences are of crucial importance in practice. The article discusses in detail the obligation to notify an intended concentration involving the establishment of a joint venture under Polish competition law and the resulting practical difficulties for firms. These considerations give rise to a discussion on an alternative legal classification of the establishment of a new company and the need to ensure the highest level of legal certainty in the application of the relevant legal provisions regarding the establishment of a joint venture. The article concludes with de lege ferenda proposals regarding Polish competition law provisions on the creation of joint ventures.
