Opis:
The main purpose of this article is to show place, role and meaning of the public polish companies' share repurchases in a defensive action against hostile takeover. The paper is divided into two main parts. The first one, constitutes the theoretical consideration which is scarified to hostile takeovers and share repurchases. The second part is an empirical material which is concentrated on: amount of polish companies caring out share repurchases, motives of conducting buy-backs and empirical experiences of polish entrepreneurs that used share repurchases as a method of defense against hostile takeovers.

Opis:
The main goal of this article is to present preliminary results of empirical research on the substitutability of cash return to shareholders in companies listed on the Stock Exchange in the form of cash dividend and share buyback. For the realization of the objective it has been adopted to develop the research hypothesis stating that the shares repurchases done on the Warsaw Stock Exchange are – according to the cash dividend – more and more frequently used form of returning cash to shareholders. The paper is divided into two parts. In theoretical one, there are shown some views on substitution hypothesis and exhibited the results of surveys made by other researchers. The second part is practical research conducted among polish public companies.

Opis:
The main objective of this article is to present the results of literature studies on methods for shares repurchasing used by public companies, as well as present the results of empirical research on how to buy such securities by companies listed on the Warsaw Stock Exchange in relation to the motives of its conduct. Purpose of the paper is carried out by empirical verification of hypotheses which stipulates that the choice of shares repurchasing method is conditioned by different motives of redemption, such as: achieving the company's surplus funds, lack of alternative investment opportunities, changes in capital structure, defense against hostile takeovers, a gradual reduction of the size of the company, changing the ownership structure, spread over the feasibility of monetary payment, an alternative form of cash dividends and the undervaluation of the shares on the market. The thesis consists of two main parts. The first part presents the methods of share repurchasing with an indication of the reasons for carrying out such operations. The second part was devoted to present the results of empirical research on motives of share repurchase of companies listed on Warsaw Stock Exchange.

This article aims to present the results of empirical studies on the evolution of abnormal rates of return on undervalued shares of Polish public companies on notice of planned repurchases of these securities. The study assumed a signaling hypothesis, which states that the share repurchasing may be used by managers as a tool for sending information to the market about undervaluation of these assets. This hypothesis seems to be justified in terms of signaling theory and the theory of information asymmetry. This article is divided into two main parts. The first part presents a theoretical concept of own shares, motives of repurchasing, the internal value of shares and the attractiveness rate of repurchases. The second part presents the results of empirical research on the number of buy-back programs in 2001–2009, and the reasons for carrying out the repurchasing of shares. Main attention is paid to the analysis of the formation of abnormal rate of return on undervalued shares with particular emphasis on the planned size of the repurchasing, buy-back method and the size of the company.
