Examining the presidential bill, the author presents a number of substantive and interpretive doubts aroused by the proposed provisions. Allowing the associations’ bodies to obtain remuneration violates the legal principle according to which associations are based on unpaid work of their members and reinforces the trend of departure from the traditional model of association. Additionally, this raises doubts as to the remuneration of other members of the association. The entry into force of the proposed provisions for dissolution of a local organizational unit (with legal personality) of an association will obscure the relationship between these provisions and the general principles of dissolution of association. The author also points to the incompatibility of the proposed provisions to repeal resolutions of the association’s bodies by the court to the general provisions of civil law. In his opinion, the bill should more specifically regulate some aspects of the process of associations transitions or mergers. Further legislative work on the bill is needed.

Opis:
The main assumption of the Bill is to reduce the phenomenon of drought. The Bill may contribute to slowing down the outflow of water, water retention in the catchment area, retention of rainwater, protection of aquatic animal species. However, in the author’s opinion, the Bill may at the same time raise doubts, as it may threaten the achievement of other important objectives of the Water Law and other acts. The proposed changes may, inter alia, negatively affect the efficient conduct of administrative proceedings in the field of water management investments, including the development of water energy. The proposed regulations may threaten the protection of life, health, safety of the community against floods, and the achievement of EU renewable energy targets.

Opis:
Shareholders of a simple joint-stock company (PSA) would neither be obliged to cover the minimum share capital prior to the formation of the company, nor they would be liable for the company’s obligations. The PSAs may be established for any legally permissible purpose, not only in the case of new innovative high-risk projects (start-ups), but also in situations where personal liability for liabilities incurred by the company is avoided. The creditor security mechanisms proposed in the bill may not be sufficient to satisfy PSA’s creditors.

Opis:
Adoption of the act will result in the introduction to legal trading of a simple joint-stock company (PSA), whose legal structure is inconsistent with the basic assumptions of the existing commercial companies system, as PSA shareholders are not liable for the company’s obligations or are not obliged to cover the minimum share capital prior to the formation of the company. Simple joint stock companies will not be obliged to establish a supervisory board, what may weaken internal control mechanisms in these entities. According to the bill, a PSA may be established for any legally permissible purpose, so that companies of this kind will not be established for the sole purpose of conducting business based on innovation. Therefore, solutions that are primarily intended to facilitate the development of innovative undertakings, can become a commonly used instrument to avoid personal liability for obligations.

The author analyses the Deputies’ bill of the Act on Magistrates’ Courts and Amending Certain Other Acts. The author acknowledges the necessity for a comprehensive regulation of the problem of excessive length of court proceedings. However she remains critical towards the bill in question. In the opinion of the author certain provisions of the proposed bill raise constitutional doubts or may cause constitutional reservations, inter alia, in the light of Article 179 of the Constitution. The author of the opinion points out that the bill also contains numerous legislative weaknesses.

There is no need to introduce a new type of capital company into the Commercial Companies Code. The objectives indicated by the sponsor of the bill can be achieved within the framework of a simple reform of the limited liability company. The bill introduces numerous solutions without taking into account solutions regardinglimited liability company and joint stock company, thus leading to the destabilization and disruption of the system of capital companies law. Without a substantive justification, differentiated solutions of the same issues were introduced with regard to simple joint-stock company, limited liability company and joint-stock company.

Opis:
The possibility of choosing a management system for a simple joint stock company, between a dualistic system of company bodies and a monistic one should be assessed positively. Another feature of a simple joint-stock company is the lack of fixed share capital, which is replaced by variable share capital without a defined minimum value, and the possibility to subscribe for shares in exchange for contributions in the form of the provision of work or services. In this respect, the bill does not meet the requirements of minimum creditor protection. Introduction of many new solutions for a simple joint-stock company will cause interpretative doubts regarding the functioning of a limited liability company or a joint-stock company.

The opinion deals with a government bill governing the issue of found property. It relates to the rights and obligations of the founder, the reception and storage of found property, including money, securities and valuables, as well as things of historic, scientific or artistic value. The proposed bill would cover all movables, including antiquities (monuments), but excluding archaeological monuments. According to the author, the bill raises doubts, both substantive and formal. He presents a number of editorial corrections.

The bill makes it more possible to achieve the aim which is to provide for the possibility of debt adjustment of natural persons and the reduction or complete removal of barriers to access to debt adjustment. Despite a favorable assessment of the bill as a whole, the author points out the violation of the principle of equal protection of property rights and the principle of equality, which are enshrined in the Constitution. Moreover, the proposed Article 4917 does not dispel the doubts that have been reported by the doctrine in relation to the admissibility of its application to tax lien.

The subject of this opinion is to assess the constitutionality of the proposed amendments to the Family and Guardianship Code. According to the author, the proposed changes to the premises for dissolution of marriage by divorce and the introduction of the possibility of dissolution of marriage solely on the basis of consistent declarations of intent of both spouses filed before the registrar, disturb the pattern of distribution of the rights and obligations of the parties to a marriage and the principle of legal formalism and principle of judicial procedure for examination of the grounds for dissolution of marriage by divorce, derived from Article 18 and Article 47 of the Constitution. In addition, the author claims that Article 4 of the bill infringes the constitutional principle of sound legislation derived by the Constitutional Tribunal from Article 2 of the Constitution by omitting the transitional provisions.

According to the author’s opinion, the bill is not subject to notification pursuant to Article 5 of Directive (EU) 2015/1535 of the European Parliament and of the Council of 9 September 2015 laying down a procedure for the provision of information in the field of technical regulations and of rules on Information Society services, does not constitute state aid within the meaning of Article 107 (1) of the Treaty on the Functioning of the European Union, and does not violate the Regulation (EU) No 994/2010 of the European Parliament and of the Council concerning measures to safeguard security of gas supply and repealing Council Directive 2004/67/EC.

The reason for introducing amendments to statutes is the intention to adapt the concepts and requirements of administrative court proceedings to the ones contained in the Code of Civil Procedure. According to the author’s opinion, the bill may be subject to further legislative procedures, however, with regard to the scope of the amendment’s subject matter, some legal doubts arise in certain areas. The author points out, inter alia, that the proposed changes may cause temporary organizational difficulties in the administrative courts. In the author’s opinion, introduction of a personal signature as one of the methods of authentication or signing of an electronic document will facilitate the preparation of electronic documents in the course of proceedings before administrative courts. The author also notes some inaccuracies and editorial errors in the bill.

The author gives an evaluation of the proposals to supplement the Act – Law on Common Courts System with the provisions on family diagnostic and consultation centres. Currently, their functioning is based on the Act on Juvenile Delinquency Proceedings, which fact is criticized by the author who claims that the centers, due to their tasks and the nature of and the proposed legislation, should be governed by the Act – Law on Common Courts System. In his opinion, the proposed bill does not eliminate all previous doubts concerning the use of evidence supplied by the centre in civil proceedings and, in this regard, needs to be completed. He also discusses some doubts about the wording and the arrangement of the proposed legislation.

In the opinion of the author, the amendment contains a number of regulations improving and increasing the effectiveness of enforcement proceedings in administration. It introduces, among others, a new institution in such proceedings, i.e. sale of movables by the debtor with the consent of the enforcement authority and voluntary payment of the debtor. Rules on the distribution of the amount obtained from administrative enforcement adjust the enforcement procedure to the requirements of the EU law. One of the changes beneficial to the debtor is the exclusion from enforcement of, among others, „500+” benefits, following the example of the regulation contained in the provisions on court enforcement.

The bill is an important step toward combining professional activity with family responsibilities. The opinion confirms that the bill considerably improves the organization of the work process and introduces significant changes in the sphere of rights related to parenthood, including leave pooling in order to provide care. Despite this positive assessment, the author points out that the bill does not constitute culmination of a long evolution of the provisions of Section VIII of the Labour Code and that the actions of the legislature should be more intensive.
