The Act of 5 July 2018 on the succession administration of the business of a physical person introduced a possibility to carry out transactions relating to establishing and performing administration of the estate. In particular, the Act permits to appoint a succession administrator and empowers him or her to carry out legal transactions relating to the business of the deceased entrepreneur. A need to determine the law applicable to these legal transactions arises. The article contains an analysis of the conflict rules adopted in the EU Succession Regulation. From this analysis the author draws a conclusion that the appointment of the succession administrator and the legal acts relating thereto are subject to the law applicable to succession. Likewise one should classify legal transactions relating to the administration of the business undertaken by persons named in the Act to carry out administration in the period before the succession administration is established. The prerequisites of the validity of the legal transactions carried out by the effectively nominated succession administrator on the other hand are subject to the law applicable to the given legal transactions, as according to general rules relating thereto. This includes, inter alia, that the legal acts falling with the scope of the law applicable to succession (Article 23 of the Succession Regulation), are governed by that law.

This paper argues that the principle of unity of succession is one of the key concepts of the Succession Regulation. By operation of this principle on the jurisdictional level, the Regulation tends to favor a perspective of a single Member State when it comes to all issues related to succession. The principle of unity of succession does not of course eliminate the need to proceed to the characterization and to delimitate the scopes of conflict of laws rules at stake. However, this principle — aiming to promote a unitary vision of a single estate in all the Member States bound by the Regulation — sets a tone for some interpretative techniques that tend to favor succession-related characterization of the issues having some importance in the context of succession with cross-border implications. According to the Author, effet utile-driven characterization, on the one hand, and succession-friendly characterization of the issues falling within ‘gray areas’ created by the operation of Article 1(2) of the Succession Regulation, on the other hand, are among them.

The commentary presents an analysis of a thesis presented by the Court of Justice of the European Union in Judgment of 23rd of May 2018. The question referred to the Court in case C-658/17 WB concerned legal definition of a ‚court’ and legal classification of the national deed of certification of succession under the provisions of Regulation(EU) No 650/2012. The Judgment states that notary in Poland that draw up a deed of certificate of succession at the unanimous request of all the parties, does not constitute a ‚court’ within the meaning of that provision. Subsequently, a deed drawn up by such authority does not constitute a ‘decision’ within the meaning of that provision. The Judgment is particularly relevant since its impact extends to national certificates of succession issued by notaries in other countries, that are part of the Latin part notary system. In conclusion it is indicated, that the Judgment rendered by Tribunal, although highly rightful, relates to merely one of numerous issues concerning use of authentic documents in cross-border succession cases.

The article discusses the impact of the EU Succession Regulation on the German system of private international law. The change came with some important differences introduced in the text of the Regulation as in comparison to previous German solutions (especially the use of the habitual residence as the main connecting factor instead of nationality), and, as a result of the number of decisions of the CJEU on the Regulation (in particular the Kubicka case).The paper presents the most important, up-to-date German case-law relating to the EU Succession Regulation. It starts with the general remarks in that regard and continues to discuss judgments covering issues of jurisdiction, applicable law, and the European Certificate of Succession. Three conclusions are drawn therefrom. First, the cases show a general willingness of the courts to cope with the fundamental changes introduced by the Regulation. In particular, the concept of “habitual residence” is applied on the basis of an autonomous interpretation by reference to the case-law of the CJEU on Regulation Brussels IIa. Second, a number of decisions make apparent that the courts are sometimes slow to accept the consequences which flow from the changes brought about by the Regulation, and which oblige to re-consider the German practice in matters of international successions. That applies in particular to the issuing of the European Certificate of Succession. Third, German courts are generally ready to initiate cooperation with the CJEU by formulating preliminary questions (three questions posed by the end of 2019).

Since August 17, 2015 the courts of the Member States of the European Union apply the conflict-of-laws rules adopted in the EU Succession Regulation (EU) in succession matters. From the Polish point of view, this constitutes not only the change of the rules applied for the purposes of determining jurisdiction and the applicable law, but also a new approach to the overriding mandatory provisions. Contrary to other European instruments of private international law, the Succession Regulation neither uses the term “overriding mandatory provisions”, nor defines its meaning. Nevertheless, in Article 30 the Regulation provides for application - irrespective of the law applicable to the succession under its conflict rules - of the special rules of the State, where certain immovable property, enterprises or other special categories of assets are located, and which - for economic, family or social considerations - impose restrictions concerning or affecting the succession in respect of those assets, in so far as, under the law of that State, they are applicable irrespective of the law applicable to the succession. The interpretation of this provision cause difficulties. It is not clear whether the concept of the special provisions embodied in Article 30 refers to the concept of overriding mandatory rules, well known in the European private international law, or whether it constitutes an original solution. Another controversial issue discussed in the paper is the relevance of the mandatory rules of the forum or the third State other than those mentioned in Article 30.

The article is devoted to the problem of succession in family business in the perspective of class positions’ reproduction. The analysis of succession is carried out with reference to Pierre Bourdieu’s theory, particularly in relation to reconstruction entrepreneurs’ class position withingradationally-relational model of social structure, description of economic field transformation and role played by entrepreneurs in that process, analysis of modal trajectories of entering the economic field and to strategies and forms of capitals reconversion. Transfer of capitals was entangled within model of transmission of knowledge, power and ownership in family enterprises. Succession next to starting own enterprise must be seen as one of dominant strategies for social position reproduction within a possessing class fraction. Those two ideal-type strategies can be mixed in practice of position reproduction and lead to hybridized forms of family business and new enterprise. Class position  reproduction however, can lead also outside possessing class fraction to those richer in cultural rather than economic capital. Analysis of succession cannot therefore be limited to family business only but must be considered with reference to wider context of reproduction of social structure.

The EU Succession Regulation constitutes a remarkable achievement of unification of conflict of law rules at the European level. It has importantly changed the landscape for all those interested in succession law, in particular, the notaries and theestate planning practitioners. The present article takes up a number of selected issues that arise under the Regulation. The paper first identifies certain general difficulties that result either from the complex nature of the matters addressed or from a somewhat ambiguous wording of the rules adopted by the EU legislator. The attention is devoted to the exceptions to the principle of the unity of legis successionis, the dispositions upon death, and the intertemporal questions resulting from the change of the conflict of laws rules in the Member States which occurred on 17th August 2015 when the Regulation started to be applied. The paper then moves to some of the more specific issues arising under the Regulation. To that effect, it first looks at the Polish Act of 2018 governing the ”succession administration” of the enterprise, which forms part of the estate. The argument is made that the rules contained in the 2018 Act should be applied by virtue of Article 30 of the Succession Regulation because they constitute “special rules” in the meaning of this provision. Second, the notion of a “court” under Article 3(2) of the Regulation is discussed in light of the recent judgment of the CJEU in case C-658/17 WB, where the European Court found that a Polish notary issuing the deed of certification of succession is not a “court” for purposes of Article 3(2). The paper provides a critical account of the Court’s decision.

The normative system originating at the beginnings of the Roman monarchy bound the sacral realm and the realm of law together in ways that made it impossible to distinguish between those two orders. It was not until the 5th century BCE, when the rising autonomy of law prompted the question of the impact of Roman beliefs on the formation of legal institutions, especially the law of succession, highly reflective of religious convictions of the Romans in the early Republic. The law at that time, being formed by the college of pontiffs, or priests (pontifical jurisprudence), remained under a strong influence of faith professed by society, at the core of which was domestic worship (sacra privata) practiced in order to provide families and gentes with prosperity. The regulations regarding succession were aimed to maintain its continuity by introducing a universal successor (heres), linking an obligation to continue domestic worship with the patrimony (patrimonium), controlling a universal succession by way of pontiffs on the strength of the calatis comitiis will, and also by enabling the acquisition of an inheritance through usucapion (usucapio pro herede), and, finally, by broadening the scope of people responsible for religious rites to co-heirs (coheredes) and members of the gens (gentiles).
Das zu Beginn des Römischen Reiches entstandene Normensystem sollte sakrale und rechtliche Sphäre zusammenschweißen, damit die beiden Ordnungen voneinander nicht mehr unterscheidbar sein durften. Erst die vom 5. Jahrhundert v.Ch. erfolgenden Prozesse der Rechtsautonomisierung lassen nach dem Einfluss der römischen Religion auf Gestaltung der Rechtsinstitutionen, insbesondere der religiösen Gesinnung der Römer in der frühen Republik in hohem Grad widerspiegelten Erbrechtes fragen. Das damals vom Pontifikalkollegium geschaffene Recht blieb unter starkem Einfluss des Glaubens, der auf den zum Wohle der Familien getriebenen Privatkult (sacra privata) konzentriert war. Die das Erbrecht betreffenden Gesetze sollten die Kontinuität der Vererbung sichern, und das durch: Einführung der Institution eines universellen Erben (heres), die Pflicht, den betriebenen Kult mit dem zu vererbten Vermögen (matrimonium) zu verknüpfen, die kraft des Testaments calatis comitiis ausgeübte pontifikale Kontrolle über universelle Sukzession, die Möglichkeit, das Erbe durch Ersitzung (usucapio pro herede) zu erwerben und schließlich den Kreis der für religiöse Rituale Verantwortlichen um Miterben (coheredes) und Familienmitglieder (gentiles) zu erweitern.

Opis:
The jurisdiction provided for in Article 13 of Regulation 650/2012 is ancillary to the jurisdiction regulated in Articles 4—11 of the Regulation. It covers only the declarations described in this provision. Their content is determined by the law applicable to succession. Jurisdiction under Article 13, on the other hand, does not cover the consequences of the silence of a candidate for an heir. The effects of the waiver of the succession are assessed according to the provisions of the law applicable to succession even if the waiver occurred within the jurisdiction of Article 13 of the Regulation. In the case before the CJEU, the Bremen court of succession held that since it had not been served with the original document containing the waiver of the succession with an official translation into German within the deadline set by the law application to succession (Section 1944(3) BGB), there had been no effective waiver of the succession. Responding to the preliminary questions of the German court of second instance, the CJEU correctly stated that in the case of waiver of the succession in the state, in which the waiving heir has his or her habitual residence, it is sufficient to comply with the form requirements provided for by the law of the state in which that declaration is made, without a necessity to comply with the requirements of the lex successionis. On the basis of legis processualis, the German court of succession could have requested that translation into German of the documents drawn up in Dutch is submitted. On the same basis, it could also have demanded the submission of the originals of the above documents. However, it incorrectly held that these acts must be completed within the time limit for waiver of succession provided for in the legis successionis. It is also clear that the failure of the heir waiving the succession to comply with the instruction contained in the last sentence of recital 32 of the Regulation (paragraph 74) regarding the obligation to give notice of waiver, does not render the waiver invalid. It seems desirable in future, however, to explicitly include in the Regulation the obligation to notify the court of succession of the waiver, in the country of habitual residence of the waiving heir.

Artykuł naukowy koncentruje się na odpowiedzi na pytanie, czy następcy prawni pierwotnego użytkownika dóbr cyfrowych mogą wejść po jego śmierci w stosunek prawny łączący go z dostawcami tych dóbr. W pierwszej kolejności należało podjąć próbę zdefiniowania pojęcia dóbr cyfrowych i dokonać ich odpowiedniej kwalifikacji prawnej, a także zastanowić się nad materialną oraz niematerialną wartością tych dóbr. Niezbędne było także wskazanie obecnie najpowszechniej stosowanych sposobów radzenia sobie z losem dóbr cyfrowych, które pozostawił w przestrzeni wirtualnej po swojej śmierci ich pierwotny użytkownik, a także poczynienie rozważań z zakresu jurysdykcji i prawa prywatnego międzynarodowego w aspekcie statutu umownego i prawa spadkowego. Ponadto w opracowaniu zostały wzięte pod uwagę, podnoszone w piśmiennictwie, kwestie dotyczące prywatności post mortem, ochrony danych osobowych i zapewnienia stosownej ochrony pozostawionym dobrom cyfrowym na gruncie prawa własności intelektualnej, które stanowią swego rodzaju przeszkody w dopuszczeniu do prostego następstwa prawnego dóbr cyfrowych post mortem. Jako podsumowanie pochylono się również nad obowiązującymi aktualnie w wybranych państwach na świecie rozwiązaniami prawnymi, które stały się następnie podbudową pod sformułowanie postulatów de lege ferenda.
The research paper focuses on the analysis of the legal situation of digital goods left in the virtual space by a deceased user of online services. As part of the above research, it was first necessary to try to define the concept of digital goods and make them legally qualified, as well as to consider the material and non-material value of these goods. Therefore, it was also necessary to indicate the most commonly used methods of dealing with the fate of digital goods left after the death of their original user, as well asconsiderations in the field of private international law in the aspect of the law applicable to contract and the law applicable to succession. The author also focuses on the legal solutions currently in force in the selected countries in the world, which then became the basis for the formulation of de lege ferenda postulates.

The article concerns the notion of “court” in the Succession Regulation. This notion is used in the Brussels I and Brussels Ia Regulations, where it does not necessarily have the same scope. The author attempts to interpret the concept in the light of the recitals to the Succession Regulation (in particular Recital 20) and of the case law of the Court of Justice. The very general description of the concept contained in Article 3(2) of the Regulation might potentially embrace other authorities and legal professionals, where they exercise judicial functions by way of delegation of power from the court. In the author’s view, the European Court, especially in Oberle and WB v Notariusz Przemysława Bac correctly navigated its way through the Succession Regulation and ruled in a way which is both coherent as regards the operation of the Regulation and consistent with the intentions of the legislator. The above judgments are analysed also with regard to Poland’s omission to notify notaries as “courts” under Article 79 of the Succession Regulation. The European Court found that the criteria for determining whether an authority or a legal professional, in particular a notary public, constitutes a “court” aredetermined by Article 3(2) and not by Article 79. Consequently, Poland’s omission to notify was not conclusive, but was in any event correct in substance. The author expresses the opinion that the judgment is accurate on this point.

The Yugoslav Act of 1982 on resolving conflict of laws with regulations of other countries is still in force in the Republic of Serbia. The law drafted over 40 years ago was considered as innovative at the time of its adoption. At present, the Serbian academic community signals the need to update the current provisions of private international law, both in the spirit of approximation with the law of the European Union and in the need to better embed this law in the present legal order of the Republic of Serbia. The draft of a new act on private international law, prepared in 2014, was not adopted yet, although it was not formally rejected as such in Serbian legislative procedures (as of April 13, 2023) either. Though not formally binding, the draft law has been cited in recent years in the Serbian law journals, being an important point of reference for considerations on questions related to private international law in Serbia. It must be admitted that the progressive Serbian academic community turned out to be an active inspirer, creator and is now also a tireless advocate of changes in the field of private international law in Serbia.Serbia, which has been an EU candidate since 2013, has no particular obligation to introduce specific solutions in the field of private international law into its national law neither before nor after accession. EU law in the field of private international law is contained in regulations that will be automatically and directly applicable in Serbia when it becomes a member of the European Union. This is a dilemma whether to adopt the provisions which, in principle, will have to be repealed after the accession. At the same time, there are several benefits of approximating the law before the accession, including accustoming legal practitioners in Serbia to apply solutions similar to those in the EU, and increasing legal certainty by applying similar solutions of private international law in transactions between entities from Serbia and the European Union (regardless of the accession prospects).The author describes and summarizes the current state of regulations in Serbian private international law and analyses the main changes proposed in the draft law of 2014. The article also presents agreements binding Serbia in the field of private international law, including the still binding 1960 Polish-Serbian agreement.

Opis:
W niniejszym artykule poruszono zagadnienia związane z umowami dotyczącymi spadku obejmującego przedsiębiorstwo rodzinne, ze szczególnym uwzględnieniem prawa katalońskiego. W artykule w pierwszej kolejności wskazano pewne ogólne trudności, które wynikają z braku oficjalnej definicji „przedsiębiorstwa rodzinnego”, zarówno na poziomie krajowym, jak i międzynarodowym. Następnie krótko wyjaśniono specyfikę hiszpańskiego systemu prawnego, która jest szczególnie widoczna z perspektywy prawa spadkowego, którego systemów Hiszpania ma aż siedem, w tym kataloński, który jest przedmiotem szczególnego zainteresowania w niniejszym artykule. Artykuł przechodzi następnie do protokołu rodzinnego – instytucji, której zadaniem jest pełne i kompleksowe wspomaganie przedsiębiorstw rodzinnych w ułożeniu zarówno wewnętrznych, jak i zewnętrznych relacji z osobami trzecimi. Następnie szczególną uwagę poświęca się heretament i pacte successori d'atribució particular jako przykładom umów dziedziczenia w prawie katalońskim. Omawiana przez autorkę dopuszczalność umów dziedziczenia jest ściśle związana z zachowaniem ciągłości przedsiębiorstw rodzinnych. Uważa się, że jest to odpowiedni środek gwarantujący ich integralność i transfer międzypokoleniowy. Dlatego też autorka sugeruje, aby polski ustawodawca nie zaprzestawał poszukiwań instytucji wspierających przedsiębiorców w procesie planowania dziedziczenia.
The present article addresses the issues relating to the agreements as to family business succession with a particular focus on the Catalan law pertaining thereto. The paper first identifies certain general difficulties that result from lack of official “family business” definition, both at the national and international levels. Then, briefly explains the specificity of the Spanish legal system, that is particularly visible from the perspective of inheritance law, the systems of which Spain has as many as seven, including Catalan, which is of particular interest in the present article. The paper then moves to the family protocol - the institution whose task is to fully and comprehensively assist family enterprises in arranging both internal and external relations with third parties. Then the special attention is devoted to the heretament and pacte successori d'atribució particular as examples of succession agreements in Catalan law. The admissibility of the succession agreements, as discussed by the author, is closely related to the continuity of family businesses. It is considered an appropriate measure to guarantee their integrity and intergenerational transfer. Therefore the author suggests that the Polish legislator should not cease searching for institutions that would support entrepreneurs in the process of inheritance planning.

The article deals with the new Uruguayan act on private international law, i.e. the General Act on Private International Law n° 19.920 of the 17th of November 2020. The authors aim to analyse and assess its solutions, especially in the areas of matrimonial property relations, succession and legal entities, taking into account historical and comparative perspectives. The study presents the origins of the Act, its structure, main characteristics and ideas, and essential novelties introduced thereby. As for matrimonial property relations and succession, the authors focus on the question of the applicable law, while as for legal entities, also on the notion of the recognition of their legal personality. Within the comparative remarks, new Uruguayan provisions are explained against the background of Argentinian, Brazilian, Chilean, Colombian, Cuban, Dominican, Panamanian, Paraguayan, Peruvian and Venezuelan rules, as well as international multilateral conventions and European Union regulations.

The author advocates a flexible approach with respect to the interpretation of the term “Member State” as employed in the Succession Regulation, allowing the differentiation between “participating” and “non-participating” States. It does not mean that the term “Member State” should always be interpreted in a wide sense including the three non-participating States: Denmark, the Republic of Ireland, and the United Kingdom. Whether a wide or a narrow interpretation is appropriate depends on the context and the purpose of the single provision. Most provisions contained in the chapter on jurisdiction refer to participating Member States only. But some articles such as the Article 13 of the Regulation, provide a counter-example. A uniform interpretation of the concept of Member State in all provisions of the Succession Regulation seems far too sweeping. It reminds of Begriffsjurisprudenz and does not take account of the purpose of the single provisions. In particular, it disregards the need for the cross-border protection of individual rights in a Union with open frontiers.
