Opis:
Mass inflow of Ukrainian citizens into Poland gives rise to many legal issues, including conflict-of-law questions about rights in rem held by such persons both in respect of property left in Ukraine and property brought to Poland. In the context of the prolonged stay of such persons in Poland, one crucial task may be, for example, to establish the law applicable to the disposal of their property brought to Poland under legal acts made in Poland.The Agreement between the Republic of Poland and Ukraine on legal aid and legal relationships in civil and criminal matters, done at Kiev on 24 May 1993, applicable in Polish-Ukrainian relations, devotes several  provisions to those questions.However, the Agreement ignores the question of the law applicable to property law relationships having movable items as their objects. In particular, it does not designate the law applicable to contracts transferring the ownership of movable assets and contracts encumbering such assets with limited rights in rem. The relevant norms in this regard are conflict-of-law rules of the Polish Act of 04 February 2011 — Private International Law, and of the Ukrainian confl ict-of-law Act of 23 June 2005, designating the law applicable to property.Accordingly, as long as movable items are located in Poland, Polish law will apply with regard to the respective property law relationships. This is provided for in Article 41 (1) of the Private International Law Act. However, Polish law will not apply to obligational and property rights having as their object immovable properties located in Ukraine, which is covered by Article 32 of the Agreement of 24 May 1993. In this regard, Ukrainian law is exclusively applicable.Under Article 41 (2) of the Private International Law Act, in the assessment of legal relationships relating to a movable property brought to Poland from Ukraine, one should also consider legal events taking place when the asset in question was still in Ukraine. However, the assessment of legal events having an impact on property law relationships taking place in Poland and relating to movable items brought back to Ukraine will be based on the Ukrainian law.

The Act of 5 July 2018 on the succession administration of the business of a physical person introduced a possibility to carry out transactions relating to establishing and performing administration of the estate. In particular, the Act permits to appoint a succession administrator and empowers him or her to carry out legal transactions relating to the business of the deceased entrepreneur. A need to determine the law applicable to these legal transactions arises. The article contains an analysis of the conflict rules adopted in the EU Succession Regulation. From this analysis the author draws a conclusion that the appointment of the succession administrator and the legal acts relating thereto are subject to the law applicable to succession. Likewise one should classify legal transactions relating to the administration of the business undertaken by persons named in the Act to carry out administration in the period before the succession administration is established. The prerequisites of the validity of the legal transactions carried out by the effectively nominated succession administrator on the other hand are subject to the law applicable to the given legal transactions, as according to general rules relating thereto. This includes, inter alia, that the legal acts falling with the scope of the law applicable to succession (Article 23 of the Succession Regulation), are governed by that law.

The subject of the study is the analysis of the conflict of law rules contained in Article 30 of the Agreement between the Republic of Poland and Ukraine on legal assistance and legal relations in civil and criminal matters, made in Kiev on May 24, 1993 (Journal of Laws of 1994, No. 96, item 465) determining the jurisdiction and applicable law for establishing, amending, terminating and canceling the adoption. Before proceeding with this analysis, some differences in the substantive and procedural/technical rules relating to adoption in Polish and Ukrainian law are pointed out. Furthermore, it is emphasized that under Article 30 of the Agreement the institution of renvoi plays no part. In the event of multiple Polish and Ukrainian citizenship, the decisive factor becomes the “effective” citizenship. Article 30, on the other hand, offers no solution for stateless persons. Next, the jurisdiction designated by Article 30 sec. 5 sentence 1 of the Agreement (dealing with matters of adoption, as well as the amendment, termination or annulment of the adoption) is analyzed. Subsequently, the author takes up the questions relating to determination of the law applicable to adoption by one person and the joint adoption by spouses. The author contends that the law applicable to the adoption is fixed and so it is not subject to changes. The article assumes that the effects of a full adoption “transform” — on the confl ict-of-laws level — into relations between parents and children, and the effects of a partial adoption are governed by the law applicable to the establishment of adoption.The article shows that the law applicable to its establishment of the adoption is applicable also to the amendment, termination and annulment of adoption. The author further submits that in theory the public policy clause may be used under the Polish-Ukrainian Agreement, but in practice this should not occur too often because there are no provisions of the Ukrainian adoption law, the application of which would result in consequences contrary to the fundamental principles of the Polish legal order.

The article raises issues concerning legal basis for the application of the overriding mandatory rules. In the Polish doctrine there are two opposing concepts in terms of explanation of the legal grounds for application of overriding mandatory rules. Both theories do not have a universal dimension, in the sense that they do not sufficiently explain the basis for the application of domestic as well as foreign overriding mandatory rules, being part of lex causae or coming from a third state. The article presents arguments for and against the possibility of deriving the legal grounds for application of the overriding mandatory rules, with reference to submissions made to that effect in literature. The author makes also an attempt to formulate a concept complementary to the concept of an integrated conflict-of-law rule with the substantive law rule, boiling down to the assumption that the basis for application of overriding mandatory rule is a second degree conflict of laws rule allowing to apply a first degree conflict of laws rule integrated with the substantive rule.

The article pertains to the matter of jurisdiction and the law applicable to relations between parents and children in Polish-Ukrainian relations. In recent years, in particular since the beginning of Russia’s military aggression against Ukraine, large waves of Ukrainian immigrants have come to Poland. The structure of the migration, with the domination of women and children, oblige Polish courts and other authorities to deal with the issues of parental responsibility, contacts with children, custody and maintenance in the cross-border context. In this situation, the bilateral Agreement between the Republic of Poland and Ukraine on legal assistance and legal relations in civil and criminal matters, signed in Kiev on 24 May 1993, acquires a new significance. It contains both the procedural rules (on jurisdiction, international legal aid, service of documents, as well as the recognition and enforcement of judgments) and confl ict of law provisions in the field of broadly understood civil matters, including relations between parents and children. The author undertakes a critical analysis of the provisions of Polish-Ukrainian Agreement as with respect to filiation (children’s origin), parental responsibility and child maintenance. The anachronism of its solutions and the need for its termination is emphasized.

Opis:
Retention of title as a security on tangible assets is well known in many legal systems. It enables to strengthen the position of the seller in such a contract of sale in which the payment of the price is agreed to be done later than the handing over the good. This instrument disturbs the traditional model of sale in two ways. Firstly, the conclusion of the contract is not directly followed — which takes usually place — by the performance of the obligation to transfer the property. Secondly, the right of property receives in that way a new role to play — it becomes a security right, guarantying the pecuniary claim of the seller and ceases the function of the principal right. In order to find the law applicable to the retention of title, its different aspects — contractual and real — should be qualified according to their nature. These aspects should be treated separately and be assessed according to the proper legal system. For example, the law applicable to contractual assets of retention of title defines if such belated transfer of ownership affects any general rights and obligations of parties, such as the right to receive benefits from the asset or to bear costs of its maintenance. On the other hand, the law of actual location of the asset as a law applicable to real aspects of the retention of title defines the nature of the element disturbing the transfer of ownership and the scope of rights of the seller towards charged good as its owner.

Disputes arising from international data breaches can be complex. Despite the introduction of new, unified EU regulation on the protection of personal data (GDPR), the European Union failed to amend the Rome II Regulation on the applicable law to non-contractual liability and to extend its scope to the infringements of privacy. GDPR only contains provisions on international civil procedure. However, there are no supplementing conflict-of-law rules. In order to determine the applicable law national courts have to apply divergent and dispersed national codifications of private international law. The aim of this study is to propose an optimal conflict-of-law model for determining the applicable law in case of infringement of the GDPR’s privacy regime.

The main purpose of this study is to determine which conflict of law rules constitute the basis for the search for the law applicable to private-law compensation claims provided for in Article 82 of the GDPR, and whether it is possible to apply the Rome II Regulation on the law applicable to non-contractual obligations in this regard. The authors first set out the main features of the claim, with particular emphasis on those areas where discrepancies may arise at the level of national law. They then qualify the claim as a tortious one, which leads them to pose a question about the applicability of the Rome II Regulation in this case. Special attention is given to the relationship between privacy and personal data protection. The authors argue that these two spheres have become gradually separated from each other and finally, under GDPR, claims for damages for a breach of personal data protection being independent of claims for an infringement of personal rights. Consequently, they assume that the law applicable to a claim under Article 82 of the GDPR should be indicated on the basis of the Rome II Regulation, despite the doubts arising from the exclusion provided for in Article 1.2.g Rome II. If approach is accepted, it will have significant consequences for the harmonisation of the application of the GDPR in the EU Member States, and for achieving the harmonisation of decisions at the level of national law.

The real seat is a recognised, although expressed in different terms, connecting factor of the EU international private law, relating to companies in they different legal relations. Under the regulations unifying particular areas of this law, relevant form the point of view of cross-border operations of companies, the real seat is the connecting factor determining the applicable law in the field of contractual and non-contractual obligations, and the company’s bankruptcy. Furthermore, it deretmines the jurusdiction for insolvency proceedings against the company, and i salso a jurisdictional connecting factor for general civil and commercial matters. The real seat connecting factor may also constitute a connecting factor determining the law applicable to company, accectable under the EU freedom of establishement.

In this article the authors analyse the consequences of displacement of natural persons during war, in the field of private international law. That displacement may affect the determination of applicable law if the factors to be taken into account include domicile, habitual residence, permanent residence, residence or sojourn of natural person. Apart from discussing the general understanding of these factors, we present the situations where a person has lost links with the country of his or her nationality because of the war but has not acquired strong links with any other country. All of the issues are discusses in the light of legal assistance agreements, EU law, and national laws.

The question of which law should govern the third-party effects of assignments of claims was considered during the preparation of the Rome I Regulation. The European Commission’s proposal for the Rome I Regulation admitted the law of the assignor’s habitual residence as the law that should apply to the proprietary effects of assignments of claims. Finally, EU Regulation on the law applicable to contractual obligations did not include the issue of the third-party effects of the assignment. However, Article 27(2) of the Rome I Regulation required the European Commission to present a report on the question of the effectiveness of assignments of claims against third parties accompanied, if appropriate, by a proposal to amend the Rome I Regulation. Proposal for a Regulation on the law applicable to the third-party effects of assignments of claims (COM(2018) 96 final) is a response to this request. This paper analyses current draft of the new EU Regulation, the rules on determination of the third-party effects of assignments of claims (law of the assignor’s habitual residence and law of the assigned claim) and "super conflict rules" in specific cases. The author argues that the law of the assignor’s habitual residence remains the appropriate conflict rule for proprietary effects of assignments of claims.

Ścieranie się koncepcji dotyczących charakteru małżeństwa miało szczególny wymiar na ziemiach polskich podczas zaborów i po odzyskaniu niepodległości (1918). Różnorodność obowiązujących ówcześnie praw (niemiecki BGB z 1896, węgierski Akt nr XXXI o małżeństwie z 1894, rosyjski ukaz o małżeństwie z 1863, I część tomu X i częściowo I część t. XI Zwodu Praw Cesarstwa Rosyjskiego z 1832 r., austriacki ABGB z 1811) stanowiła wyzwanie dla międzywojennych kodyfikatorów i prawników praktyków. Przesłanki ważności małżeństwa w prawie cywilnym w XIX w. i w pierwszej połowie XX w. miały jeszcze często mieszany charakter – częściowo wywodziły się z zasad religijnych (np. przeszkoda różności wiary, święceń kapłańskich), a częściowo ze świeckich zasad prawa rzymskiego (przeszkoda wieku, pokrewieństwa, powinowactwa, przysposobienia, bigamii oraz wad oświadczenia woli). Na tym tle węgierską ustawę o małżeństwie należy ocenić jako nowoczesną.
The clash of ideas regarding the nature of marriage took a specific form in the Polish lands during the partitions and after Poland regained independence (1918). The variety of laws in force at that time (German Burgeliches Gesetzbuch of 1896, Hungarian Act no. XXXI on mar- riage of 1894, Russian ukase on marriage of 1863, the first part of Volume X and partly the first part of Volume XI of the Digest of laws of the Russian Empire of 1832, and Austrian civil code of 1811) posed a challenge to the interwar codifiers and legal practitioners. The premises for the validity of marriage in civil law in the 19th century and in the first half of the 20th century were still of a mixed nature — they partly derived from religious principles (e.g. the impediment of differences of faith or priestly ordination), and partly from secular principles of Roman law (the impediment of age, kinship, affinity, adoption, bigamy and defects in the declaration of will). Against this background, the Hungarian Marriage Law must be assessed as modern.

Opis:
The Directive (EU) 2018/957 of the European Parliament and of the Council of 28 June 2018 introduced several changes to the Directive 96/71/EC on the posting of workers in the framework of the provision of services, affecting the posted worker’s employment relationships directly. Article 3(1) of the Directive 96/71/EC requires that an employer has to guarantee his workers posted to the Member State, the terms and conditions of employment, in matters listed in it, resulting from the law where the work is carried out, regardless of the law applicable to employment relationships. First of all, the Directive (EU) 2018/957 introduced the new concept of “remuneration” paid to the posted workers. Secondly, it extended the list of mattes in article 3(1) by adding point (h) — “the conditions of workers’ accommodation where provided by the employer to workers away from their regular place of work” and point (i) — “allowances or reimbursement of expenditure to cover travel, board and lodging expenses for workers away from home for professional reasons.” Finally, the Directive (EU) 2018/957 established the posting period, not clearly defined before, which should not last longer than 12 months (18 months when the service provider submits a motivated notification).This paper analyses the main changes introduced by the Directive (EU) 2018/957 amending the Directive 96/71/EC in the employment relationship field.

Opis:
This paper aims to comment an important ruling concerning the Posted Workers Directive (Directive 96/71/EC). In the judgement C-396/13 (Sähköalojen ammattiliitto ry v. Elektrobudowa Spółka Akcyjna), the European Court of Justice providedits pro-worker’s interpretation of Art 3 of Directive 96/71/EC concerning the scope of the "minimum pay rate". The second issue raised by the European Court of Justice was the assignability of pay claims governed by Polish law based on Art 14 (2) of Rome I Regulation and prohibited under that law. In commented judgement, the Court admitted the assignment of claims arising from employment relationships in light of article 47 of the Charter of Fundamental Rights of the European Union and accepted the trade union’s right to represent the posted workers.

Opis:
In international trade, it is essential to determine the scope of the law applicable to property rights, i.e. the law applicable to the assessment of rights in rem. Article 41 of the Polish Private International Law Act uses the connecting factor of the situs rei. The competence of legis rei sitae regarding rights in rem should not be challenged when the subject of rights in rem is tangible property. If, however, the subject of rights in rem is not a tangible object but in a claim or other type of a right, then there is an urgent need to seek other ways of establishing the law applicable to the formation of such rights. In addition, there is a recurrent problem with the proper delimitation with the laws applicable to other issues, i.e. the determination of the law applicable to the assessment of the effectiveness of the acquisition of a limited right in rem, and the question of the so-called adaptation and qualification. The purpose of the present study is to determine the law applicable to the establishment of limited property rights. Using the dogmatic-legal, comparative and complementary historical methods, the provisions of Article 41 of the Private International Law Act are evaluated, and conclusions are drawn de lege ferenda.
