    Opis:
    Through its social dimension and its economic efficiency, the cooperative form of business is a particularly important link in the process of the development of the rural areas in Poland. Cooperatives use their technical and social infrastructure for the propagation of the economic, organizational, technical and social advancement. Similarly to the interwar period, the agricultural cooperative movement may contribute substantially to the development of the Polish rural areas. As cooperatives have to compete on contemporary market, their functioning had to change to match the requirements of a regular business process, with a suitably organized process of production and effective marketing. Conditions in which cooperatives work nowadays changed. That is why the functioning of cooperatives cannot be based mainly on ideological grounds, but it should be defined in terms of highly effective business operation. First of all, legal and economic conditions give grounds to the model of the entrepreneurial cooperative, based on economic and commercial practices. This article contains a presentation of the changes of basic conditionings and tasks of collective farms in Poland, with reference to the historical development of this form of cooperative movement.

El cooperativismo agrario – primera acción del catolicismo social en España El catolicismo social agrario en España se desarrolló a iniciativa de sacerdotes y pioneros del catolicismo europeo, agrupando a pequeños agricultores y proporcionándoles una serie de servicios que impidió su proletarización. El éxito de su organización sirvió como posterior soporte a otras iniciativas asociativas como la prensa o la representatividad política. La importancia del catolicismo social en España impidió el éxito de un totalitarismo de signo fascista.
    The agrarian social Catholicism in Spain was developed at the initiative of priests and pioneers of European Catholicism, grouping small farmers and providing a range of services which prevented their marginalization. The success of this organization later served as support other partnership initiatives such as the press or political representation. The social Catholicism in Spain prevented the success of fascist totalitarianism sign.

    Opis:
    This study presents the issues connected with general aspects of bankruptcy of a cooperative as well as with the separateness of such bankruptcy proceedings based on Cooperative Law from Bankruptcy and Reorganisation Law. Presented are the major legal problems, indicated by the doctrine of law, relating to difficulties in the practice of bankruptcy courts, with particular regard to the jurisdiction of Supreme Court. Also presented are the issues connected with cooperative bankruptcy if bankruptcy proceedings involving the liquidation of the estate are in progress. The author analyses mainly the issues connected with the very institution and consequences of the proceedings, such as: the legal basis for the declaration of bankruptcy of a cooperative, its bankruptcy capacity, and the activities preceding the declaration of bankruptcy. In the section concerning the consequences of declaring bankruptcy, the study covers the issues relating to the powers of the receiver and the cooperative bodies in bankruptcy proceedings, cooperative estate, removal from the register, and board members' responsibility in the case when no motion to declare bankruptcy has been submitted.

    Artykuł omawia aktualny stan, zagrożenia legislacyjne związane z przygotowaniem przyszłej polskiej ustawy spółdzielczej oraz wybrane propozycje legislacyjne. Stan prawny dotyczący polskich spółdzielni jest niezadowalający. Wadliwe są podstawowe założenia, struktura oraz treść przepisów, które cechują się archaicznością i szczątkowością. Uchwalenie nowej ustawy o spółdzielniach nie rozwiąże problemów, jeżeli nowa ustawa przyjmie w istocie postać nowelizacji obowiązujących przepisów. Kolejne niebezpieczeństwo może wynikać z wadliwego określenia istoty i miejsca spółdzielni w społecznej gospodarce rynkowej. Przyszła ustawa o spółdzielniach powinna być ograniczona do zagadnień ogólnych, które dotyczą każdej spółdzielni. Ustawy szczegółowe powinny regulować poszczególne spółdzielnie, np. spółdzielnie kredytowe. Ustawa powinna gwarantować szeroką swobodę statutową. Bardzo ważne jest precyzyjne, ale jednocześnie obszerne określenie celu spółdzielni. Dobrym przykładem może tu być definicja zaczerpnięta z fińskiej ustawy spółdzielczej w brzmieniu: celem spółdzielni jest wspieranie interesów gospodarczych lub zawodowych swoich członków przez prowadzenie przedsiębiorstwa, w ramach którego członkowie korzystają z usług dostarczanych przez spółdzielnię lub usług, które spółdzielnia organizuje, aranżuje bezpośrednio lub pośrednio lub inny sposób. Przyszła regulacja nie powinna ograniczać przystępowania spółdzielni do spółek handlowych w charakterze członka. Zachodzi proces zacierania się różnic między osobami prawnymi i dotyczy to także spółdzielnie. Dlatego powinny one przejmować w pewnym stopniu rozwiązania typowe dla spółek handlowych, np. zbywalność udziałów.
    The article discusses the current state, legislative threats related to the preparation of the future polish cooperative act and selected legislative proposals. The legal status of polish cooperatives is unsatisfactory. The basic assumptions, structure and content of regulations that are archaic and residual are defective. A new cooperative law will not solve the problem, if the new law actually accepts the amendment of the existing legislation. Another danger may be due to defective definition of the essence and place of the cooperative in the social market economy. The forthcoming cooperative act should be limited to general issues that apply to each cooperative. Specific laws should regulate individual cooperatives, eg. credit cooperatives. The law should guarantee broad statutory freedom. It is very important to have a precise, but at the same time, a comprehensive definition of the purpose of the cooperative. A good example may be the definition taken from the Finnish cooperative law, which reads: “The purpose of a co-operative shall be to promote the economic and business activities of its members by means of the pursuit of economic activity where the members make use of the services provided By co-operative or services that co-operative arranges through a subsidiary or otherwise”. Future regulation should not limit the access of cooperatives to trading companies as a member. There is a process of blurring differences between legal entities, and this also applies o cooperatives. Therefore, they should take over to some extent the solutions from typical commercial companies, such as the transferability of shares.
