The article discusses problems of enforceability of regulatory decisions issued by the Polish regulatory authority – the President of the Office of Electronic Communications (UKE) in the context of the protection of the rights of electronic undertakings. The author refers to the standards for implementing decisions and provisional protection developed in the law of the Council of Europe and Community legislation, including Framework Directive 2002/21/EC. He also analyses Polish legal regulations which introduce European solutions, including regulations implementing Community framework for electronic communications, into the national legal order. Special attention is devoted to the competence of Polish administrative courts and the Court of Competition and Consumer Protection in suspending the enforcement of contested regulatory decisions. The author also points to significant gaps in existing national regulations and postulates the introduction of necessary legislative changes to better protect the rights of telecommunications undertakings.

Opis:
One of the main objectives of the so-called Damages Directive (2014/104/EU) was to make antitrust enforcement more effective. Although in most EU countries private antitrust enforcement has been possible subject to general rules of civil law; the number of private antitrust litigations has remained relatively low. It is presumed that the complementary roles of public and private enforcement, as well as the synergy between them, will take effect if formal decisions taken during public enforcement will have binding effect with regard to follow-on private litigations. According to the Damages Directive, final national decisions on competition infringements shall have binding effect in follow-on litigations. What is to be understood under ‘binding effect’, and the potential effects thereof, has been subject to a lively debate among academics and practitioners. It has been questioned if decisions of an executive body can bind the judiciary, and if so, to what extent. What is the evidentiary value of a formal decision of a NCA regarding national courts, but also on the court of another Member State. The article deals with the main issues and arguments presented in the general debate on the binding effect of national competition law decisions, and provides a closer look on this topic with regard to specific CEE countries.

The purpose of this article is to present and define the rights of the undertakings concerned, which are parties to commitment decision proceedings, and to discuss whether the rights granted to the undertakings are exercised. As regards commitment decisions the main right of an undertaking/a party to the proceedings is the right to defend its own interests in negotiations with the Commission. Other rights, such as the right to a transparent procedure, the rights resulting from the principle of legal certainty and legality of sanctions, and the right to appeal, are also analyzed. The article argues that these rights are not adequately enforced in EU competition law. This is a result of a strong negotiating position of the Commission and the fact that it acts both as a prosecutor and decision-renderer. Additionally, the scope of European courts’ review is so narrow that it does not guarantee that an undertaking is protected against offering excessive and unreasonable commitments.
Le but de cet article est de présenter et définir les droits des entreprises concernées qui sont les parties de la procédure de décision d'engagement, et d’examiner si ces droits sont exercés. En ce qui concerne la décision d’engagement, le droit de défendre ses propres intérêts dans les négociations avec la Commission est le droit principal d'une entreprise/une partie de la procédure. Les autres droits, comme le droit à la procédure transparente, les droits découlant du principe de la sécurité juridique et de la légalité des sanctions et le droit de faire appel, sont également analysés. L'article fait valoir que ces droits ne sont pas correctement appliqués dans le droit de la concurrence de l’UE. Cela résulte de la forte position de négociation de la Commission et du fait qu'elle agit en tant que procureur et organe de décision. De plus, l’étendue du contrôle effectué par des tribunaux européens est si étroite qu'il ne garantit pas à l’entreprise d’être protégée contre des engagements excessifs et déraisonnables.

In 2016, the Turkish Competition Authority (hereinafter, TCA) published the Cement Sector Inquiry Report (hereinafter, Cement Sector Report) following more than two years of market analysis. One of the reasons for conducting such a market inquiry was the fact that the implementation of competition rules and accuracy of the economic analysis by the TCA in cement cases were frequently criticized. In order to provide some guidance and have better understanding about the competitive dynamics of the cement market, the TCA initiated the inquiry in 2014. Another reason for the inquiry was the importance of the cement industry for the construction sector and the economy of Turkey, as well as numerous competition law concerns in this sector. The article provides an analysis of the substantive and procedural issues in the TCA activity in the cement sector in Turkey. Particular emphasis is placed on the assessment of the Cement Sector Report and common competition law violations in the sector in Turkey based on a review of the decisions of the TCA. Additionally, legal grounds for conducting sector inquiries in Turkey, as well as limits to and potential impact on the TCA’s powers to issue extensive compulsory information requests (in the light of the recent CJEU’s judgements in cement cartel cases) are discussed. Overall, the article provides the reader with a better understanding of the Turkish cement sector dynamics and most common anticompetitive practices there. In conclusion, it is argued that inspite of having a reputation of a “problematic sector”, the behaviour of cement producers and developments in the cement market in Turkey may be justified by economic reasons and the oligopolistic nature of this market.

The main policy goals undertaken by public authorities, primarily increasingly competitive telecommunication markets, are achieved through various and distinct administrative actions. Ex post public interventions are meant to protect competition by responding to actions that restrict or violate free market competition (proceedings concerning: the abuse of a dominant position and anti-competitive agreements). Ex ante interventions shapes the relationships among market participants in the framework of merger control and pro-competitive sector-specific regulation. The aim of this study is to determine to what an extent economic criteria are used in the assessment of the competitiveness of Polish telecommunication markets by the competition authority and the Telecoms Regulator (respectively, the President of UOKiK, and the President of UKE) in four distinct types of competition related proceedings: merger control, abuse of a dominant position, anti -competitive agreements, and sector-specific regulation. The paper presents the results of an analysis of qualitative and quantitative criteria applied in decisions (and resolutions) issued by both of the authorities in the past eleven years (2003–2013). To this end, 194 publicly available decisions were analysed.

This paper considers the increasing use of “negotiated” instruments of European competition law (ECL) enforcement as illustrated by the European Commission’s (EC) enforcement practice directed at firms of American and East Asian origin. The paper first defines the notion of “negotiated” instruments of ECL enforcement as a non-confrontational enforcement method that centres on the existence of a public-private dialogue and mutual will to solve the contested issue, which in turn facilitate mutual benefits in enforcement outcomes (e.g. faster market improvements v. no fines). Three key “negotiated” instruments of ECL enforcement are presented next: conditional merger clearances, commitments decisions, as well as leniency and the settlement procedure. The EC’s decision to introduce negotiated enforcement instruments into its toolkit has been largely embraced by the market. Their ever growing practical application suggests that public-private dialogue is becoming a rule, rather than an exemption, in public enforcement of ECL. This thesis is illustrated by a selection of ECL cases involving US (e.g. Microsoft) and East Asian (e.g. Samsung, Sony) companies which chose to cooperate with the EC in order to generate tangible benefits for themselves, which are largely precluded in a more adversarial procedure
Cet article examine l’utilisation croissante de l’application des instruments européens «négociés» du droit de la concurrence (ECL) comme il est illustré par la pratique de l’application de la Commission européenne (CE) dirigée vers les entreprises d’origine américaine et asiatique (Asie de l’Est). L’article définit d’abord la notion d’instruments «négociés» de l’application de l’ECL comme une méthode d’application non conflictuelle qui se concentre sur l’existence d’un dialogue public - privé et la volonté commune de résoudre la question en litige, qui, en revenche, facilite les avantages mutuels dans les résultats de l’application (par exemple, des améliorations plus rapides du marché v. aucunes amendes). Trois instruments «négociés» de l’application de l’ECL principaux sont présentés ci-dessous: les autorisations conditionnelles de fusion, les décisions d’engagement, ainsi que la coopération et la procédure de règlement. La décision de la CE à introduire des instruments négociés de l’application dans sa boîte à outils (toolkit) a été largement acceptée par le marché. Leur application pratique en croissance constante suggère que le dialogue public-privé devient une règle, plutôt que d’une exemption, en application publique de l’ECL. Cette thèse est illustrée par une sélection de cas d’ECL concernant les entreprises en provenvence des États-Unis (par exemple Microsoft) et de l’Asie de l’Est (par exemple Samsung, Sony) qui ont choisi de coopérer avec la Commission européenne afin de générer des bénéfices tangibles pour eux-mêmes, qui sont en grande partie exclue dans une procédure plus contradictoire.

The paper first deals with the conditions and prerequisites of adopting European law before the former „real-socialist” countries joined the EU. The key role of European Courts is described by showing that they worked as de facto virtual legislators even before accession. It is emphasized that European Courts have provided the courts and antitrust authorities of new Member States with an inestimable value-based orientation. The EU judicial practice enhanced national legal standards and legal culture in the respective countries. The second part of the contribution contrasts with this positive tone. An example of a serious inconsistency in values between the Court of Justice of the EU and the European Commission is shown concerning their divergent views on “uni-sex insurance” and the draft directive on women’s representation in board member positions. There is substantial disagreement in this matter, which weakens and endangers the integrative role of the CJEU and its habitual value-confirming impact. This disparity could to some extent depreciate the role of European Courts as „motors of integration”.
Le document traite d'abord sur les conditions et les préalables de l'adoption de la législation européenne avant que les anciens pays «vraiment» socialistes aient rejoint l'UE. Un grand rôle des juridictions européennes est décrit d’une manière suivante: ils travaillaient en réalité comme des législateurs virtuelles même avant l'adhésion. Il est souligné que les tribunaux et les autorités de la concurrence des nouveaux Etats membres de l'UE ont été fournis d’une orientation axée sur la valeur inestimable par les juridictions européennes. La pratique judiciaire de l'UE renforçait des normes juridiques nationales et de la culture juridique dans les pays respectifs. La deuxième partie de la contribution contraste avec ce ton positif. Un exemple d'une grave incohérence de valeur entre la Cour de justice de l'Union européenne (CJUE) et la Commission européenne, concernant la divergence entre la CJUE et la Commission européenne dans une affaire qu'on appelle «l'assurance uni - sexe» et le projet d'une directive sur la représentation des femmes aux postes de membres du conseil d'administration est présenté. Il y a un désaccord important dans cette matière qui affaiblit et met en danger le rôle intégratif de la CJUE et son impact habituel de confirmation de valeur; il pourrait, en quelque sorte, déprécier le rôle des tribunaux européens étant des «moteurs de l'intégration».
