Celem artykułu było zaprezentowanie jak OFE wykonują funkcje nadzorcze w spółkach portfelowych,
dokonanie analizy uwarunkowań tej działalności oraz ocena jakości wykonywanego nadzoru.
Przedmiotem analizy była aktywność funduszy emerytalnych na walnych zgromadzeniach spółek
portfelowych w okresie 2009–2012 i po zmianach ustawowych 2014–2015.
Analiza uwarunkowań prawnych i motywacji do zaangażowania się w nadzór wskazuje, że
limity inwestycyjne nie powinny stanowić bariery dla aktywności funduszy, natomiast największego
zaangażowania należy oczekiwać w stosunku do spółek, które mają największy wpływ na
relatywne wyniki funduszy.
Otrzymane rezultaty pookazują, że w obu analizowanych okresach największe fundusze wypełniały
swoje obowiązki powiernicze. Pomimo istotnej zmiany otoczenia prawnego wpływającego
na działalność inwestycyjną i sytuację ekonomiczną towarzystw emerytalnych, wykazano wzrost
aktywności funduszy w okresie po zmianach ustawowych. W obu okresach różny był poziom
aktywności poszczególnych funduszy i zakres interwencji w różnych spółkach portfelowych. W artykule
zaprezentowano autorski pomysł aktywistycznego funduszu inwestycyjnego jako wspólnej
platformy dla OFE do działań aktywistycznych i dzielenia ich kosztów.
The aim of this article was to portray how open-end pension funds (OFEs) perform oversight functions in their portfolio companies, to analyze the determinants pertaining to this activity and to assess the quality of their oversight. This analysis covers the activity exhibited by pension funds at the shareholder meetings of portfolio companies from 2009 to 2012 and following statutory amendments in 2014 and 2015. This analysis of the legal determinants and of the incentives to be engaged in oversight indicates that investment limits should not form an obstacle to pension funds’ activity; however, one should - Źródło:
