The paper presents the influence of mergers and acquisitions in the banking sector on the development of small and medium-sized enterprises (SMEs). The author discusses existing studies of banking sector consolidation and its influence on the development of SMEs. The article considers the influence of the relocation of bank headquarters after a merger or acquisition on lending to SMEs. It also examines the effects of consolidation on the bank’s credit portfolio and the cost of credit for SMEs. The work sums up analyses of how changes in banks’ organizational structures affect lending to SMEs. In his research, the author uses studies of consolidation processes in the American banking sector. Various American economists have reached conflicting conclusions with regard to the relationship between banking sector consolidation and lending to SMEs. These contradictions result from different research methods adopted by individual economists.

Mergers and acquisitions transactions have become an almost everyday feature of economic life. However, according to some studies approximately 50% of such transactions do not bring expected results. According to other studies, only some one third of mergers can be considered successful. This article is an attempt to explain why companies merge despite such a high failure risk for this type of transactions. The reasons for mergers and acquisitions have been presented in a breakdown into three major groups: the reasons of owners and managers, market and marketing reasons and financial reasons. Such a breakdown allows for a detailed analysis of particular factors making up the final decision to merge with another firm. Obviously, the hierarchy and rank of specific reasons for mergers and acquisitions has been changing over years. Nevertheless, merger transactions always constitute a deliberate and effective strategy for maintaining or speeding up the growth rate of a company, strengthening its market position or rationalising costs. For companies they are often the only effective way to survive on the world market and to face international competition. Therefore, irrespective of the frequently voiced opinions that mergers motivated by prevailing trends are carried out without sufficient justification, and the costs involved exceed by far the possible gains, such transactions are still to be the case to a greater or smaller extent.

The article examines some new trends among retail chains operating in Poland, in particular what is known as concentration and integration. The analysis was made with the desk research method on the basis of statistical data reported by the Central Statistical Office (GUS). The author also used data from league tables ranking the country’s largest businesses and statistics on the development of retail centers in the country. The study confirms that Poland’s retail trade sector has undergone far-reaching concentration and integration over the past several years. Changes have primarily included a growing number of mergers and acquisitions and the substitution of organizational integration with financial ties. These trends have been especially widespread among businesses with Polish capital, but they have also applied to foreign-owned companies, some of which have withdrawn from the Polish market, the author says. The current course of concentration and integration processes in Poland’s retail trade seems to indicate that the sector’s future development will see more mergers and acquisitions and further development of retail centers, Maleszyk says. These trends are in line with what is happening in highly developed countries, the author concludes.
