This article is devoted to a critical reconstruction of Karl Polanyi’s institutional theory and its ethical consequences. Starting with the distinction between the formal (neoclassical) and the substantive (institutional) understanding of the economy, the article proceeds to discuss the main forms of institutional integration of economic life described by Polanyi: reciprocity (symmetry), redistribution (centricity), and exchange (market). In this context, the author examines the connection between the work of Karl Polanyi and the economic anthropology represented by the works of Richard Thurnwald and Bronisław Malinowski. The author argues that three main forms of institutional integration of economic life introduced by Karl Polanyi can be interpreted both as analytical tools to describe institutions and as a grand scheme for the classification of different economic systems. The next section of the article is devoted to a comparison between the institutional theories of Douglass North and Karl Polanyi. For North, the main explanatory category is the idea of transaction costs, whereas for Polanyi the key idea is that of the social embeddedness of the economy. When speaking about the social embeddedness of the economy, Polanyi draws our attention to the inseparable bonds which exist between economic institutions on the one hand, and culture, social structure and politics on the other. This theoretical difference between North and Polanyi, the author argues, has important ethical consequences. If Polanyi is right, then institutions are not only alternative solutions to a certain economic problem (i.e. the efficient allocation of resources, the reduction of transaction costs) but above all they are the embodiment of different conceptions of a good life. In conclusion, the author emphasizes the political dimension of Karl Polanyi’s institutional theory, along with its intriguing promise of liberating our social and political life from the economistic fallacy, that is, from the unfortunate tendency to think about society in market terms.

General frames and approach of institutional theory of contracts enable the presentation of traditions and the development of homo contractus conception as well as exploration area of conflict interests between state and economy which is connected with its activity. Discussions about the beginnings of institutional doctrine and jurisprudence devoted a lot of attention to relations of three key notions. I think that from the depths of antropoethology emerged the notion of instinct. For T. Veblen – a master of “old” institutional economics – it was enough to define the “institution” notion and for modern “new” institutional economists it served as facilitation for the analysis of behavior of contractors. Jurists and economists met very early – rather as friends – on the area of the second notion – custom – and its role in establishing state laws. The agreeable cooperation was disturbed in debate about the last notion – institution. An important question arises: Is an institution a part of Justinian Code or a pattern of behavior inherited from the past? Antiquity cannot cross the border between praxis and science though it created such monuments as Hammurabi Code. Roman law is now an accepted source of science of European law. The precision of liabilities law, the synthesis of Greek and Roman thought and elasticity of authorities facilitated the adaptation of norms of tribal law. Emerging new economic doctrines – canonistic, mercantilism, physiocratism and finally classical economics − opened the area for social-economic contacts widely and helped to reach a lot compromise also in contracting. Contemporary theory of contracts occupies a prominent place in universal economic thought and is now a good partner in relations with jurisprudence. The challenge for our community are realities of integration and globalization processes causing conflicts in the area of contracts control. More and more attention is devoted to the questions of law and economics, the fame of Chicago School is growing, there are some Nobel Prizes and teaching this discipline in Poland is successful.

Z uwagi na obecne problemy społeczno-gospodarcze związane głównie z katastrofą klimatyczną szczególną rolę odgrywa presja na odpowiedni (zrównoważony – trwały) rozwój. Celem publikacji jest zbadanie możliwości budowy odpowiedzialnej strategii przedsiębiorstwa w ramach uwarunkowań społeczno-ekologicznych. W publikacji nawiązuje się do badań Rafała Krupskiego i jego koncepcji kreowania strategii z wymogami identyfikowania okazji i definiowania redundancji zasobów i kompetencji. Według Krupskiego zrównoważony wzrost jest pewną ideą zachowania się w otoczeniu, gdzie warunki niepewności występują powszechnie. Może to powodować, że optimum lokalne traktowane autonomicznie może być jednym z najgorszych rozwiązań z punktu widzenia optimum globalnego. Profesor Krupski zachęca, by problemy równowagi pomiędzy organizacją i jej otoczeniem stawały się przedmiotem dalszych badań naukowych, ponieważ mają podstawowe znaczenie dla teorii i praktyki zarządzania strategicznego. W nawiązaniu do tych postulatów autorzy opracowania uwzględniają w badaniach założenia teorii instytucjonalnej przedsiębiorstwa.
The increasing turbulence of the environment makes the classic methods of building strategies and operating principles of enterprises less useful. This applies even to the basic assumptions of relationship management, both from an epistemological and methodological perspective. Due to the current socio-economic problems related mainly to climate change, pressure on appropriate (sustainable and stable) development plays a special role. The aim of the publication is to explore the possibilities of building a responsible enterprise strategy within the framework of social and ecological conditions. The publication refers to the research of Rafał Krupski and his concept of creating a strategy with the requirements of identifying opportunities and defining redundancy of resources and competences. According to Krupski, sustainable growth is an idea of behaviour in an environment where conditions of uncertainty are common. This may mean that the local optimum treated autonomously may be one of the worst solutions from the point of view of the global optimum. Professor Krupski encourages further scientific research on the problems of balance between the organization and its environment because they are of fundamental importance to the theory and practice of strategic management. With reference to these recommendations, the authors of the study consider the assumptions of the institutional theory of the business enterprise in their research.

The article describes the ontological proposals of Institutional theory of law, especially, exist-ence of entities, created by N. MacCormick and O. Weinberger, as well as polish representative of this theory – M. Smolak. Fundamental issue is existence material beings and ideal constructs – raw facts and institutional facts – theory created byG. E. M. Anscome and J. Searle, developed in Institutional Theory of Law. The author makes a critical analysis of this proposals – especially duality of existence. Author identified lack of consistency in distinguishing material (real) beings and ideal existences and error of the identification of what is an ontological problem and which is part of other issues.

Research background: Diversity management is one of the hot topic issues present in current public discussions. Board diversity requirements are quite new for Polish public companies. The companies listed on the Warsaw Stock Exchange have to publish a statement on the company's compliance with the corporate governance recommendations and principles included in ?Best Practice for GPW Listed Companies 2016?. This regulation is based on the 'comply or explain? principle, thus the company may decide whether to comply with every rule included in the code, but decision on not implementing one or more rules should be explained by the company. Some of the recommended rules regard the board (supervisory and management) diversity policy implementation, where diversity refers to such dimensions as gender, education, age and professional experience. Purpose of the article: This study aims to investigate determinants of board diversity policy implementation by domestic companies listed on the WSE. It also documents explanations provided by companies that do not apply board diversity policy. Methods: The research sample covers 268 non-financial domestic companies listed on the Warsaw Stock Exchange between 2016 and 30 November 2018. The companies? current reports on company compliance with the corporate governance codes and information issued on companies? websites were analyzed in order to identify those that announced implementation of board diversity policy. This study uses logistic regression analysis to identify the firm-level characteristics that may influence the implementation of board diversity policy. Findings & value added: This is the first study analyzing the drivers of board diversity policy implementation by Polish companies listed on the WSE. It shows that large companies, companies with larger management boards and companies with women acting as presidents of the supervisory boards are more likely to take actions seeking to achieve management and supervisory board diversity.

The aim of this paper is to compare and contrast two neighbouring provinces, Aydın and Denizli which are located in the western part of Turkey in terms of regional development criteria by utilizing a theoratical framework developed by authors. More specifically, the relationship between provincial economic development and socio-cultural factors and Networks are searched. After conducting a 36 item survey among 118 businessmen in these provincies, it can be stated that, not only economic factors but also cultural values, networks and organizations (as it is in institutional theory) seem to explain success or failure of regions.

The essay treats on a legal-theoretical project of ‘iuriscentrism’, proposed by Polish legal philosopher Artur Kozak. It begins with an exploration of theoretical and axiological foundations of this theory, which are, first and foremost, sociological institutionalism (as for a social ontology), philosophical transcendentalism (as for a theory of knowledge and action), and affirmative approach towards axiological foundations of the legal order. Subsequently, the article focuses on practical consequences of the above choices, which are a limitation of the judicial discretional power, and a unique way of legitimating the legal practice. According to iuriscentrism, the law is said to play a focal role in the contemporary, ethically pluralist and functionally differentiated societies; for those reasons a special approach to the legal order, the one termed as ‘a faith in law’ or ‘a patience to the law’, is necessarily required.

This paper examines territorial partnerships (TPs) through the prism of neo-institutional theory and governance. As an example, it considers area-based rural partnerships (Local Action Groups-LAGs) situated in the Sub-Carpathian region of Poland. It identifies the mechanisms by which TPs are created and major aspects of their activities. An overview is given of the social-economic factors conditioning the implementation of TPs in the Sub-Carpathian region. The important role of local authorities in establishing and managing the majority of the LAGs under analysis is revealed. The analysis concludes that LAGs are run in a manner typical of representative democracy and that this manner is contrary to the basic tenets of heterarchic governance. However, the partnership model of accomplishing common projects and the positive outcomes of the projects are likely to produce considerable added value in rural communities.

The aim of the paper is to establish a theoretical elaboration of objectivity in law which would conform exiting linguistic practices in the legal field. It starts from a brief characterization of legal practice in this respect which allows for an exposure of semantic complexity of the term ‘objectivity’ in law. The term is said to take two basic meanings: objectivity as a fact and objectivity as a moral ideal. On this ground requirements towards a reliable theory of legal objectivity are defined: such a theory should not only make o room for both distinct meanings of legal objectivity, but also should consider their mutual relations. These requirements stemming from existing linguistic practice serve as criteria for examination of up to date theoretical concepts of objectivity. The paper discusses realistic, conventionalist, and idealistic theories of objectivity in law subsequently and exposes shortcomings of each of these. Eventually, key assumptions of an institutional theory of objectivity are presented which is claimed to offer a plausible understanding of objectivity in law in both its factual and ideal aspects.

The paper provides insights into how social entrepreneurship and the institutional theory framework can be combined. The author situates the social entrepreneurship phenomenon here, and embarks on the traditional structure vs agency debate from social sciences, sociology of organizations in particular. The concept of embedded agency is referred to and employed to explain the phenomenon of social entrepreneurship. In this paper, the author provides key arguments concerning how the institutional theory framework can be useful in the field of social entrepreneurship research and practice. The author also discusses how the embedded agency concept is more pronounced in the social entrepreneurship context.
Wykorzystując obszerną analizę kluczowych tekstów w obszarze teorii instytucjonalnej oraz obszaru badawczego przedsiębiorczości, w tym przedsiębiorczości społecznej, autorka umiejscawia zjawisko i obszar badawczy przedsiębiorczości społecznej w ramach tejże teorii. Nawiązując do debaty agencja vs struktura, znanej z nauk społecznych, przywołuje ona koncepcję sprawczości zakorzenionej i przenosi ją na grunt badań nad przedsiębiorczością społeczną. W artykule przytoczono argumenty, dlaczego ramy teorii instytucjonalnej są szczególnie użyteczne dla zjawiska i obszaru badawczego przedsiębiorczości społecznej, jak również ukazują, w jaki sposób obszar ten może być bardziej wyjaśniony dzięki perspektywie paradoksu sprawczości zakorzenionej.

The aim of the article is to present changes in environmental consciousness of Poles during the last twenty years. Data come from fourteen research reports featuring quantitative data gathered 1992 to 2011. The focus of the analysis is an assessment of environmental threats, the place of the environment in the values system, especially with regard to the perception of environmental protection in the context of economic activities, and the feeling of being informed in environmental matters. Results of the analysis bear on praxeological aspects of environmental policy. It is argued that policy aiming at raising environmental consciousness remains unsuccessful in spreading environmental actions, mostly as a result of significant trust shortages towards society’s institutions and fellow citizens. Environmental actions are those involved in social dilemmas that are characteristic for development of common goods. Overcoming those dilemmas is only possible when considerable amounts of trust and social capital is in place.

The aim of the paper is to examine how the introduction of state regulation and self-regulation impacts on the disclosure of director and executive remuneration in Australia. In doing so, we step beyond the simple state-market dichotomy in the extant literature, and proposes a symbiotic association between both regulatory modes for remuneration governance. The study reveals that remuneration disclosure levels are significantly higher after the advent of both self-regulatory and state regulatory reforms rather than state regulation alone. Furthermore, foreign-MNCs which experience increased agency problems due to spatial complexities and increased liabilities of foreignness do not have a superior disclosure level of director and executive remuneration: findings with important messages for policy makers and for regulators.

Aim: Building upon stakeholder and institutional theory, this paper investigates the relationship between product diversification and corporate social performance (CSP), thereby attempting to make essential contributions to the current literature. Based on an extensive literature review, it was expected that related, unrelated and total product diversification are positively related to CSP. Moreover, it was hypothesized that the exposure to weak institutional host country environments negatively affects the relationship between diversification and CSP, and that the Sustainable Development Goals (SDGs) have a positive effect on the relationship. Design / Research methods: The sample selected for this research is the non-renewable energy industry, since the industry shows great divergence in terms of corporate social responsibility (CSR) performance. In addition, the industry is highly susceptible to regulatory changes, while the Sustainable Development Goals have an enormous focus on the reliability and sustainability of energy, making it a highly relevant industry to study. This study analyzed 40 a 40 non-renewable energy firms over a time frame of seven years, by using OLS regression. Conclusions / findings: The results reveal that unrelated diversification is positively related to CSP, while the other forms of diversification show insignificant results. Contrary to expectations, the Sustainable Development Goals negatively affect the relationship between product diversification and CSP, while the moderating effect of exposure to weak institutional environments is insignificant. Originality / value of the article: Research on the relationship between product diversification on corporate financial performance is well-established, but the way in which product diversification influences a firm’s behavior towards stakeholder demands and social concerns remains largely unexplored. Accordingly, the results of this study challenge existing theories while adding more context to the existing relationship, and in turn provide promising avenues for future research.

Neo-institutional theory highlights the impact of the institutional environment on organisations. This leads to the emergence of homogeneous institutional structures due to the existence of a dominant institutional logic that is an independent determinant of organisational processes. University reforms focused on marketisation mean that the institutional logic associated with academic governance needs to undergo an evolution. The success of university transformation depends on whether a new logic referring to the idea of managerialism and based on the principles of strong leadership can be reconciled with an academic logic based on collegial decision-making processes. In the empirical part of the article, the author assesses changes in the management structures of Polish universities that are a result of reforms to the higher education system. Based on an analysis of the statutes of 36 public universities, two groups of universities have been identified, those that try to maintain the conservative academic status quo, and those that adapt their authority structures to a changing institutional environment. The results show that the scale of changes is determined by the prestige of a university. While highly-rated universities are trying to maintain traditional academic authority structures, lower-ranked universities are more likely to implement ideas typical of a managerial institutional logic.
Teoria neoinstytucjonalna wskazuje na wpływ środowiska instytucjonalnego na organizacje. Prowadzi to do tworzenia homogenicznych struktur instytucjonalnych, będących skutkiem występowania dominującej logiki instytucjonalnej, która może być traktowana jako niezależna determinanta procesów zachodzących w organizacji. Reformy uczelni ukierunkowane na ich urynkowienie oznaczają konieczność ewolucji akademickiej logiki instytucjonalnej związanej z procesami składającymi się na ład akademicki. Sukces transformacji uniwersytetu zależy od możliwości pogodzenia nowej logiki nawiązującej do idei menedżeryzmu z jej zasadami silnego przywództwa, z logiką akademicką, której fundamentem jest kolegialność procesów decyzyjnych. W części empirycznej artykułu podjęta została próba oceny zmian w architekturze struktur odpowiedzialnych za kierowanie uniwersytetami w Polsce, będących efektem znowelizowanej ustawy o szkolnictwie wyższym. Na podstawie analizy statutów 36 uczelni publicznych zidentyfikowano uczelnie, które starają się zachować konserwatywny akademicki status quo, oraz takie, które adaptują swoje struktury władzy do zmieniającego się środowiska instytucjonalnego. Wyniki pokazują, że skala przeprowadzonych zmian jest determinowana przez prestiż uczelni, określony na podstawie miejsca zajmowanego w rankingach akademickich. Uczelnie wyżej notowane starają się utrzymać tradycyjne akademickie struktury władzy, w tym radę wydziału jako kolegialny organ decyzyjny, oraz silny mandat dziekana wybieranego przez pracowników wydziału. Uczelnie niżej notowane w rankingach są skłonniejsze do implementacji rozwiązań typowych dla menedżerskiej logiki instytucjonalnej.
