Wprowadzone w latach 2019–2020 modyfikacje zasad odbywania zgromadzeń w spółkach kapitałowych, pomimo ich zasadniczo pozytywnej oceny, generują nowe problemy prawne. Jeden z nich dotyczy możliwości odbywania „w pełni zdalnych” zgromadzeń (tj. takich, w których każdy z uczestników bierze udział przy wykorzystaniu środków komunikacji elektronicznej). Przedmiotem artykułu jest analiza dopuszczalności przeprowadzania takich zgromadzeń w spółkach kapitałowych oraz próba odpowiedzi na kluczowe problemy praktyczne związane z omawianym zagadnieniem.
The modifications introduced in 2019–2020 with respect to the rules concerning general meetings in capital companies, in spite of their generally positive assessment, generate a number of new legal problems. One of them concerns the question of holding “fully remote” general meetings (i.e. the ones in which each participant takes part using electronic means of communication). The subject of this article is an analysis of admissibility of holding such general meetings, as well as an attempt to answer the key practical problems related to the discussed issue.

W warunkach krótkotrwałości spotkań jako produktów oraz różnorodności podmiotów tworzących ten rynek zaufanie jest uznawane za kluczowy czynnik nawiązywania i utrzymywania relacji, w konsekwencji przesądzający o dynamice rozwojowej tego rynku. Celem artykułu jest rozpoznanie procesu tworzenia zaufania między partnerem publicznym a prywatnym w sytuacji, gdy w początkowej fazie relacji ono nie występuje lub jest zastąpione nieufnością. Badania są oparte na dwóch studiach przypadków relacji o zróżnicowanym czasie trwania: współpracy na rzecz organizacji Światowego Kongresu Marketingu IMP w Poznaniu w 2016 roku oraz wspólnych działaniach Poznańskiej Lokalnej Organizacji Turystycznej i władz miasta Poznania na rzecz tworzenia lokalnego convention bureau w latach 2008-2017. Badania oparto na częściowo ustrukturyzowanych wywiadach pogłębionych przeprowadzonych z podmiotami występującymi jako strony relacji. Z badań wynika, że zaufanie jest procesem kompleksowym, elastycznym, a jego tworzenie polega na stopniowej zmianie postrzegania celu oraz ryzyka relacji przez partnerów z perspektywy indywidualnej na wspólną.
The briefness of meetings as products and the variety of entities comprising this market make trust the essential factor in establishing and maintaining relations, as a consequence determining the development dynamics of this market. The purpose of this article is to determine the process of creating trust between the public and the private partner in a situation where it does not exist in the initial relation phase or is substituted with distrust. The research is based on two case studies of relations with varied duration: cooperation for the World Marketing Congress IMP in Poznan in 2016, and shared operation of the Poznan Local Tourist Organization and the authorities of Poznan to create a local convention bureau in 2008-2017. The research was based on partially structurized in-depth interviews conducted with entities acting as sides of the relation. The research shows that trust is a complex and flexible process, and its creation consists of gradual change in the perception of the goal and risk of the relation by the partners from the individual perspective to a shared one.

This text aims to familiarize the reader with a certain way of thinking about the category of meeting, selected pedagogical consequences that can take place as a result of young people’s encounter with texts of popular culture, especially with rock music and film, and to include the recipient in the discussion of the presented issue. The text consists of three parts. The first part is an introduction to the range of questions and treats the meeting as a pedagogical category. The second section focuses on the phenomenon of meeting texts of popular culture, more specifically rock and film narratives, while the third, summarizing part describes the meeting of young people with rock narratives on the basis of the results of the author’s own research.

The article deals with the concept of silence developed by Marcel Marceau, one of the founders of contemporary mime. An analysis of the concept of silence is proposed, starting from a broader research, linguistic and philosophical perspective, encompassing the ideas of Martin Heidegger, Maurice Merlau-Ponty, Józef Tischner and Martin Buber, which aims at an interpretation of Marceau’s theatrical concept, which is presented in his work and statements and contains many elements of philosophical anthropology. For Marceau, the human stands in the center, working in a world where words fail. Mime artist and spectator conduct a distinctive dialogue without using words, thus giving rise to reflections and leading to catharsis. Because the scope of the concept is wide, it has been included in the cognitive framework of the anthropology of silence, proving that Marceau’s concept enriches the debate on the anthropology of silence and opens the perspective for further research on his concept of theater.

The author claims that there is no possibility for sub‑committee members to submit to the chairperson a written request requiring him/her to convene a meeting or to convene a meeting of the subcommittee by the Presidium of the Sejm. As a means obligating the members of the subcommittee to hold a meeting to consider a bill, she points out, inter alia, a time limit for submission of the report on the work of the subcommittee which could be specified in the resolution appointing it. She also indicates that the committee is allowed to take over a bill considered by a sub‑committee, by taking an appropriate resolution.

Purpose: The objective of the research was an assessment of the experiences of Polish owners of family companies in organizing family meetings as mechanisms of family governance as well as evaluating the usefulness of solutions developed in this sphere for both family and company. Methodology: The character of the conducted research was qualitative. The main technique used to gather data involved interviews. A total of thirty nine respondents from twenty companies were questioned. Nineteen were representatives of the older generation while twenty represented the younger second generation of owners of family businesses. Findings: Research results indicated the rather extensive use by the examined owner families of family meetings to discuss company matters. Depending on their needs, they developed various models ranging from the ad hoc bringing up of company matters to the transformation of such meetings into formal, family meetings of the management board organized in company offi ces. Regardless of organizational form, family meetings were an important forum for the exchange of information and views on the functioning of the company among family members. The experiences of the examined families of owners in building family governance systems, understood as a complex of structures and mechanisms making possible the maintenance of a balance between tensions stemming from economic and emotional ties among family members, both involved in the company and outside it, remain small. Research limitations: The qualitative character of the research, including the size of the examined sample (twenty family companies represented by thirty nine representatives), means that the generalizations made for the purposes of this study refer only to the experiences and opinions of the interviewed respondents. Originality: The research performed is the fi rst of its kind devoted to family meetings as a component of the system of family governance created in the family forum of owners of family companies. At present, questions of family governance subject to Polish conditions are not a popular research fi eld undertaken with respect to family companies. This is dictated by the current phase of development of most domestic family ventures, where no significant diversifi cation of stakeholders on the family level has as yet occurred. However, this should in no way suggest that Polish family businesses are not acquiring their first experiences in the sphere of family governance that, in the future, may prove useful in the forming of more complex structures.

Globalization characterizes the century in which we live and in the light of its worldwide spread it affects a multiplicity of disciplines. As a result of this, within the qualitative research in family pedagogy, parents of foreign origin have been involved, from whose life stories it is interesting to discern the importance of recognizing themselves, though citizens of the world, as bearers of a unique history. A personal experience, narrated and shared, that is characterized by relationships, thoughts that have formed the subject and that in the present, in the host country, "challenges" him to a daily learning that however cannot be exhausted in self-reflection. Therefore, it is fundamental for them to be able to interface with other subjects, who in turn are asked to welcome. An attitude that requires being fearless, because a sense of security or fear towards others is an expression of the trust that a community has in itself. If one believes in one's ability to integrate other individuals within oneself, one has an attitude of openness towards the foreigner, one is not afraid of his culture. This propensity requires these parents to adopt a logic of globalization, with rights and duties, which is precisely challenging since the planetary dimension of citizenship is not on the way, however, without a commitment to thought, decision making and education. Sustainable ecologies have to do with relationships, culture, ethnicity and education. It is therefore important that within local realities spaces of encounter between parents are fostered - so that the thoughts of the individual are shared - in the awareness that human sustainability itself often has to do with creating sufficient hope in individuals and communities, building meaningful dialogue and an experience of communion, through the differences that must be valued. In these contexts, the subject as such lives a continuous educational and formative experience, which leads him/her towards the personal research, which is also social, of the knowledge of the self and of others. This experience is possible thanks to the capacity of reciprocal socialization on the part of parents of foreign origin, of sincere dialogue, of confrontation with the other - in this case with native parents - in the diversity and richness of which each one is the bearer.

The article is an attempt to discuss the specificity of the narrative in radio documentary. The documentary is treated as an artistic form of radio based on the character’s statement born during a meeting with a reporter, the documentary maker. The narrative is treated as an individual statement by the character, but also as a text of culture. Dialogue rules both perspectives. The relationship takes place between the character and the reporter, but also between subsequent elements of the audio material composed according to the author’s intention. We also discuss about the radio documentary being as a form of dialogue with the listener. The essence of the article is the proposed divisions of the radio reportage narrative, taking into account the narrative as a personal statement and as a text. The categorization was supported by examples from Polish radio documentaries. Theoretical considerations are based on studies on artistic radio genres, psychological narrative, narrative identity, and the philosophy of encounter. Radio documentary, which is emphasized by theoreticians and practitioners of the genre, is born out of a situation where there is a dialogical meeting between the author and the protagonist, and the verbalization of experiences during this meeting is a form of identity building. A look at radio documentary from a psychological perspective and the resulting classifications will indicate the importance of interdisciplinary research into audio artistic genres.

Artykuł porusza istotną, lecz wzbudzającą kontrowersje w doktrynie oraz orzecznictwie, kwestię przesłanek wytoczenia powództwa o uchylenie uchwały organów właścicielskich spółek kapitałowych, czyli zgromadzenia wspólników spółki z ograniczoną odpowiedzialnością oraz walnego zgromadzenia spółki akcyjnej. Autor w sposób syntetyczny omawia każdą z przesłanek wymienionych w Kodeksie spółek handlowych, przytaczając kluczowe tezy sformułowane dotychczas na ich gruncie oraz zestawia poglądy na temat wzajemnych zależności pomiędzy poszczególnymi przesłankami. Celem artykułu, oprócz zidentyfikowania najistotniejszych rozbieżności, jest zabranie głosu w dyskusji na ich temat, a w konsekwencji uczynienie kolejnego kroku w kierunku ujednolicenia procesu stosowania analizowanych instytucji prawnych.
The article refers to a vital, however controversial in the doctrine and judicature, matter regarding premises of bringing action for revoking a resolution of the governing bodies of the capital companies, that is the meeting of shareholders of the limited liability company and the general meeting of the join-stock company. The author synthetically describes each of the premises listed in the Commercial Companies Code, recounting key theses formulated heretofore with regard to those premises, as well as combines the opinions on the relations between particular premises. The scope of the article, apart from identifying the most significant discrepancies, is to take part in the discussion and, consequently, to take a step towards unification of the process of application of the analyzed legal institutions.

Philosophy in literature may also be found in children’s books, especially those concerning such serious subjects as death. The authors of these books often introduce the philosophy of life and the meaning of death by showing them through the prism of a meeting of a child and an elderly person. What results from these meetings and what other qualities, apart from the context of familiarizing with death, can be found in these literary meetings? The reference point in the paper is Andrzej Nowicki’s philosophy of a meeting, i.e. incontrology.
Poszukując filozofii w literaturze, można ją odnaleźć również i w książkach dla dzieci, szczególnie jeśli dotyczy ona tak poważnych tematów jak śmierć. Autorzy tychże książek, przybliżając filozofię życia oraz sens śmierci, często ukazują je poprzez pryzmat spotkania dziecka i osoby starszej. Co wynika z tych spotkań i jakie inne walory, oprócz kontekstu oswajającego ze śmiercią, można jeszcze odnaleźć w tych literackich spotkaniach? Za punkt odniesienia w pracy została przyjęta filozofia spotkania Andrzeja Nowickiego – inkontrologia.

The article presents a personalistic approach to education as a meeting and subjective relationship. The understanding of another in the space of dialogue is characterized. The axiological sense of the meeting and the educational relation as the experience of the other person and experiencing the values that accompany it are described. The author focuses on the phenomenological approach to education, which is based on responsibility as a fundamental bond with others. The need to build a space for dialogue in upbringing on the virtue of responsibility, freedom and justice is emphasized. Attention is paid to the need for creative understanding in a dialogic educational relationship, it is emphasized that experiencing another is inscribed in educational processes and creates an axiological educational space.
W artykule przedstawiono personalistyczne ujęcie wychowania jako spotkania i relacji podmiotowej. Scharakteryzowano rozumienie Innego w przestrzeni dialogu. Opisano aksjologiczny sens spotkania i scharakteryzowano relację wychowawczą jako doświadczanie drugiego człowieka i przeżywanie wartości, które temu towarzyszą. Zwrócono uwagę na fenomenologiczne ujęcie edukacji, której podstawą jest odpowiedzialność jako zasadnicza więź z Innym.
